0 Agenda Item: 3 CITY OF SANTA CLARITA Q) AGENDA REPORT CONSENT CALENDAR i, CITY MANAGER APPROVAL: 1 j=� DATE: October 27, 2015 SUBJECT: AGREEMENTS FOR THE SANTA CLARITA WORKSOURCE CENTER/AMERICA'S JOB CENTER PROGRAM DEPARTMENT: Community Development PRESENTER: Jason Crawford RECOMMENDED ACTION City Council: 1. Adjust Workforce Investment and Opportunity Act Formula Grant funds from the forecasted appropriation of $480,464 to the actual appropriation of $452,208 based on the allocation provided through the Antelope Valley Workforce Development Consortium for FY 2015-16 (table attached). The change in funding from forecasted to actual is a result of a decrease of funds available to train job seekers and does not impact the overall operations of the center; 2. Decrease revenue in Account #259-4441.002 to $452,208 for Workforce Investment and Opportunity Act Formula Grant funds; 3. Approve the contract between the Antelope Valley Workforce Development Consortium and the City of Santa Clarita for the operation of the Santa Clarita Worksource Center; 4. Approve the contract between the Santa Clarita Community College District and the City of Santa Clarita for staffing to operate the Santa Clarita Worksource Center and other operational costs; and 5. Authorize City Manager, or designee, to execute all contract documents and renewals, subject to City Attorney approval. BACKGROUND In July 1998, the City of Santa Clarita (City) entered into a contract with the Antelope Valley Workforce Development Consortium (Consortium) to receive the Workforce Investment Act (WIA) grant for Adult and Dislocated Workers from the Los Angeles County Department of Community and Senior Services (DCSS). Since then, the City has received annual WIA funding Page 1 PacketPg. 23 0 as a satellite site of the Consortium for the operation of the Santa Clarita WorkSource Center (Center). The new contract for FY 2015-16 between the Consortium and the City is attached. On July 22, 2014, President Obama signed the Workforce Innovation and Opportunity Act (WIOA). This federal program is the first legislative reform of the public workforce system in 15 years and supersedes the WIA program of 1998. WIOA is designed to help job seekers access employment, education, training, and support services in order to succeed in the labor market, and to match employers with the skilled workers they need to compete in the global economy. WIOA will increase the quality and accessibility of services that job seekers and employers receive at local Centers. WIOA took effect on July 1, 2015, and performance accountability standards will take effect on July 1, 2016. Additionally, the Centers will ultimately be renamed from WorkSource Centers to America's Job Centers. The Department of Labor, in coordination with the U.S. Departments of Education and Health and Human Services, is working to ensure that states, local areas, other grantees, and stakeholders are prepared for the implementation of WIOA. An RFP is expected to be released later this year by DCSS that will procure a new Workforce Development System that implements the new legislation. This new system will be established on July 1, 2016. With the implementation of WIOA, extensive changes to Center services are expected to be seen over the next fiscal year. WIOA will improve services to individuals with disabilities and other vulnerable populations. Key partners and services will be available at Centers through the co - location of the Wagner-Peyser Employment Service and the addition of the Temporary Cash Assistance for Needy Families program as a mandatory partner. States and local areas are being encouraged to improve customer service and program management by integrating intake, case management, and new reporting systems. In this transitional year, the Centers will remain mostly the same but will be co -branded as WorkSource Centers/America's Job Centers. The America's Job Centers brand is expected to be fully implemented later this year. Staff will continue to monitor the changes and will provide updates to the City Council as necessary. Santa Clarita WorkSource Center/America's Job Center In November 2011, the City released a Request for Proposals seeking a contractor to deliver Basic Career Self Service and Basic Career Registered Services, formerly known as Core A and B services. On January 10, 2012, the City Council awarded the contract for the operation of the Center to the Santa Clarita Community College District (SCCCD), which was unanimously supported by the Consortium. On September 24, 2013, the City Council renewed the contract with SCCCD through June 30, 2014, with options for two annual renewals. The new agreement included additional WIA Intensive/Case Management and Training services for Adult and Dislocated Worker Programs. On October 28, 2014, the City Council renewed the contract with SCCCD through June 30, 2015. The partnership with SCCCD has proven to be a success, with all job placement goals exceeded Page 2 Packet Pg. 24 for FY 2014-15. SCCCD's proven track record in the workforce development arena, along with their extensive business partnerships in the Santa Clarita community, makes them an excellent partner to continue operating the Center. While the previous contract expired, there has been no break in service, as they have continued on a month-to-month basis until a new contract could be provided by the Consortium. The renewed contract between the City and SCCCD extending the program through June 30, 2016, for FY 2015-16 is attached. The Center offers year-round services for job seekers, including computer access, resources to research and pursue job leads, and workshops to improve job search skills and marketability. The Center also offers services to businesses, such as providing meeting space and coordination for employee recruitments and interviews. Last year, the Center served close to 2,000 new customers and had over 10,000 return visits. The Center provided job skills training to over 50 customers and placed nearly 100 people in employment. Additionally, the Center provided individualized recruitment services for numerous businesses, including Aerospace Dynamics International, B&B Manufacturing, Crissair Inc., and Kaiser Permanente. In accepting the WIOA Formula Grant funds, the City agrees to enter into an agreement with the Consortium to continue to provide WIOA services through the partnership with SCCCD. ALTERNATIVE ACTIONS 1. Decline acceptance of the funds. 2. Other direction as determined by the City Council. FISCAL IMPACT The total cost of this program is $452,208 to be offset by grant revenue. Of this grant award $273,840 will be awarded to SCCCD for staffing to operate the Center and $50,448 will be spent on operational costs, including supplies and rent per the existing lease agreement. The change in funding from forecasted to actual is a result of reduced funds available for training and does not impact the overall operations of the center. A total of $127,920 is designated specifically for training and workforce development funding. The recommended actions will adjust expenditure and revenue accounts to match the Workforce Investment and Opportunity Act Grant (WIOA - 15303). There is no City match required. RECITALS WHEREAS, effective on July 1, 2015, the County of Los Angeles, by and through its Department of Community and Senior Services ("DCSS") and the Consortium entered into the Adult and Dislocated Worker Programs Contract under the federal Workforce Innovation and Opportunity ("WIOA") Title 1 to provide adults and dislocated workers a comprehensive array of Workforce Services through the WorkSource California delivery system; and WHEREAS, the Subcontractor desires to participate in the Consortium's adult and dislocated workers services program and is qualified by reason of experience, preparation, organization, staffing, facilities to provide such services. NOW THEREFORE, for and in consideration of the foregoing premises and for the express intention of carrying out the purposes of the Adult and Dislocated Worker Programs as administered by the Consortium's America's Job Center of California, the parties do hereby agree as follows: SECTION 1. APPLICABLE DOCUMENTS AND DEFINITIONS. (a) This Subcontract consists of this three-page document, and the following attachments and exhibits, inclusive: (1) Adult and Dislocated Worker Program Contract (Attachment 1) (2) Budgets (Exhibit B) (3) WIOA Program Required Matrices (Exhibit C) 3.b Packet Pg. 27 ANTELOPE VALLEY WORKFORCE DEVELOPMENT CONSORTIUM WIOA Subcontract page 2 (b) In the event of any conflict or inconsistency in the definition or interpretation of any word, responsibility, or contents of a deliverable product or service between this three- page document and the attachments and exhibits hereto attached, the conflict or inconsistency shall be resolved in favor of Attachment 1 (Adult and Dislocated Worker Program Contract). (c) This Subcontract shall be governed by the provisions of the Adult and Dislocated Worker Programs Contract between the County of Los Angeles Department of Community and Senior Services ("DCSS") and the Consortium WIOA Adult and Dislocated Worker Program Contract and its Exhibits. For purposes of this Subcontract only, where the term Contractor appears in the Contract, it shall be deemed to refer to the Subcontractor, and where the term "County" appears in the Contract, it shall be deemed to refer to the Consortium. SECTION 2. TERM. This Subcontract shall be for WIOA funding from July 1, 2015 through June 30, 2016. All costs, except reasonable close-out costs shall be accrued during this Subcontract period. SECTION 3. AVWDC OBLIGATIONS. The AVWDC agrees to reimburse Subcontractor for provision of services identified in the Adult and Dislocated Worker Program Contract (Attachment 1) in accordance with relevant invoicing policies and procedures set forth in this Subcontract; provided, however, that the amount obligated and paid to the Subcontractor by the AVWDC shall not exceed Three Hundred Twenty Four Thousand Two Hundred Eighty Eight (1324,2LSI program dollars (Adult 201,999, Dislocated Worker $ 1_22,2 and One hundred Twenty Seven Thousand., Nine Hundred Twenty ($127,920) training dollars (Adult $74,412, Dislocated Worker $53,508) during the term of this Subcontract. The WIOA legislation supersedes the WIA of 1998; and WHEREAS, on June 9, 2015, the Los Angeles County Board of Supervisors approved to extend the existing WIA ADW contracts for twelve (12) months, with an option to extend for an additional six (6) months, for total maximum of eighteen (18) months, to allow for the transition to the new WIOA legislation, which shall be in effect on July 1, 2015. WHEREAS, on June 9, 2015, the Los Angeles County Board of Supervisors approved the allocations for the WIOA ADW program, and it is the intent of the parties hereto to execute contract amendments to increase the Maximum Contract Sum by $1,461,673 (to be allocated Adult: $895,154 Dislocated Worker: $566,519), effective July 1, 2015, in exchange for defined ADW Program services, under Exhibit C-15 (A), Exhibit C-15 (DW), Required Program Matrices, and any addendum 11Page Packet Pg. 30 3.b thereto; and WHEREAS, on June 9, 2015, the Los Angeles County Workforce Investment Board approved a time -only extension for the WIA 25% National Emergency Grant (NEG), Department of Labor program, and it is the intent of the parties hereto to execute contract amendments to extend the program effective July 1, 2015 through September 30, 2015, in exchange for defined WIA 25% NEG services, under Exhibit A-5, WIA NEG 25% California Multi -Sector Workforce Partnership Statement of Work, and any addendum thereto; and WHEREAS, Contract provides that further changes to its terms may be made in the form of a written Amendment which is formally approved and executed by the parties. CONTRACT: PART I: UNIQUE TERMS AND CONDITIONS, SECTION 8.0 CASH MANAGEMENT POLICY, Subsection 8.2 is deleted and replaced with the following: 8.2 Expenditures made by CONTRACTOR in the operation of this Contract shall be in compliance and in conformity with the WIOA procurement regulations. Entities receiving federal WIOA funds must follow the uniform cost principles and audit requirements of the "Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards," as codified at 2 CFR 200 (also known as the "Super Circular'). This Super Circular was released on December 26, 2013 and supersedes previous Workforce Investment Act OMB Circulars A-21, A-87, A-102, A-110, A-122, and A-133. CONTRACTOR shall obtain the Super Circular at http://www. ecfr. g ov/cgi-bin/text- idx7tpl=/ecfrbrowse/Title02/2cfr200 main 02._toll. Failure to comply with aforementioned circular may result in suspension of payments, and/or termination of Contract. V. CONTRACT: PART I: UNIQUE TERMS AND CONDITIONS, SECTION 8.0 CASH MANAGEMENT POLICY, Subsection 8.3 is added as follows: 8.3 CONTRACTOR shall adhere to the revised Los Angeles County Auditor -Controller's Handbook, which is included as Exhibit D ATTACHMENTS, ATTACHMENT X to this amendment. CONTRACT: PART I: UNIQUE TERMS AND CONDITIONS, SECTION 9.0 LIMITATIONS OF USE OF FEDERAL GRANT FUNDS, Subsection 9.3 is added as follows: 9.3 CONTRACTOR shall not use funds received under WIOA to assist, promote or deter union organization. CONTRACT: PART II: STANDARD TERMS AND CONDITIONS, SECTION 13.0, COMPLIANCE WITH APPLICABLE LAWS, Subsections 13.1.1 and 13.1.2 are added as follows: 13.1.1 CONTRACTOR shall adhere to State Economic Development Department Workforce Services Directive WSD12-3, "Quarterly and Monthly Financial Reporting Requirements." CONTRACT: PART II: STANDARD TERMS AND CONDITIONS, SECTION 13.0, COMPLIANCE WITH APPLICABLE LAWS, Subsection 13.2.1 is added as follows: 13.2.1 CONTRACTOR shall comply with future State Board policies and guidelines, legislative mandates and/or other special provisions as may be required under federal law or policy, including the WIOA and State legislation. IX. CONTRACT: PART II: STANDARD TERMS AND CONDITIONS, SECTION 21.0, CONTRACT ACCOUNTING AND FINANCIAL REPORTING, Subsections 21.1.1 and 21.1.2 are added as follows: 21.1.1 CONTRACTOR shall adhere to the policies, guidelines and requirements as detailed in the revised Auditor -Controller's Handbook, which is included as Exhibit D ATTACHMENTS, ATTACHMENT X to this amendment. 21.1.2 CONTRACTOR shall adhere to the "Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards," as codified at 2 CFR 200 (also known as the "Super Circular") for all contract accounting and financial reporting. ADDITIONAL WORK. If CONSULTANT believes Additional Work is needed to complete the Scope of Work, CONSULTANT will provide the CITY with written notification that contains a specific description of the proposed Additional Work, reasons for such Additional Work, and a detailed proposal regarding cost. 7. FAMILIARITY WITH WORK. By executing this Agreement, CONSULTANT agrees that it has: Carefully investigated and considered the scope of services to be performed; and Carefully considered how the services should be performed; and Understands the facilities, difficulties, and restrictions attending performance of the services under this Agreement. If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will investigate the site and is or will be fully acquainted with the conditions there existing, before commencing the services hereunder. Should CONSULTANT discover any latent or unknown conditions that may materially affect the performance of the services, CONSULTANT will immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk until written instructions are received from CITY. 8. TERM. The term of this Agreement will be from October 1, 2013 to July 31, 2014. Unless otherwise detennined by written amendment between the Parties, this Agreement will tenninate in the following instances: Completion of the work specified in Exhibit "l." Termination as stated in Section 15. 9. TIME FOR PERFORMANCE. CONSULTANT will not perform any work under this Agreement until: CONSULTANT furnishes proof of insurance as required under Section 21 of this Agreement; and Page 2of9 Packet Pg. 48 CITY gives CONSULTANT a written notice to proceed. 3.d Should CONSULTANT begin work on any phase in advance of receiving written authorization to proceed, any such professional services are at CONSULTANT's own risk. 10. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond CONSULTANT's control, CITY may grant a time extension for the completion of the contracted services. If delay occurs, CONSULTANT must notify the CITY within forty- eight hours (48 hours), in writing, of the cause and the extent of the delay and how such delay interferes with the Agreement's schedule. The CITY will extend the completion time, when appropriate, for the completion of the contracted services. 11. CHANGES. CITY may order changes in the services within the general scope. of this Agreement, consisting of additions, deletions, or other revisions, and the contract sum and, the contract time will be adjusted accordingly. All such changes must be authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY resulting fiom changes in the services will be determined in accordance with written agreement between the Parties. 1.2. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a Taxpayer Identification Number. 13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain during the term of this Agreement, all necessary permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement. 14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights CITY may have under this Agreement or of any cause of action arising from CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character. 15. TERIMNATION. CITY may terminate this Agreement at any time with or without cause. CONSULTANT may tenninate this Agreement at any time upon written notice. Notice will be in writing at least thirty (30) days before the effective termination date. After a finding by CONSULTANT's Board of Trustees that any or all space at the University Center is necessary to accommodate CONSULTANT's students, employees, programs, courses, training or other activities, CONSULTANT may terminate this Agreement upon providing CITY with at least 120 days written notice before the effective date of termination. Upon receiving a termination notice, CONSULTANT will immediately cease performance under this Agreement unless otherwise provided in the termination notice. Except as otherwise provided in the termination notice, any additional work perfonned by Page 3 of 9 Packet Pg. 49 3.d CONSULTANT after receiving a termination notice will be performed at CONSULTANT'S own cost; CITY will not be obligated to compensate CONSULTANT for such work. Should termination occur, all finished or unfinished documents, case files including client information and placements, data, studies, surveys, reports and other materials prepared by CONSULTANT will, at CITY's option, become CITY's property, and CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1, paragraph 3. Should the Agreement be tenninated pursuant to this Section, CITY may procure on, its own terms services similar to those terminated. By executing this document, CONSULTANT waives any and all claims for damages that might otherwise arise from CITY's termination under this Section. 16.OWNERSHIP OF DOCUMENTS. All documents, case files including client information and placements, data, studies, models, photographs and reports prepared by CONSULTANT under this Agreement are CITY's property. CONSULTANT may retain copies of said documents and materials as desired, but will deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of CONSULTANT's completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY's own risk. 17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or public CITY without CITY's prior written approval. All press releases, including graphic display information to be published in newspapers or magazines, will be approved and distributed solely by CITY, unless otherwise provided by written agreement between the Parties. CITY must obtain written approval from CONSULTANT's Public Information Office C PIO") to use the CONSULTANT's name and/or lobos in any advertisements, promotions, press releases or other media. In the event such pennission is extended, PIO will furnish CITY with camera-ready artwork for such use:. 18. INDEMNIFICATION. CONSULTANT agrees to indemnify and hold CITY harmless from and against any claim, action, damages, costs (including, without limitation, attorney's fees), injuries, or liability, arising out of the performance of this agreement by CONSULTANT. Should CITY be named in any suit, or should any claim be brought against it by suit or otherwise, arising out of performance by CONSULTANT of services rendered pursuant to this Agreement, CONSULTANT will defend CITY (at CITY's request and with counsel satisfactory to CITY) and will indemnify CITY for any judgment rendered against it or any sums paid out in settlement or costs incurred in defense otherwise Page 4 of 9 Packet Pg. 50 3.d 19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services. CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's written approval are prohibited and will be null and void. 20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which is it performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only. The parties expressly agree and intend by this Agreement that Santa Clarita Community College District shall provide services as a vendor, as this term is set forth in Section 99.210, subdivision (c), of Title 29 of the Code of Federal Regulations. To the extent there is any language in this agreement that may characterize Contractor as a subrecipient or require Contractor to perform any portion of the Agreement as a subrecipient, such language shall not be binding upon the parties. 21. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcript therefrom, and to inspect all program data, documents, proceedings and activities. CONSULTANT will retain such financial and program service records for at least three (3) years after termination or final payment under this Agreement. 22. INSURANCE. CONSULTANT agrees to maintain, in full force and effect, at CONSULTANT 's expense, the following coverages: (i) Commercial General Liability insurance, with limits of not less than One Million Dollars ($1,000,000) per occurrence including bodily injury, broad form property damage and blanket contractual liability, written on an "occurrence" form; (ii) Professional Liability Insurance with limits of not less than One Million Dollars ($1,000,000); (iii) Employer's Liability with limits of not less than One Million Dollars ($1,000,000) per occurrence; (iv) Workers' Compensation insurance as required by statutory insurance requirement of the State of California; and (v) Automobile Liability covering all owned, non -owned and hired vehicles with combined single limit for bodily injury and/or property damage of not less than One Million Dollars ($1,000,000). CONSULTANT agrees to name CITY, its officials and employees as Additional Insured under its policy(ies). CONSULTANT shall deliver Certificate(s) of Insurance and Additional Insured Endorsement(s) evidencing the required coverages to the CITY, which Page 5 of 9 Packet Pg. 51 3.d shall be subject to the CITY's approval for adequacy of protection. The Certificate(s) of Insurance shall provide thirty (30) days prior written notice of cancellation. 23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written approval to use any subcontractors while performing any portion of this Agreement. Such approval must approve of the proposed subcontractor and the terms of compensation. 24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on the project, which will include a schedule update and a short narrative description of progress during the past month for each major task, a description of the worlc remaining and a description of the work to be done before the next schedule update. 25. NOTICES. In all other instances, notices will be deemed given at the time of actual delivery. Changes may be made in the names or addresses of persons to whom notices are to be given by giving notice in the manner prescribed in this paragraph. 26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest laws and regulations including, without limitation, CITY's Conflict of Interest Code (on file in the City Cleric's Office). It is incumbent upon the CONSULTANT or CONSULTING FIRM to notify the CITY pursuant to Section 25 NOTICES of any staff changes relating to this Agreement. In accomplishing the scope of services of this Agreement, all officers, employees and/or agents of CONSULTANT will be performing a very limited and closely supervised function, and, therefore, are unlikely to have a conflict of interest arise. No disclosures are required for any officers, employees, and/or agents of CONSULTANT. 27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor retained any company or person, other than CONSULTANT's bona fide employee, to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed to pay any company or person, other than CONSULTANT's bona fide employee, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. Should CONSULTANT breach or violate this warranty, CITY may rescind this Agreement Page 6 of 9 Packet Pg. 52 3.d without liability. 28. INTERPRETATION. This Agreement was drafted in, and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this Agreement will be in Los Angeles County. 29. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state, and local laws applicable to this Agreement. 30. ENTIRE AGREEMENT. This Agreement, and its Attachments, sets forth the entire understanding of the Parties. There are no other understandinCD gs, terms or other agreements expressed or implied, oral or written. There is one (1) Attachinent(s) to this Agreement. This Agreement will bind and inure to the benefit of the Parties to this Agreement and any subsequent successors and assigns. 31. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a whole, and in accordance with its fain meaning; it will not be interpreted strictly for or against either Party. 32. SEVERABILITY. If any portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed' modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 33. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage in the actions described herein. This Agreement may be modified by written amendment. CITY's executive manager, or designee, may execute any such amendment on behalf of CITY. 34. ACCEPTANCE OF FACSIMILE SIGNATURES. The Parties agree that this Agreement, agreements ancillary to this Agreement, and related documents to be entered into in connection with this Agreement will be considered signed, when the signature of a Party is delivered by facsimile transmission. Such facsimile signature will be treated in all respects as having the same effect as an original signature. 35. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of reference only and will not affect the interpretation of this Agreement. 36. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this Agreement. 37. FORCE MAJEURE. Should performance of this Agreement be prevented due to fir flood, explosion, acts of terrorism, war, embargo, government action, civil or military authority, the natural elements, or other similar causes beyond the Parties' reasonable control, then the Agreement will immediately terminate without obligation of either Party to the other. By executing this Agreement, CONSULTANT represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its financial resources, surety and insurance experience, service experience, completion ability, personnel, current workload, experience in dealing with private consultants, and experience in dealing with public agencies all suggest that CONSULTANT is capable of performing the proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY. 39. PROTECTION OF RESIDENT WORKM, RS. The City of Santa Clarita actively supports the Immigration and Nationality Act (INA), which includes provisions addressing employment eligibility, employment verification, and nondiscrimination. Under the INA, employers may hire only persons who may legally work in the United States (i.e., citizens and nationals of the U.S.) and aliens authorized to work in the U.S. The employer must verify the identity and employment eligibility of anyone to be hired, which includes completing the Employment Eligibility Verification Form (1-9). CONSULTANT shall establish appropriate procedures and controls so no services or products under the Contract Documents will be performed or manufactured by any worker who is not legally eligible to perform such services or employment. The City of Santa Clarita currently operates the Center at the College of the Canyons Dr. Dianne G. Van Hook University Center. The operation of this Center is funded from the annual Workforce Investment Act (WIA) grant provided by the Antelope Valley Worldorce Development Consortium (Consortium). The City's funding for Fiscal Year 13-14 is detailed in Attachment "A" and will support services for Adult and Dislocated Workers, Universal Access Core A and Core B levels of service at the Center and the offering of intensive, Training, and Supportive levels of service for WIA customers. For purposes of this contract, the City is contracting with CONSULTANT to operate all levels of service (See Attachment "B" TEGL 7-99 Tablel : Proposed Registration for WIA Services) for the period specified in the agreement. 2. The overarching goal of the contract will be to provide quality customer service to the unemployed population of Santa Clarita and assist them with re-entering the workforce as quickly as possible. 4.1.2) CONSULTANT wilt: a) Be responsible for proper administration of the Santa Clarita WorlcSource budget with relation to staffing costs, of which the contracted services are a part of; b) Be the City's principal liaison with the Consortium and the County of Los Angeles Community and Senior Services WIA division; c) Review program development and services offered so they are in line with community needs and the required goals of the WIA program; d) Represent the City at relevant community meetings, Consortium meetings, and mandatory contractor meetings with the County of Los Angeles. e) Meet enrollment and placement goals both quarterly and annually. f) Meet Department of Labor Common Measures for entered employment, retention, and average earnings annually as referenced in Attachment `B". 4.2 Staffing: 4.2. 1) CONSULTANT will employ qualified staff sufficient to provide services and programs during all Center hours of operation and will provide the necessary orientation and ongoing training and professional development of the staff. 4.2.2) All persomlel employed to perform the services necessary to operate the Center shall be employees of CONSULTANT, or subcontractors as approved by the city. CONSULTANTshatl pay all costs related to their employment. 4.3 Hours of Operation: 4.3.1) CONSULTANT will staff and operate the Center on a schedule approved by the City Manager or his designee. Current Hours of Operation are: Monday — Friday 8:30am — 4:30pm Excluding Holidays (a list of 2013-2014 holidays may be found in Attachment "D".) 3.d However, the City is open to recommendations on the most economical and effective distribution of operating hours to best serve the needs of the residents of the Santa Clarita Valley. 4.4 Planning and Performance Monitoring: CONSULTANT shall assist the City with documentation and support to assure: 7 Packet Pg. 57 Exhibit 1 4.4.1) Activities to be considered for funding shall comply with all applicable federal, state and local laws, regulations and ordinances regarding WIA. and the Los Angeles County Workforce Investment Board (W113), with which each responding entity is expected to be fully familiar. 4.4.2) All program facilities and services shall be fully accessible to persons with disabilities in accordance with all applicable federal and state requirements, and shall fully comply with all federal and state laws regarding Equal Employment Opportunity — Nondiscrimination. 4.4.3) Initial Core Services provided through the Center shall be made available to the general public without regard to residency, income level or employment status. 4.4.4) All customer services shall be coordinated with related services offered by WorkSource Partners in the region. Development of active inter -agency partnerships and provision of j oint services that avoid costly overlaps and efficiently address customer needs are essential components of WorkSource management. 4.4.5) The Santa Clarita WorkSource Center has developed a reputation for having customer -focused staff, services and hours of operation, and for valuing people over process. This focus is expected to be continued along with an expanded focus on partnerships with the business community in Santa Clarita. 4.4.6) Appropriate records shall be maintained to support staff decisions about customer services, and to document each customer's progress toward achieving planned outcomes in accordance with WIA. guidelines. 4.4.7) Placement and enrollment goals for each program year are expected to be met or exceeded in accordance with Department of Labor (DOL) standards for perfonnance measurement for the WIA program with regard to entered enrollment, retention, and average earnings. 4.4.8) CONSULTANT will provide monthly reports updating the City regarding performance measurements and progress toward WIA program year goals as detailed in Attachment "C". 4.5 Budget and finance: 4.5.1) CONSULTANT will provide monthly proportional invoices based on the funding specified in Attaclunent "A". Note that administrative costs are limited to 7% of the contract amount. 4.6 Fiscal Accountability and Audit: 4.6.1) CONSULTANT must have in place a sound financial management system, based upon generally accepted accounting principles and in compliance with WIA. Facilities and FaujRmmgnt: The City has entered into a lease agreement under a separate contract with College of the Canyons for the Santa Clarita WoTkSource Center location, The City will continue to pay this lease agreement as well as provide computers, hardware, and office supplies for the Center. CONSULTANT is expected to provide staff with email addresses and any other network needs necessary. 6. TimgSchedule: CONSULTANT is expected to be able to fully assume management and day to day operations of the Santa Clarita WorkSource Center effective October 1, 2013. 7. The operation of this Center is funded by the city from the annual Workforce Investment Act (WIA) grant provided by the Antelope Valley Workforce Development Consortium (Consortium). The LA County WIA system (administered by LA County Child and Senior Services) is funding all current centers on a month to month basis while the fundamentals of the system are being reworked. The City's monthly funding for Fiscal Year 14-15 is $27,024 in support of Adult and Dislocated Workers, Universal Access Core A and Core B levels of service at the Center and Intensive, Training, and Supportive levels of service for WIA customers.
