Award the contract for bridging document consultant and construction support services to Walker Parking Consultants, Inc., for the proposed Old Town Newhall Parking Structure, Project F2010, in the amount of $290,000 and authorize a contingency in the amount of $58,000 for the total contract amount not to exceed $348,000. 2. Award professional services contract for a supplemental environmental site investigation in the amount of $156,754 to JHA Environmental, Inc., and authorize a contingency in the amount of $31,350 for the total contract amount not to exceed $188,104. 3. Authorize an increase in expenditure authority in the amount of $125,000 to the existing contract with MNS Engineers, Inc., for design, environmental, and project support services. 4. Appropriate $791,104 from Facilities (723) Fund Balance into expenditure account F2010723-5161.001. 5. Direct staff to design the structure to meet the requirements of the current California Energy Code and California Green Building Code in lieu of Leadership in Energy and Environmental Design (LEED) Silver. 6. Authorize the City Manager or designee to execute all documents, subject to City Attorney approval. Page 1 PacketPg. 32 0 BACKGROUND The Old Town Newhall Specific Plan (Specific Plan) was adopted by the City Council in 2005 and outlined the vision for the future of Old Town Newhall and created a plan to revitalize the area by encouraging development and redevelopment. Since the adoption of the Specific Plan, the City of Santa Clarita (City) and the Redevelopment Agency of the City of Santa Clarita (Redevelopment Agency) implemented various components specific to infrastructure, including circulation improvements to create a pedestrian -friendly Main Street area and extend Railroad Avenue and Newhall Avenue, the five -block Main Street streetscape enhancement, the Old Town Newhall Public Library, and the roundabout. The next planned infrastructure investment is a parking structure near the northerly end of Main Street. The Specific Plan uses a shared or "park once" model for parking. This parking model lets a patron park in one location and walk around the entire Main Street area to shop, dine, and enjoy the areas amenities. The Specific Plan calls for two public parking structures to be built, one at the north end and one at the south end of Main Street, with approximately 400 spaces each, to serve the entire district. The Redevelopment Agency, in partnership with the City, acquired a block of property in Old Town Newhall in November 2008. The site encompasses one full City block, directly across the street from the Old Town Newhall Library, bounded by Lyons Avenue to the north, Railroad Avenue to the east, 9th Street to the south, and Main Street to the west (the Redevelopment Block). The Redevelopment Block was purchased with the intent of a public-private development partnership in the future within the vision of the Specific Plan. Since the acquisition of that property, redevelopment agencies were dissolved throughout the State of California and Successor Agencies were created to wind -down the affairs of the former redevelopment agencies. The Successor Agency was required to sell this property. On February 9, 2016, the City Council and the Successor Agency Board took action to implement the vision for this property and divided the Redevelopment Block into three developments: 1. Mixed Use Project: This project will be developed by Old Town -Main, LLC, and is proposed to include approximately 20,240 square feet of retail space, 46 multifamily residential units, and public plaza space. The Successor Agency is currently in escrow on this portion of the Redevelopment Block property. 2. Laemmle Theatre Project: This project is proposed to include atwo-story, 17,688 -square - foot art house movie theatre and 2,293 square feet of retail space. The Successor Agency is currently in escrow on this portion of the Redevelopment Block property. 3. Parking Structure: This structure is envisioned to be one -level subterranean and five stories above grade, with a maximum height of 55 feet. This achieves an approximate 400 parking stall count, while ensuring the structure is consistent with the height of the Old Town Newhall Library. A public parking structure is permitted by right and the entitlement process will include a development review and an architectural design review. This project is a component of the "Enhancing Economic Development" theme in Santa Clarita 2020, the City of Santa Clarita's five-year strategic plan. Page 2 Packet Pg. 33 0 Pursuant to the direction of City Council at the February 9, 2016, meeting, staff is moving forward with the development of the public parking structure. This effort has been broken into two phases: Phase I - Preparation of Bridging Documents (Current Phase) The bridging consultant will prepare a set of documents containing conceptual floor plans, elevations, the preferred architectural facade, parking layouts, mechanical equipment plans, and detailed specifications that clearly describe the project. The bridging documents will also address the site constraints for small lot construction, the interaction of this building with the adjacent developments, scheduling of this project relative to the adjacent projects, street repairs and improvements, and utility connections. The consultant who prepares the bridging document will also be retained through this contract to provide construction support services, ensuring the project ultimately constructed during Phase II meets the design criteria and construction specifications included in the bridging documents. Phase II - Design -Build Process (Future Phase) When the bridging documents are complete, staff will issue a Request for Proposal (RFP) to pre- qualified design -build firms. The proposals from the design -build firms will be based upon the bridging documents. The successful bidder will complete the design of the parking structure, obtain building permits and all appropriate City and agency approvals, and build the parking structure. Staff estimates the City Council will select a design -build firm in summer 2016. Bridging Document On February 11, 2016, a Request for Qualifications/Request for Proposals (RFQ/RFP) for consultant services to prepare the bridging documents was sent to 11 firms with experience designing parking structure projects. The RFQ/RFP asked the firms to identify their relevant experience in similar projects, understanding of the overall project needs, and to demonstrate their approach for the creation of the bridging documents. On March 7, 2016, three firms submitted proposals to the City. Staff reviewed the proposals and based on their evaluations, scored the firms on a 100 -point scale. Rank Companv Score Location Cost 1 Walker Parking Consultants, Inc. 84 Los Angeles $290,000 2 Transtech Engineers, Inc. 81 Chino $324,920 3 Choate Parking Consultants, Inc. 74 Irvine $327,955 The scoring system heavily emphasized the understanding of the following: the Specific Plan, architectural appearance related to the Specific Plan, the preferred architectural concept, the coordination required with the adjacent projects, parking structure design and construction experience, recently completed projects, qualifications of sub -consultants, staff experience, value engineering, understanding the overall project needs, project schedule, project budget, and references. Based upon these criteria, staff invited the three firms to present their proposals in an individual interview format. Staff recommends awarding the bridging document and construction support contract to Walker Parking Consultants, Inc., based on their experience with projects of similar size and scope, the Page 3 Packet Pg. 34 completeness of their proposal, and their interview. Walker Parking Consultants, Inc., possesses the appropriate licenses and is in good standing with the State of California Architects License Board. Pursuant to Government Code section 4525, the cost proposals were submitted in sealed envelopes separate from the qualifications portion of the proposals. Pursuant to the qualifications -based selection process required by the Government Code for the selection of architects and engineers, the initial evaluation of all proposals received was confined to an evaluation of each proposer's qualifications to perform the specified scope of work. Following the ranking of all proposals by City staff, staff opened the proposer's sealed cost proposals and negotiated a final contract at a fair and reasonable price for the services requested in the RFP. Pursuant to Appendix H, Section 3.6 of the City of Santa Clarita purchasing policy, "All newly constructed City of Santa Clarita-sponsored buildings shall incorporate sufficient green building methods and techniques to qualify for the equivalent of a LEED Rating System Silver certification." The U.S. Green Building Council does not permit parking structures to pursue LEED certification. However, designing the parking structure to meet the current California Energy Code and the California Green Building Code can provide an equivalent level of efficiency. Supplemental Environmental Site Investigation An environmental investigation for the overall site was performed by Old Town -Main, LLC, the mixed-use developer during 2015. Concurrent with the preparation of the bridging documents, the Old Town Newhall Parking Structure project requires additional investigation of the soils below the City's project to further clarify the existing conditions that will require remediation. Pursuant to the Purchase and Sale Agreement, Old Town -Main, LLC, is responsible to mitigate the environmental issues contained in their report only. This contract will not decrease the scope or reduce the work incumbent upon Old Town -Main, LLC, but will provide a clear picture of what, if any, issues will become the City's responsibility. This information will be added to the design -build scope of work and incorporated into the grading plan, allowing the grading and any required remediation to occur simultaneously. Several septic tanks, rain water cisterns, and other various receptacles were encountered during grading for the Old Town Newhall Library. On March 1, 2016, an RFP for a Supplemental Environmental Site Investigation was sent to three qualified firms. The RFP requested the firms provide their relevant experience for similar projects and explain their approach for investigating the parking structure site. On March 14, 2016, two firms submitted proposals to the City. Staff reviewed the proposals and based on their evaluation, scored the firms on a 100 -point scale. Frankian & Associates 94 Santa Clarita $192,417 The scoring system emphasized effectiveness of the strategy to achieve the objective, staff experience, previous experience on similar projects, ability to meet the schedule, and completeness of their proposal. 0 Page 4 Packet Pg. 35 Staff recommends awarding the supplemental environmental site investigation services contract to JHA Environmental, Inc., based upon their experience with projects of similar size and scope, the completeness of their proposal, and their interview. The requested funding creates a budget of $791,104, which allows for awarding the bridging document consultant and construction support services contract totaling $290,000; the supplemental environmental site investigation contract totaling $156,754; and the design, environmental, and project support services contract for $125,000. The balance of $130,000 will provide for utility coordination and project administration. The requested contingency of $89,350 will cover the cost for design for unforeseen site conditions, revisions to the project based upon coordination issues with the adjacent projects, potential changes to the scope of the project and other unforeseen occurrences. ALTERNATIVE ACTION Other action as determined by City Council. FISCAL IMPACT The requested appropriation of $791,104 from the Facilities (723) Fund Balance to the Old Town Newhall Parking Structure expenditure account F2010723-5161.001 will adequately provide for the award of the bridging document consultant and construction support contract and contingency, environmental site investigation contract, the environmental and project support services contract, utility coordination, and project administration. Future expenditures related to the parking structure are anticipated to be approximately $15 million and will come before the City Council for appropriation consideration at a later date. The Parking Project is part of the City's Old Town Newhall Specific Plan ("Specific Plan") to develop a block of land in Old Town Newhall, directly across from the Old Town Newhall Library. The site encompasses one full City block, and is bounded by Lyons Avenue on the north, Railroad Avenue on the east, 9" Street on the south, and Main Street to the west ("Redevelopment Block").The Parking Project consists of the development of a parking structure with approximately 400 parking stalls over 6 levels, one subterranean. See Exhibit A. To conform with the City's Specific Plan, the Successor Agency to the former Redevelopment Agency of the City of Santa Clarita ("Successor Agency") has been involved in extensive negotiations with private developers to develop separate projects on the Redevelopment Block. Pursuant to requests for proposals, the Successor Agency selected developers to participate in the development of the Redevelopment Block with separate private developments. The Successor Agency has been involved in ongoing exclusive negotiations with private developers for the sale of Redevelopment Block parcels adjacent to the Parking Project. The private developers are responsible for the design and construction of two separate projects: (1) a Mixed Use Project consisting of multi -family residential units, retail space, a public plaza, and subterranean parking for approximately 85 vehicles ("Mixed Use Project'), to be developed by Old Town -Main, LLC, ("OTM"), and (2) a two-story theater with 7 screens and retail space ("Theater Project'), to be developed by Laemmle Newhall, LLC. The City anticipates the City's Parking Project will be constructed at or about the same time as the development and construction of the Mixed Use Project and the Theater Project, and all three projects will be the subject of ongoing coordination during the design and construction phases to facilitate cooperative and coordinated construction. City must construct the Parking Project to conform with operational, fire, and life safety, and physical plant standards in accordance with Title 24, California Code of Regulations ("CCR") and other applicable federal, state, and local standards, regulations, ordinances and/or statutes. A detailed Parking Project Description is contained in Exhibit A.. The City expects the selected BA/CS to use these Preliminary Drawings as the starting point for the Bridging Design. The Preliminary Project Milestone Schedule is contained in Exhibit B. The form of BA/CS Professional Services Agreement is contained in Exhibit C. 1.2 Brief Description Of The Parking Project The City hired Linscott, Law & Greenspan Engineers ("LLG") to complete a parking study for Old Town Newhall in 2012. LLG prepared an updated parking study in 2015. The LLG studies are available at http://www.santa-clarita.com/newhallparkingstructure, and the City encourages Respondents to review them. The City envisions a 400 parking stall parking structure with one subterranean level, and five above -grade levels, for a maximum above -ground height of 55 feet, excluding architectural features. OAK #4842-2869-3805 v6 02012-1041 1 To maximize the overall development of the Redevelopment Block, the City is negotiating for OTM to purchase a parking access easement through the City's Parking Project for the purpose of accessing the residential subterranean parking for the Mixed Use Project. The easement will allow access to residential parking by having residents enter the City's parking structure, follow demarcations to the subterranean level, pass through a gate at the property line between the City's parking structure and OTM's parking area, and park in the OTM parking area residential stalls. Maintaining the character and architectural style currently found in Old Town Newhall is a priority for the City and the community in preparing the Parking Project design. Thus, the Parking Project's Preliminary Drawings were prepared to be consistent with the Old Town Newhall Specific Plan and Community Character and Design Guidelines (collectively, the "Guidelines"), which are available at the following website: http://www.santa-clarita.com/newhallparkingstructure The Selected Respondent will be expected to prepare a bridging design that remains consistent with the Guidelines. There is an existing certified Environmental Impact Report, in compliance with the California Environmental Quality Act ("CEQA"). No further CEQA clearances are anticipated. 1.3 Background Documents. "Addendum/Addenda" is any and all amendments to this RFQ/RFP and any and all responses to written questions regarding this RFQ/RFP issued by City in a written format and incorporated by reference into this RFQ/RFP. "BA/CS" is an individual, firm, partnership, corporation, consortium, joint venture, or other entity that is a potential Respondent to this RFQ/RFP. "Laemmle Newhall, LLC" is the developer of the Theater project comprised of a two-story theater with 7 screens and retain space. "Major Team Member" includes (i) for any Respondent which is a general partnership, consortium or joint venture, each general partner or member, and (ii) for any Respondent any subconsultant (of any tier) expected to perform at least 40% of either the bridging architectural or construction support portions of the Services. "Mixed Use Project" is that portion of the Redevelopment Block consisting of multi -family residential units, retail space, and a public plaza to be developed byOld Town -Main, LLC, a California limited liability company. "Old Town -Main, LLC" or "OTM" is the private developer who will be purchasing a portion of the Redevelopment Block to build a mixed use area consisting of multi -family residential spaces, retail OAK #4842-2869-3805 v6 02012-1041 3 spaces, a public plaza, and subterranean parking. OTM is a California limited liability companywith whom the City has been in negotiations with regarding the Mixed Use Project. "Professional Services Agreement" or "PSA" is the Professional Services Agreement, including Appendices, initially in form attached hereto as Exhibit C, to be executed by City and the Selected Respondent. The Selected Respondent shall execute a single Professional Services Agreement for the provision of Bridging Architectural services or for the provision of both Bridging Architectural services and Construction support services, as determined at time of selection. "Parking Project" is the City's Parking Project, more particularly described in Sections 1.1.,1.2, and 1.3above. "Qualification" is a written response to this RFQ/RFP, including all exhibits, supplementary materials, and attachments thereto, pursuant to the requirements set forth in this RFQ/RFP. "Redevelopment Agency" is the Redevelopment Agency of the City of Santa Clarita, which has since been dissolved. "Redevelopment Block"is the block of land in Old Town Newhall, directly across from the Old Town Newhall Library, that is bounded by Lyons Avenue on the north, Railroad Avenue on the east, 91" Street on the south, and Main Street to the west. The Parking Project is to be built on a portion of this block. "Request for Qualifications/Proposals" or "RFC)/RFP" is any and all documents comprising this RFQ/RFP package, including those documents and attachments hereto and any and all Addendum/Addenda which City may issue. "Respondent"or "Proposer" is an individual, firm, partnership, corporation, consortium, joint venture, or other entity that chooses to submit a Proposal in response to this RFQ/RFP. "Selected Respondent" is a Respondent selected and approved by the City Council to execute the Professional Services Agreement. "Services" are the bridging architectural services, construction support services, other work and services, and equipment and materials to be furnished by BA/CS under the Professional Services Agreement, as finalized and determined at the time of selection. "Specific Plan" is the Old Town Newhall Specific Plan adopted by City Council in 2005. "Successor Agency" is the Successor Agency to the former Redevelopment Agency of the City of Santa Clarita. SECTION 2 BA/CSSCOPE OF SERVICES 2.1 Generally In issuing this RFQ/RFP, the City seeks satisfactory proposals from qualified Respondents to perform both bridging design and construction support services for the Parking Project. 2.2 Bridging Architectural Services If the City elects to enter into a Professional Services Agreement with a Respondent for bridging architectural services, the Selected Respondent will be expected to perform those bridging architectural functions set forth in Exhibit C, Professional Services Agreement including, but not limited to, the following. The Selected Respondent will review the City's Parking Project needs, budget, and schedule, and will confirm in writing that the Parking Project can be designed and constructed for the estimated budget and within the proposed schedule. 2.2.2 Prepare Bridging Documents. The Bridging Architect team will prepare the design criteria, scope, performance specifications, and other Parking Project -specific information and material sufficient to provide the basis for competitive procurement as authorized in California Public Contract Code Section 22160,et. seq. 2.2.3 Further Development and Oversight of Program. Bridging Architect will develop Parking Project objectives and estimates; prepare preliminary designs, design criteria, outline and in some cases detail specifications, schematic and bridging level drawings; establish schedules, milestone dates, and phasing plans; review special conditions to the design -build construction package submitted to design -build respondents; and assist in evaluating the competing design - build proposals. Bridging Architect will work with OTM during this process to facilitate the Parking Project architectural goals and OTM's intended parking easement for the Mixed Use Project. 2.2.4 Gather and Verify Parking Project and Site Information. Bridging Architect will examine the existing site to coordinate the Parking Project design. Bridging Architect will include cost for any survey work needed to document existing onsite and offsite conditions. 2.2.5 Budget. Bridging Architect will correlate the program and design to the Parking Project budget. Bridging Architect will confirm in writing that the Parking Project can be achieved within City's proposed budget. The budget, including design and construction contingency, will be provided to the successful bidder. 2.2.6 Parking Proiect Schedule. Bridging Architect shall develop the Parking Project Schedule reflecting design and construction activities through completion. Bridging Architect will consult with the City and OTM to insure that all overlapping onsite and offsite improvements have been addressed in the final schedule. A Preliminary Milestone Schedule is attached as Appendix C to the Professional Services Agreement. 2.2.7 Design Phase. Based on the City's program and budget requirements, Bridging Architect shall prepare Bridging Documents. If the Bridging Documents and budget are approved by City, Bridging Architect will assist City in procuring and evaluating bids from Design Build Teams. The Bridging Documents shall be of sufficient detail to show design intent, to correlate the Parking Project to the other Redevelopment Block developments, and to allow Design -Build Contractors to prepare a proposal. The Bridging Design Phase shall include as a minimum: a. Attend a one day value engineering session. b. Prepare a site plan to include all offsite and onsite grading, utilities, entrance drives, parking, storm water retention basin, road realignment, wet and dry utility points of connections, construction power, construction water, emergency power and security electronics. C. Prepare floor plans, including space assignments, sizes and locations of installed, fixed and moveable equipment (including parking meter equipment) and labeling of net and gross areas for the Parking Project. d. Prepare large scale layouts of various systems. OAK #4842-2869-3805 v6 02012-1041 e. Design criteria for necessary disciplines including, but not limited to, architectural, structural, mechanical, drainage, fire protection, and electrical systems to clearly show the characteristics and quality of environment and control desired. 2.2.8 Meetinas. The City, Bridging Architect, Construction Manager, and other parties, including but not limited to Fire, Building and Safety, Development Services, Traffic and Planning, shall meet weekly to review and discuss progress, problems, and activities planned for the next interval. 2.2.9 Cost. Bridging Architect will prepare a statement of probable construction cost based on the schematic design and Bridging Documents and other available data, and will compare it to the City's Parking Project budget. If the statement of probable construction cost exceeds the construction cost allocated in the Parking Project budget, Bridging Architect will re -design the Parking Project at its own expense, with City review and approval. The statement of probable construction cost must not exceed the budget. 2.2.10 City Approval. The complete drawings, specifications, probable cost estimate, and other documents will be presented to the City for written approval at the end of the Bridging Document design phase. Bridging Architect may also be required to obtain initial approvals from the State Fire Marshall, code compliance reviewers, and/or other City departments. 2.2.11 Bridging Documents. Prepare one draft for review, and one final proposable set of Bridging Documents for distribution to design -build team Proposers. 2.2.12 Schedule. Provide a schedule of the Bridging Architect's work. 2.2.13 Revision. Revise bridging design as necessary with City review and approval. 2.2.14 Meeting Attendance. Attend meetings as appropriate. 2.2.15 Compliance with Laws. All work shall comply with applicable laws, regulations and building codes. 2.2.16 RFQ/RFP ADMINISTRATION • During the RFQ/RFP phase, respond to bidder inquires and questions regarding the bridging document and prepare addendum(s). • Attend "kick off' meeting with the design/build team. • During construction phase, respond to contractor's questions regarding design, and review submittals. Also, attend weekly construction progress meetings on site. In addition to the tasks listed above, the Consultant shall also conduct the following services: Meet with the City initially to discuss the scope, purpose and pertinent details of the project. Meet with the City approximately once a month to report on the progress of the work. A brief written summary of these meetings shall be prepared by the Consultant and submitted to the Department. Provide electronic copy of all documents developed during the contracted period with the City. 2.2.17CONSTRUCTION SUPPORT. Provide the City with design support during bidding and construction process that shall include: attend weekly construction meetings; review of schedule of value, assisting the City with any Requests for Information (RFI's) during the bidding process; preparation of any OAK #4842-2869-3805 v6 02012-1041 addendums, attendance at a pre -construction meeting; answering RFI's during the construction process, reviewing shop drawings, and assisting the City with any Contract Change Orders (CCO's). 2.3 Alternative Procurement Methodology Pursuant to the City's Conflict of Interest Policy adopted pursuant to Public Contract Code Section 22162, the selected Bridging Architect will be ineligible to participate as a member of a design -build team. Notwithstanding the foregoing, City may, in its sole discretion, elect to utilize the design -bid -build Parking Project delivery methodology instead of the design -build methodology, and (i) ask BA/CS to serve as the City's Architect of Record, and (ii) modify the construction support portion of the BA/CS scope accordingly. In such case, the City shall provide BA/CS with a proposed revised Scope of Services whereby BA/CS shall prepare final Parking Project designs (not bridging designs),serve as the Architect of Record and perform such other services customarily provided by similar architects and construction managers on similar Parking Projects which the City may, in its sole discretion, request. BA/CS shall negotiate in good faith appropriate amendments to the Professional Services Agreement to reflect resulting changes to the Services, BA/CS's compensation, etc. SECTION 3 COORDINATION OF DEVELOPMENT OF MIXED USE PROJECT AND LAEMMLE THEATRES WITH THE PARKING PROJECT 3.1 Parking Project Respondents acknowledge that the Specific Plan contemplates the construction of a public parking structure, a Mixed Use Project, and a Theater Project on the Redevelopment Block. Respondents further acknowledge that, during the period the City intends to develop and construct the Parking Project, that the Mixed Use Project and the Theater Project are also intended to be developed and constructed. Respondents acknowledge further that because of the Redevelopment Block site configuration and the anticipated simultaneous development of the Parking Project, Mixed Use Project, and Theater Project, the BA/CS will need to accommodate coordination of the Parking Project with the other projects. Respondents will meet with OTM and Laemmle Theaters to develop a construction phasing plan that minimizes the impacts of all three project being built concurrently. Anticipating that three entities, the City, OTM and Laemmle Theatres will be developing the Parking Project, the Mixed Use Project the theater, and offsite improvements concurrently, Respondents agree to use good faith efforts to coordinate their activities in relation to the Parking Project. By way of example, Respondents shall undertake the following: • From the Commencement of Services pursuant to this RFQ/RFP until the completion of construction, the BA/CS shall participate in periodic "coordination" meetings with OTM's and Laemmle Theatres' respective design professionals throughout the design of the Parking Project and Mixed Use Project; • The BA/CS will coordinate with the City on the issuance of the Design -Build RFP and Agreement for the Parking Project, as well as with the City and OTM as a parking access easement is negotiated specific to the Mixed Use Projects access to their on-site residential parking. • The BA/CS shall immediately notify the City and OTM and Laemmle Theatres of any perceived potential design and/or construction conflicts between the Mixed Use Project, the Laemmle Theatre project and the Parking Project, and the BA/CS and City shall take reasonable steps to coordinate and cooperate with OTM and Laemmle Theatres in the reasonable resolution of that conflict; and • Following the City's award of the design -build contract, the BA/CS and City shall participate with OTM and Laemmle Theatres in periodic "coordination" meetings with their respective design professionals and contractors/subcontractors regarding the design and construction of the Mixed -Use Parking Project on the mixed use property, the Laemmle Theatre project and the Parking Project on the parking property. Respondents should indicate in their Proposals any proposed modifications to the Professional Services Agreement form. Each Respondent shall sign the Acceptance of Form of Professional Services Agreement ("Acceptance") in the form attached hereto as Exhibit D, with the fixed price otherwise indicated in the Respondent's Proposal. Any requested modifications to the form of Professional Services Agreement must be indicated by checking the appropriate box in Exhibit D and attaching the addendum referenced therein clearly identifying Respondent's proposed modifications. Respondents' proposed modifications to the form of Professional Services Agreement must be made in a "Strikeout" or "Underline" format. Respondents acknowledge that City is under no obligation to accept any proposed modifications to the Professional Services Agreement form, and any such acceptance is subject to the City's sole discretion. 4.2 City's Right to Amend City reserves the right to make such modifications or additions to the form of Professional Services Agreement attached as Exhibit C to this RFQ/RFP, as City may elect in its sole discretion prior to the execution thereof, and thereafter as otherwise permitted by the Professional Services Agreement. Otherwise, City reserves the right to make modifications or additions with the mutual consent of the Selected Respondent. 4.3 Selected Respondent's Refusal to Execute If the Selected Respondent refuses to execute the form of Professional Services Agreement in substantially the form attached as Exhibit C to this RFQ/RFP, as modified by its Proposal and as accepted by the City, City may begin negotiations with the Respondent whose Proposal is determined to be the best alternative Proposal, determine that no such alternative exists, or exercise any other available right available to the City including, but not limited to, rejecting all proposals. :9x1[�7�1:�9:iillib9_1�9:1311:1i�i11�/_1�1�691:11L�1C�7�6� To submit questions and receive answers to questions in a timely manner and to be placed on the Distribution List for any and all Addendum/Addenda issued by City, potential Respondents must follow guidelines specified in this section. Only information supplied by City in writing through this RFQ/RFP and Addendum/Addenda, if any, may be used as the basis for preparation of Respondents' Proposals. The standard format for submission of Proposals to be used by Respondents is described in this Section 5. 5.1 Distribution List Potential respondents should hand deliver or return mail or other courier service Acknowledgment of Receipt of RFQ/RFP Form ("Acknowledgment of RFQ/RFP") attached as Exhibit E to this RFQ/RFP to have their names placed on the Distribution List for this RFQ/RFP, which will be used for the distribution of any and all notices issued by City. Potential respondents are, therefore, encouraged to return the Acknowledgment of RFQ/RFPto the Contract Specialist as soon as possible. Respondent is solely responsibility to ensure that Respondent has obtained all Addenda. 5.2 Mandatory Pre -Proposal Conference OAK #4842-2869-3805 v6 02012-1041 A mandatory Pre -Proposal Conference will be held on February 18 , 2016 at 9:00 a.m. at Old Town Newhall Library 24500 Main St Santa Clarita, CA 91321 Immediately following the Pre -Proposal Conference, all potential Respondents will be escorted to a mandatory site walk. Attendance at both the Pre -Proposal Conference and the site walk is mandatory. Potential Respondents who do not attend both will be ineligible to propose. 5.3 Deadline for Submittal of Written Questions Potential Respondents may submit only written inquiries or requests regarding the intent and clarity of this RFQ/RFP. Questions to be considered at the Pre -Proposal Conference must be directed to the Contract Specialist at least three (3) days prior to that Conference. All written questions that are deemed relevant and not duplicative of information already contained in the RFQ/RFP and that are received by the above date will be addressed in writing following the Conference. Written questions should be submitted by fax or email. The City will not reveal the identity of the person/organization submitting the questions. Additional inquiries may, at City's sole discretion, be addressed at the Conference. 5.4 Addendum/Addenda to this RFQ/RFP City reserves the right to interpret or change any provisions of this RFQ/RFP at any time prior to its submission date. Such amendments, if any, shall be issued as written Addendum/Addenda to this RFQ/RFP. Additionally, City may prepare answers, in the form of an Addendum to this RFQ/RFP, to questions addressed to the City and as City deems appropriate. Written responses, in the form of an Addendum and amendments, if any, to this RFQ/RFP will be posted on the City's RFQ/RFP website. Courtesy notification will be sent to all parties who register at the Pre -Proposal Conference and whose names are on the Distribution List. Any Addendum issued by City may also be obtained in person from the office of the Contract Specialist. Respondent is solely responsible to ensure that it obtains all Addenda and acknowledges receipt of all Addenda in its Proposal. 5.5 Acknowledgment of Receipt of Addendum Each Respondent is responsible to inquire as to the Addendum/Addenda issued by City. All Addenda shall become part of this RFQ/RFP, and all Respondents shall be bound by such Addenda, whether or not received by Respondent. Each Respondent must sign the Acknowledgment of Addendum Form ("Acknowledgment") attached to this RFQ/RFP as Exhibit H, and return the Acknowledgment Form with their Proposal Form. The City may elect to treat the failure to return the Acknowledgment Form as a presumption of withdrawal from the qualification process. SECTION 6 PROPOSAL PREPARATION AND SUBMITTAL INSTRUCTIONS This RFQ/RFP and attached form of Professional Services Agreement define the City's basic requirements and serve as the basis for submittal of all Proposals in response to this RFQ/RFP. 6.1 Proposal Format A Respondent's Proposal shall be clear and concise to enable City to make a thorough evaluation as to whether the Proposal meets City's requirements. Proposals must include a detailed Table of Contents consistent with Section 6.1 .1 of this RFQ/RFP. All forms and supplementary materials attached and/or requested in the Exhibits to this RFQ/RFP must be completed thoroughly, labeled clearly, and included in the appropriate section of the Proposal, pursuant to Section 6.1.1. The proposal shall not exceed 40 pages (double sided if desired), excluding proposal covers, dividers, or attachments. Each Respondent may only submit one Proposal in response to this RFQ/RFP. For purposes of this RFQ/RFP, a Respondent is defined to include a parent corporation of the Respondent and any other subsidiary of that parent corporation. 6.1.1 Proposal Organization. Each Proposal must be organized and indexed in the following format and must contain, at a minimum, all listed items in the sequence indicated. Any Proposal that does not conform to these minimum requirements may be deemed non-responsive and rejected on that basis, in City's sole discretion. In a one-page cover, identify the Respondent, Parking Project and Services, the date of Proposal submittal, the name of each Major Team Member, the services to be performed and the principal place of business of each, and the name, title, telephone and facsimile numbers and e-mail address of the person to be contacted for clarification. 6.1.3 Proposal Authorization. Prepare and sign the Proposal Authorization in form attached to this RFQ/RFP as Exhibit G ("Authorization"). Signature of the Authorization shall constitute acceptance of the Conditions Governing this RFQ/RFP pursuant to Section 8.3. 6.1.4 Transmittal Letter. Include a Transmittal Letter clearly stating the Respondent's intent to enter into a Professional Services Agreement with City for the Services as defined in this RFQ/RFP and any and all Addendum/Addenda hereto. The Transmittal Letter must, as a minimum: OAK #4842-2869-3805 v6 02012-1041 11 • Identify the date of the Proposal. • Identify the Respondent by proposed organizational team members and/or individuals, and the legal structure of each, and the principals of each firm/organization. Include, as a minimum, the following: lead architect, engineer, construction manager, consultants. • Identify the name, title, telephone and facsimile numbers and e-mail address of the person(s) authorized to negotiate and contractually obligate the Respondent pursuant to all terms and conditions stated in the Proposal. • Identify the name, title, telephone and facsimile numbers and e-mail address of the person to be contacted for clarification, if different from above. • Indicate that it is being signed by the person(s) authorized to obligate the Respondent contractually. 6.1.5 Table of Contents. Each Proposal must provide in Section 1 a detailed Table of Contents for the entire Proposal submittal package. 6.1.6 Executive Summary. The Executive Summary provides an overview of Respondent's Proposal. The Executive Summary should identify, as a minimum, a summary of Respondent's explanation of why Respondent believes Respondent's firm is most qualified to be selected for this Parking Project, and any additional information Respondent deems particularly important. 6.1.7 Pricing Proposals. All Respondents who are notified they are on the City's "short list" must provide two Pricing Proposals. (Pricing Proposals are not to be included in the Proposals to be delivered as provided in Section 6.2.1 below.) Short listed Respondents shall bring their Pricing Proposals to the interview in separate, sealed envelopes. 6.1.7.1. Pricing Proposal BA. Pricing Proposal BA which identifies a not -to -exceed price for all Bridging Architect "Basic Services" work under the PSA. 6.1.7.2. Pricing Proposal CS. Pricing Proposal CS which identifies a not -to -exceed price for all Construction support "Basic Services" work under the PSA. 6.1.7.3. Pricing Proposal BA and CS Requirements. Both Pricing Proposal BA and Pricing Proposal CM shall comply with the following requirements: a. Not -to -exceed Amount. A not -to -exceed dollar amount for all basic services required under the PSA, based on the parameters set forth in this RFQ/RFP and the PSA. If Respondent believes other parameters are required to provide a not -to -exceed amount, Respondent shall specifically identify them in its Pricing Proposal. b. Reimbursable Expenses. All reimbursable expenses must be included in the not -to -exceed proposed price. C. Additional Services. Billing rates for additional services, including for extended Project duration. exceed proposed price. exceed proposed price. d. Overtime. Overtime must be included in Respondent's not -to- e. Travel. Travel time must be included in Respondent's not -to - Signature. The handwritten signature of the Respondent. 6.1.8 Respondent Qualifications and Experience. City is seeking a BA/CS with a team composed of experienced and highly regarded professionals who have demonstrated a capacity OAK #4842-2869-3805 v6 02012-1041 12 to perform services similar to the Services on a cost-effective basis. The team should include, as a minimum, a California licensed architect, a qualified and experienced Construction Manager, and other specialized consultants as needed to augment the team's capacity to professionally address the City's needs for the Parking Project. Respondents must propose staff who will perform day-to-day Parking Project Services, not senior personnel who have other, substantial responsibilities. Respondent shall provide a detailed resume for each of the key staff who will be responsible for each of the various components, including design and construction support, of the scope of services for this Parking Project. The resumes shall include the individual's name, address, telephone, facsimile, email address, their professional qualifications, and number of years in business, as well as previous firm names during the past ten years, education, years of relevant experience, professional registrations including evidence of valid applicable licensure, and at least three examples of services pertinent to determining qualifications for the BA/CS. As set forth in more detail in the Professional Services Agreement, key staff will be expected to be assigned to the Parking Project throughout the course of design and construction administration. Each Respondent shall include a statement identifying the proposed BA/CS firm, its legal structure (i.e., corporation, partnership, limited partnership, or joint venture), and its managerial personnel. If the proposed BA/CS is a partnership, limited partnership, joint venture, or other association, the Respondent must provide a listing of all of the partners, general partners, venturers or association members known at the time of Proposal submission who will participate in the Services. Respondent shall identify the most recent experience for the various team members with emphasis on team collective experience. The Proposal should focus on primary and related experience including, but not limited to, experience in providing both design (bridging or other) and construction management experience on the same parking project or for the same owner. The Proposal must describe the relevance and importance of each parking project in relation to the Services, disciplines, and team members' key individuals available for this Parking Project. Respondent shall describe how this experience qualifies these parties to accomplish their proposed roles for the Parking Project. For each employee included in one of the three discipline categories, provide the following: the employee's name, state of residence, and if the employee is a California licensed Architect, their discipline and license number. Resumes with this information are sufficient. Substitution of personnel named in the Proposal during the Proposal process or during performance of the Services shall require the City's written approval. Respondents shall submit a written request for the substitution, including the reason for the requested substitution and a detailed resume for the new proposed person demonstrating that he or she meets the minimum requirements for the position. The substituted personnel must, in the City's opinion, meet the minimum qualifications for the position being filled. Failure to obtain the City's approval of substituted personnel within 15 days of the effective date of the substitution will result in liquidated damages to be specified in the Professional Services Agreement. 6.1.9 BA/CS Client References. Provide references for the three (3) most recent and/or relevant parking projects in which Respondent performed services similar to the Services for the Parking Project and that Respondent wants City to consider in evaluating its Proposal. If Respondent did not perform both bridging architectural and construction support services on three (3) separate parking projects, Respondent should provide references for a sufficient number of parking projects so that there will be (i) at least three (3) parking projects involving bridging (or other preliminary) architectural services and (ii) at least three (3) parking projects involving construction support services. If the named Respondent itself did not itself perform the applicable services, please specifically indicate. List parking projects that have been completed, or as a minimum, are substantially completed, as well as parking projects where bridging architect OAK #4842-2869-3805 v6 02012-1041 13 services were provided, whether or not the parking project was completed. For each parking project, (a) provide a description of parking project and services performed, to support the claim it is similar to the proposed parking project; (b) provide a client/owner contact person, title, address and telephone number; and (c) identify key staff on the parking project, including architectural, principal construction manager and other key personnel. 6.1.10 Sub -Consultants. Provide information on sub -consultants, including a description of the services to be performed by each sub -consultant. 6.1.11 Prior Litigation / Claims. Provide a description of any litigation or claims threatened or filed, or filed then settled, against Respondent and each Major Team Member in the past five years. Provide a description of any litigation or claims threatened or filed by Respondent's firm, or filed then settled, in the past five (5) years. If the litigation or claim has been resolved, describe the resolution. If the litigation or claim is pending, describe the status. Respondent must also provide a list of all Parking Projects for which Respondent and any Major Team Member failed to complete any work awarded, with explanation of circumstances. 6.1.12 Financial and Related Information. Respondent is required to demonstrate that it is financially qualified to undertake the Services defined by this RFQ/RFP. To be considered qualified, Respondent and each Major Team Member, must provide audited and/or reviewed financial statements for the most recently completed three fiscal years. Respondents must also provide a letter from its insurance broker attesting to the willingness to provide the required insurance coverages described in the Professional Services Agreement. 6.1.13 Proposed Approach. Provide a description of your technical approach to providing services to the City for this Parking Project. 6.1.14 Schedule. Provide a timeline for preparation of the Bridging Documents that comports with the Preliminary Milestone Schedule attached as Exhibit C. The City hopes to swiftly refine the preliminary concept drawings already prepared. City evaluation and scoring of proposals will focus on Proposers' ability to meet or accelerate the delivery dates set forth in the Preliminary Milestone Schedule. 6.1.15 Performance Criteria. Provide the following information: • Describe how Respondent's team will be organized to provide the services to perform this Parking Project. • Describe the major strengths of Respondent's team. • Describe the major difficulties that Respondent may expect to encounter in conducting and coordinating this Parking Project to ensure that the City receives high quality design and construction. Describe the methods Respondent would use to overcome these difficulties. • Describe Respondent's ability to perform the Services within the schedule outlined herein. • Describe Respondent's experience with claims submitted against it in the past (5) five years. 6.1.16 Proposal Organization Checklist. Complete the Proposal Organization Checklist attached as Exhibit F to this RFQ/RFP to help ensure that all of the requested information is included in the prescribed format. 6.1.17 Discretionary Supplemental Materials. Respondent may include in its Proposal submittal, on a discretionary basis, other materials that it believes may improve the quality of its Proposal. Respondent must include an explanation of the relevancy of the other materials to the Proposal. Marketing brochures (if applicable to the specific Services for this Parking Project) may be provided as a separate submittal. OAK #4842-2869-3805 v6 02012-1041 14 6.1.18 Miscellaneous Procedures. Each copy of the transmittal letter and Acceptance must contain an original signature. Proposals submitted by partnerships must be signed with the partnership name, followed by the signature and designation of the partner signing. Proposals submitted by corporations must be signed with the legal name of the corporation followed by the name of the state of incorporation. Two signatures are required for corporations, as follows: the signature of the president, the chair of the board or any vice president AND the signature of the secretary, any assistant secretary, the chief financial officer or any assistant treasurer of the corporation. The name of each signatory must be typed below the signature names. City may interview any or all of the client references provided by Respondent. Submittal of a Proposal constitutes Respondent's consent for City to conduct reference checks and reasonable investigation of all information provided by Respondent for each member of the proposed Respondent team. All Proposals and accompanying documentation submitted by Respondents become the property of City and, except as otherwise provided in this RFQ/RFP, will not be returned. 6.2 Proposal Submittal 6.2.1 Proposal Due Date. Respondents must submit ten (10) identical numbered copies of each Proposal, including all attachments, each with original signatures, in a sealed envelope marked "Proposal for City of Santa Clarita Parking Project." Respondents shall include in the envelope one CD containing a .PDF file with the entire Proposal. Sealed Proposals must be received by the office of the Contract Specialist before the hour of 12:00 p.m. as determined by the time stamp clock in the main lobby of the City of Santa Clarita, California, office, on March 7, 2016. 6.2.2 Proposal Delivery. All Proposals must be submitted on 81/2" x 11" paper in vertically bound form, either loose-leaf, spiral, or comb -bound, with tabbed section headings clearly labeled in the format described in this RFQ/RFP. Larger paper, 11" x 17", is permissible only for plans, charts, spreadsheets and other exhibits. Proposals shall be submitted by hand delivery, U.S. Mail or other courier service. U.S. Mail takes extra time for delivery since it goes through the City's central distribution center before going to the specific department. Proposals sent by U.S. Mail that do not arrive to Santa Clarita City Hall, Suite 120 by the time specified in Section 6.2.1 will be considered late, even if they were received by the City's mail distribution center on time. Facsimile or emailed transmissions will not be accepted. The Contract Specialist or its delegate will be responsible for determination if a Proposal is received on time. That decision will be final and no further consideration of late Proposals will be given. Any late Proposals will be returned unopened to the Respondent only upon request. Proposals may not be amended after submission. 6.2.3 Proposal Submission. 6.2.3.1 . Timely Receipt. Respondent is solely responsible to verify its Proposal is received timely. 6.2.3.2. Compliance. Respondent shall carefully examine the instructions contained herein and satisfy itself as to the conditions with which it must comply prior to submitting its Proposal, and with the conditions affecting the award of contract. 6.2.3.3. No Collusion. All Respondents are hereby notified that any collusive agreement fixing prices so as to control or affect the awarding of this contract is in violation of the OAK #4842-2869-3805 v6 02012-1041 15 competitive bid requirements of State law and may render void any contract let under such circumstances. 6.2.3.4. Pricing Guarantee. Proposed prices shall be in effect for one hundred twenty (120) days from the date of Price Proposal submission. 6.3 Proposal Withdrawal Any Respondent to this RFQ/RFP may withdraw a Proposal by written notice delivered to the Contract Specialist prior to the due date and time specified in Section 6.2.1 for receipt of Proposals. The Respondent must, in person, retrieve the entire sealed submission package. Another Proposal may be submitted prior to the deadline. A Proposal may not be changed after the designated deadline for submission of Proposals. 6.4 Irregular Proposals A Proposal may be rejected, at the City's sole discretion, if it shows any alteration of form, additions not called for, conditional Proposals, incomplete Proposals, erasures, or irregularities of any kind. If the Proposal amount is changed after the amount is originally inserted, the change must be initialed. 6.5 City's Right To Reject or Terminate RFQ/RFP City expressly reserves the right to further consider, accept, or reject any or all Proposals submitted in response to this RFQ/RFP; to request additional information or clarification of information submitted; to cancel or modify, in part or in its entirety, this RFQ/RFP, or to request new Proposals or pursue any other means for obtaining the services contemplated by this RFQ/RFP and/or the Professional Services Agreement. The Selection Committee may consist of City staff and others designated by City. City reserves the right, in its sole discretion, to waive minor irregularities, and to waive mandatory requirements provided that all of the otherwise responsive Proposals fail to meet the same mandatory requirements and the failure to do so does not otherwise materially affect this RFQ/RFP and selection process. City reserves the right to modify or suspend any and all aspects of the selection process indicated in this RFQ/RFP, to waive any defects as to form or content of this RFQ/RFP, or to reject any or all Proposals. 7.2 Evaluation Process Proposals will be evaluated on a comparative, competitive, qualification basis, based upon the RFQ/RFP's submittal requirements including the experience, organization, and qualifications of the firm and individuals proposed, and the offered price. Specific evaluation criteria will include: The ability, capacity, and skill of the Respondent to perform the Professional Services Agreement and perform the Services; The type of Services needed by the City in light of the nature of the Parking Project and budgetary issues; OAK #4842-2869-3805 v6 02012-1041 16 The years of California construction experience of the Respondent and each Major Team Member; Respondent and each Major Team Member's experience with Title 24 regulations; The years, number and types of Parking Projects the Respondent team has previously worked together; The ability of the Respondent to effectuate the Services within the time specified, without delay; The character, integrity, reputation, judgment, experience, and efficiency of the Respondent and each Major Team Member; Respondent and each Major Team Member's claims / litigation experience; Whether the Respondent has satisfactorily performed the full range of Services required by this Parking Project on other parking projects; Any other factor deemed to be relevant, in the City's sole discretion. During the evaluation process the Selection Committee may conduct independent research, request additional relevant information specific to the evaluation process, and seek assistance from reliable sources to clarify, explain, or otherwise participate in the evaluation process without issuing an Addendum. Proposals will not be ranked based solely on cost. The Selection Committee shall make its decision based on committee members' analysis and assessment of each Proposal's positive, neutral, and negative attributes. The process, procedures, and evaluation criteria used by City staff and the Selection Committee in developing and issuing this RFQ/RFP and evaluating the Proposals received for purposes of making a recommendation to the City Council shall be determined in the sole discretion of the City. Respondents shall have no rights whatsoever regarding the processes and procedures used by the City relating to this RFQ/RFP or the manner in which a Respondent is selected by either the Selection Committee or the City Council, provided their decisions are not arbitrary and capricious, and there is some reasonable basis for the selection(s) made. City reserves the right to conduct its own due diligence of the Respondents and each Major Team Member prior to selection of a Selected Respondent including, without limitation, including reference checks. 7.3 Interviews The City, in its sole discretion, may prepare a short list of Respondents for interviews. Respondents who are invited to attend an interview will be notified in writing. Only the actual personnel who will be responsible for the Services should come to the interview, and such personnel must include the lead bridging architect and lead construction manager, together with key sub -consultants. If requested by City, qualified Respondents may be required to present their Proposals to the Selection Committee and submit to oral questions. The Contract Specialist or other applicable City personnel will schedule the interviews March 14 , 2016 at the City's offices, or at such other time and/or location indicated by the City. Each Respondent should prepare a presentation not to exceed 35 minutes. Each Respondent is responsible for any special equipment required for the presentation. Projection equipment will be available in the City's conference room upon advance request by Respondent. The total time allowed for each Proposal interview shall be 55minutes, including set-up and questions and answers. The interviews shall be solely for the benefit of the City and shall not be open to the public or to other Respondents. The City reserves the right to visit any Respondent at its place of work and/or at to visit parking projects completed or under construction for which Respondent provided design and/or construction support services. OAK #4842-2869-3805 v6 02012-1041 17 7.4 Selection Process Based on the results of the evaluation process, City staff will recommend a Respondent to the City Council. City staff will identify the Selected Respondent to be recommended to the City Council, and will use reasonable efforts to deliver written notice by letter, email, or facsimile to each Respondent who submitted Proposals no later than the business day after posting, although any delay or failure to do so will not extend the Proposal protest period described below. The City Council, in its sole discretion, may either approve, reject, or approve or reject with conditions, the City staff's recommendations. City reserves the right to modify the Proposal criteria outlined in this RFQ/RFP. Respondents to this RFQ/RFP are instructed not to contact elected officials, City staff or members of the Selection Committee regarding the selection process. Efforts to lobby or influence individuals involved in this selection process may, at City's sole discretion, result in dismissal from further consideration. 7.5 Right to Protest Respondents the City determines are responsive and responsible have the right to protest; protests from any other Respondent will not be considered. Any protest must be delivered to the Contract Specialist's office by 4:00 pm of the 7'" calendar day following City staff's identification of the Selected Respondent to be recommended to the City Council, and satisfy the following requirements: a. The initial protest must contain a complete statement of the basis for the protest. b. The protest must refer to the specific portion of the document that forms the basis for the protest. C. The protest must include the name, address, and telephone number of the person representing the protesting party. d. The party filing the protest must concurrently transmit a copy of the initial protest document and any attached documentation to all other parties with a direct financial interest that may be adversely affected by the outcome of the protest. Such parties shall include all other Respondents who appear to have a reasonable prospect of receiving an award depending upon the outcome of the protest. e. The procedure and time limits set forth in this paragraph are mandatory and are a Respondent's sole and exclusive remedy in the event of a Proposal protest. Respondent's failure to comply with these procedures shall constitute Respondent's waiver of any right to further purse the Proposal protest, including filing a Government Code Claim or legal proceedings. A Respondent may not rely on a protest submitted by another Respondent, but must timely pursue its own protest. 7.6 Post Approval Procedures The Professional Services Agreement will be finalized promptly following City Council approval of a final BA/CS. In the event that the approved BA/CS fails or refuses to sign a Professional Services Agreement acceptable to the City, City reserves the right to finalize a Professional Services Agreement with another qualified Respondent without undertaking a new RFQ/RFP process, or exercise any other available right. The time for awarding the contract may be extended by the City. OAK #4842-2869-3805 v6 02012-1041 18 SECTION 8 CONDITIONS GOVERNING THIS RFQ/RFP 8.1 Confidentiality City has made a determination in accordance with Government Code Section 6255 that all Proposals submitted in response to this RFQ/RFP shall not be made public by City until after City has executed a Professional Services Agreement with the Selected Respondent. In the event a Respondent wishes to claim portions of its Proposal exempt from disclosure under the Public Records Act, it is incumbent upon Respondent to clearly identify those portions with the word "confidential" printed on the lower right-hand corner of the page, along with a written justification as to why such information should be exempt from disclosure. However, City will make a decision based upon applicable laws. City shall notify Respondent of any materials or information that City does not believe are entitled to exemption from the Public Records Act, and Respondent shall have five (5) business days from such notice to: • withdraw its Proposal; • withdraw such information from its Proposal; or • withdraw such information and replace it with substituted information for which Respondent does not claim an exemption. Proprietary or confidential data must be readily separable from the Proposal in order to facilitate eventual public inspection of the non -confidential portion of the Proposal. Confidential data is normally restricted to confidential financial information. The cost of Services shall not be designated as proprietary or confidential information. 8.2 Insurance for Parking Project As set forth in Professional Services Agreement Exhibit C, insurance coverage shall be at least as broad as: 8.2.1 General Liability: FIVE MILLION DOLLARS ($5,000,000.00) combined single limit per occurrence for bodily injury, personal injury, and property damage. 8.2.2 Auto Liability: Owned/Non-owned automobile liability insurance providing combined single limits covering bodily injury liability with limits of no less than ONE MILLION DOLLARS ($1,000,000.00) per accident and providing property damage liability of no less the ONE MILLION DOLLARS ($1,000,000.00) per accident. 8.2.3 Workers' Compensation Insurance: Workers' Compensation Insurance as required by the Labor Code of the State of California. 8.2.4 Professional Liability Insurance: Professional Liability Insurance which covers both the bridging architectural and construction supportportion of the Services with a minimum limit of $5,000,000.00 per claim and in the aggregate. 8.2.5 Additional Insured Endorsements: The BA/CS shall name the City, the City's City Council members, and the City's respective officials, officers, directors, agents and employees as additional insureds on their commercial general liability and automobile insurance policies. 8.3 Applicable Laws/Miscellaneous Respondents are required to sign and submit the Authorization, stating their agreement to comply with the following terms and conditions of this RFQ/RFP: OAK #4842-2869-3805 v6 02012-1041 19 a. The Selected Respondent, its employees, agents, contractors, and sub - consultants shall maintain professional licenses required by the laws of the State of California at all times while performing Services for the Parking Project. b. The Selected Respondent shall comply with the laws of the State of California requiring employers to insure against liability for Worker's Compensation while performing Services for this Parking Project. C. All Services shall comply with all statutes, ordinances, regulations, codes, and requirements of all governmental entities, including federal, state, City, and municipal entities, relating to the Parking Project. d. This RFQ/RFP and any resultant Professional Services Agreement shall be governed by the laws of the State of California. The parties agree to the jurisdiction and venue of the appropriate courts in the City of Santa Clarita, County of Los Angeles, and the State of California. e. All data and information provided by City or referred to in this RFQ/RFP is furnished for the convenience of interested parties in preparing a Proposal. The Respondent shall defend, indemnify and hold harmless City from any and all liability, claims, or expenses whatsoever, incurred by, or on behalf of, the Respondent's response to this RFQ/RFP. City expressly disclaims any and all liability for representation or warranties, express or implied, contained in the RFQ/RFP or any other written or oral communication transmitted or made available to interested parties, including any errors of omission. The Redevelopment Block site encompasses one full City block, directly across the street from the Old Town Newhall Library, bounded by Lyons Avenue to the north, Railroad Avenue to the east, 91" Street to the south, and Main Street to the west. This block was purchased with the intent of a public-private development partnership in the future that was in line with the vision of the Old Town Newhall Specific Plan ("Specific Plan"), which was adopted by City Council in 2005. The Specific Plan envisioned that at the north end of Main Street, a 6 screen theater would serve as an "anchor" to a Parking Project that, combined with retail space, residential units and a public parking structure to create consumer activity and further the arts and entertainment district vision in the area. To facilitate the sale of the Redevelopment Block, a Request for Qualifications (RFQ) to find one or more development partners was released in November 2014. On July 14, 2015, the City Council and the Successor Agency Board authorized Staff to enter into Exclusive Negotiation Agreements with Laemmle Theatres for the development of the Theatre Project and Old Town -Main, LLC for the development of the Mixed Use Project.The ENA provided that Serrano and Pacific and Laemmle Theatres have the ability to assign their interests under their respective ENAs to one or more single purpose entities that are formed to own, develop and operate the Mixed Use Project or Theatre Project. In accordance with the ENA, Serrano and Pacific have formed and assigned its rights under the ENA to Old Town -Main, LLC (OTM), and Laemmle Theatres to Laemmle Newhall, LLC, and the Successor Agency approved of the new entities and assignment of the interests under the ENAs. Keeping in mind the vision of the Specific Plan and the three components that were requested, including a theatre, a mixed use project and parking, the Successor Agency intends to divide the Redevelopment Block into three separate developments: the Mixed Use Project, the Theatre Project, and the Parking Structure. Mixed Use Proiect Old Town -Main, LLC (OTM) will purchase 34,325 square feet of the Redevelopment Block at fair market value to develop a Mixed Use Project oriented towards Main Street and Lyons Avenue. The proposed Mixed Use Project will provide an estimated 20,240 square feet of retail space, 46 multi -family units, ranging from one bedroom up to 3 bedrooms and public plaza space. The Mixed Use Project will provide 85 of parking spaces reserved only for the residential units in an onsite subterranean parking garage. To maximize the overall development of the Redevelopment Block, OTM is seeking to purchase a parking access easement through the proposed public parking structure property for the purpose of accessing the residential subterranean parking. This easement will allow OTM to access their residential parking by placing a gate at the property line between the City's parking structure and the OTM parking area on the subterranean level. Residents of the residential component of the Mixed Use Project will then access their parking area by entering the City's parking structure, following the demarcations to go to the subterranean level, and then accessing their assigned parking area. Theatre Project Laemmle Newhall, LLC is proposing to purchase 12,680 square feet of the Redevelopment Block to develop a two-story, 17,688 square foot art house theatre and 2,293 square feet of retail space. The Theatre Project is proposed to include 7 screens and between 475-525 seats, in addition to public art space. Pursuant to the Old Town Newhall Specific Plan, no parking is required to be provided by this Theater Project. A-1 Exhibit A Parking Project Description OAK #4842-2869-3805 v6 02012-1041 Parkina Structure The Old Town Newhall Specific Plan calls for two public parking structures with approximately 400 spaces to be built in the Main Street area as a public infrastructure investment to serve the entire business district. As part of the RFQ process for the Redevelopment Block, Staff requested that the proposers include this aspect into their proposed site design/layout. While Staff was in exclusive negotiations on the Mixed Use Project and Theatre, Staff worked to refine the concept for the parking structure to ensure it maximized the development potential for the entire block and could achieve the desired number of parking stalls. As a result of these discussions, the City's parking structure is envisioned to be one level subterranean and five stories above grade, with a maximum height of 55 feet, and entry and exit points on Railroad Avenue and 91" Street. This achieves a 400 parking stall count, while ensuring the structure is consistent with the height of the Old Town Newhall Library. Architecture Maintaining the historic nature of the architecture in the Old Town Newhall area is a priority of the City Council and the community, as provided in the Old Town Newhall Specific Plan and the Community Character and Design Guidelines. The City seeks architectural designs that are consist with the existing "Main Street Commercial" and "Western Victorian" architectural style in the Old Town Newhall area. California Environmental Quality Act (CEQA) General impacts associated with the development concepts proposed for the Redevelopment Block were analyzed in 2005 as part of the Downtown Newhall Specific Plan Environmental Impact Report (EIR). Since the preparation and certification of the EIR, there have been no substantial changes in the development concepts proposed for the north parking structure and associated development (Redevelopment Block). There are no new circumstances under which the development of the Redevelopment Block will be undertaken, and no new information of substantial importance exists which would require preparation of a subsequent EIR under Public Resources Code Section 21166 and corresponding CEQA Guidelines Section 15162. The original EIR assumed a400 -space parking structure would be constructed at the north end of Main Street, accounted for approximately one million square feet of new commercial space in the Old Town Newhall area, and over 1,000 new residential units. Since the proposed development is consistent with the certified EIR, no further CEQA clearances are anticipated. CONSIDERATION. A. As partial consideration, CONSULTANT agrees to perform the work listed in the SCOPE OF SERVICES, below; and B. As additional consideration, CONSULTANT and CITY agree to abide by the terms and conditions contained in this Agreement; and C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to exceed dollars ($ ) for CONSULTANT's services. CITY may modify this amount as set forth below. Unless otherwise specified by written amendment to this Agreement, CITY will pay this sum as specified in the attached Exhibit(s) 11 " which is/are incorporated by reference. 2. SCOPE OF SERVICES. A. CONSULTANT will perform services listed in the attached Exhibit(s) " which is/are incorporated by reference. B. CONSULTANT will, in a professional manner, furnish all of the labor, technical, administrative, professional and other personnel, all supplies and materials, equipment, printing, vehicles, transportation, office space and facilities, and all tests, testing and analyses, calculation, and all other means whatsoever, except as herein otherwise expressly specified to be furnished by CITY, necessary or proper to perform and complete the work and provide the professional services required of CONSULTANT by this Agreement. 3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT will use the appropriate generally accepted professional standards of practice existing at the time of performance utilized by persons engaged in providing similar services. CITY will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of any deficiencies and CONSULTANT will have fifteen (15) days after such notification to cure any shortcomings to CITY's satisfaction. Costs associated with curing the deficiencies will be borne by CONSULTANT. 4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement, CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly rates for each personnel category and reimbursable costs (all as set forth in C-1 Exhibit C Form of Professional Services Agreement OAK #4842-2869-3805 v6 02012-1041 Exhibit(s) " ") the tasks performed, the percentage of the task completed during the billing period, the cumulative percentage completed for each task, the total cost of that work during the preceding billing month and a cumulative cash flow curve showing projected and actual expenditures versus time to date. 5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT for current services are within the current budget and within an available, unexhausted and unencumbered appropriation of the CITY. In the event the CITY has not appropriated sufficient funds for payment of CONSULTANT services beyond the current fiscal year, this Agreement will cover only those costs incurred up to the conclusion of the current fiscal year. 6. ADDITIONAL WORK. A. If CONSULTANT believes Additional Work is needed to complete the Scope of Work, CONSULTANT will provide the CITY with written notification that contains a specific description of the proposed Additional Work, reasons for such Additional Work, and a detailed proposal regarding cost. FAMILIARITY WITH WORK. A. By executing this Agreement, CONSULTANT agrees that it has: Carefully investigated and considered the scope of services to be performed; and Carefully considered how the services should be performed; and iii. Understands the facilities, difficulties, and restrictions attending performance of the services under this Agreement. B. If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will investigate the site and is or will be fully acquainted with the conditions there existing, before commencing the services hereunder. Should CONSULTANT discover any latent or unknown conditions that may materially affect the performance of the services, CONSULTANT will immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk until written instructions are received from CITY. 8. TERM. The term of this Agreement will be from to . Unless otherwise determined by written amendment between the parties, this Agreement will terminate in the following instances: A. Completion of the work specified in Exhibit(s) " Termination as stated in Section 15. 9. TIME FOR PERFORMANCE. A. CONSULTANT will not perform any work under this Agreement until: and CONSULTANT furnishes proof of insurance as required under Section 22 of this Agreement; CITY gives CONSULTANT a written notice to proceed. B. Should CONSULTANT begin work on any phase in advance of receiving written authorization to proceed, any such professional services are at CONSULTANT's own risk. Should CONSULTANT be delayed by causes beyond CONSULTANT's control, CITY may grant a time extension for the completion of the contracted services. If delay occurs, CONSULTANT must notify the CITY within forty-eight hours (48 hours), in writing, of the cause and the extent of the delay and how such delay interferes with the Agreement's schedule. The CITY will extend the completion time, when appropriate, for the completion of the contracted services. 11. CHANGES. CITY may order changes in the services within the general scope of this Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the contract time will be adjusted accordingly. All such changes must be authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the services will be determined in accordance with written agreement between the parties. 12. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a Taxpayer Identification Number. 13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain during the term of this Agreement, all necessary permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement. 14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights CITY may have under this Agreement or of any cause of action arising from CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character. 15. TERMINATION. A. CITY may terminate this Agreement at any time with or without cause. B. CONSULTANT may terminate this Agreement at any time with CITY's mutual consent. Notice will be in writing at least thirty (30) days before the effective termination date. C. Upon receiving a termination notice, CONSULTANT will immediately cease performance under this Agreement unless otherwise provided in the termination notice. Except as otherwise provided in the termination notice, any additional work performed by CONSULTANT after receiving a termination notice will be performed at CONSULTANT'S own cost; CITY will not be obligated to compensate CONSULTANT for such work. D. Should termination occur, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by CONSULTANT will, at CITY's option, become CITY's property, and CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1(C). E. Should the Agreement be terminated pursuant to this Section, CITY may procure on its own terms services similar to those terminated. F. By executing this document, CONSULTANT waives any and all claims for damages that might otherwise arise from CITY's termination under this Section. 16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models, photographs and reports prepared by CONSULTANT under this Agreement are CITY's property. C-3 Exhibit C Form of Professional Services Agreement OAK #4842-2869-3805 v6 02012-1041 CONSULTANT may retain copies of said documents and materials as desired, but will deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of CONSULTANT's completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY's own risk. 17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or public CITY without CITY's prior written approval. All press releases, including graphic display information to be published in newspapers or magazines, will be approved and distributed solely by CITY, unless otherwise provided by written agreement between the parties. 18. INDEMNIFICATION. CONSULTANT agrees to indemnify and hold CITY harmless from and against any claim, action, damages, costs (including, without limitation, attorney's fees), injuries, or liability, arising out of the performance of this agreement by CONSULTANT. Should CITY be named in any suit, or should any claim be brought against it by suit or otherwise, arising out of performance by CONSULTANT of services rendered pursuant to this Agreement, CONSULTANT will defend CITY (at CITY's request and with counsel satisfactory to CITY) and will indemnify CITY for any judgment rendered against it or any sums paid out in settlement or costs incurred in defense otherwise. Notwithstanding any provisions of this Agreement to the contrary, design professionals shall be required to defend and indemnify the City only to the extent allowed by Civil Code Section 2782.8, namely for claims caused by the negligence, recklessness or willful misconduct of the design professional. The term "design professional" includes licensed architects, licensed landscape architects, registered professional engineers, professional land surveyors and the Business entities which offer such services in accordance with the applicable provisions of the business and Professions Code. 19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services. CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's written approval are prohibited and will be null and void. 20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which is it performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only. 21. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcript therefrom, and to inspect all program data, documents, proceedings and activities. CONSULTANT will retain such financial and program service records for at least three (3) years after termination or final payment under this Agreement. 22. INSURANCE. A. Before commencing performance under this Agreement, and at all other times this Agreement is effective, CONSULTANT will procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below: Type of Insurance Limits C-4 Exhibit C Form of Professional Services Agreement OAK #4842-2869-3805 v6 02012-1041 Commercial general liability: $1,000,000 Professional Liability $1,000,000 Business automobile liability $1,000,000 Workers compensation Statutory requirement B. Commercial general liability insurance will meet or exceed the requirements of ISO -CGL Form No. CG 00 01 11 85 or 88. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name CITY, its officials, and employees as "additional insureds" under said insurance coverage and to state that such insurance will be deemed "primary" such that any other insurance that may be carried by CITY will be excess thereto. Such endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or equivalent. Such insurance will be on an "occurrence," not a "claims made," basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to CITY. C. Professional liability coverage will be on an "occurrence basis" if such coverage is available, or on a "claims made" basis if not available. When coverage is provided on a "claims made basis," CONSULTANT will continue to renew the insurance for a period of three (3) years after this Agreement expires or is terminated. Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect. D. Automobile coverage will be written on ISO Business Auto Coverage Form CA 00 01 06 92, including symbol 1 (Any Auto). E. CONSULTANT will furnish to CITY duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as may be reasonably required by CITY from time to time. Insurance must be placed with insurers with a current A.M. Best Company Rating equivalent to at least a Rating of "A:VII." F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, City may obtain coverage at CONSULTANT'S expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate. In the alternative, should CONSULTANT fail to meet any of the insurance requirements under this agreement, City may cancel the Agreement immediately with no penalty. G. Should CONSULTANT'S insurance required by this Agreement be cancelled at any point prior to expiration of the policy, CONSULTANT must notify City within 24 hours of receipt of notice of cancellation. Furthermore, CONSULTANT must obtain replacement coverage that meets all contractual requirements within 10 days of the prior insurer's issuance of notice of cancellation. CONSULTANT must ensure that there is no lapse in coverage. 23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written approval to use any consultants while performing any portion of this Agreement. Such approval must approve of the proposed consultant and the terms of compensation. 24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on the project, which will include a schedule update and a short narrative description of progress during the past month for each major task, a description of the work remaining and a description of the work to be done before the next schedule update. In all other instances, notices will be deemed given at the time of actual delivery. Changes may be made in the names or addresses of persons to whom notices are to be given by giving notice in the manner prescribed in this paragraph. 26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest laws and regulations including, without limitation, CITY's Conflict of Interest Code (on file in the City Clerk's Office). It is incumbent upon the CONSULTANT or CONSULTING FIRM to notify the CITY pursuant to Section 25. NOTICES of any staff changes relating to this Agreement. A. In accomplishing the scope of services of this Agreement, all officers, employees and/or agents of CONSULTANT(S), unless as indicated in Subsection B., will be performing a very limited and closely supervised function, and, therefore, unlikely to have a conflict of interest arise. No disclosures are required for any officers, employees, and/or agents of CONSULTANT, except as indicated in Subsection B. Initials of Consultant B. In accomplishing the scope of services of this Agreement, CONSULTANT(S) will be performing a specialized or general service for the CITY, and there is substantial likelihood that the CONSULTANT'S work product will be presented, either written or orally, for the purpose of influencing a governmental decision. As a result, the following CONSULTANT(S) shall be subject to the Disclosure Category "1"of the CITY's Conflict of Interest Code: 27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor retained any company or person, other than CONSULTANT's bona fide employee, to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed to pay any company or person, other than CONSULTANT's bona fide employee, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. Should CONSULTANT breach or violate this warranty, CITY may rescind this Agreement without liability. 28. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party. There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's obligations under this Agreement. This Agreement was drafted in, and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this agreement will be in Los Angeles County. 30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state, and local laws applicable to this Agreement. 31. ENTIRE AGREEMENT. This Agreement, and its Attachments, sets forth the entire understanding of the parties. There are no other understandings, terms or other agreements expressed or implied, oral or written. There is/are ( ) Attachment(s) to this Agreement. This Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent successors and assigns. 32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party. 33. SEVERABILITY. If any portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 34. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage in the actions described herein. This Agreement may be modified by written amendment. CITY's executive manager, or designee, may execute any such amendment on behalf of CITY. 35. ACCEPTANCE OF FACSIMILE SIGNATURES. The Parties agree that this Agreement, agreements ancillary to this Agreement, and related documents to be entered into in connection with this Agreement will be considered signed when the signature of a party is delivered by facsimile transmission. Such facsimile signature will be treated in all respects as having the same effect as an original signature. 36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of reference only and will not affect the interpretation of this Agreement. 37. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this Agreement. 38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood, explosion, acts of terrorism, war, embargo, government action, civil or military authority, the natural elements, or other similar causes beyond the Parties' reasonable control, then the Agreement will immediately terminate without obligation of either party to the other. 39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its financial resources, surety and insurance experience, service experience, completion ability, personnel, current workload, experience in dealing with private consultants, and experience in dealing with public agencies all suggest that CONSULTANT is capable of performing the proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY. 40. PROTECTION OF RESIDENT WORKERS. The City of Santa Clarita actively supports the Immigration and Nationality Act (INA), which includes provisions addressing employment eligibility, employment verification, and nondiscrimination. Under the INA, employers may hire only persons who C-7 Exhibit C Form of Professional Services Agreement OAK #4842-2869-3805 v6 02012-1041 may legally work in the United States (i.e., citizens and nationals of the U.S.) and aliens authorized to work in the U.S. The employer must verify the identity and employment eligibility of anyone to be hired, which includes completing the Employment Eligibility Verification Form (1-9). The CONSULTANT shall establish appropriate procedures and controls so no services or products under the Contract Documents will be performed or manufactured by any worker who is not legally eligible to perform such services or employment. 41. ELECTRONIC TRANSMISSION OF CONTRACT AND SIGNATURE. The Parties agree that this Agreement may be transmitted and signed by electronic mail by either/any or both/all Parties, and that such signatures shall have the same force and effect as original signatures, in accordance with California Government Code section 16.5 and Civil Code section 1633.7. This includes exposing each facility, identifying what it is and its dimensions, capturing its location and recording it on a plan. If the facility is non-metallic attach conductive flagging to the facility so it may be located from the surface once buried. In addition, identify all contamination encountered within the upper 14 feet which will include material identity, concentration, the full horizontal and vertical extent (including deeper than 14 feet if needed), providing the necessary details to fully understand any mitigation requirements. Background: The City of Santa Clarita is proposing to construct a six story parking structure with one level being subterranean in the empty lot along 9TH Street and Railroad Avenue. This part of the City has been active for well over 100 years and has had numerous businesses operating on the parcels where the parking structure is proposed. Though the buildings have been removed, their foundations and everything below them remain; the unknown subsurface conditions may cause significant delays during construction. As such, the City requires a thorough understanding of all facilities and conditions contained within the top 14 feet of soil under the existing foundations and has assembled this scope of work to capture all those details. A recent environmental assessment indicates a number of conditions below the ground requiring further study. The environmental assessments and geotechnical investigation report are available on the City's website. The area to be investigated is approximately 27,000 square feet with a 12 foot buffer along the north and west sides to be established. Scope: 1. All work shall be in compliance with all regulations, including but not limited to; health and safety, environmental, labor laws, municipal ordinances, etcetera. 2. The consultant will provide all tools, equipment, materials, labor, operator(s), services, energy, skills, experience, etcetera, needed to complete all the work described in this scope for the cost described in their proposal. 3. Comply with the City's Construction and Demolition Materials Management Plan program (attached) by properly completing the appropriate form, tracking all loads and types of waste, recycling as much as possible of the Portland cement concrete and asphalt concrete waste. All waste disposal tickets showing the tonnage will be provided to the City at the end of the project. Note: no fee is required for City projects. 4. All work to be completed under the direct supervision of a California state -licensed geologist with extensive hazardous materials experience. 5. Work hours: 8:OOAM to 4:OOPM, Work days: Monday through Friday excluding City holidays. 6. Ensure public safety by placing temporary fencing around the work area, closing all excavations during non -work hours and eliminate any other public safety risks. Fencing to be removed upon completion. Fencing shall be covered with privacy screening fabric which shall be maintained free of graffiti at all times. When graffiti arises it shall be abated the same day. Temporary fencing with privacy fabric shall be resistant to wind loads. The site shall be secured during non - work hours. 7. All equipment and materials shall be kept within the fenced area and properly secured. 8. Schedule and facilitate Underground Service Alert (USA). 9. Confirm all utilities are de -energized. 10. Remove the improved/hardscape surfaces (concrete foundations, AC paving, etc.) within the work limits and properly recycle the material per City requirements. Where hardscape is continuous through the project limits it may cut with a construction implement such as a backhoe buckets, breaker, jack hammer, or saw. 11. Map all subsurface facilities by recording their locations, dimensions, and elevations on a 1`40ft scale plan. All facilities to be fully mapped such as, a lateral crossing the property will be identified from one the P/L to the other P/L and everything in-between. 12. Take detailed photographs of all facilities and conditions encountered. Identify all contamination including type, concentrations, horizontal and vertical extent. Should contamination exceed the capabilities of excavation equipment then other equipment will be necessary to fully delineate the extent of the contamination. All excavations shall be backfilled and compacted until they are firm and unyielding. 14. Analyze all potential contaminants by approved EPA methods and protocols including QA/QC which meet the requirements of those agencies having oversight. 15. Obtain any permits necessary to complete the work. 16. Identify all subsurface facilities, including pipelines, water and sewer laterals, utility conduits, septic/sewage systems, seepage pits/leach fields, tanks, vaults, vent lines, wells, storm drains, electrical conductors, hoses, buried waste, buried containers, buried or subsurface equipment, footings, buried lumber, etcetera. 17. Mark all non-metallic facilities with conductive flagging or other approved method. 18. Leave the parcel area stabilized with a 4" depth of/a" rock. At the completion of the investigation the pad must be leveled and free of any holes or drop offs. Backfilling of any removals should be compacted to reduce the risk of subsidence. Foundations and/or footings will be removed to approximately one foot below grade. Facilities that remain above grade will be ramped with on site soil to minimize any public safety issues. 19. Keep roadways and public areas clean of soil and debris. Implement all necessary BMPs to protect stormwater, dust, and manage waste. 20. Control dust throughout entire project, including non -work hours. The contractor will need to obtain a water meter to access the adjacent fire hydrant for water. 21. Reinstall all existing fences, barriers, signs, etc. which are removed to gain access to the work area. Locations of replaced items shall be approved by the City prior to installation. 22. Cap any open utilities such as sewer laterals. 23. Assemble Site Investigation Reports (draft and final) as described under "Deliverables" below. All field work to be completed within 15 working days after issued the notice to proceed. Deliverables: 1. Quantities: 15 hard copies and one electronic copy in PDF format to be provided of Final Report. 2. Site plan with all facilities within the top 14 feet fully identified and described. Includes temporary perimeter fencing, installed BMPs, and delivered equipment. 20% for the removal of all surface concrete and asphalt concrete. 30% for the completion of all subsurface investigation activities. 40% for the completion of the FINAL report, de -mobilization, finish grading with gravel cover, site restoration (reinstalling pre -project fences, barriers, signs, etcetera), delivery tickets from waste haulers. CONSIDERATION. A. As partial consideration, CONSULTANT agrees to perform the work listed in the SCOPE OF SERVICES, below; and B. CITY will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of any deficiencies and CONSULTANT will have fifteen (15) days after such notification to cure any shortcomings to CITY's satisfaction. Costs associated with curing the deficiencies will be borne by CONSULTANT. 4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement, CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly rates for each personnel category and reimbursable costs (all as set forth in Exhibit(s) " ") the tasks performed, the percentage of the task completed during the billing period, the cumulative percentage completed for each task, the total cost of that work during the preceding billing month and a cumulative cash flow curve showing projected and actual expenditures versus time to date. 5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT for current services are within the current budget and within an available, unexhausted and unencumbered appropriation of the CITY. In the event the CITY has not appropriated sufficient funds for payment of CONSULTANT services beyond the current fiscal year, this Agreement will cover only those costs incurred up to the conclusion of the current fiscal year. 6. ADDITIONAL WORK. A. If CONSULTANT believes Additional Work is needed to complete the Scope of Work, CONSULTANT will provide the CITY with written notification that contains a specific description of the proposed Additional Work, reasons for such Additional Work, and a detailed proposal regarding cost. 7. FAMILIARITY WITH WORK. A. By executing this Agreement, CONSULTANT agrees that it has: i. Carefully investigated and considered the scope of services to be performed; and ii. Carefully considered how the services should be performed; and iii. Understands the facilities, difficulties, and restrictions attending performance of the services under this Agreement. B. If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will investigate the site and is or will be fully acquainted with the conditions there existing, before commencing the services hereunder. Should CONSULTANT discover any latent or unknown conditions that may materially affect the performance of the services, CONSULTANT will immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk until written instructions are received from CITY. 8. Completion of the work specified in Exhibit(s) " .11 B. Termination as stated in Section 15. 9. TIME FOR PERFORMANCE. A. CONSULTANT will not perform any work under this Agreement until: i. CONSULTANT furnishes proof of insurance as required under Section 22 of this Agreement; and ii. CITY gives CONSULTANT a written notice to proceed. B. Should CONSULTANT begin work on any phase in advance of receiving written authorization to proceed, any such professional services are at CONSULTANT's own risk. 10. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond CONSULTANT's control, CITY may grant a time extension for the completion of the contracted services. If delay occurs, CONSULTANT must notify the Manager within forty-eight hours (48 hours), in writing, of the cause and the extent of the delay and how such delay interferes with the Agreement's schedule. The Manager will extend the completion time, when appropriate, for the completion of the contracted services. 11. CHANGES. CITY may order changes in the services within the general scope of this Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the contract time will be adjusted accordingly. All such changes must be authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the services will be determined in accordance with written agreement between the parties. 12. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a Taxpayer Identification Number. 13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain during the term of this Agreement, all necessary permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement. 14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights CITY may have under this Agreement or of any cause of action arising from CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character. Revised 1/2011 Page 3 of 10 15. TERMINATION. A. CITY may terminate this Agreement at any time with or without cause B. CONSULTANT may terminate this Agreement at any time with CITY's mutual consent. Notice will be in writing at least thirty (30) days before the effective termination date. C. Upon receiving a termination notice, CONSULTANT will immediately cease performance under this Agreement unless otherwise provided in the termination notice. Except as otherwise provided in the termination notice, any additional work performed by CONSULTANT after receiving a termination notice will be performed at CONSULTANT'S own cost; CITY will not be obligated to compensate CONSULTANT for such work. D. Should termination occur, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by CONSULTANT will, at CITY's option, become CITY's property, and CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1(C). E. Should the Agreement be terminated pursuant to this Section, CITY may procure on its own terms services similar to those terminated. F. By executing this document, CONSULTANT waives any and all claims for damages that might otherwise arise from CITY's termination under this Section. 16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models, photographs and reports prepared by CONSULTANT under this Agreement are CITY's property. CONSULTANT may retain copies of said documents and materials as desired, but will deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of CONSULTANT's completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY's own risk. 17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or public CITY without CITY's prior written approval. All press releases, including graphic display information to be published in newspapers or magazines, will be approved and distributed solely by CITY, unless otherwise provided by written agreement between the parties. 18. INDEMNIFICATION. CONSULTANT agrees to indemnify and hold CITY harmless from and against any claim, action, damages, costs (including, without limitation, attorney's fees), injuries, or liability, arising out of the performance of this agreement by CONSULTANT. Should CITY be named in any suit, or should any claim be brought against it by suit or otherwise, arising out of performance by CONSULTANT of services rendered pursuant to this Agreement, CONSULTANT will defend CITY (at CITY's request and with counsel satisfactory Revised 1/2011 Page 4 of 10 to CITY) and will indemnify CITY for any judgment rendered against it or any sums paid out in settlement or costs incurred in defense otherwise. Notwithstanding any provisions of this Agreement to the contrary, design professionals shall be required to defend and indemnify the City only to the extent allowed by Civil Code Section 2782.8, namely for claims that arise out of, pertain to, or relate to the negligence, recklessness or willful misconduct of the design professional. The term "design professional" includes licensed architects, licensed landscape architects, registered professional engineers, professional land surveyors and the Business entities which offer such services in accordance with the applicable provisions of the business and Professions Code. 19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services. CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's written approval are prohibited and will be null and void. 20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which is it performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only. 21. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcript therefrom, and to inspect all program data, documents, proceedings and activities. CONSULTANT will retain such financial and program service records for at least three (3) years after termination or final payment under this Agreement. 22. INSURANCE. A. Before commencing performance under this Agreement, and at all other times this Agreement is effective, CONSULTANT will procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below: Type of Insurance Limits Commercial general liability: $1,000,000 Professional Liability $1,000,000 Business automobile liability $1,000,000 Workers compensation Statutory requirement B. Liability policies will be endorsed to name CITY, its officials, and employees as "additional insureds" under said insurance coverage and to state that such insurance will be deemed "primary" such that any other insurance that may be carried by CITY will be excess thereto. Such endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or equivalent. Such insurance will be on an "occurrence," not a "claims made," basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to CITY. C. Professional liability coverage will be on an "occurrence basis" if such coverage is available, or on a "claims made" basis if not available. When coverage is provided on a "claims made basis," CONSULTANT will continue to renew the insurance for a period of three (3) years after this Agreement expires or is terminated. Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect. D. Automobile coverage will be written on ISO Business Auto Coverage Form CA 00 01 06 92, including symbol 1 (Any Auto). E. CONSULTANT will furnish to CITY duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as may be reasonably required by CITY from time to time. Insurance must be placed with insurers with a current A.M. Best Company Rating equivalent to at least a Rating of "A: VII." F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, CITY may obtain such coverage at CONSULTANT's expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate pursuant to Section 15. In the alternative, should CONSULTANT fail to meet anv of the insurance requirements under this agreement, City may cancel the Agreement immediately with no penalty. G. Should CONSULTANT'S insurance reauired by this Aereement be cancelled at anv point prior to expiration of the policy. CONSULTANT must notifv City within 24 hours of receipt of notice of cancellation. Furthermore. CONSULTANT must obtain replacement coverage that meets all contractual requirements within 10 days of the prior insurer's issuance of notice of cancellation. CONSULTANT must ensure that there is no lapse in coverage. 23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written approval to use any consultants while performing any portion of this Agreement. Such approval must approve of the proposed consultant and the terms of compensation. Revised 1/2011 Page 6 of 10 24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on the project, which will include a schedule update and a short narrative description of progress during the past month for each major task, a description of the work remaining and a description of the work to be done before the next schedule update. 25. NOTICES. CONSULTANT will comply with all conflict of interest laws and regulations including, without limitation, CITY's Conflict of Interest Code (on file in the City Clerk's Office). It is incumbent upon the CONSULTANT or CONSULTING FIRM to notify the CITY pursuant to Section 25. NOTICES of any staff changes relating to this Agreement. A. In accomplishing the scope of services of this Agreement, all officers, employees and/or agents of CONSULTANT(S), unless as indicated in Subsection B., will be performing a very limited and closely supervised function, and, therefore, unlikely to have a conflict of interest arise. No disclosures are required for any officers, employees, and/or agents of CONSULTANT, except as indicated in Subsection B. Initials of Consultant B. In accomplishing the scope of services of this Agreement, CONSULTANT(S) will be performing a specialized or general service for the CITY, and there is substantial likelihood that the CONSULTANT'S work product will be presented, either written or orally, for the purpose of influencing a governmental decision. As a result, the following CONSULTANT(S) shall be subject to the Disclosure Category "1" of the CITY's Conflict of Interest Code: 27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor retained any company or person, other than CONSULTANT's bona fide employee, to solicit or Revised 1/2011 Page 7 of 10 secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed to pay any company or person, other than CONSULTANT's bona fide employee, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. Should CONSULTANT breach or violate this warranty, CITY may rescind this Agreement without liability. 28. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party. There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's obligations under this Agreement. 29. INTERPRETATION. This Agreement was drafted in, and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this agreement will be in Los Angeles County. 30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state, and local laws applicable to this Agreement. 31. ENTIRE AGREEMENT. This Agreement, and its Attachments, sets forth the entire understanding of the parties. There are no other understandings, terms or other agreements expressed or implied, oral or written. There is/are ( ) Attachment(s) to this Agreement. This Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent successors and assigns. 32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party. 33. SEVERABILITY. If any portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 34. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage in the actions described herein. This Agreement may be modified by written amendment. CITY's executive manager, or designee, may execute any such amendment on behalf of CITY. 35. ACCEPTANCE OF FACSIMILE SIGNATURES. The Parties agree that this Agreement, agreements ancillary to this Agreement, and related documents to be entered into in connection with this Agreement will be considered signed when the signature of a party is delivered by facsimile transmission. Such facsimile signature will be treated in all respects as having the same effect as an original signature. 36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of reference only and will not affect the interpretation of this Agreement. 37. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this Agreement. Revised 1/2011 Page 8 of 10 38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood, explosion, acts of terrorism, war, embargo, government action, civil or military authority, the natural elements, or other similar causes beyond the Parties' reasonable control, then the Agreement will immediately terminate without obligation of either party to the other. 39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its financial resources, surety and insurance experience, service experience, completion ability, personnel, current workload, experience in dealing with private consultants, and experience in dealing with public agencies all suggest that CONSULTANT is capable of performing the proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY. 40. PROTECTION OF RESIDENT WORKERS. The City of Santa Clarita actively supports the Immigration and Nationality Act (INA) which includes provisions addressing employment eligibility, employment verification, and nondiscrimination. Under the INA, employers may hire only persons who may legally work in the United States (i.e., citizens and nationals of the U.S.) and aliens authorized to work in the U.S. The employer must verify the identity and employment eligibility of anyone to be hired, which includes completing the Employment Eligibility Verification Form (I-9). The Contractor shall establish appropriate procedures and controls so no services or products under the Contract Documents will be performed or manufactured by any worker who is not legally eligible to perform such services or employment. 41. (JHA) is pleased to present this proposal to locate subsurface utilities and other suspect subsurface structures, drill soil borings and collect soil samples for laboratory analyses at one in -ground hydraulic lift system, one clarifier, and one suspect underground storage tank (UST) and other suspect objects, remove all surficial pavement and replace with 3/4" rock, and provide a report of findings to be provided to the excavation contractor at the proposed Parking Structure (Project Area) located at the northwest corner of the intersection of 9' Street and Railroad Avenue, Santa Clarita, California. This proposal is being submitted in response to the City of Santa Clarita's RFP/RFQ dated March 1, 2016; the Bidders Job Walk on March 3,2016; and the two City -issued RFP Addendums. 2.0 Project Goals, Bidders Job Walk with Current Site Conditions, and Site Background According to information provided in the City's RFP/RFQ and during the March 3, 2016 Bidders Job Walk, JHA understands that the City wishes to identify, mark, further evaluate, and/or remove known and previously -undefined subsurface structures and materials (such as utilities, former building spread -footings, vaults, tanks with potentially -impacted soil) and to remove current surface pavement within the Project Area footprint in order to mirumize delays during the upcoming proposed Parking Structure construction. Towards that goal, JHA has proposed the Scope of Services detailed herein. Based on the RFP/RFQ and in reports reviewed via the City's Project Bridging Documents website, the Project Area is an approximate 27,000 -square -foot currently -vacant paved parcel of land but was formerly occupied by a lumber business and by an automobile dealership. Theabove- ground structures have been removed. One known in -ground side-by-side automobile lift with a small reservoir tank is present along the west border of the proposed Parking Structure footprint. ENVIRONMENTAL REMEDIATION SERVICES Con ccNts License CA 885017 A HA City of Santa Clarita March 14, 2016 Purchasing Proposal — OTN Parking Structure Page 2 Although the age and condition of the lift at the end of its operation are unknown, there is a low to moderate probability that the in -ground lift may have leaked hydraulic fluid into the soil. According to the California State Water Resources Control Board (S WRCB), hydraulic lifts are not regulated by the State and hydraulic fluid is non-toxic (see Attachment A) and may be removed without a permit. JHA proposes to remove the lift and reservoir in order to facilitate evaluation of the soil beneath the lift system. Soil samples will be collected from the bucket of the backhoe at approximately 8 and 10 feet below the former lift system for laboratory analyses. In JHA's experience, soil samples from borings near in -ground lifts often miss the impacted zone, where observing the soil beneath the lift often shows staining. The lift and reservoir will be transported to a metal scrap recycler. In addition to the known hydraulic lift system, suspect remote -fill piping (reported swing arm and oily pipe) was shown to JHA during the Job Walk that may be related to an unidentified waste oil UST. Currently, the piping had been cut, slightly crushed and was located adjacent to the wall near the known lift within the southern portion of the Project Area footprint. Also observed during the Job Walk were two steel pipe stubs painted with yellow paint and markings on the ground indicating a "gas" UST, located along the north border of the proposed Proj ect Area. A low chain-link divider (chain link and posts) fence is present in the immediate area of the pipes and potential "gas" UST markings. Currently, the Site is generally covered with concrete surfaces (former building floors and footings and concrete parking lots) and asphalt pavement (driveways and parking lots). 3.0 JHA Qualifications, Key Personnel, and Representative Projects JHA is afull-service environmental engineering firm with a California Contractor's License Number 885017 A-Haz. Our personnel are experienced in environmental and construction projects. JHA also maintains a South Coast Air Quality Management District (AQMD) Various Locations Permit (No. 573497) for the excavation of soil impacted with volatile organic compounds (VOCs) in accordance with Rule 1166. JHA representatives Mr. Wallace A. Jensky, II and Ms. Carol Shestag who will co -manage this project, are both California Professional Geologists, each with over 30 years of experience performing and managing hydraulic lift and UST assessments and removals, Phase II subsurface environmental assessments, and soil remediation by both excavation and in-situ methods as either a self-directed clean up or with agency oversight. Examples of three similar environmental assessment projects managed by Mr. Jensky and/or Ms. Shestag are provided below. • City of Santa Clarita: Hydraulic Lift and UST Removals, Old Town Newhall Library Site, 24522 San Fernando Road, Santa Clarita, California. This project involved the removal of two (2) hydraulic lifts and four (4) previously abandoned -in-place USTs. Lift removals were conducted as self-directed work and the UST removals were conducted under the oversight of the Los Angeles County Department of Public Works Environmental Programs Division, oTN Packing Stmcmce JHA Environmental, Inc. This work was performed in 2011 under the City contact, Mr. Harry Cordon Sketchers USA: Subsurface Soil and Soil Gas Assessment at the Former Midas Shop and the Former BMW Service Department, 3125 and 2901 Pacific Coast Highway, Hermosa Beach, California. This project involved JHA's review of prior Phase I Environmental Site Assessments (ESA) and limited subsurface assessment reports (prepared by others), followed by additional data -gap subsurface soil and soil gas assessment at several in -ground lifts and vaults by JHA. Soil borings were drilled, sampled, and backfilled; soil gas probes were installed and sampled. Due to the accelerated project redevelopment schedule (conversion from automotive use to commercial development), sample analyses was conducted using an on -Site state -certified mobile laboratory (Jones Environmental Laboratories, JEL). This work was performed for Sketchers USA in care of Baker, Burton, & Lundy, P.C., and for the City of Hermosa Beach Planning Department under Baker, Burton, & Lundy representative Mr. Kent Burton, Esquire. City of West Hollywood: Subsurface Environmental Assessment at the Former Crescent Square Shopping Center and Summaries of Previous Assessment/Remediation Reports, SMB -20 Proposed Development, 8100 — 8136 Santa Monica Boulevard, West Hollywood, California This project involved a former Dry Cleaner tenant that contaminated the soil with dry cleaner solvent at the shopping center. The Los Angeles Regional Water Quality Control Board (RWQCB), underthe Site Cleanup Program, is the lead regulatory agency for the Crescent Square Shopping Center. The Site is currently under a Water Code Section 13276 Order dated June 10, 2009. In 2013, JHA monitored the demolition of the buildings, floor slabs, the retaining wall along the private alley, and parking lot surfaces. JHA performed a number of subsurface soil and soil -gas assessments to evaluate the vertical and lateral extent of the impacted soil plume. The work is currently being performed for City of West Hollywood Department of Public Works, Mr. Oscar Delgado, Director 4.0 JHA's Selected Environmental Subcontractors JHA has selected the following subcontractors with their California licenses based on their direct project experience, their long-term working relationships with Mr. Jensky and Ms. Shestag. Blue Fin Industries: hydraulic lift and UST excavation contractor (License No. 851167), to excavate the hydraulic lifts for sampling and to excavate clean and or impacted soil to confirm the size and location of any suspected USTs. • American Scientific Laboratories: certified stationery laboratory No. 2200 with reliable turn- around times and good quality assurance/quality control (QA/QC) policies. Alternative laboratory (if available) is Jones Environmental Laboratories: certified mobile laboratory No. 2484, 2687, and 2881 also with reliable onsite analytical services and good QA/QC. No licensing requirements for geophysical or utility -locate firms. • Selection of the construction/demolition contractor to cut and remove and load the surface slabs and pavement and the trucking company to transport the debris has not occurred; however, those entities will be California licensed contractors. If requested by the City, the trucking company will prepare atraffic control plan showing truck ingress and egress to the Site and route to the recycling facility. 5.0 Proposed Scope of Services — Old Town Newhall Parking Structure To address the Project goals, JHA proposes to perform the following tasks to remove the single lift and its small reservoir tank, to evaluate whether the single lift or its tank has leaked hydraulic fluid into the subsurface, to identify other potential utilities, to evaluate the potential presence of other unknown sources of impacts associated with those sources (one or more UST and clarifier), and to evaluate the size/depth of former building spread -footings. • JHA will notify Dig Alert at least three days prior to the field workto mark public utilities at the Site. PC Locators (under contractto JHA) will be on -Site fortwo separate mobilizations: firstto locate potential private utilities and evaluate the presence of other subsurface structures that are detectable by geophysical methods. PC Locators will hook onto visible steel pipes/pipe stubs (including those potential waste oil UST remote -fill pipe and those near the "gas" tank) to trace out the locations and help identify the use of those pipes; and second, to investigate the Site after surface pavement and slabs are removed, including with ground penetrating radar (GPR) within the Project Area. • At the former in -ground lift and reservoir tank, the concrete floor will be saw cut and the concrete will be broken and removed and the lift with its small reservoir tank will be removed by Blue Fin Industries (Blue Fin) of North Hills, California (under contract to JHA). Blue Fin will also break open surface pavement and pot -hole to further evaluate any subsurface structure or anomaly detected during the geophysical survey, including the potential "gas" UST and several spread -footings (in order to verify the size, depth, & approximate number of spread -footings). The pot -holes will be backfilled with their soil spoils butthe lift/reservoir tankhole(s) will be backfilled with clean import self -compacting peagravel. During excavation at the lift/reservoir tank and pot -holing, air monitoring will be performed by JHA in accordance with South Coast Air Quality Management District (SCAQMD) Rule 1166 using a portable photoionization detector (PID). Itis assumed that it will require three (3) days to cut the concrete, remove the lift & reservoir tank, collect soil samples beneath the lift & reservoir tank, to pot -hole at the "gas" UST, to pot -hole at any potential geophysical anomaly, andto backfill the lift/reservoir excavation andthe pot -holes. The broken concrete at the lift system and lift system will be stockpiled on -Site for disposal during demolition. The City will be notified immediately of the results of the pot -holing. oTN Packing Stmcmce JHA Environmental, Inc. City of Santa Clarita Purchasing Proposal — OTN Parking Structure March 14, 2016 Page 5 • A Professional Geologist from JHA will collect up to four soil samples from beneath the bottom of the former lift and reservoir tank using soil in the bucket of the backhoe, and up to two soil samples will be collected from a potential waste -oil UST, if confirmed by a pot- hole. Soil samples for volatile organic compound (VOC) analyses will be collected in accordance with EPA Sampling Method 5035. If visibly stained and/or odiferous soil is encountered in the soil samples, it will be noted on the field sampling form. Further excavation to chase and remove impacted soil at the lift/reservoir location will not be performed at this time; however, the City will be notified immediately if field evidence of impacted soil is encountered at this location. • The soil samples (up to six) will be submitted to ASL for standard one-week turn -around analyses by Total Petroleum Hydrocarbons as diesel and oil (TPHd and TPHo) using modified EPA Test Method 8015, and for TPH as gasoline (TPHg), and halogenated and aromatic volatile organic compounds (VOCs) using EPA Test Method 8260B. Alternatively, samples will be analyzed immediately on -Site using a state -certified mobile laboratory (such as Jones Environmental Laboratories, Inc.) • Up to six (6) soil borings will be drilled at the Project Area: four (4) 25 -foot -deep borings at the "gas" UST and two (2) 10 -foot -deep borings at the inlet & outlet of the clarifier. Drilling will be performed by J&H Drilling using a hollow stem auger rig (a direct push geoprobe rig will not be used because of the gravels encountered by JHA at the library property and in geophysical borings at the Site. During drilling, soil samples will be collected at five-foot intervals. Soils will be logged, monitored for field evidence of hydrocarbon impacts, and handled by a Professional Geologist from JHA. It is assumed that 16 soil samples from the "gas" UST borings (4 samples/boring) and all 4 samples from the clarifier borings will be analyzed at ASL for TPHd, TPHo, and TPHg/halogenated/aromatic VOCs using the methods noted above. • Surface pavement (concrete & asphalt) will be saw -cut, removed, loaded into trucks, and transported offsite for recycling to RAMCO (a licensed recycling facility in Simi Valley, CA). This facility is the closest recycling facility to the Site as identified on the state's Cal/Recycling website. During pavement removal, dust suppression will be performed in accordance with SCAQMD Rule 403. During truck egress & ingress, traffic control will be conducted by JHA to minimize traffic impacts on the surrounding streets. • Following receipt of analytical data and pavement recycling manifests (assumed to be one week following completion of these tasks), JHA will provide a draft report (one electronic version) to the City for review. Based on the results of the soil sample analyses and comparison to soil screening/action levels, the draft report will contain recommendations for excavation with properly -documented offsite transportation and recycling of impacted soil, if appropriate. Upon receipt of City comments/approval of the draft report, JHA will issue the final report (one electronic version and 15 hard copies, per the City's RFP/RFQ). 6.0 Schedule and Coordination with the City during Field Activities JHA acknowledges the project schedule as detailed on Page 11 of the City's RFP/RFQ. The field project is expected (assumed) to take approximately three weeks to complete. The first week will be Dig Alert, the first geophysical survey, the lift/reservoir removal and soil sampling, the pot -holing at the UST(s), and the drilling at soil sampling at the UST(s) and clarifier. It is expected that the drilling and lift/reservoir tank removals will occur concurrently and will continue into the second week. Pavement removal with offsite transport and recycling, the second geophysical survey, and gravel placement will occur during the second and third field weeks. 7.0 Fee Estimate and Compliance with City Contract Documents Our services would be provided on a "not -to -exceed" fee in accordance with the City's contract provided in the RFP/RFQ. The estimated fee that is valid for a 90 -day period to perform the scope of work presented above is $156,754.00. As required by the City, a detailed cost break- down is provided on Table 1, attached. Per the City's contract, this project includes Prevailing Wages for the heavy equipment operators, laborers, drillers, utility locators, and transport companies. Prevailing Wage requirements do not apply to the professional firms of JHA, the analytical laboratories (per sample costs only), or to Blue Fin (a small, single employee business). LG 141 - PERMANENT HYDRAULIC FUEL TANK EXEMPTION November 14, 1995 To: Local Agencies This letter is to inform the regulatory community that the temporary exemption for hydraulic lift tanks (HLTs) will become permanent on January 1, 1996. Governor Wilson signed SB 1191 on October 5, 1995 (Chapter 639 of 1995). One of the provisions of that bill was the change in Section 25281(x)(1)(D) which eliminated the date upon which the exemption was to expire. The previous language stated that an underground storage tank does not include: Until January 1, 1996, a tank holding hydraulic fluid for a closed loop mechanical system that uses compressed air or hydraulic fluid to operate lifts, elevators, and other similar devices. The new language deletes the phrase "Until January 1, 1996." This permanent exemption means that, under state law, hydraulic lift tanks will no longer require operating permits. Local agencies which are regulating HLTs under state authority and decide to continue regulating them must do so under their own authority fH&SC. Sec. 25299.2(a)). The State of California's decision to permanently exempt HLTs from regulation under the UST law was based in part on the SWRCB's recommendation contained in the Report on Hydraulic Lift Tanks, dated February 1995. This report concluded that leaks from HLTs do not pose a significant risk to water quality in California. Of the estimated 73,000 HLTs in the state, 78 leaks to the environment were reported to regulatory agencies. Only five of the 27 leaks that reached ground water required cleanup to avoid an adverse impact on drinking water or other current uses of ground water. With regard to toxicity, a literature search revealed no reported human toxicity associated with the ingestion of petroleum or vegetable based hydraulic oils. Walker has a unique understanding of the design/build process, having been involved both on the owner's side and on the contractor's side of the table. We know that thorough scope documents are critical to the success of a design/ build project. The documents must clearly define the requirements for schedule, quality, and coordination with other contractors working on the development. Since the scope documents are performance-based rather than prescriptive, it is important that they define the project's architectural requirements, functional requirements, and acceptable structural, mechanical and electrical systems. This is the only way for you to receive an acceptable level of quality that performs well, minimizes alternate systems and allows you to evaluate design/build proposals on an "apples -to -apples' basis. Anything undefined in the scope documents will usually be defined by the contractor based solely on the lowest initial cost, in some cases resulting in higher life cycle costs. In addition, Walker's review of the design/build team's design drawings and shop drawings, as well as periodic site visits, will help ensure that the project is constructed in accordance with the scope documents. APPROACH FOR DESIGN -BUILD SCOPE DOCUMENTS Based on the approved concept design, prepare scope bridging documents suitable for design and bidding by contractor teams. This phase will further the design as described below: Functional Design 1.1. Refine floor plans to show relative floor elevations for proper drainage and entry/exit layouts. 1.2. Coordinate locations of stair and elevator towers with the City to optimize access from parking areas to the street level, and other designated destination points. 1.3. Develop recommendations and requirements for vehicular entry/exit location based on peak -period traffic volume. Entry/exit areas will be designed for functional efficiency and capacity. Further develop requirements for compliance with Cal Green and accessibility requirements and provide recommendations that comply with California Title 24 and Americans with Disabilities Act Accessibility Guidelines (ADAAG). 1.5. Prepare bridging document plans for the parking structure illustrating the following: a. Parking layout per applicable design standards, b. Relative ceiling heights, c. Vehicular and pedestrian traffic flow where special attention will be given to the need to minimize pedestrian/vehicular conflicts, d. Bay sizes, parking stall size and turning radii, e. Entrance and exit locations and layout for proper traffic flow, and f. Nominal slopes of all parking and drive areas. Architectural Design 1.6. Define requirements for all main architectural elements of the garage. In conjunction with the City, develop all appropriate elevation views, stair and elevator plans and sections, wall/building sections, and selected details. 1.7. Prepare SD level functional graphics and signage requirements for the interior of the garage to effectively guide drivers and pedestrians through the parking structure. Structural Design 1.8. In cooperation with the design team, finalize the recommended structural system for the garage to determine the most appropriate and cost-effective system. 1.9. Determine minimum requirements for crack control features, durability features, and waterproofing requirements. Mechanical/Electrical/Plumbing/Fire Protection 1.10. Identify, locate and coordinate main distribution line types and locations (stand pipes, incoming water and electrical, main meters, electrical room, roof drain and overflow) out to 5 feet from the building perimeter. The Design/Build Contractor will be responsible for completing the design and all hookups extending beyond 5 feet from the building as detailed by in the Civil drawings. 1.11. Determine recommended light levels within the parking structure. 1.12. If required, evaluate the project requirements to provide infrastructure for future PV panel installation at the roof level of the parking structure. 1.13. Coordinate with Civil Engineer for location of on-site utilities. 1.14. Issue completed and approved Bridging Documents in Revit (or CADD) WALKER PARKING CONSULTANTS 18 Qualifications: Bridging Architectural Services and Construction Support Prepared for City of Santa Clarita format and specifications in WORD format for the parking structure for City review. 1.15. Meet with representatives of the design team to review progress and to coordinate the Bridging Document Package. We have budgeted up to five (5) meetings for this phase of the design. DESIGN/BUILDER SUBMITTAL EVALUATION 2.1. Attend one pre-bid conference to answer questions from the potential Design/Build bidders. 2.2. Provide interpretation of the parking related bid documents prepared by the design team and technical clarification of any items discussed at the pre-bid conference. 2.3. Assist City in preparing addenda to clarify and/or assist with modifying bid documents prepared, as required. 2.4. Assist City in reviewing and evaluating the design/build proposals for conformance with the bridging documents. The review of the bid documents will include verification of compliance or review of alternates for the architectural, structural, MEP and functional requirements, materials, manufacturer's products and durability issues. 2.5. Attend interviews with the City as required and assist in selection of a design/build team. We have scheduled a maximum of three (3) meetings in this phase of the project. DESIGN/BUILDER DOCUMENTS REVIEW 3.1 Provide two (2) design reviews of the successful design/builder's documents for the garage. These reviews will be provided at 50% and 100% completion. The two reviews will be focused on architectural, structural, MEP and functional compliance and proper implementation of the design intent. The structural review will review the general conformance and will not include a calculation check/peer review. We have scheduled a maximum of two (2) meetings in this phase of the project. CONSTRUCTION ADMINISTRATION 4.1. Attend a mandatory pre-bid meeting. 4.2. Respond to bidder's questions and assist in preparing necessary addenda. 4.3. Review and respond to requests for information. 4.4. Review shop drawings and product data. A list of essential submittals for review will be provided. 4.5. This textbook, Parking Structures - Planning, Design, Construction, Maintenance, and Repair, to our knowledge, is the only book of its type in existence. Written by five of our senior parking structure experts, it provides invaluable guidance for selecting the best structural design for given situations, what systems and methods will ensure long-term durability and extend the useful life of a parking ramp, and how best to maintain the parking ramp once is operating. Project First Cost... Poor parking ramp design including inefficient use of space, functional deficiencies and inadequacies, omissions, etc., drive up the cost of a parking ramp project. Through our analysis of the numerous functional design factors that affect the performance of a parking structure, your project will benefit from excellent initial cost economy.
