SUBJECT: SANTA CLARITA METROLINK STATION REPAIRS AND
IMPROVEMENTS

RECOMMENDED ACTION
City Council:
1. Award a contract to Ramco General Engineering Contractors for repairs to the Santa Clarita
Metrolink Station, in an amount not to exceed $25,850, and authorize a contingency of 10
percent in the amount of $2,585, for a total amount not to exceed $28,435.
2. Appropriate funds in the amount of $28,435 to expenditure account 12400-5201.002; and
increase miscellaneous federal grants revenue account 700-4424.009 by $28,435.
3. Authorize the City Manager or designee to execute all contract documents, or modify the
award in the event that issues of impossibility of performance arise, subject to City Attorney
approval.
BACKGROUND
The Santa Clarita Metrolink station serves approximately 215,000 passengers on an annual basis.
The City of Santa Clarita (City) strives to provide safety and accessibility to our patrons using
public transportation. This project would install 166 feet of metal rail fencing along the handicap
ramp at Santa Clarita Metrolink Station, completing the existing ramp railing. The installation of
the new fence will deter patrons from using unsafe passage through the landscape.
This project will also replace the torn information bulletin kiosk boards with new style bulletin
kiosk boards. The bulletin kiosk boards are located at the platform of the Santa Clarita Metrolink
and provide transit rider information to patrons using public transportation.
An invitation to bid was published on April 25, 28, and May 2, 2018, for The Santa Clarita

1.Definitions.
“GTCs” means the Innovative Interfaces Incorporated Subscription License Agreement General Terms and
Conditions in effect as of the time of execution of this License Agreement, a copy of which can be found here

“Support Terms” means the Innovative Interfaces Incorporated Maintenance and Support Terms and

“Hosting Terms” means the Innovative Interfaces Incorporated Hosting Termsand Conditions, as may be

2.General. Innovative and Client agree that this License Agreement is a binding agreement between the
partiesand is governed by the GTCs, Support Termsand, if the attached Pricing Exhibit indicates that Client has
purchased hosting services, then the HostingTerms, all of which are made a part hereof. This License Agreement,
theGTCs, Support Terms, Hosting Terms, if applicable, and all other exhibits, schedules and terms and conditions
referenced by or in this License Agreement, the GTCs, Support Termsor Hosting Termstogether constitute the
“Agreement.” Client acknowledgesand agrees that it has had the opportunity to review the Agreement, including
without limitation, the GTCs, Support Terms and Hosting Terms, prior to the execution of this License Agreement.
Innovative recommends that Client print a copy of each component of this Agreement for Client’s records. Unless
otherwise specified, capitalized terms in this License Agreement have the same meaning as those in the GTCs.
This Agreement is governed by and interpreted in accordance with the internal substantive laws ofthe State of New
York, without regard to any other laws that would require the application of the laws of another jurisdiction.
Application of the U.N. Convention on Contracts for the International Sale of Goods is hereby excluded.
In consideration of Innovative’s grant to Client of a subscription license to the Software as described within Exhibit
A, Client acknowledges, and the parties agree, that contemporaneously with Client’s first use of the Software
identified in Exhibit A in a production environment, all other existing software subscription agreements and
associated purchase orders between the parties, including but not limited to the Subscription License Agreement
dated January 31, 2018 (“Prior Subscription Agreement(s)”), will be deemed to beimmediately terminated by the
parties’ mutual written agreement.

1.Fees.All Fees must be paid to Innovative within 30 days following receipt ofthe invoice.The Fees in any
Pricing Exhibit are annual fees.
2.Term. Subject to the early termination provisions set forth in the GTCs, this Agreement will be effective for
an initial term of three(3)years following the Effective Date (the “Initial Term”). This Agreement may be
renewed annually up to two (2) times upon mutual written consent of both parties(each, a “Renewal Term”
and, together with the Initial Term, the “Term”), unless either party gives the other not less than ninety (90)
days’ prior written notice of its intent to terminate this Agreement effective as of the end of the then-current
Term.Commencing upon year 2 andthereafter, Innovative will have the right to increase rates hereunder
by a maximum percentage equivalent to the percentage increase in the Consumer Price Index (CPI-U) over
the previous year.
