SUBJECT: COUNCIL CHAMBERS AUDIOVISUAL SYSTEM UPGRADE —
PHASE 1

RECOMMENDED ACTION
City Council:
1. Award contract to Cashel Corporation, doing business as Integrated Media Systems, in the
amount of $174,956.80 plus a 15 percent contingency in the amount of $26,243.52, for a total
amount not to exceed $201,200.32, for the Phase I design and installation of Council
Chambers audio visual equipment, inclusive of one year of support and maintenance, with
options to renew annually.
2. Authorize the City Manager or designee to execute all contracts and associated documents, or
modify the award in the event issues of impossibility of performance arise, contingent upon
the appropriation of funds by the City Council in the annual budget for such fiscal year, and
execute all documents subject to City Attorney approval.
BACKGROUND
The City Council and Commissions convene in the Council Chambers to conduct business on
behalf of the public on a regular basis. During these meetings, it is frequently difficult to hear
and see presentations at the dais, as well as various chamber seating locations, due to the current
audio and visual (AV) technology in the Council Chambers surpassing its useful lifetime.
Installing new AV equipment inside the Council Chambers will enhance the City of Santa
Clarita's communication with the public during live, public meetings. It will also improve the
quality of the Council Chambers when used to conduct employee trainings and presentations as
well as other public related meetings.
In 2017, staff received approval to hire an AV consultant to assist with long-term planning of the
City's audio and visual needs. The AV consultant provided a detailed assessment of the existing

equipment in the Council Chambers and recommendations to replace specific equipment to
better streamline public meetings, the Emergency Operations Center, and improve AV
communication with off-site facilities. The recommendations included a range of estimated costs
based on the consultant's assessment of the quality and lifespan of the City's existing AV
equipment. Technology Services (TS) and Communications staff used the consultant's
assessment and recommendations to breakdown the AV upgrades into three phases, prioritizing
the phases based on the most critically needed upgrades.
The recommended action for award in this item addresses Phase I only; which will improve the
level of professional presentations in the Council Chambers with the following enhancements
and features:
• Sound Reinforcement: The microphones, speakers, audio mixer, and assisted listening
device system will be replaced.
• Video Presentation and Controls: Televisions for audience, projectors, dais televisions,
viewer for the Assistant City Manager, and projector screen will be replaced, and
Americans with Disability Act (ADA) compliant podium and click sharing abilities will
be added.
• DAIS Audio and Video Monitoring: New speakers at the dais and larger monitor
screens for council members will be added, and the dais will be modified to incorporate
new equipment.
Phase II and Phase III are planned for future years. Both of these phases will enhance the
television broadcast system, the Century Room, and AV communication with offsite facilities.
For Phase I, the City conducted a Request for Proposal (RFP) to solicit proposals from qualified
vendors to improve the AV systems in the City Council Chambers at City Hall. The proposals
were reviewed and evaluated based on each company's ability to meet the specific needs of the
RFP, which was published via PlanetBids on August 30, 2018. Forty-nine companies
downloaded the RFP, and six proposals were received.
RFP proposals were scored according to the weighted percentage in six categories: 1)
Qualifications and Experience, 2) References, 3) Project Approach, 4) Schedule, 5) Warranty,
and 6) Pricing.
A panel of four City staff members and the AV consultant evaluated and scored all responsive
proposals based on the selection criteria above. The results are shown below with the weighted
score out of 50 possible points.

Based on their experience, completeness of their proposal and in-depth understanding of the
project needs, staff recommends awarding the contract to Cashel Corporation for the design and
installation of Council Chambers audio visual equipment to fulfill the enhancement and features
of Phase I as set forth in the RFP.
ALTERNATIVE ACTION
1. Do not award contract.
2. Other action as determined by the City Council.
FISCAL IMPACT
Funds are available in expenditure account 12205-5111.005 to support the recommended action.

IMS will provide complete, turnkey audiovisual systems by performing all of the services and functions
as described herein for the sound reinforcement, video presentation and control, and dais audio and
video monitoring systems in the City's Council Chambers
IMS will provide the following services to the City, as required. Specifically, the scope of work will
include, but is not limited to:

AV System Detailed Engineering
• Detailed engineering of final systems configuration — IMS will perform final AV systems engineering
and design to meet the functional criteria identified. IMS will meet with the City regularly to review
and complete the final design specifications.
• Confirm the accuracy of the system designs — IMS will identify any or all items necessary to ensure
that the installed systems meet the functional requirements outlined in the Specification. IMS will
also identify ways the City can save money, such as replacing the roller in the projector screen,
instead of the entire unit. IMS will submit to the City an installation plan and final equipment list.
• System fabrication and interface drawings — IMS will submit to the City a complete set of drawings
and diagrams submitted on paper no larger than 11"x17" and submit an online link or solid state
media with AudioCAD and converted PDF's.
Eauiament Coordination and Suaal
• IMS will supply all required equipment to provide turnkey systems, including, but not limited to, all
primary equipment components listed in the equipment list provided.
• Supply of interface and mounting components - IMS will supply interface and mounting components
and cabling, connectors and installation materials.
• Coordination and storage of procured equipment - IMS will coordinate receipt and storage of all
procured equipment at IMS's facility for pre -assembly and fabrication prior to site installation.

• IMS will coordinate with the City on cable management needs and equipment installation
requirements.
Project Management
• Integrated Media Systems will designate a single Project Manager and a designated Engineer to
oversee the installation work for the duration of the project and to ensure that the systems are
installed in accordance with this proposal. The Project Manager will maintain adequate staff and be
responsible for installing and testing the system on schedule.
Construction Coordination
• IMS will specify, design and coordinate, in collaboration with the City, required infrastructure
modifications and additions supporting the new AV systems for installation by the City prior to
onsite installation of the new AV systems.
• IMS will communicate and coordinate directly with the City to fulfill all requirements of this proposal
as defined in the RFP.
• IMS will coordinate installation of the components to assure maximum accessibility for required
maintenance, service, and repair.
• IMS will verify required cable lengths for all bulk cable or manufactured cable assemblies prior to
ordering.
• Site review and construction completion verification — IMS will review the site and confirm
completion of the construction site work by the City, if any, prior to the delivery of sensitive
electronic equipment. All work to be performed by the City is to be complete prior to on-site
installation. This work includes, but is not limited to removing existing cable that is not to be
reused, installation of all in -wall and ceiling conduit and cabling, the structural attachment of
projector screens and high voltage electrical work. The City is also responsible for providing an
environment free of dust and debris before equipment is moved into place.
System Production
• Off-site pre -installation system construction - Upon receipt of equipment, IMS will begin the
construction and assembly of approved systems. The plan is for IMS to build and assemble the racks
and lectern at IMS's facility. The systems will be fully assembled, wired, programmed and tested
prior to delivery to the City, where IMS will complete the installation.
Control System Configuration and Programming
• AV Control system configuration and programming — IMS will configure and develop control system
programming code and touch panel graphical user interface (GUI) pages and code to provide
efficient and intuitive system operation. The control system manufacturer's standard application
development environment will be used for all programming and configuration.

IMS will develop and install all custom software for control system, audio DSP units and other
devices as required to optimize system performance.
IMS will provide copies to the City of the executable (uncompiled) programming control code for all
devices.
Factory Acceptance Testing
• Factory acceptance testing (FAT) - After all systems are assembled and programming installed, pre-
installation factory acceptance testing (FAT) will be performed in IMS's facility, as applicable.
System Installation
• On-site system demolition — IMS will remove existing wiring and devices as needed from the
Chamber that were part of the existing presentation and audio system. IMS will take care that no
cabling from the existing TV Production system is changed or any way compromised. IMS is also
responsible for removing all existing speakers in the ceiling, including hardware and cabling.
• On-site system installation — Once the site is verified as completely prepared and acceptable for
receipt of the electronic systems, the AV systems are to be transported to the site and installed.
• IMS will furnish and install a new projector and install a new motorized screen. The installation will
be coordinated and scheduled with the City to ensure that the installation does not damage the
surface of the walls. IMS is responsible for aiming, focusing, and optimizing the projected image.
• IMS will furnish and install four audience monitors, two in the front of the room and two midway
back in the audience seating for presentation viewing, and presentation monitors on the dais.
• IMS will ensure that all dais presentation monitors are independently routable but programmed to
follow common sources, and that they are installed with ergonomics and desktop space planning in
mind.
• IMS will ensure that the AV matrix switch will process all sources to destinations in the appropriate
scale based on the destination display resolution format.
• IMS will replace/install one floor box and the connectivity for one floor box located near the normal
position of the lectern. IMS will be responsible for pulling AV cable to and from the floor box.
• IMS will install ADA compliant lectern.
• IMS will coordinate with the City to remove riser carpeted tops to install conduit or cable paths to
provide cabling to the staff tables and dais.
• All dais and staff panel wiring will be done with service loops allowing removal of the panels and any
parallel connections are to be done behind the connector panels.
• All video interfaces utilizing HDBaseT will be made with STP cabling as specified in manufacturer's
specifications. The transmitters and receivers will be placed in a manner allowing he indicator lights

to be viewed without removing the interface and will have sufficient cable length to allow them to
be removed for service and troubleshooting without being unplugged. All visible cabling will be
neatly organized and when appropriated installed in Techflex.
• IMS will install racks in the clerk's desk and the South staff desk area in a manner that makes them
easily serviced.
• IMS will install and integrate DSP in a manner that maximizes speech intelligibility to all locations
within the Chamber and provide overall high -gain before feedback with a minimum of distortion and
residual noise or echo.
• IMS will install all staff and dias microphones, shock mounts and the concealed wiring to these
devices using industry best practices.
• IMS will coordinate with the City to determine final channel selection for all wireless devices and
resolve conflicts where they may occur.
• IMS will furnish to the City, upon completion, all accessories and ancillary items included with
the manufacturer's equipment but not used for the physical installation of the device. This will
include all user manuals, remote controls, batteries, tools, installation hardware, carrying cases,
protective covers, etc.
• IMS will furnish all lifts, ladders, scaffolding or other resources as needed for proper safe
installation. Coordinate with other trades as needed.
• IMS will interconnect all components, both internal and external to rack cabinets.
• IMS will ensure all cabling, equipment, and terminations are installed in accordance with accepted
industry standards, approved shop drawings, manufacturer's recommendations and as stipulated
herein.
• IMS will field verify all display and mount locations and resolve any obstruction conflicts for optimal
performance and serviceability. IMS will reference the system, equipment, mounting and
infrastructure drawings to accommodate all displays and field verify measurements to confirm
integration in the space.
• IMS will ensure that all wiring that is added to control room is to follow industry best practice and
will be dressed with consideration for the existing and operating TV production recording system
dedicated to covering and recording civic meetings in the Chamber.
• IMS will provide limited signal and functional integration between the newly installed presentation
system and the existing TV production system.
• IMS will provide additional cabling between the DSP and the production audio mixer in the existing
video control room. The mixer will be labeled to indicate the new sources and the cutover to these
new sources will need to be coordinated with the City.
• Equipment Delivery and Storage - Costs of all manufacturer freight costs, shipping to the site, and of
all unusual storage requirements, are included in this proposal.

• IMS will commission all systems and equipment as required by manufacturers of specific equipment,
which includes coordination and oversight of configuration, adjustments, programming and any
necessary installation work.
Site Acceptance Testing
• Site acceptance testing (SAT) - After all AV systems are installed, IMS will perform final testing and
adjustments to ensure compliance with the established performance criteria.
Final Testing and Svstems Performance Verification
• Final Tests
A. System Performance Verification Scheduling - Upon completion of IMS's site acceptance testing
and verification of system performance and complete functionality, and at a time that is
mutually acceptable to IMS and the City, IMS will perform final system tests and adjustments.
B. Demonstration - To demonstrate the good working order of all playback devices in the system
IMS will utilize high quality source materials for all audio and video media types represented in
the system. To demonstrate the good working order of all computer/video displays IMS will
utilize a computer/video signal generator or generators, capable of outputting all signal types
included in the system designs.
C. IMS will:
1. Load source material into all input sources and a personal computer.
2. Switch randomly between all sources and demonstrate that all functions of the control
system are working properly and tracking correctly.
3. Demonstrate that the system meets the criteria as outlined in this Proposal.
User Training
• User training — IMS will coordinate with the City to provide training to ensure a seamless transition
to the new AV systems. Training will be divided into two basic session types: user level operation
and technical staff sessions. The following session will be scheduled: (1) two user sessions, which
will cover system operation and basic troubleshooting, and (2) one technical staff session, which will
cover the system design and components; how to read and use the drawings; and software control,
including touch screen control operations.
Documentation Submittals
• Within two weeks of the successful completion of Final Testing, IMS will prepare and submit a Final
Documentation set to the City.
• All documents and drawings will be submitted electronically in PDF format.
• The Final Documentation Submittal will include:

A. As -Built Drawings - The as -built drawings will reflect the complete and final configuration of the
systems, including:
1. System Signal Flow — Complete functional system signal flow drawings of all systems
described herein and meeting the functions indicated in this Proposal. System Signal Flow
drawings to illustrate and identify each major component indicating signal flow; signal
type and equipment interconnectivity; all used and unused input and output connections
for all devices; connector types; specific manufacturer and model number labels for each
component; physical location callout indicating the components physical location (i.e.
equipment rack #, lectern, wall mounted, etc.); cable fan -outs; wire/cable tags; 70 volt
loudspeaker tap settings; amplifier/loudspeaker zone assignments; and other details as
needed to accurately document the signal interconnectivity of the systems.

B. Software
1. Where custom software is developed as part of this project, the system source code,
passwords, and any associated related files, referenced files, and development software
(and all relevant documentation and license) used to compile, develop, and build, etc. the
executable code will be furnished and installed.
2. IMS will retain intellectual property rights; the City will be granted a license in perpetuity
for use as it applies solely to this project, including the right to modify or enhance the
software. The software code may not be sold or used, in part or in whole, in any other
project or application other than that intended by this Proposal, in part or in whole, by the
City or any other party.
C. IP Addressing Schedule
1. An IP Addressing Schedule will be provided. The IP Addressing Schedule will list, at a
minimum, for each provided device requiring an IP address and connected to any
network:
a. Product manufacturer and model
b. LAN port connection location
c. Assigned Static IP address
d. Product MAC address
2. The IP Addressing Schedule will be submitted electronically in Microsoft Excel .xls format,
compatible with Windows 7 or newer operating systems.
Systems Acceptance
• IMS will coordinate and conduct an acceptance walk-through and sign -off session with the City and
submit a "sign -off" document for the systems.
Warranty and Post Implementation Support
• IMS will warranty all equipment, materials, and labor for a period of one year from the date of final
acceptance and per the terms of the included System Warranty, Maintenance and Service. Customer
furnished equipment is excluded from this warranty.

Mr. Caldwell is one of the founders and has served as President/CEO of Cashel Corporation dba
Integrated Media Systems (IMS) since its inception. He has been involved in nearly all phases of
electronic communications technology, specializing in the development, engineering and
implementation of specialized communications systems and their supporting environments. Mr.
Caldwell has been active in the application of electronic systems integration in a wide range of industries
for over 30 years. His cross industry experience, strong technical background and vision has been
instrumental in the creation, development and deployment of many innovative standardized corporate
systems and medical applications in integrated surgical control, telemedicine, and distributed
communications.

Initially hired by Laguna Woods Village as a design consultant in 2012, IMS has since completed
multiple phases upgrading the capabilities of the community's divisible boardroom. IMS was
brought in again to design a new system for the planned remodel of the facility, and completed the
Phase I design in December 2016. Phase II construction of the new system was completed in May
2017. A highlight of the system is a new touchscreen display for each board member and staff that

IMS designed and implemented audiovisual systems for the City of Culver City. This project was
completed in two phases. Phase 1 provided the system and supporting infrastructure design and
Phase 2 was the implementation and installation of the designed systems. IMS was initially hired as
a design consultant to evaluate the existing facility and systems and provide a design to upgrade the
City's Council Chamber's AV and Broadcast Systems. IMS completed Phase 1 at the end of 2014 and
designed a state-of-the-art system that included digital media distribution and control, Biamp audio
processing, Vaddio cameras and production switcher, Shure microphones, overflow distribution, and
incorporation of an OFE agenda management system. Additionally, all lighting in the chamber was
redesigned to incorporate the use of energy efficient lighting. The total system cost was
approximately $639,500 and the City has additionally contracted IMS to perform a five year
comprehensive warranty and maintenance program.

IMS is nearing completion of a project for the City of Palmdale that involves upgrading the audiovisual
systems in the City's Council Chamber, Closed Session Conference Room, Emergency Operations
Center/Training Room, Chimbole Cultural Center and Administration Conference Room. New
systems are being implemented to improve video quality for council and audience displays; enhance
voting, request to speak and speaker timing interface and functionality; improve audio capabilities,
voice reinforcement and intelligibility; and provide greater system reliability. In addition, IMS is
providing structured cabling design and installation, modifications to the dais millwork, and
replacement of the dimming system and lighting instruments in the Council Chamber. The project
will also provide improved capability, operator interface and operation of the City's broadcast

IMS was contracted to install and commission audiovisual and/or broadcast video systems in 36
spaces in UCLA Samueli School of Engineering's newest building, Engineering VI. One of those spaces
was a 250 seat learning center auditorium, which was equipped with a 5x5 video wall and had
videoconferencing, distant learning, video recording, request to speak and full broadcasting
capabilities.
When UCLA's Samueli School of Engineering decided to build the learning center, it had several
goals in mind. First, it needed to use all of the latest audiovisual and broadcast technologies to
ensure an engaging, collaborative learning environment for students. Second, the Learning Center
needed to have the flexibility to be used often and for multiple purposes. Finally, it needed a control
system that with one touch could enable the room to transition into four different modes of
operation: distant learning, enhanced media capture, theatre/large events, and small department
meetings, and with another single touch, manage a request to speak system that adjusts lighting
and microphones based on a speaker's location. Fortunately for UCLA, Integrated Media Systems
has a long history of working with Crestron to implement complex control systems that are easy for
end users to navigate.
By utilizing Integrated Media System's integration services in this space, the Samueli School of
Engineering was able to create one of the most versatile learning environments on campus. For

auditorium, in Engineering VI in February 2018 for approximately $1,500,000.

A full one-year warranty is included in this proposal and will provide the following services for the AV
system components provided by IMS:
Preferred Priority Maintenance and Technical Service
■ Assures rapid response within 2 hours of your service request during normal business hours.
Requests received after hours will be responded to next business day.
■ Enhances manufacturers' warranties through prompt on-site service and repair
■ Includes all hardware and software, as well as software or hardware updated during the
warranty period
■ Provides unlimited telephone support between the hours of 8:30am-5pm, PST M -F
■ Covers technical personnel travel, diagnosis, de -installation, repair, reinstallation and alignment
of repaired equipment
■ System repairs will be completed or system issues resolved at least 24 hours prior to the next
nearest scheduled meeting. In the case where repairs cannot be completed with 24 hours prior
to the next meeting, IMS will provide a temporary solution for the required functionality.
■ Provides UNLIMITED emergency support of your equipment
■ Covers all required parts and repair costs for equipment breakdown
Business Hours and Rates
■ Telephone and on-site service hours are from 8:30 a.m. to 5:00 p.m. PST, Monday through
Friday. Work must begin and end within the stated on-site service hours or telephone support
hours, based on the service being provided.
■ Work that is performed outside our normal work hours is additionally billable at IMS' current
labor rates. No work will be performed outside of our normal work hours unless approved in
advance in writing by a representative of your organization.
Service Process
Upon receipt of a service notification from City to www.service@imsay.com or telephone call during
normal business hours (i.e., Monday through Friday, 8:30 a.m. to 5:00 p.m.) identifying or requesting
required repair services on covered equipment, IMS will perform remote troubleshooting of the
problem and attempt to fix the issue remotely with City personnel. If telephone support is unsuccessful,
IMS will dispatch a technician or an engineer, as applicable, to the site during normal business hours
(i.e., Monday through Friday, 8:30 a.m. to 5:00 p.m.) to perform service.
If the City requests after-hours support, IMS will provide support on a best effort basis and at additional
charge to City at IMS' then -current hourly rate for after-hours support. Although IMS will attempt to
provide support for the City whenever required, IMS shall not be obligated to provide or perform repair
service after normal business hours.
Field Service Process
IMS will respond to a requirement for field service on an expedited basis. If the issue cannot be resolved
remotely, service personnel will be dispatched to the room. Once dispatched to the room, the IMS

technician will perform a system test to attempt to duplicate and diagnose the issue. Once the issue has
been diagnosed, the IMS technician will take one of the following actions:
Problem diagnosed and resolved — If the IMS technician can resolve the issue during the
initial visit, the system will be re -tested to ensure the problem has been resolved and the
system is operating per original installation specifications (display, audio and configuration).
System equipment repair required - if repair is required for any system component, the
following steps will be taken once approval is received from City:
■ IMS will remove the defective equipment
■ IMS will arrange for a RMA for the defective equipment from the manufacturer or
manufacturer authorized repair center and arrange shipment
■ IMS will coordinate repair of the equipment with the repair provider. Upon completion of the
repair and receipt of the returned equipment from the manufacturer or repair center, IMS will
contact City contact to determine room availability and schedule a return service visit
■ IMS will reinstall the repaired equipment, reload applicable software and perform appropriate
equipment and system testing to ensure device functionality and appropriate interface to the
system
Period of Performance
The period of performance of warranty and maintenance shall be one (1) year from date of system
acceptance.
All parts and equipment will be shipped two-day delivery. Expedited delivery is also available, upon
request. If you wish to have shipment expedited, by executing this Agreement, you agree to be billed
for any cost difference between two-day delivery and expedited delivery which you have requested.
Other Terms and Conditions
Equipment Access and Maintenance
IMS must have unrestricted access to the covered equipment for service visits. All covered equipment
must be operated in accordance with the user operations manuals provided by the equipment
manufacturer.
Equipment Alterations
This agreement does not cover instances where non -IMS personnel have altered, repaired or modified
the wiring interconnections or covered equipment of this agreement, except as expressly directed by

of business revenue, loss of time, loss of equipment use, or any other economic loss of any kind
whatsoever, even if IMS has been advised of the possibility thereof.
