COMPANY AND EASEMENT DEDICATION TO SANTA CLARITA
VALLEY WATER AGENCY

RECOMMENDED ACTION
City Council:
Approve and authorize the City Manager or designee to execute the attached Grant of
Easement (EAS18-00021) to Southern California Edison Company.
2. Approve and authorize the City Manager or designee to execute the attached Grant of
Permanent and Non -Exclusive Easement (EAS19-00003)to Santa Clarita Valley Water
Agency.
BACKGROUND
Southern California Edison Company has requested to install a transformer outside of the right-
of-way along Needham Ranch Parkway as shown on the attached location map for the Southern
California Edison easement. The purpose of the transformer is to provide service to the Needham
Ranch project.
The easement will be located within Lot 11 of Tract No. 50283-01, which was dedicated in fee to
the City of Santa Clarita (City) when the map was filed on April 26, 2018.
Santa Clarita Valley Water Agency has requested to install a 16 -inch interim water line from
Newhall Avenue to the existing water tank, located south of the Pioneer Oil Refinery property
owned by the City. The purpose of the interim water line is to provide temporary service to
Phase 1 of the Needham Ranch project. The easement will cross the Pioneer Oil Refinery
property, but will not disturb any of the existing structures.

The crossing location is shown on the attached location map for the water line easement and the
attached Master Plan Overlay shows the relationship between the master plan for the Pioneer Oil
Refinery property and the proposed water line easement. The proposed easement is located
outside of the master plan area in a location that is currently being used for ingress and egress.
Any work performed will have inspectors ensure that no damage will occur.
The interim water line will be replaced with a new water line within Needham Ranch Parkway
when Phase 2 of the Needham Ranch project is constructed.
The Needham Ranch project was originally approved by the City Council on June 24, 2003, as a
part of Master Case 99-264, including the certification of the Environmental Impact Report
prepared for the project, along with the following entitlements: Tentative Tract Map 50283; the
Development Agreement; General Plan Amendment; Zone Change; Conditional Use Permit;
Hillside Review; and Oak Tree Permit. The project was also approved as Tentative Tract No.
50283 by the City's Planning division on January 18, 2017.
In consideration for the Grant of Permanent and Non -Exclusive Easement, the developer is
making a $25,000 contribution to the City toward the preservation of the Pioneer Oil Refinery
property.

CITY OF SANTA CLARITA, a municipal corporation, (hereinafter referred to as "Grantor"), hereby grants to
SOUTHERN CALIFORNIA EDISON COMPANY, a corporation, its successors and assigns (hereinafter- referred to as "Grantee"),
an easement and right of way to construct, use, maintain, operate, alter, add to, repair, replace, reconstruct, inspect and remove at
any time and from time to time underground electrical supply systems and communication systems (hereinafter referred to as
"systems"), consisting of wires, underground conduits, cables, vaults, manholes, handholes, and including above -ground
enclosures, markers and concrete pads and other appurtenant fixtures and equipment necessary or useful for distributing electrical
energy and for transmitting intelligence, data and/or communications (eg. through fiber optic cable), in, on, over, under, across and
along that certain real property in the County of Los Angeles, State of California, described as follows:

It is understood and agreed that the above description is approximate only, it being the intention of the Grantor(s) to grant
an easement for said systems as constructed. The centerline of the easement shall be coincidental with the centerline of said
systems as constructed in, on, over, under, across, and along the Grantor(s) property.
This legal description was prepared pursuant to Sec. 8730(c) of the Business & Professions Code.
Grantor further grants, bargains, sells and conveys unto the Grantee the right of assignment, in whole or in part, to others,
without limitation, and the right to apportion or divide in whatever manner Grantee deems desirable, any one or more, or all, of the
easements and rights, including but not limited to all rights of access and ingress and egress granted to the Grantee by this Grant of
Easement.
Grantor agrees for himself, his heirs and assigns, not to erect, place or maintain, nor to permit the erection, placement or
maintenance of any building, planter boxes, earth fill or other structures except walls and fences on the above described real
property. The Grantee, and its contractors, agents and employees, shall have the right to trim or cut tree roots as may endanger or
interfere with said systems and shall have free access to said systems and every part thereof, at all times, for the purpose of
exercising the rights herein granted; provided, however, that in making any excavation on said property of the Grantor, the Grantee
shall make the same in such a manner as will cause the least injury to the surface of the ground around such excavation, and shall
replace the earth so removed by it and restore the surface of the ground to as near the same condition as it was prior to such
excavation as is practicable.

GRANT OF PERMANENT AND NON-EXCLUSIVE EASEMENT

For a valuable consideration, receipt and sufficiency of which is hereby
acknowledged, The City of Santa Clarita ("Grantor") grants and conveys to Santa Clarita Valley
Water Agency, a county water district formed pursuant to the California Water Code, and its
successors, assigns, and invitees ("Grantee"), a permanent and non-exclusive easement for
ingress, egress, and roadway purposes, including the right to remove any improvements, trees,
shrubs, and any other growth thereon, and at any time and from time to time, locate, alter,
inspect, remove, replace, and/or install a line or lines of pipe, conduit or similar facilities, of
whatever nature, valves, and meter structures, service connections, services and/or connections,
with all and every appendage, facilities, structure and equipment necessary or convenient to be
installed or used by Grantee, and Grantee may, at any time and from time to time, for any
lawful use and purpose for the benefit of Grantee, grant its rights in the easement to others
for the same uses and purposes, including, but not limited to, ingress, egress, installation of
facilities, structure and equipment, conduits, vaults, and cables for power transmission and
communication, in, under, upon, over, across and through those certain parcels of land situated
in the County of Los Angeles, State of California, and more particularly described as follows:

Grantee and its contractors, agents and employees, shall have the right to trim or cut tree
roots and shall have free access to any and all systems and infrastructure that may exist on the
easement at all times, for the purpose of exercising rights herein granted, however, that in
making any excavation of said property of the Grantor, the Grantee shall make the same in such
a manner as will cause the least injury to the surface of the ground around such excavation, and
shall replace the earth so removed by it and restore the surface of the ground to as near the same
condition as it was prior to such excavation as is practicable, including replacing or repairing any
asphalt or other existing road surfaces.
Grantor hereby waives any claims which now, or in the future may, exist against Grantee
for repairs and maintenance of the property pursuant to California Civil Code Section 845.
Grantee thus takes this easement free from all obligations and duties to repair and maintain the
property.
Any subsequent removal, relocation, replacement, or realignment of facilities located
within the easement granted herein shall be accomplished at the expense of the person or entity
requiring the same and at no expense to Grantee.
