SUBJECT: VISTA CANYON REGIONAL TRANSIT CENTER (BUS TRANSFER
STATION), PROJECT T3021 - APPROVE PLANS AND
SPECIFICATIONS, AWARD CONSTRUCTION CONTRACT, AND
AWARD SUPPORT SERVICES CONTRACTS

RECOMMENDED ACTION
City Council:
Approve the plans and specifications for the Vista Canyon Regional Transit Center, Project
T3021.
2. Award a construction contract for the Vista Canyon Regional Transit Center, Project T3021
to C.S. Legacy Construction, Inc., in the amount of $5,677,792 and authorize a contingency
in the amount of $567,780, for a total contract amount not to exceed $6,245,572.
3. Award a contract to NV5 West, Inc., for material testing and inspection services for the Vista
Canyon Regional Transit Center in the amount of $99,326 and authorize a contingency in the
amount of $9,933, for a total contract amount not to exceed $109,259.
4. Extend the current contract and authorize an increased expenditure authority for construction
support services with Tetra Tech, Inc., in the amount of $401,188 and authorize a
contingency in the amount of $40,119, for a total amount not to exceed $441,307.
5. Authorize the payment of the Regional and Distribution Facility Capacity Fee to Santa
Clarita Valley Water Agency in the amount of $104,347.
6. Award a contract for the procurement of ticket kiosks and information monitors to
Connexion Limited, LLC in the amount of $129,580.

7. Appropriate Proposition C Grant funds (Fund 265) in the amount of $2,222,327 to
expenditure account T3021265-5161.001 and increase revenue account 265-4422.008 by
$2,222,327.
8. Appropriate Municipal Operator Service Improvement Program (MOSIP) funds (Fund 700)
in the amount of $2,764,755 to expenditure account T3021700-5161.001 and increase
revenue account 700-4422.007 by $2,764,755.
9. Appropriate Proposition A funds (Fund 261) in the amount of $988,781 to expenditure
account T3021261-5161.001; appropriate Air Quality Management District funds (Fund 232)
in the amount of $263,452 to expenditure account T3021232-5161.001; and appropriate
Vista Canyon Transit Mitigation fees (Fund 700) in the amount of $677,760 to expenditure
account T3021700-5161.001, representing the local match and additional need.
10. Authorize the City Manager or designee to execute all documents, subject to City Attorney
approval.
BACKGROUND
The Vista Canyon Regional Transit Center (Bus Transfer Station) is located on the eastern side
of the Santa Clarita Valley in the Vista Canyon development of Canyon Country. The Bus
Transfer Station is one of the transportation components of the Vista Canyon project which was
approved by the City Council in May 2011. The Bus Transfer Station project will allow Santa
Clarita Transit to expand their local and commuter services by using the station as a hub on the
east side of the valley. The Bus Transfer Station will also connect to the future adjacent
Metrolink station within the Vista Canyon development. This project supports the goal of
Enhancing Economic Vitality in the City of Santa Clarita's (City) five-year strategic plan, Santa
Clarita 2020, by expanding transit services to underserved areas.
The Bus Transfer Station will be a seven -bay bus transfer station with amenities, such as
canopies, benches, lighting, restroom facilities, security/ticketing booth, bike lockers, real time
bus arrival monitors, landscaping, and recycled water irrigation. The station will meet the criteria
for the Institute for Sustainable Infrastructure (ISI) Envision Rating System, which is the
equivalent of Leadership in Energy and Environmental Design (LEED) for outdoor facilities.
Staff applied for and received Proposition C Grant funds for this project. In February 2015, the
City executed a Letter of Agreement with Metro which officially commits the Proposition C
funds to this project.
Solicitation Process for Construction Contract
An invitation to submit bids was prepared and published two times on September 5 and 12, 2019,
in The Signal newspaper and was posted on PlanetBids.
Five bids were submitted to the City and opened by Purchasing on October 23, 2019. The results
of the bids are shown below:

Staff recommends awarding the construction contract to the lowest responsive bidder, C.S.
Legacy Construction, Inc. This contractor possesses a valid Class B state contractor's license and
is in good standing with the Contractors State License Board. The bid has been reviewed for
accuracy and conformance to the contract documents and found to be complete.
The requested construction contingency will cover the costs of unforeseen site conditions, such
as potential utility conflicts, abandoned utilities not shown in record drawings, edge condition
changes necessary to coordinate with separate ongoing projects surrounding the Bus Transfer
Station, and change order requests made by the contractor.
Solicitation Process for Material Testing and Inspection Services
On September 24, 2019, a Request for Proposal (RFP) for material testing and inspection
services for the Bus Transfer Station construction was advertised on PlanetBids.
The RFP asked firms to identify proposed staffing and their relevant construction experience
with similar projects to specify their qualifications for this project.
On October 15, 2019, the City received five proposals. All five proposals were reviewed and
evaluated by staff. Based on the evaluation criteria set forth in the RFP, the following is a
summary of the firms' rankings:

The rating system heavily emphasized the consultant's experience and qualifications as it relates
to this project and their methodology and ability to meet the scope of work. Based on their
experience, completeness of their proposal, understanding of the scope of work, and approach to
the project, staff recommends awarding the material testing and inspection services contract to
NV5 West, Inc., as the most qualified company to meet the project's needs. The requested
contingency will cover costs for additional, as needed services as the construction project
continues.
California Government Code 4526 prescribes selection of architectural and engineering services
to be based on demonstrated competence and professional qualifications necessary for the
satisfactory performance of the services required, does not authorize the selection of professional
architectural and engineering services based on costs, and does not require the cost proposals to

be sealed. Staff opened the cost proposal from NV5 West, Inc., and negotiated a final contract at
a fair and reasonable price for the services requested in the RFP.
On August 25, 2015, the City Council awarded the design contract to Tetra Tech, Inc. The
knowledge and expertise of this firm continues to be valuable to the project and is needed to
ensure compliance with the design plans and specifications. Staff has negotiated a fair and
reasonable fee with Tetra Tech, Inc., for the work required to complete the Bus Transfer Station
construction. The recommended action to extend the current contract and increase expenditure
authority for construction support services will provide for a successful completion of the
proj ect.
As part of the project, the City will procure ticket kiosks and information monitors from
Connexion Limited, LLC. For this purchase, Connexionz Limited, LLC has been validated as a
sole source and a direct manufacturer of this type of equipment. Per the City's purchasing policy,
no quoting or bidding is required for products or services from a validated sole source.
The remaining funds in the amount of $247,439 will provide for staff time, public works
inspections, labor compliance, various agency fees, legal fees, and miscellaneous project
administrative costs.
ALTERNATIVE ACTION
Other action as determined by the City Council.
FISCAL IMPACT
Upon approval of the recommended actions, adequate funds will be available for the Vista
Canyon Regional Transit Center (Bus Transfer Station), Project T3021, to support the
construction and construction support contracts as well as all anticipated project costs. The
requested appropriations of $6,917,075 and available funds of $360,429 in the project budget
will fund the total remaining project need of $7,277,504. Additionally, the requested increase in
revenues of $2,222,327 in Proposition C Grant from Metro's 2013 Call for Projects and
$2,764,755 in MOSIP monies will properly adjust the revenue accounts for this fiscal year.

In accordance with AGENCY's NOTICE INVPTING BIDS, the undersigned BIDDER hereby proposes to furnish all
materials, equipment, tools, labor, and incidentals required for the above -stated project as set forth in the plans,
specifications, and contract documents therefore, and to perform all work in the manner and time prescribed therein.
BIDDER declares that this proposal is based upon careful examination of the work site, plans, specifications,
INSTRUCTIONS TO BIDDERS, and all other contract documents. If this proposal is accepted for award, BIDDER
agrees to enter into a contract with AGENCY at the unit and/or lump sum prices set forth in the following BID
SCIEDULE. BIDDER understands that failure to enter into a contract in the manner and time prescribed will result in
forfeiture to AGENCY of the proposal guarantee accompanying this proposal.
BIDDER understands that a bid is required for the entire work that the estimated quantities set forth in BID
SCHEDULE are solely for the purpose of comparing bids, and that final compensation under the contract will be based
upon the actual quantities of work satisfactorily completed. THE, AGENCY RESERVES TTTE RIGHT TO INCREASE
OR DECREASE THE AMOUNT OF ANY QUANTITY SHOWN AND TO DELETE ANY ITEM FROM THE
CONTRACT. It is agreed that the unit and/or lump sum prices bid include all appurtenant expenses, taxes, royalties,
and fees. In the case of discrepancies in the amounts bid, unit prices shall govern over extended amounts, and words
shall govern over figures.
If awarded the contract, the undersigned further agrees that in the event of the Bidders default in executing the required
contract and filing the necessary bonds and insurance certificates within ten working days after the date of the

NV5 has one of the largest staffs of inspectors and engineering technicians in the nation,
ranked in 2019 by ENR as the #34 engineering firm in the nation with over 2000 staff
nationwide and over 550 in California.
All NV5 inspectors deployed to the site will be registered with the City of Santa Clarita Building
and Safety Department.
➢ Scott Moors, PG, CEG, CHg, is NV5's Vice President and will be the Project Manager for
the City's Santa Clarita Vista Canyon Regional Transit Center project. Mr. Moors is an
experienced expert in geotechnical consulting, pavement engineering, concrete materials,
construction inspection and testing, and asphalt pavement with 30-years' experience in
California. Mr. Moors has been the Project Manager for hundreds of similar contracts
including several for Santa Clarita. He has overseen the inspection and testing of dozens
of similar projects including hundreds of essential service facilities and approaching two
dozen jail and detention facility projects. Mr. Moors has managed over 100 Federally -
funded Materials Testing and Inspection projects. Scott has managed NV5 Ventura for
over 13 years.
➢ Shaun Simon, PE, QSD, QSP, is our Engineering Manager and Stormwater Inspector with
over 17 years of directly -related professional experience. Shaun provides engineering
management and technical support on geotechnical and materials testing projects and
oversees our testing laboratory. Shaun has overseen testing on hundreds of similar
projects. Shaun will provide As —Needed Stormwater inspections. Shaun has been with
NV5 for 6 years.
➢ Matt HabberFeld, will be our Lead Inspector for the Vista Canyon Transit Center Project:
with 19 years of inspection and materials testing experience and 9 years with NV5. Matt
holds multiple inspections cards including reinforced concrete, pre -stressed concrete,
structural masonry, DSA masonry, DSA shotcrete, high -strength bolting, and fireproofing.
Matt is also a highly experienced soils, asphalt, concrete, and special testing technician.
He has worked on dozens of similar projects including numerous camopy shade structures
and major concrete pavement projects. Matt is an excellent communicator and is perfectly
suited to serve as the primary field coordinator for Santa Clarita's inspection and testing
needs. He has a reputation for high quality work while maintaining positive working
relationships with sometimes difficult contractors. Matt is organized, conscientious, and
energetic and will proactively work to ensure a well -coordinated and successful project for
the City.

NV5 understands that the City's intent is to hire a well -qualified consultant, familiar with the
work required under this RFP. Work under this contract must comply with applicable sections
of California Building Code - TITLE 24. Materials testing and inspection shall be as per the
project plans and specifications, specifically as specified on the Testing & Inspection notes on
Sheet SO.1 of the Structural Plan Sheets. NV5 shall work closely with the City's Project
Manager and staff to successfully complete the project and protect the interest of the City.
One of NV5's primary goals in implementing a well -
designed Quality Assurance Program is to prevent the
production and incorporation of substandard or out -of -
specification work or materials rather than merely
document the degree of noncompliance after -the -fact.
NV5 is uniquely -well qualified to achieve these objectives. We work on public infrastructure
projects throughout the state on a daily basis with a particular emphasis on projects under
the heightened scrutiny of Building Code Title 24A under DSA and OSHPD. In addition, NV5
currently holds several On -Call Caltrans Construction Inspection and Material Testing
contracts including Caltrans Districts 6, 9, 10, and 11; and formerly in District 7. We are
intimately familiar with specific requirements of the building code under Title 24.
NV5 is committed to providing high -quality work in a responsive timeframe that meets all
applicable local, state and federal regulations.

NV5's proposed scope of services is outlined below with a detailed, line -item breakdown provided in
the Cost Proposal included under separate cover. Actual services may vary depending upon field
conditions and circumstances including contractor schedule, quality and consistency of contractor
work, unanticipated site conditions, weather delays, etc.
Comments regarding the scope of Quality Assurance services: NV5 will observe portions of the
contractor's work, as directed and authorized by your representative, perform tests on selected
portions of the construction materials and the constructed work, and render professional opinions, if
requested by you, regarding whether the constructed work that NV5 observed meets to project
requirements. The purpose of the proposed quality assurance services is to provide you, the project
owner, with reasonable assurance that the contractor is exercising appropriate diligence in the
execution of their work.
TASK 1: PRE -CONSTRUCTION SERVICES
The Consultant shall be responsible for providing services during the pre -construction phase of the
project, including, but not limited to:
Subtask A
Reviewing approved Plans and Specifications thoroughly prior to the Pre -construction
meeting.
Coordinating a testing and inspection schedule with the City (Public Works Department) and
the Contractor.
Subtask B:
Attending the pre -construction conference.
Inspection forms, inspection logs, progress reports, etc. shall be scanned and uploaded by
consultant into a City -approved database system.
TASK 2: SERVICES DURING CONSTRUCTION
The Consultant shall be responsible for providing on -call material testing and inspection services
during construction throughout the duration of the project, including, but not limited to:
Subtask A
• Performing daily site inspection (when requested) to determine if facilities are complete and
being constructed in compliance with the Contract Documents, IBC, approved contract
change orders, Standard Plans, NPDES SWPPP requirements, and CAL/OSHA Standards;
• Performing on -call field inspection and other quality control activities including necessary
materials testing.
• Preparing punch -list and inspection of punch -list corrective actions and review redlined
record drawing (As -Built) plans of all aspects addressed while performing on -call services
(mechanical, electrical, etc.) for the project.
• Participating in conferences and progress meetings as requested by the City.
• Reviewing and inspecting Contractor's work for compliance with Contract Documents and
with approved contract change orders.
• Monitoring of corrective actions taken by the Contractor needed to fix work that is not in
compliance with Contract Documents.
• Reviewing and approving Contractor's survey layouts, line, grade, elevation, etc. of all work
when requested.
• Monitoring all aspects of extra work, including disputed work and Change Order Work when
requested.
• Monitor and provide supporting documentation on the personnel and equipment that is
involved with any extra work performed by the Contractor when requested.
• Measure and tabulate contract quantities when requested. When requested, assist in the
review of the Contractor's invoices, verify completed work and pay items, and assist in the
approval of all quantities.
• Coordinate all T&I consultant activities with the City.
Subtask B:
• During an on -call assignment, keep daily dairies (log), fill out Incident (accident) Reports, and
take pictures of the project. A daily Inspection Report identifying work done by the Contractor
and pay items worked on shall be submitted to the City on the next business day for review
and filing. Prepare these daily reports on forms approved by City Representative and submit
copies weekly.
• Submitting field inspection diaries weekly and report daily to the City while performing an on -
call assignment.
• Submitting digital photos of work in progress and provide digital images of the project to the
City in "jpg" format.
• Submitting monthly progress photos to the City.
Subtask Q
• Reviewing Contractor's compliance with all regulatory permits (including NPDES, SWPPP,
etc.) and mitigation measures.
• Reviewing Contractor's compliance with workplace safety and health standards and
notification to City of noncompliance.
• Maintain continuous 24 hours telephone accessibility during construction activity for
emergency use.
• Support enforcement that Contractor properly provides for the safety of the workmen. During
on -call inspections and monitoring of the work, if the Consultant Inspector observes an
unsafe situation, the inspector shall notify the Contractor of the violation and provide written
notification of such infraction to the Contractor. If the Contractor refuses to comply, the
Consultant Inspector shall notify the City and Cal OSHA.
Subtask D:
Review the contractor's mix design to ensure conformance with the project's specifications.
The consultant shall coordinate material testing with the City and Contractor. The material
testing services shall include all those required to successfully complete the project. The
services shall include, but not limited to:
o Concrete sampling/testing
o Grout and Mortar Compression Testing
o Ultrasonic Testing of Steel Welding
o Reinforcing Steel & Placement
o CMU Placement and sampling
o Structural Steel inspection (shop & field)
o Epoxy & Expansion Anchors

TASK 3: SERVICES DURING CONSTRUCTION CLOSE-OUT
The Consultant shall be responsible for providing services during construction close-out when
requested including, but not be limited to:

• Substantial and Final Completion services, including:

Perform site inspection, check all warranty items and provide punch -list to the City.
Site inspection to determine if facilities are complete and in compliance with
Contract Documents.
• Assistance in warranty inspections.
o Task B:
• Assist in preparation of punch -list and inspection of punch -list corrective actions.
• Compilation, on a disc, of all T&I Consultant photos taken during the progress
and completion of said project. All files, inspection reports, documents,
photos, etc. shall be maintained and submitted to the City of Santa Clarita in
form acceptable to the City's Project Manager.
Subtask B:
• Warranty walk through.
o Task A:
• Near the one year anniversary of the Notice of Completion assist the City in
performing a site inspection, check all warranty items and provide punch list to the
Public Works Engineer.
General Notes:
• Possess a vehicle and a mobile phone for immediate contact by the City, show proof of a
valid California's driver's license, insurance, and required certifications.
• The Consultant Material Testing and Construction Inspector does not have the authority to
allow changes or deviations from the Contract Plans and Specifications.
• All proposed forms and filing system must be shown to and approved by the City
Representative prior to construction phase.
• When requested, assist that safety programs are developed by the Contractor as required by
their contract documents.
• Present the City with a complete project close-out file of work effort performed during on -call
T&I services.
• The extent of the duties, responsibilities, and limitations of authority of consultant as a
representative of the City during the construction shall not be modified or extended without
the written consent of the Public Works Director.

NV5 is currently providing comprehensive construction materials engineering and testing
services, special inspection services, and miscellaneous consulting services for Ventura
County's newest essential services facility, the new Fire Station #27 in Fillmore. The -$8.3M
project includes the 15,000 ft2 main buildingwith enough room for fire engines, living quarters
for four firefighters and two bulldozer crew members. It will also have three apparatus bays,
nine dorms, an office, training area and additional space for future expansion.

Camarillo. Services were provided under a stand-alone contract
with California Department of General Services.
The CA Conservation Corps constructed a new 48,600 ft2 facility consisting of an
administration building, educational and recreational buildings, four residential buildings, a
multi -purpose building, a hazardous materials storage building and a warehouse. Additionally,
the site includes paved surfacing for service & staging areas, walkways, driveways and
parking. The new facility accommodates up to 104 corps members and 35 employees.

Santa Clarita's first environmentally friendly facility designed
to conserve water, power and materials, and certified under
the national LEED green building rating system. NV5 provided
all the testing and inspection includingthe inspection of the Straw Bale insulation. Flyash was
used in the concrete slabs and paving in lieu of cement, savingthe substantial energy required
to produce cement, and cement production's CO2 emissions. The project is approximately
40,000 square feet of building for fleet maintenance, and approximately 25,000 square feet
for operations and administrative function.

2019 GEOTECHNICAL / MATERIAL TESTING FEE SCHEDULE
GENERAL CONDITIONS
Testing Samples - An hourly preparation charge will be added to all
samples submitted that are not ready for testing.
Turn -Around -Time - Standard TAT indicated in superscript.
RUSH: 50% surcharge. Sample prioritized over other samples in que.
PRIORITY: 100% surcharge: Completed as fast as possible per method.
See notes regarding TAT at bottom of page 3.
Project Setup - A $165 fee applies for setup and administration of Cin-
Call agreements and contracts less than $3,000.
Scheduling - A minimum of 24-hour notice is required to schedule
personnel (48-hour for DSA projects). For same -day scheduling, a 50%
premium applies. Same -day cancellations will incur a 2-hour charge for
technicians or a 4-hour charge for inspectors.
Minimum Charges - Special Inspections: A minimum charge of 4 hours
applies to inspection call -out between 0 and 4 hours. Eight (8) hours will
be charged for work performed over 4 hours up to 8 hours.
Technicians: Minimum charge of 2 hours applies to technician call -out
between 0 and 2 hours. Additional time charged in 2-hour increments.
Travel - Hourly travel is charged portal-to-portal for technicians. Travel
charges are normally waived for special inspectors within 25 miles of our
laboratory. Mileage/Trip Charges charged at rates listed below.
Per Diem - Per diem will be charged at 1.15 times the Federal (GSA) rate
for all out-of-town assignments unless otherwise arranged.
Equipment - NV5 maintains a comprehensive inventory of calibrated
field testing equipment. Daily equipment charges apply.
Overtime Rates - Rates are based on an 8-hour workday between the
hours of 7:00 a.m. and 4:00 p.m., Monday through Friday. Work outside

Holidays - New Year's Day, Memorial Day, Independence Day, Labor
Day, Veteran's Day, Thanksgiving Day and the following Friday, and
Christmas Day. For holidays falling on Saturday or Sunday, the closest
previous or following regular workday will be observed.
Project Management & Report Distribution - All assignments are under
the supervision of a Registered Professional Engineer. Engineering time
of 0.1 hour per inspection day or '/2-hour/week (min) will be included for
scheduling, report review, and data evaluation. Up to 2 hard copies of
reports are provided at no additional charge. Additional hard copies will
be billed at $2 per report.
Outside Services / Drillers -CPT / Subcontractors - Cost plus 15%.
Prevailing Wage - Client shall notify NV5, in writing, of any requirement
for payment of California Prevailing Wage or other predetermined wage
condition. Client agrees to indemnify NV5 against all costs related
Client's failure to notify NV5 of predetermined wage requirements.
Sample Disposition - Unless previously arranged, all samples will be
disposed of upon completion of testing. Any samples suspected of
contamination will be returned to Client. If requested, retained samples
may be archived for a specified period for an agreed monthly fee.
Certified Payroll - A $45 per week, per project processing fee for
Certified Payroll will be assessed on Prevailing Wage Projects.
Escalation - Listed rates are subject to annual escalation consistent with
the Consumer Price Index (www.bls.gov). Prevailing Wage labor rates
will be adjusted in accordance with DIR mandated increases plus 50%.

Tetra Tech will review submittals provided by the City, for substantial conformity with the intent of the contract
documents. Ten (10) to fifteen (15) calendar days is scheduled from receipt by Tetra Tech, to date of return of the
reviewed submittal copies. The level of effort required for this task depends on the number of submittals to be
reviewed, the quality of those submittals, and the number of resubmittals required.
Civil
The level of effort for this task assumes thirty (30) submittals and fifteen (15) resubmittals, with an average level of
effort of approximately three (3) hours per submittal for the initial submittal and one (1) hour for the resubmittals.
The total allowance for reviewing submittals is 120 labor -hours.
Contractor -generated Requests for Information (RFIs) will be submitted to the City. Tetra Tech will review and
respond to RFIs provided by the City. Although the time required to respond to a particular request for clarification
varies greatly, the estimated level of effort for this task assumes twenty (20) RFIs at four (4) hours each for a total
of 80 labor -hours.
Onsite civil observations will be performed by a registered professional civil engineer for general conformance to
the approved construction documents. It is assumed up to six (6) observations related to civil work items will be
provided during the course of construction.

of 36 labor -hours.
Onsite structural observations will be performed by a registered design professional for general conformance to
the approved construction documents at significant stages and at completion of each structural system as required
by the building code. At the end of each visual observation, the structural observer will prepare a report noting any
deficiencies. It is assumed that twenty-two (22) observations and twenty-two (22) observation reports related to
structural work items will be provided during the course of construction.

The level of effort for this task assumes forty (40) submittals and twenty (20) resubmittals, with an average level of
effort of approximately one and one half (1.5) hours per submittal for the initial submittal and one (1) hour for the
resubmittals. The total allowance for reviewing submittals is 80 labor -hours.
Contractor -generated Requests for Information (RFIs) will be submitted to the City. Tetra Tech will review and
respond to RFIs provided by the City. Although the time required to respond to a particular request for clarification
varies greatly, the estimated level of effort for this task assumes thirty (30) RFIs at three and one half (3.5) hours

It is assumed that no observations would be made by the architect. Observations will be supported by the civil and

Aug Built Drawings
Following receipt of the City -approved marked set of drawings from the Contractor after construction is complete,
Tetra Tech will incorporate all changes noted on the marked set within sixty (60) days following receipt of the
Contractor's marked set. The proposed budget for preparation of the as -built drawings is based on changes to
eighty-three (83) sheets at three (3) hours per sheet, for a total of 255 labor -hours which includes a combination of
team members to produce and review the as-builts provided by the Contractor.
Final Site Walk l"'hir°ou.0 lh and Punch IList
Following completion of construction, Tetra Tech will perform final observations of the completed or nearly
completed site and infrastructure. Our team will advise the City as to the acceptability of the work. Tetra Tech
members from the civil and structural design disciplines will perform the observations. A total of twenty-four (24)
labor -hours has been budgeted, including travel time and office time, to summarize observations in memorandum
form.
Task 9.0 Envision Support (Excludes Registration Fees) $76,459
The project team will perform a more extensive assessment of the credits found to be applicable while filling out
the Pre -assessment Checklist. The team will prepare documentation required for all 64 credits, including those
found not applicable. The Envision documentation will be led by Envision Sustainability Professionals, who will also
collect supporting documents from the City and Contractor.
SCHEDULE
The work will be performed on an as -needed basis and per the contract specifications. The anticipated start of
construction is November 2019 and will last approximately 10 months.
FEE
Tetra Tech will complete the scope of work for an estimated not to exceed, Time and Materials Fee of $401,188.
This amount was based on the enclosed Exhibit A— Price Proposal which outlines the estimated hours per
classification to complete the above -mentioned scope of work.

Attachment A — Scope of Services, such services will be invoiced in accordance with the rates
indicated on the attached Fee Schedule. This cost estimate is valid for a period of 60 days
from the date of this proposal. Invoicing generally takes place every two weeks.
CALIFORNIA PREVAILING WAGES
It is our understanding that the project is subject to California Prevailing Wages. Therefore, the
cost estimates presented in this Addendum Proposal are based on our attached current Prevailing
Wage Fee Schedule.
ADDITIONAL SERVICES
Additional requested or required services not included within the scope of services described
herein would be invoiced in accordance with the attached Fee Schedule.
AUTHORIZATION
In order to ensure mutual understanding of the scope of the work proposed, we request that you

Consultant Services
This AGREEMENT is between CLIENT and R. T. FRANKIAN &
ASSOCIATES (hereinafter called RTF&A). RTF&A services are
limited to those outlined in our proposal P051-2019-010, dated
September 10, 2019, pursuant to the terms of this AGREEMENT.
Fee And Payment
RTF&A's fee for the above services is listed in Item 4, above.
RTF&A's fee shall be paid as follows and shall not be subject to
financing or any other contingency:
(a) The retainer fee must be paid upon execution of this
AGREEMENT before any services are rendered. Fee
includes charges for equipment used during exploration.
(b) Fee is for services described in the attached proposal
only.
(c) Fee is due and payable upon presentation of a
statement. RTF&A reserves the right to charge up to
18% interest on unpaid balance. CLIENT agrees to pay
collection fees, if required, to secure payment.
(d) CLIENT must notify RTF&A in writing of any
requirement for payment of California Prevailing Wages,
Davis -Bacon, Walsh -Healy Act, Contract Services Act,
or any other requirement for payment of specific wages
and/or fringe benefits. Should it be determined that
prevailing wage rates are required to be paid, RTF&A
will pay those wages (to the extent they are required to
be paid) and will be entitled to increase our fees in
accordance with our current Prevailing Wage Fee
Schedule.

Additional Fees and Payment
The terms and conditions of AGREEMENT will also apply to
additional services requested by CLIENT or his agent on this
project. Additional services will be charged on a time and expense
basis using the Fee Schedule of RTF&A then in effect.
Client Responsibilities
(a) CLIENT assures that right of entry to site is granted by this
AGREEMENT.
(b) CLIENT will remove or protect his property, inside and out,
including all landscaping, shrubs, and flowers, and RTF&A
shall not be responsible for damage to lawns, shrubs,
landscapes, walks, sprinkler systems, or underground
utilities and installations caused by movement of earth or
equipment.
(c) CLIENT will locate for RTF&A all underground utilities and
installations. RTF&A will not be responsible for damage to
any such utilities or installations not so located, and any
such damage may, at RTF&A's option, be repaired by
RTF&A and billed at cost plus 15% to CLIENT.
Submission, Not Offer
Neither the submission of this AGREEMENT nor any quotation
shall be considered binding until and unless this AGREEMENT is
executed by both parties and any required retainer fee paid.
This AGREEMENT must be executed by the actual or prospective owner of the job site. CLIENT MAY ACCEPT, REJECT, OR MODIFY ANY

TERMS AND CONDITIONS

1. Use of Report. -
All RTF&A reports and work remain the property of RTF&A
until all of RTF&A's fees and costs have been paid in full. RTF&A
reserves the right to withhold delivery of any report or work product.
2. Client Information and Responsibility:
2.1 CLIENT will make available to RTF&A all information
regarding existing and proposed conditions of the site, including but
not limited to plot plans, topographic surveys, hydrographic data and
previous soil data with borings, field or laboratory tests and written
reports. CLIENT will immediately transmit to RTF&A any new
information which becomes available or any change in plans and
shall indicate to RTF&A all property lines, underground utilities and
installations and is responsible for the accuracy thereof.
2.2 CLIENT will indemnify RTF&A against any inaccurate
or misleading information furnished by CLIENT.
2.3 CLIENT shall keep the site free and clear of children,
animals, persons or property (including all landscaping, shrubs and
flowers) which are likely to or do interfere with RTF&A's access to
site or its ability to perform under this AGREEMENT and shall
provide RTF&A with free access to site and a safe place to store its
equipment and perform its services.
2.4 CLIENT shall provide a representative at the site to
supervise and coordinate the job upon 24-hour request by RTF&A.
3. Remedies:
The following rights and remedies shall be cumulative:
3.1 RTF&A shall have the right to stop work if any payment
has not been made when due and may keep the project idle until all
payments due are received.
3.2 The provisions of this AGREEMENT shall be
specifically enforceable.
4. Dispute Resolution:
In an effort to resolve any conflicts that arise during the design
and construction of the project or following the completion of the
project, CLIENT and RTF&A agree that all disputes between them
arising out of or relating to this AGREEMENT or the project shall be
submitted to nonbinding mediation unless the parties mutually agree
otherwise.
5. Test Holes:
RTF&A agrees to cover all open test holes and place a cover
on each such hole prior to leaving site unattended. All test holes will
be backfilled upon completion of the job. Settlement of backfill may
occur. CLIENT is responsible to fill in all settlement of test holes. If
CLIENT requests test holes to remain open after completion of
RTF&A's work, CLIENT agrees to pay for all costs in connection with
covering and backfilling said test holes at a later date and shall
indemnify RTF&A for all claims, demands and liabilities arising from
the test holes remaining open and also from the later backfilling and
covering of said holes.
6. Limitation of Liability.-
6.1 For purposes of this Section 5, the term RTF&A shall
include not only RTF&A but its agents, servants and employees.
6.2 For any injury or damages to persons or property on
account of any error, omission or other professional negligence,
RTF&A's liability to CLIENT and to any partner, principal, agent,
employee, contractor, subcontractor or other person who performs
work on site, and to any person who obtains title to or possession of
site or any part thereof (or those claiming under or through any of
the foregoing) shall be such that the total aggregate liability of
RTF&A to all those named will not exceed RTF&A's fee, or the sum
of $50,000, whichever is greater.
6.3 RTF&A shall have the right to post these terms and
conditions on site and to notify anyone of said terms and conditions.
6.4 No action or claim arising out of or connected with the
site or any part thereof, or the services to be rendered by RTF&A
hereunder, may be brought against RTF&A by CLIENT, or by any
partner principal, agent, employee, contractor, subcontractor or
other person who performs work on site, any person who obtains
title to or possession of site or any part thereof, or those claiming
under or through any of the foregoing, unless such action is
commenced within two (2) years from the date this AGREEMENT.
6.5 This AGREEMENT is entered into solely for the benefit
of CLIENT and RTF&A is in no way intended to benefit or extend
any right or interest to any third party. It is the intention of the parties
that any benefit derived by any third party is merely incidental to and
unintended by this AGREEMENT.
7. Disclaimer of Warranties:
No warranty, expressed or implied, of any kind, is made or
intended in connection with work actually performed by RTF&A
under this AGREEMENT, or bythe factthat RTF&A isfurnishing oral
or written reports or findings.
8. Indemnity.
As used herein, indemnity or indemnify shall mean that
CLIENT will hold and save RTF&Afree and harmless and indemnify
and keep RTF&A indemnified from and against any and all liability,
claims, demands, actions, causes of action, costs or expenses,
including but not limited to reasonable attorney fees incurred by
RTF&A as the results of (i) CLIENT failing to properly perform any
provision required to be performed by CLIENT pursuant to this
AGREEMENT or (ii) as a result of RTF&A being made a party to any
litigation, or (iii) as a result of RTF&A rendering professional services
hereunder, or (iv) as a result of the act or event against which
RTF&A is indemnified, or (v) as a result of any hazardous material
or underground storage tank discovered on the site.
9. Change in Condition or Services:
9.1 Fluctuations in the level of groundwater may occur due
to variations in rainfall, temperature and other factors not evident at
the time measurements are made and reported. The level of
groundwater may also vary across the site.
9.2 Subsurface conditions, excavation characteristics and
geologic structure will be projected from individual borings or test
holes placed on the site; this should not be construed to reflect any
variation which may occur between the borings or test holes.
9.3 Should changes be made in the design or location of
structures on the site, no report or findings should be considered
valid unless the changes are reviewed and approved by RTF&A.
9.4 RTF&A shall not be responsible for injury or damage to
the site or any improvements now or hereafter located thereon,
including any structures.
9.5 When any or all RTF&A's services are to be on an
intermittent or "on call" basis, RTF&A will be unable to provide an
opinion concerning any such work unless RTF&A field
representatives have timely and sufficient opportunities for testing
and observation during construction.
9.6 RTF&A's services do not include supervision or
coordination or scheduling of work, or a review or evaluation of the
adequacy of any contractor's safety measures in or near the site.
9.7 RTF&A will not be responsible for general safety on the
site or for the work of others.

9.8 RTF&A is entering into the AGREEMENT on CLIENT's
representations to RTF&A that no hazardous materials or
underground storage tanks exist on or under the site. In the event
any hazardous materials or underground storage tanks are
discovered, such shall constitute a change in condition so that
RTF&A may terminate this AGREEMENT or be entitled to payment
on the basis of additional work being performed. In either event,
RTF&A is hereby authorized to take immediate measures to protect
the health, safety and property of CLIENT, RTF&A, and others from
the hazardous materials and underground storage tank, and any
and all costs related to or concerning said hazardous materials or
underground storage tank, shall be borne by CLIENT.
9.9 As used herein "hazardous materials" shall include but
not be limited to any materials or substances in whatever form that
are known or suspected to be harmful to human health and safety,
as well as materials classified as pollutants or contaminants by any
federal, state or local law or regulation.
10. Merger Clause:
This AGREEMENT, including any Schedule, constitutes a
final, complete and total integration of any and all understandings
between the parties. No prior AGREEMENTS or understandings
pertaining to the subject matter of this AGREEMENT shall be
effective for any purpose. Any subsequent change, alteration,
addition or modification must be mutually agreed upon, in writing,
and signed by both parties.
11. Individual Responsibility.
If CLIENT is a corporation, the individual(s) signing this
AGREEMENT on behalf of CLIENT guarantee that CLIENT will
perform its duties hereunder and warrants each individual is duly
authorized to sign this AGREEMENT on behalf of CLIENT.
12. Assignment.
The rights and obligations of CLIENT shall not be assigned or
delegated without the prior written consent of RTF&A. Subject to
the foregoing, each party to this AGREEMENT binds itself, its
successors, administrators and assigns in respect to all covenants
and promises of this AGREEMENT.
13. Termination ofAgreement
13.1 In the event either party desires to terminate this
AGREEMENT prior to completion of the project, written notification
of such intention to terminate must be rendered to the other party
and RTF&A shall be paid for all services performed to the
termination date. In the event that CLIENT notifies RTF&A of such
intention to terminate RTF&A's services prior to completion, RTF&A
reserves the right to complete pending analysis, dispose of samples,
put equipment in order, and where considered necessary, to
complete a report on the work performed to date. In the event of
CLIENT's termination of this AGREEMENT, a termination charge to
cover RTF&A's costs shall be paid by CLIENT to RTF&A in addition
to any other fees or charges.
13.2 If the site or any part thereof is destroyed by earthquake
or other catastrophe RTF&A will be paid for all work performed
theretofore, and both parties will be relieved of any further
obligations hereunder.
14. Force Majeure:
RTF&A shall have no liability for any delay or for any act or
event caused by acts of God, CLIENT or CLIENT's agent, weather,
labor trouble, acts of public utilities, public bodies or public officials,
acts or contractors or subcontractors, or other contingencies beyond
the reasonable control of RTF&A.
15. Notices:
Any notice required or permitted hereunder shall be given by
personal service or registered or certified mail, return receipt
requested, addressed as indicated, but such address may be
changed by written notice given by one party to the other from time
to time. Notice shall be deemed received twenty-four (24) hours
after deposit in the mail or upon personal service.
16. Validity:
Should any provision of this AGREEMENT be held invalid or
in violation of any law or regulation, any such provision shall be
deemed stricken from this AGREEMENT and shall not affect the
validity of the remaining provisions of this AGREEMENT as a whole.
17. Miscellaneous Provisions:
17.1 The paragraph or section headings are for the purposes
of convenience only and are not an integral part of this
AGREEMENT.
17.2 This AGREEMENT shall be deemed executed at Santa
Clarita, California, when signed by an officer of RTF&A. Neither
submission of this AGREEMENT nor any quotation shall be
considered binding on RTF&A.
17.3 CLIENT acknowledges that late payment by CLIENT to
RTF&A of RTF&A's fees and costs will cause RTF&A to incur
expenses not contemplated bythis AGREEMENT, the exact amount
of which are extremely difficult and impracticable to fix. Therefore,
if any payment due from CLIENT is not received by RTF&A within
ten (10) days of its due date, CLIENT shall pay to RTF&A an
additional sum of up to eighteen percent (18%) of the overdue
amount as a late charge. This late charge represents a fair and
reasonable estimate of the costs that RTF&A will incur by reason of
late payment by CLIENT. Neither the imposition nor acceptance of
any late charge shall prevent RTF&A from exercising any of the
other rights and remedies available to RTF&A hereunder.
"Received" as used herein means the money is paid to RTF&A in
cash, or credited to RTF&A's account, without the possibility of said
credit being revoked or refunded.

1. Control Establishment:
- Locate and verify the existing Horizontal and Vertical control Network provided on plan and set
additional control points for construction purposes.
2. Rough Grade Staking:
- Provide Temporary benchmark for contractor grading use.
- Stake center drainage basin for RG construction
- Stake hardscape in key locations for grading control.
- Provide a RG topo for grading verification.
3. Improvements Staking:
- Stake underground utilities and storm drain.
- Stake proposed curb for Curb construction with grades to top of curb.
- Stake all ADA ramps, crosswalks and bus turnouts.
- Stake cross gutter and drainage swale.
- Stake retaining wall at easterly end of project

General notes
1. Please allow forty-eight (48) hours advance notice for one crew and seventy-two (72) hours advance notice
for two crews. This will help insure that a crew will be available to meet your construction schedule.
2. In the event of simultaneous requests please establish the staking priority upon request.
3. Please be sure the area to be staked is cleared and ready for stakes.
4. Stakes should be used within a reasonable time of staking to ensure quality and accuracy.
5. This cost is based on daytime working hours. Night work and mandatory overtime charges will be billed as
extra work.
5. Construction meetings will be attended on a time and material basis.
7. All Time and Material items are subject to a 2 hour minimum.
S. Control establishment: Client to provide electronic files with centerline, boundary and field datum used for
this design. This is not a boundary survey.
9. This proposal is valid for 60 days.
10. Stakes that do not comply with the latest plan or industry standards shall be voided and our office notified
prior to any construction.
11. Any cut and fill depths which may be marked on survey lath are shown for the Contractor's convenience
only and are not to be solely relied on for construction, the information shown on the cut sheet shall take
precedence over any marks shown on field stakes.
12. Vertex Survey, Inc. recommends and reserves the right to inspect, prior to any concrete pour, the following:
curb forms, curb wire guides, building/abutment foundation forms, bolt patterns, catch basin forms,
structure forms etc... and failure to request said inspection will render Vertex Survey, Inc. harmless of any
resulting errors or emissions.
13. We recommend that construction stakes and/or markings be protected and used immediately as Vertex
Survey, Inc. cannot guarantee their accuracy after equipment and foot traffic occurs near these points.
14. This agreement may be terminated upon: (a) written notice from either client or Surveyor prior to any
expenses being incurred on client's behalf; or (b) client's payment for expenses and services rendered up to
the date of Surveyor's receipt of client's written notice to terminate.

Thank you for the opportunity to provide a quote for inspection services for the Vista Canyon
Project. Having recently completed similar projects for the City I am familiar with the work and
hours necessary to manage such a project and successfully work with contractors, city staff, and
other local agencies. I look forward to helping in any way I can.
My rate for this project would be $60 per hour flat rate for all services, day or night.
SCOPE OF SERVICES
1. Work with Contractor and City staff during planning and installation to ensure that best
practices are used and quality control is maintained. This includes plan review as well as
material selection.
2. Daily Project Logs and Reports detailing work performed by contractors and subcontractors,
staff on -site, equipment & material used, as well as other pertinent information.
3. Oversee all aspects of irrigation system installation.
A. Irrigation controller, metering, and backflow installation.
B. Irrigation pipe placement, protection and installation.
C. Proper assembly and installation of a valve and sprinkler assemblies.
D. Ensure that practices are followed for water conservation and irrigation system
longevity.
4. Oversee and manage installation of all plant materials.
A. Topsoil selection and quality control.
B. Plant and tree selection including tagging of materials before delivery.

D. Ensure that best practices are followed for long term health of trees and plants.

E. Manage and inspect installation of decorative hardscape features and special rock

5. Provide daily on -site inspection.
A. Normally this would entail 1.5+ hours in the morning beginning at 7 AM and 1.5+ hours
in the afternoon.
B. Attend all necessary meetings with Contractors and City Staff.
c. Available 24 hours a day for any emergencies.
D. Travel to nursery and material providers to personally tag plant material (if necessary).
Estimated hours required:
55 hours for a total cost not to exceed $3,300.00

8.3 Review and respond to Request for Information (RFI) or Change Request (CR) from the
City or Contractor within 3 working days from the time of notice. (3 total RFI/CR)
8.4 Review/respond to Contractor product and shop drawing submittals for conformity
with the plans & specs. PCLD will provide a list or required project submittals prior to job
start. (10 landscape specific submittal reviews and responses)
8.5 Assist City Representative with the final job walk to develop a punch list for the
contractor to complete. Include follow up walk with City Representative to confirm
completion of punch list items. (1 punchlist walk with written report and 1 follow up visit)
8.6 Prepare Record Drawings upon completion of the project and acquire the
Contractor's daily red lined plans from the Contractor and their subcontractors. Final
Record Drawing will need to be both in electronic files (CAD and PDF)
Assumptions:
• Construction administration tasks listed above are estimated hourly services based on the
expected number of Contractor'Working Days'.
• All construction phase services provided will be billed at the regular office rates not to
exceed the lump sum total listed for Task 8.1. Should additional construction
administration hourly services be required, they will first be authorized by the City project
manager.
