RECOMMENDED ACTION
City Council approve and authorize the City Manager or designee to execute the attached Grant
of Easement (EAS20-00007) to Southern California Edison, subject to final language approval
by the City Attorney.
BACKGROUND
Southern California Edison has requested an 18 foot -wide road easement over the existing dirt
access road on property previously dedicated to the City of Santa Clarita (City), Assessor's
Parcel Number 2827-052-900. Edison will use this road to access their property adjacent to this
parcel and the Needham Ranch project.
The Needham Ranch project was originally approved by the City Council on June 24, 2003, as a
part of Master Case 99-264, including the certification of the Environmental Impact Report
prepared for the project, along with the following entitlements: Tentative Tract Map 50283; the
Development Agreement; General Plan Amendment; Zone Change; Conditional Use Permit;
Hillside Review; and Oak Tree Permit. The Final Tract Map for Tract No. 50283-01 was
approved by City Council on February 27, 2018.

THE CITY OF SANTA CLARITA, a municipal corporation, does hereby grant to SOUTHERN
CALIFORNIA EDISON COMPANY, a corporation, its successors and assigns, hereinafter called
Grantee, an easement and right of way to construct, reconstruct, use, maintain and repair existing
and proposed roadway(s) in, on, over, along and across that certain real property in the City of Santa
Clarita, County of Los Angeles, State of California, described as follows: M
Lot 10 of Tract No. 50283-01, in the City of Santa Clarita, County of Los Angeles, State of
California, as shown on map filed in Book 1403, Page 71 through 78 Inclusive of Maps, in the Office of
the County Recorders, in said County.
The approximate location of said roadway(s) is more particularly described on the Exhibit "A"
and more particularly depicted on the Exhibit "B", both attached and by this reference made a part
hereof.
In the event that public roads are constructed, which in the sole opinion of the Grantee, its
successors or assigns, will provide Grantee with access as convenient and adequate as that which
Grantee, its successors or assigns, may then be using, Grantee, its successors or assigns, agree to
quitclaim any such portion or portions of the rights herein granted which are no longer required
hereunder as may be determined by Grantee, its successors or assigns.

ADDENDUM TO ROAD EASEMENT

This Addendum to Road Easement ("Addendum") is attached to and made a part of the
Road Easement ("Road Easement"), executed , 20207 by the City
of Santa Clarita ("Grantor") in favor of the Southern California Edison Company
("Grantee").
The following terms are added to the Road Easement-
1 . Grantor specifically reserves the right to grant other easements in, on, under, over,
along and across the easement and right of way herein granted, provided, that the
exercise of such reserved right does not unreasonably interfere with Grantee's free use
and enjoyment of the Easements.
2. Grantee hereby agrees to indemnify, protect, defend and hold Grantor, its officials,
officers, agents and employees free and harmless from and against any and all claims,
demands, losses, liabilities, damages, actions, judgments, costs and expenses (including
reasonable attorneys' fees and costs and expenses in connection therewith) which they,
or any of them, may suffer or incur arising out of (i) the exercise of Grantee's rights herein
granted or (ii) the use of, or the conduct of any activities on the easement and right of way
granted herein by Grantee, or any employee, agent, servant, contractor, invitee, licensee,
or permittee of Grantee.
