HomeMy WebLinkAbout2022-09-27 - RESOLUTIONS - ENERGY EFFICIENCY PGM LOANRESOLUTION NO. 22-56 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SANTA CLARITA, CALIFORNIA, AUTHORIZING THE APPLICATION FOR AN ENERGY EFFICIENCY LOAN FROM THE CALIFORNIA ENERGY COMMISSION TO IMPLEMENT ENERGY EFFICIENCY MEASURES IN THE AMOUNT NOT TO EXCEED $3,000,000, AND AUTHORIZING THE EXECUTION AND DELIVERY OF A LOAN AGREEMENT, PROMISSORY NOTE AND TAX CERTIFICATE AND THE TAKING OF CERTAIN ACTIONS IN CONNECTION THEREWITH. WHEREAS, the City of Santa Clarita, California (City), desires to finance certain energy efficiency improvements for City buildings and facilities, including but not limited to, HVAC, lighting, water conservation, solar, and refrigeration improvements (the "Project") through the issuance of tax-exempt bonds, cash and a loan with the California Energy Commission; and WHEREAS, the California Energy Commission provides loans to schools, hospitals, local governments, special districts, and public care institutions to finance energy efficiency improvements. NOW, THEREFORE, the City Council of the City of Santa Clarita, California, does hereby resolve as follows: SECTION 1. Recitals. All of the above recitals are true and correct and the City Council so finds. SECTION 2. Authorizes Application. The City Council of the City (City Council) hereby authorizes the City to apply for energy efficiency loan from the California Energy Commission to implement energy efficiency measures (Loan). SECTION 3. CEQA. In compliance with the California Environmental Quality Act (CEQA), the City finds that the activity funded by the Loan qualifies in whole for a Categorical Exemption under Section 15301 of the CEQA because the loan will fund activity to existing, City - owned facilities. SECTION 4. Authorization of Loan. If recommended for funding by the California Energy Commission, the City Council authorizes the City to accept the Loan up to $3,000,000. SECTION 5. Security for the Loan. The amount of the Loan will be paid in full, plus interest, under the terms and conditions of the Loan Agreement, Promissory Note and Tax Certificate of the California Energy Commission, which documents are on file with the City Clerk and presented to the City Council at this meeting. SECTION 6. Approval of Loan Agreement, Promissory Note and Tax Certificate. The Loan Agreement, Promissory Note and Tax Certificate, in substantially the form on file with the a' City Clerk and presented to the City Council at this meeting, is hereby approved. Any one of the Mayor, the City Manager of the City, the Assistant City Manager, or City Treasurer (each, an "Authorized Officer"), is hereby authorized and directed, for and in the name and on behalf of the Page 1 of 2 City, to execute and deliver the Loan Agreement, Promissory Note and Tax Certifciate, with such revisions, amendments and completions as shall be approved by an Authorized Officer, with the advice of Bond Counsel in consultation with the City Attorney, such approval to be conclusively evidenced by such execution and delivery thereof. SECTION 7. Other Actions. Any Authorized Officers is hereby authorized and empowered to execute in the name of the City all necessary documents to implement and carry out the purpose of this resolution, and to undertake all actions necessary to undertake and complete the energy efficiency projects. SECTION 8. Effective Date of Resolution. This resolution shall take effect immediately upon its adoption. PASSED, APPROVED, AND ADOPTED this 27th day of September 2022.
