RECOMMENDED ACTION
City Council:
Amend the existing contract with Wildscape Restoration, Inc., to increase the scope of work
for invasive plant removal and authorize an expenditure authority increase in the amount of
$50,000, for a total contract amount not to exceed $99,760.
2. Authorize the City Manager or designee to execute all contracts and associated documents,
subject to City Attorney approval.
BACKGROUND
The City of Santa Clarita (City) owns 297 acres of property in and around the Santa Clara River
between South Fork and San Francisquito Creek, as shown in attached Exhibit A and B. In 2005,
the City started a multi -year effort to abate invasive plants from the property. The invasive plants
identified on the site include arundo, tamarisk, castor bean, and tree tobacco.
Arundo is a fast-growing, perennial bamboo that can reach 30 feet in height and consumes three
to four times the amount of water of native plants. Additionally, arundo provides a desirable
location for encampments within the river bed. Recent fires in the river bed have shown arundo
catching fire from these encampments. Arundo survives drought and flooding, is flammable in
nature, and grows back quickly after a disaster. Removal of arundo supports the Santa Clarita
2025 theme of Sustaining Public Infrastructure.
During the Fiscal Year (FY) 2021-22 budget process, the City Council authorized a Capital
Improvement Project for arundo removal, and appropriated $50,000 for that effort. After
adoption of the FY 2021-22 budget, the City conducted a Request for Proposal (RFP) process to
solicit proposals from qualified companies who acquire permits and permissions, conduct

monitoring, remove arundo and tamarisk, and provide follow up reporting. To improve
maintenance standards and enforce contractor accountability, this procurement utilized weighted
criteria to evaluate and score proposals. The following categories comprised the weighted criteria
used to evaluate the proposal:
• Contractor qualifications (30%)
• Thoroughness of scope of work (30%)
• References (20%)
• Cost of services provided (20%)
The RFP was sent to three qualified vendors on November 2, 2021. Only one proposal was
received, from Wildscape Restoration, Inc. (Wildscape). A panel of three City staff members
evaluated and scored the proposal based on the selection criteria above. The proposal was given
a score of 84.6 points, and a contract was awarded to Wildscape in the amount of $49,760. As a
result of unanticipated delays in obtaining permits required for the contractor to work in the river
bed, the FY 2021-22 project has not been completed.
During the FY 2022-23 budget process, the City Council authorized another Capital
Improvement Project for arundo removal, and appropriated an additional $50,000 for that effort.
Due to the lack of other bidders and the City's satisfaction with the work of Wildscape, staff
recommends increasing the scope of work and amending the current contract with Wildscape for
the additional authorized Capital Improvement Project funds, for a total contract amount not to
exceed $99,760.
ALTERNATIVE ACTION
Other action as determined by the City Council.
FISCAL IMPACT
Adequate funds in the amount of $99,760 are available in Capital Improvement Project
expenditure accounts R0027356 and R1007356 (Stormwater Fund).

THIS FIRST AMENDMENT ("Amendment") is made by and between the CITY OF
SANTA CLARITA, a general law city and municipal corporation existing under the laws of
California ("CITY"), and WILDSCAPE RESTORATION, INC.
("CONTRACTOR"), and relates to that certain Maintenance Agreement dated 12/23/2021
INVASIVE PLANT REMOVAL
(the "Agreement").

MAINTENANCE AGREEMENT
BETWEEN
THE CITY OF SANTA CLARITA
AND
WILDSCAPE RESTORATION, INC.
FOR
INVASIVE PLANT REMOVAL
THIS MAINTENANCE AGREEMENT ("Agreement") is made by and between the CITY OF
SANTA CLARITA, a general law city and municipal corporation ("CITY") and
WILDSCAPE RESTORATION, INC. ("CONTRACTOR").
The Parties agree as follows:
A. As partial consideration, CONTRACTOR agrees to perform the work listed in the
SCOPE OF SERVICES, below, and
B. As additional consideration, CONTRACTOR and CITY agree to abide by the
terms and conditions contained in this Agreement; and
C. As additional consideration, CITY agrees to pay CONTRACTOR an amount as set
forth in the attached Exhibit "A ," which is incorporated by reference, for
CONTRACTOR's services. CITY will pay such amount promptly, but not later
than thirty (30) days after receiving CONTRACTOR's invoice.
2. TERM. The term of this Agreement will be from 12/17/2021, to 06/30/2022. The
Agreement may be renewed upon mutual consent of the parties.
3. SCOPE OF SERVICES.
A. CONTRACTOR will perform services listed in the attached Exhibit- A "
B. CONTRACTOR will, in a workmanlike manner, furnish all of the labor, technical,
administrative, professional and other personnel, all supplies and materials,
equipment, printing, vehicles, transportation, office space and facilities, and all
tests, testing and analyses, calculation, and all other means whatsoever, except as
herein otherwise expressly specified to be furnished by CITY, necessary or proper

to perform and complete the work and provide the professional services required
of CONTRACTOR by this Agreement.
C. CONTRACTOR guarantees each portion of the services as installed against
defective materials and workmanship for a period of one (1) year from date of
CITY's written acceptance of the work. Promptly upon CITY's request within
that one (1) year period, CONTRACTOR agrees to correct by repair or
replacement without charge to CITY any defects which may appear in the work or
any portion thereof. Notwithstanding the foregoing, all guarantees and warranties
obtained by CONTRACTOR from manufacturers and vendors of equipment used
in the performance of the services shall be extended to CITY's benefit for the full
limit of their terms.
4, PREVAILING WAGES.
A. DEPARTMENT OF INDUSTRIAL RELATIONS REQUIREMENTS. No
contractor or subcontractor may be listed on a bid proposal for a public works
project (submitted on or after March 1, 2015) unless registered with the
Department of Industrial Relations pursuant to Labor Code Section 1725.5 [with
limited exceptions from this requirement for bid purposes only under Labor Code
Section 1771.1(a)]. No contractor or subcontractor may be awarded a contract for
public work on a public works project (awarded on or after April 1, 2015) unless
registered with the Department of Industrial Relations pursuant to Labor Code
Section 1725.5. This project is subject to compliance monitoring and enforcement
by the Department of Industrial Relations.
B. PREVAILING WAGES. If this contract is subject to the State prevailing wage
requirements of the California Labor Code including, but not limited to, Sections
1770, 1771.5, 1773, 177E and 1777.5. Contractor shall comply with California
prevailing wage laws including, to the extent applicable, Labor Code Section
1720.9. Pursuant to Section 1773 of the Labor Code, the general prevailing wage
rates in the county, or counties, in which the work is to be done have been
determined by the Director of the California Department of Industrial Relations.
These wages are set forth in the General Prevailing Wage Rates for this project,
available from the California Department of Industrial Relations' Internet web site
at http://www.dir.ca.govlOPRL/DPreWageDeterrnination.htm. Future effective
general prevailing wage rates which have been predetermined and are on file with
the California Department of Industrial Relations are referenced but not printed in
the general prevailing wage rates. A copy of the prevailing rate of per diem wages
shall be posted at the job site. The Contractor is responsible for obtaining a current
edition of all California statutes and regulations, and adhering to the latest editions
of such.
C. FEDERAL PREVAILING WAGE. If this is a federally funded project and the
Davis Bacon Act will be enforced. The current General Decision of wage
determinations issued by the United States Department of Labor is set forth at the
following website address: https:llbeta.sam.gov/. If there is a difference between

the prevailing wage rate determined by the Department of Labor and the prevailing
wage rate predetermined by the Director of Industrial Relations for similar
classifications of labor, the Contractor and its Subcontractors shall pay not less
than the higher prevailing wage rate. The Agency will not accept lower State
prevailing wage rates not specifically included in the Federal prevailing wage
determinations. This includes "helper" (or other classifications based on hours of
experience) or any other classification not appearing in the Federal prevailing
wage determinations. Where Federal prevailing wage determinations do not
contain the State prevailing wage rate determination otherwise available for use by
the Contractor and Subcontractors, the Contractor and Subcontractors shall pay not
less than the Federal prevailing wage rate which most closely approximates the
duties of the employee(s) in question. The prevailing wage rate for any
classification not listed by the Department of Labor or the Director of Industrial
Relations, but which may be required to execute the Contract, shall be in accord
with specified rates for similar or comparable classifications or for those
performing similar or comparable duties, within the Agency's determinations.
D. Protection of Resident Workers
The City of Santa Clarita actively supports the Immigration and Nationality Act
(INA), which includes provisions addressing employment eligibility, employment
verification, and nondiscrimination. Under the INA, employers may hire only
persons who may legally work in the United States (i.e., citizens and nationals of
the U.S.) and aliens authorized to work in the U.S. The employer must verify the
identity and employment eligibility of anyone to be hired, which includes
completing the Employment Eligibility Verification Form (I-9). The Contractor
shall establish appropriate procedures and controls so no services or products
under the Contract Documents will be performed or manufactured by any worker
who is not legally eligible to perform such services or employment.
5. FAMILIARITY WITH WORK.
A. By executing this Agreement, CONTRACTOR represents that CONTRACTOR
has:
Thoroughly investigated and considered the scope of services to be
performed; and
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONTRACTOR warrants that
CONTRACTOR has or will investigate the site and is or will be fully acquainted
with the conditions there existing, before commencing the services hereunder.
Should CONTRACTOR discover any latent or unknown conditions that may
materially affect the performance of the services, CONTRACTOR will

immediately inform CITY of such fact and will not proceed except at
CONTRACTOR's own risk until written instructions are received from CITY.
C. CONTRACTOR represents that the CONTRACTOR agrees to comply with all
applicable federal and state workplace and employment laws including those that
relate to minimum hours and wages, occupational health and safety, workers
compensation insurance and state, county and local orders.
b. INSURANCE.
A. Before commencing performance under this Agreement, and at all other times this
Agreement is effective, CONTRACTOR will procure and maintain the following
types of insurance with coverage limits complying, at a minimum, with the limits
set forth below:

B. Commercial general liability insurance will meet or exceed the requirements of
ISO-CGL Form No. CG 00 01 11 85 or 88. The amount of insurance set forth
above will be a combined single limit per occurrence for bodily injury, personal
injury, and property damage for the policy coverage. Liability policies will be
endorsed to name City, its officials, and employees as "additional insureds" under
said insurance coverage and to state that such insurance will be deemed "primary"
such that any other insurance that may be carried by City will be excess thereto.
Such insurance will be on an "occurrence," not a "claims made," basis and will not
be cancelable or subject to reduction except upon thirty (30) days prior written
notice to City.
C. Automobile coverage will be written on ISO Business Auto Coverage Form
CA 00 01 06 92, including symbol 1 (Any Auto).
D. CONTRACTOR will furnish to City duly authenticated Certificates of Insurance
evidencing maintenance of the insurance required under this Agreement,
endorsements as required herein, and such other evidence of insurance or copies of
policies as may be reasonably required by City from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating equivalent to at
least a Rating of "A:VII." Certificate(s) must reflect that the insurer will provide
thirty (30) day notice of any cancellation of coverage. CONTRACTOR will
require its insurer to modify such certificates to delete any exculpatory wording
stating that failure of the insurer to mail written notice of cancellation imposes no
obligation, and to delete the word "endeavor" with regard to any notice provisions.

E. Waiver of Subrogation: The insurer(s) agree to waive all rights of subrogation
against CITY, its elected or appointed officers, officials, agents, volunteers and
employees for losses paid under the terms of the workers compensation policy
which arise from work performed by CONTRACTOR for CITY.
F. Should CONTRACTOR, for any reason, fail to obtain and maintain the insurance
required by this Agreement, City may obtain such coverage at CONTRACTOR's
expense and deduct the cost of such insurance from payments due to
CONTRACTOR under this Agreement or terminate. In the alternative, should
CONTRACTOR fail to meet any of the insurance requirements under this
agreement, City may cancel the Agreement immediately with no penalty.
G. Should Contractor's insurance required by this Agreement be cancelled at any
point prior to expiration of the policy, CONTRACTOR must notify City within 24
hours of receipt of notice of cancellation. Furthermore, CONTRACTOR must
obtain replacement coverage that meets all contractual requirements within 10
days of the prior insurer's issuance of notice of cancellation. CONTRACTOR
must ensure that there is no lapse in coverage.
7. TIME FOR PERFORMANCE. CONTRACTOR will not perform any work under this
Agreement until:
A. CONTRACTOR furnishes proof of insurance as required under Section 6 of this
Agreement; and
B. CITY gives CONTRACTOR a written Notice to Proceed.
C. Should CONTRACTOR begin work in advance of receiving written authorization
to proceed, any such professional services are at CONTRACTOR's own risk.
8. TERMINATION.
A. CITY may terminate this Agreement at any time with or without cause.
B. CONTRACTOR may terminate this Agreement upon providing written notice to
CITY at least thirty (30) days before the effective termination date.
C. Should the Agreement be terminated pursuant to this Section, CITY may procure
on its own terms services similar to those terminated.
D. By executing this document, CONTRACTOR waives any and all claims for
damages that might otherwise arise from CITY's termination under this Section.
9. INDEMNIFICATION. CONTRACTOR agrees to indemnify and hold CITY harmless from
and against any claim, action, damages, costs (including, without limitation, attorney's fees),
injuries, or liability, arising out of the performance of this agreement by CONTRACTOR. Should

CITY be named in any suit, or should any claim be brought against it by suit or otherwise, arising
out of performance by CONTRACTOR of services rendered pursuant to this Agreement,
CONTRACTOR will defend CITY (at CITY's request and with counsel satisfactory to CITY)
and will indemnify CITY for any judgment rendered against it or any sums paid out in settlement
or costs incurred in defense otherwise.
10. INDEPENDENT CONTRACTOR. CITY and CONTRACTOR agree that CONTRACTOR
will act as an independent contractor and will have control of all work and the manner in which is
it performed. CONTRACTOR will be free to contract for similar service to be performed for
other employers while under contract with CITY. CONTRACTOR is not an agent or employee
of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits
CITY provides for its employees. Any provision in this Agreement that may appear to give CITY
the right to direct CONTRACTOR as to the details of doing the work or to exercise a measure of
control over the work means that CONTRACTOR will follow the direction of the CITY as to end
results of the work only.

writing and may be given by personal delivery or by mail. Notice sent by mail

B. When addressed in accordance with this paragraph, notices will be deemed given
upon deposit: in the United States mail, postage prepaid. In all other instances,
notices will be deemed given at the time of actual delivery.
C. Changes may be made in the names or addresses of persons to whom notices are to
be given by giving notice in the manner prescribed in this paragraph.
1.2. TAXPAYER IDENTIFICATION NUMBER. CONTRACTOR will provide CITY with a
Taxpayer Identification Number.
13. WAIVER. A waiver by CITY of any breach of any term, covenant, or condition contained in
this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any
other term, covenant, or condition contained in this Agreement, whether of the same or different
character, nor will it be deemed to constitute a continuing waiver.

14. CONSTRUCTION. The language of each part of this Agreement will be construed simply
and according to its fair meaning, and this Agreement will never be construed either for or against
either party.
15. SEVERABLE. If any portion of this Agreement is declared by a court of competent
jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the
extent necessary in the opinion of the court to render such portion enforceable and, as so
modified, such portion and the balance of this Agreement will continue in full force and effect.
16. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of
reference only and will not affect the interpretation of this Agreement.
17. INTERPRETATION. This Agreement was drafted in, and will be construed in accordance
with the laws of the State of California, and exclusive venue for any action involving this
agreement will be in Los Angeles County.
18. AUTHORITY/MODIFICATION. This Agreement may be subject to and conditioned upon
approval and ratification by the Santa Clarita City Council. This Agreement is not binding upon
CITY until executed by the City Manager. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this Agreement and to
engage in the actions described herein. This Agreement may be modified by written agreement.
CITY's City Manager may execute any such amendment on behalf of CITY.
19. ACCEPTANCE OF FACSIMILE SIGNATURES. The Parties agree that this Agreement,
agreements ancillary to this Agreement, and related documents to be entered into in connection
with this Agreement will be considered signed when the signature of a party is delivered by
facsimile transmission. Such facsimile signature will be treated in all respects as having the same
effect as an original signature.
20. EFFECT OF CONFLICT. In the event of any conflict, inconsistency, or incongruity between
any provision of this Agreement, its attachments, the purchase order, or notice to proceed, the
provisions of this Agreement will govern and control.
21. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood,
explosion, war, terrorist act, embargo, government action, civil or military authority, the natural
elements, or other similar causes beyond the Parties' control, then the Agreement will
immediately terminate without obligation of either party to the other.
22. ENTIRE AGREEMENT. This Agreement and its one attachment constitutes the sole
agreement between CONTRACTOR and CITY respecting maintenance. To the extent that there
are additional terms and conditions contained in Exhibit " A " that are not in conflict with this
Agreement, those terms are incorporated as if fully set forth above. There are no other
understandings, terms or other agreements expressed or implied, oral or written.
23. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.

CHECKLIST OF LABOR LAW REQUIREMENTS

Contractor: WILDSCAPE RESTORATION, INC.
Project Name: INVASIVE PLANT REMOVAL
This contract is designated as a Public Works Project, which is subject to compliance monitoring and
enforcement by the Department of Industrial Relations. The federal and state labor law requirements
applicable to the contract are composed of, but not limited to, the following;
Payment of Prevailing Wage Rates:
The requirement on Public Works projects to pay at least the prevailing wage for the craft they are
performing (Labor Code Section 1770 et seq.), including any predetermined increases as applicable.
• If there is a difference between the minimum wage rates and the general prevailing wage rates for
similar classifications of labor, the Prime Contractor and subcontractors shall pay not less than the
higher wage rate.
• The Total Hourly Rate (including health and welfare, pension and vacation) must be included as part
of an employee's hourly wage rate. Work hours include travel on company time.
• In lieu of trust fund payments, training funds must be paid monthly by the 15`h of the following month
to the California Apprenticeship Council (CAC).
• APPLICABLE TO FEDERAL PROJECTS ONLY - If there is a difference between the State
prevailing wage rates and the Federal general prevailing wage rates for similar classifications of
labor, the Prime Contractor and subcontractors shall pay not less than the higher wage rate.
2. Bulletin Board Requirements
The requirement to post labor posters in English and Spanish at the job site (Labor Code Section
1771.4(a)(2)). Information must be accessible to any worker at any time. Photo proof needed for file. A
list of required postings can be found at htip://www.dir.ca.gov/nnodb.html.
Certified Payroll Records
The requirement to submit copies of weekly payroll records to the Department of Industrial Relations at
https:Ilwww.dir.ca. ovlPublic-WorkslCertified- Payroll -Reporting.htmI (Labor. Code Section 1776). This
includes and applies to all contractors, subcontractors, and owner operators performing work on City
projects even if their portion of the work is less than one half of one percent of the total amount of the
contract.
• Employee payroll records shall further be certified and shall be made available for inspection at all
reasonable hours at the principal office of the contractorlsubcontractor, or shall be furnished to any
employee, or to his or her authorized representative on request (Labor Code Section 1776).
Forward copies of certified payroll/associated forms for all contractors on this project to the Cite.
• Payroll records must include a Fringe Benefit Statement and non-performance statements for no work
weeks. Include the project name and number on all communication.
• APPLICABLE TO FEDERAL PROJECTS ONLY - Federal Davis Bacon Act requires
contractors to pay workers on a weekly basis. All contractors and owner operators must submit
wet copies of certified payroll to the City.
4. Apprentices — Only applicable if contract exeeeds $30, 000
The contractor's duty to employ registered apprentices on public works projects (Labor Code Section

• Copies of DAS 140 and DAS 142 with proof of submittal (registered mail or fax confirmation) must
be provided to the City.
• All apprentices working on Public Works projects must be registered with a State -approved
apprenticeship program.
• APPLICABLE TO FEDERAL PROJECTS ONLY - All apprentices must be registered with
the Federal Department of Labor apprenticeship program (DOL), in addition to a state -
approved program. DOL certification must be sent to the City with the payroll where the
apprentice first appears.

5. Penalties
The penalties for failure to pay prevailing wages and to employ apprentices, including forfeitures and
debarment under Labor Code Sections 1775, 1776, 1771.1 1777.7 and 1813,
« The City is required to file a complaint with the Department of Labor Standards Enforcement for
action on any issue not resolved at the City level. A portion of any progress payment to the prime
contractor may be delayed and/or withheld for non-compliance.
6. Nondiscrimination in Employment
The prohibition against employment discrimination under Labor Code Sections 1777.6: the Government
Code, and Title VII of the Civil Rights Act of 1964, as amended;
Kickback Prohibited
The prohibition against recapturing wages illegally or extracting kickback from employee's wages under
Labor Code Section 1778;
8. Acceptance of Fees Prohibited
The prohibition against accepting fees for registering any person for public works under Labor Code
Section 1779, or for tiling work orders on public works under Labor Code Section 1780,
9. Listing of Subcontractors
The requirement to list all contractors and owner operators, even those that are performing less than one-
hal f of one percent of the total amount of the contract (Public Contract Code Section 4100 et.seg.):
10. Proper Licensing and DIR Registration
The requirement to be properly Iicensed and to require all subcontractors to be properly licensed, and the
penalty for employing workers while unlicensed (Labor Code Section 1021 ) All contractors and owner
operators must be registered with the Department of Industrial Relations (Labor Code section 1725.5);
H . Unfair Competition Prohibited
The prohibition against unfair competition under Business and Professions Cade Sections 17200-17208);
12. Workers' Compensation Insurance
The requirement that the contractor and subcontractor be properly insured for Workers' Compensation
(Labor Code Section 1 861);
13. OSHA
The requirement that the contractor abide by the federal and state Occupational Safety and Health laws
and regulations that apply to the particular public works project,
1.4. Undocumented Workers
The federal prohibition against hiring undocumented workers, and the requirements to secure proof of
eligibility/citizenship from all workers;
15. Itemized Wage Statements
The requirements to provide itemized wage statements to employees under Labor Code Section 226.

C. With respect to the insurance afforded to these additional insureds, the following is added to Section III —
Limits Of Insurance And Deductible:
If coverage provided to the additional insured is required by a contract or agreement, the most we will pay on
behalf of the additional insured is the amount of insurance:
1. Required by the contract or agreement; or
2. Available under the applicable Limits of Insurance shown in the Declarations;
whichever is less.
This endorsement shall not increase the applicable Limits of Insurance shown in the Declarations.

a. The effective date of cancellation is prior to the expiration date of this Policy; and
b. You are under an existing written contractual obligation to notify a certificate holder when this Policy is canceled
and have provided to us, either directly or through your broker of record, the email address of a contact at each
such certificate holder; and
c. We received this information after you received notice of cancellation of this Policy and prior to the effective date of
cancellation, via an electronic spreadsheet that is acceptable to us,
We will provide notice of cancellation via email to each such certificate holder within thirty (30) days of your providing
such information to us. Proof of our emailing the notice of cancellation, using the information provided by you, will
serve as evidence that we have satisfied our obligations under this condition.

Thank you for the opportunity to provide the City of Santa Clarita with a proposal for non-native
invasive plant removal. The project area is located near the Iron Horse Trailhead off of Magic
Mountain Parkway in Santa Clarita, CA.
The ongoing efforts of invasive species removal are a part of the Santa Clara River Arundo and
Tamarisk Removal Plan (SCARP) Site Specific Implementation Project (SSIP) in the City of Santa
Clarita. This round of work focuses on treatment and removal of arundo (Anindo donax) and
tamarisk (Tanrarix sp.). The project work includes permitting, a pre -construction survey and
report, initial removal and treatment of arundo and tamarisk with a biological monitoring,
retreatment events, and a completion report detailing all project work. The designated work area
was visited on November 5, 2021. The work area has dense stands of arundo that are
approximately 10-30 feet tall. Based on budget availability from the City, it is assumed around
0.5 acre of arundo will be treated.
This proposal includes Wildscape Restoration's qualifications; staff qualifications; the proposed
number of staff utilized for the project; the scope of work including permitting, biological
services, invasive species treatment and disposal, and reporting; and references/recent work
examples. We have prepared the scope of work based on several assumptions. A cost estimate is
also provided with the scope of work.

1.0 Company Qualifications
Wildscape Restoration, Inc. (Wildscape) has prepared this proposal for the City of Santa Clarita
(City) for non-native invasive plant removal in the Santa Clara River. The proposed project entails
project management, agency coordination and permitting, biological services, and the removal of
arundo (Arundo donax) and tamarisk (Tamarix sp.) from approximately 0.5 acre in the Santa Clara
River,
The Ventura County Resource Conservation District (VCRCD) initiated the Santa Clarita Site
Specific Implementation Project (SSIP) to remove arundo and tamarisk from the Santa Clara River
in 2005 as part of the upper Santa Clara River Watershed Arundo/Tamarisk Removal Program
(SCARP). The SSIP focuses on a large set of parcels of the Santa Clara River owned by the City
within the Santa Clara River and the lowest reaches of two of its major tributaries, San
Francisquito Creek and the South Fork. The SSIP site is divided into eight work areas labeled A
through H.
Wildscape will work closely with regulatory agencies and the City to ensure permit compliance
during project activities. Wildscape's staff is familiar with the project area and has worked with
the VCRCD and the City to manage previous phases of the SSIP. Wildscape will coordinate with
the City to identify any issues, maintain desired scheduling, and fulfill permit requirements.
This proposal describes in detail, the scope of work and methodology for agency coordination,
biological monitoring, removal and herbicide treatment of non-native invasive plant species,
disposal of biomass, and project management.
The focus area of the project to removal arundo from a new area near the Iron Horse Trailhead.
This area is not included in the Areas A-H but is an additional work area. This will require a
major amendment from the California Department of Fish and Wildlife (CDFW).
Removal efforts will consist of cutting arundo, treating it with herbicide, and hauling the biomass
into a roll off bin dumpster. Retreatment events will occur with a focus on foliar application of
herbicide to arundo regrowth.
2.0 Staff Qualifications
Noreen Murano, Managing Principal and Senior Biologist
Noreen Murano is the Managing Principal for Wildscape and has worked on this project from its
inception since 2004. She has 21 years of experience with habitat restoration, invasive plant
management, biological resource assessment, regulatory permitting, and environmental
planning. Ms. Murano has a Master of Business Administration from Santa Barbara Business
College and a Bachelor of Science degree from the University of California, Berkeley. She has
managed small and large-scale habitat restoration and mitigation projects with multiple habitat
types and phases throughout southern California. Ms. Murano has also managed and
implemented land use permitting and CEQA/NEPA document preparation. Ms. Murano has a
Landscape Contractor's License (C-27) from the California Contractor State License Board
(#890771), a Qualified Applicator's License (#108885) from the California Department of Pesticide
Regulation, and certified arborist (WE-11656A) from the International Society of Arboriculture.
Ms. Murano is also certified in Wetland Delineation by the National Wetland Science Training

Amanda Gibbs, Chief Operations Officer and Biologist
Amanda Gibbs is the Chief Operations Officer and Biologist, with five years at Wildscape
Restoration. Ms. Gibbs has a Bachelor of Arts degree with a major in Geography/Environmental
Studies and a minor in Chicana/o Studies from the University of California, Los Angeles. She has
provided direction for multiple restoration projects between Wildscape and its clients for five
years, including preparation of regulatory permit applications, regulatory compliance training
documents, progress monitoring and reporting, construction monitoring, and biological
monitoring. Ms. Gibbs has a Qualified Applicators License (#147197) for Categories B, C, and F
and has experience applying herbicide. Ms. Gibbs also received Wetland Delineation Training
and is a certified arborist through the International Society of Arboriculture (#WE-13342A),
Mary Logan, Senior Project Manager and Biologist
Mary Logan is a Senior Project Manager and Biologist with Wildscape Restoration. Ms. Logan
has a Bachelor of Science degree in Biology from the University of Puget Sound, and a Master of
Science degree in Fisheries and Wildlife Sciences from Virginia Tech. She has over 15 years of
experience in wildlife research, conservation, and habitat management and has worked with a
variety of special status wildlife species in California, the east coast, and abroad. Through her
work on several wildlife research projects and role with a non-profit land conservancy, she has
experience in study design, implementation, and analysis, conducting biological surveys and
monitoring, and planning and implementing habitat improvement projects. She also has worked
on regulatory permit applications and compliance for the Ventura County Watershed Protection
District.
Jill Jennings, Project Manager and Biologist
Jill Jennings is a Project Manager and Biologist at Wildscape Restoration. Ms. Jennings has a
Bachelor of Science degree in Biology with a minor in Environmental 5cient Resource
Management and a minor in Business Management from California State University, Channel
Islands. She has managed restoration projects between Wildscape and its clients for four years.
She has experience in performing biological surveys, progress monitoring, and mitigation
monitoring. She has prepared biological reports as well as provided regulatory permit
coordination. Ms. Jennings has a Qualified Applicator's Certificate (#151245) for Category F. She
is certified in Wetland Delineation through Swamp School, LLC. Ms. Jennings has
presence/absence survey experience for special status species including burrowing owls (Athene
cunicularia), least Bell's vireo (Vireo belhi pusillus) and California red -legged frog (Rana draytonii).
Katherine Hernandez, Operations Manager
Katherine Hernandez is the Operations Manager for Wildscape. She received her Associate of
Arts in Social and Behavioral Sciences from the Antelope Valley College in Lancaster, California.
Ms. Hernandez has over five years of experience removing non-native invasive plants, with an
emphasis on removing arundo. She has experience applying and mixing herbicides and using
mechanical equipment for non-native plant removal. She can identify native and non-native
plants to Southern California. Ms. Hernandez coordinates and directs crews in the field.

Task 1 Coordination with Regulatory Agencies and Permitting
Wildscape will notify the VCRCD, California Department of Fish and Wildlife (CDFW), United
States Army Corps of Engineers (USAGE), Regional Water Quality Control Board (RWQCB),
United Stated Fish and Wildlife Service (USFWS), and Los Angeles Department of Public Works
(LADPW) of activities and scheduling for the project.
Wildscape will coordinate with the VCRCD to utilize SCARP programmatic permits. Wildscape
will contact the LADPW to obtain of the flood control district permit. Wildscape will contact a
PCA to obtain a written recommendation and submit it to the Los Angeles Agricultural
Commissioner. Wildscape will coordinate with CDFW and the VCRCD to obtain a major
amendment to the Streambed Alteration Agreement (SAA) to include the work area in the
permits.

• The City understands it will be utilizing permits held by the VCRCD.

• The $5,000 permit fee paid to VCRCD covers the cost of the major amendment and Wildscape will not be
responsible for additional fees for acquiring the major amendment.
• Any delay in permitting or contract award could cause the arundo removal work to be shorter since the work
needs to be completed before Feb 2, 2022. This could result in less arundo being removed.
Task 2 Pre -Construction Survey and Personnel Education
Wildscape will work with Leatherman Bioconsulting, Inc. to conduct a pre -construction survey
for the species listed in the applicable permits. Surveys will determine presence/absence of each
species or will assume presence if previously observed. Survey results will be summarized in a
letter report. The survey will take place prior to initial removal work, but no more than three
weeks before work.
Wildscape biologist will conduct a pre -construction meeting with work crews to review the
schedule, permit requirements, and biological resource education for the project. Copies of the
permits will be distributed to personnel to be available at the work site.

Task 3 Biological Monitoring
Wildscape biologist will monitor all construction activities performed by work crews. The
biological monitor will facilitate regulatory compliance with the CDFW Streambed Alteration
Agreement (SAA) throughout the implementation period. Wildscape will ensure that BMPs,
protective measures for sensitive habitats and species, and ether applicable permit conditions in
the USFWS Biological Opinion, the USACE Section 404 permit, and the CDFW SAA are followed
during the implementation period. Biological monitoring activities will be performed by a CDFW
approved biologist.

• The City will allow access to the site immediately upon contracting with Wildscape,
• Wildscape may serve as the biological monitor, with CDFW approval.
Task 4 Initial Non -Native Invasive Plant Removal
Wildscape will perform initial arundo removal through the cut -and -paint method and dispose
cut arundo into 40-yard roll off dumpsters. Work will be approximately five days with a crew of
five to perform cut -and -paint with chainsaws and/or bladed weedwhackers. Herbicide will be
applied to the cut stumps of arundo within minutes of the initial cut. The cut biomass will be
hauled to the staging area to be disposed of. The estimated acreage of arundo removal is
approximately 0.5 acre. Photos of removal work will be documented before, during, and after to
be complied into a completion report (see Task 6). Roll off dumpsters will be rented from a
company, such as Waste Management.
Tamarisk will be treated with the same method as encountered. Any seeds on the tamarisk will
be disposed of before removing the tamarisk to minimize seed dispersal.

Assumptions:
• Arundo stands are accessible for implementation of the project.
• Removal activities will be conducted from December 2021 through February 1, 2022.
• Wildscape will treat as much arundo as they can with the available budget, the estimate is approximately
0.5-1 acre of arundo removal, depending on access and the density and height of the arundo.
• Staging areas are accessible for roll off ins to be staged near the work area.
• Waste Management (or other similar company) has access to get near the work area.

Task 5 Maintenance Events
Wildscape will perform three one -day maintenance events with a crew of two and a biologist.
Since retreatments occur in bird breeding season, a morning -of pre -construction survey will be
performed by the biologist before crew begins work. The work area will be surveyed for any bird
activity or special status species. A summary of results will be emailed to the client, the VCRCD,
and CDFW the day of work. If no special status species are detected the maintenance event will
occur. If special status species are detected work will not occur and CDFW will be notified.
Maintenance events will consist of a foliar application of an aquatic -safe herbicide mix of
glyphosate, surfactant, and indicator dye to any arundo re -sprouts. The maintenance will occur
at the areas that were treated during initial removal events.
The re -treatment events should occur every four to six weeks after initial treatment is completed.
This will allow for optimal retreatment and control efforts of the arundo.

• Email to CDFW, VCRCD, and the Client for morning of surveys
Assumptions:
The f rst retreatment event will occur four to six weeks after initial removal is completed.
Retreatments will be completed by June 30, 2022.
Task f Completion Report
Wildscape will prepare a Completion Report documenting the work that was performed during
the initial treatment and three maintenance events. A photo display showing work progress,
before, and after photos will be included. The biologist notes from on -site activities during each
treatment event will be referenced in the Completion Report. The pre -construction report will be
included as an attachment in the Completion Report. The Completion Report will also include
maps of the work area, staging ares, and the access routes. It will also include the GPS points of
the treated arundo and a map with the treated polygons. The Completion Report will be
submitted to the City and to VCRCD for one round of edits.

• VCRCD will have the opportunity to submit one round of edits to the Completion Report to Wildscape.

Wildscape Restoration performed project management, regulatory coordination, biological
monitoring, and arundo removal for the City of Santa Clarita Site Specific Implementation Project
(SSIP). The project site is 297 acres, in the Santa Clara River downstream of Bouquet Canyon
Road. The City has contracted with Wildscape on and off since 2007. Most recently, Wildscape
worked with the City from 2019-2020.
Wildscape coordinated with the VCRCD to utilize the programmatic regulatory permits for non-
native invasive plant removal established by the Lipper Santa Clara River Arundo and Tamarisk
Removal Program (SCARP). Wildscape also coordinated with the Los Angeles Department of
Public Works to obtain an encroachment permit and obtained a written recommendation by a
Pest Control Advisor.
The 2019-2020 work occurred in Area H and Area G. A pre -construction survey was conducted
by Leatherman BioConsulting. Approximately 0.5 acre of arundo was removed during initial
removal. A biologist from Wildscape Restoration or Leatherman BioConsulting was present with
the crew during all initial removal activities. The arundo was cut -and -daubed and the biomass
was hauled to roll off dumpsters for disposal. Three retreatment events occurred using a foliar
application of herbicide to treat previously cut arundo. A Wildscape biologist monitored the
crews during each retreatment event..
A completion report was compiled after the final retreatment event. All project details were
included, such as treatment dates, biologists, CDFW coordination, and site conditions. Photos
and maps including staging areas, access paths, and treated polygons were included.

Urban Rivers Grant. To target dense stands of arundo in the project area, Wildscape utilized a
brush -grinder for initial treatment and removal. Any arundo growing near native species was
avoided with mechanical equipment and the cut -and -daub method was performed. Eoliar
herbicide application was applied to smaller re -sprouts. Work was not performed during bird
breeding season. A biologist was onsite during initial removal efforts to minimize impact to
native plant species, such as willows. Efforts were focused on approximately 40 acres of land in
the Arroyo Simi tributary of the Calleguas Creek, which is managed by the Ventura Land Trust.

Project: Prairie Pacific - Professional Services for Giant Deed (Arundo donax) Treatment —

Wildscape Restoration provided habitat maintenance and monitoring for The Nature
Conservancy. Before project start, Wildscape was tasked with performing initial pre -construction
special status species surveys, biological sensitivity training, and regulatory coordination. Work
included hand removal and herbicide treatment of large stands of arundo, tamarisk, castor bean
(Ricinus communis), and tree tobacco (Nicotiana glauca) for the purpose of restoring native riparian
habitat. Vegetation management occurred over three years with annual surveys to track the
progress of control of non-native species.

Wildscape Restoration provided monitoring and maintenance services for the County of Santa
Barbara Public Works Resource Recovery and Waste Management Division at the Baron Ranch
project site. The Baron Ranch Restoration Plan began in 2009 to mitigate for the Tajiguas Landfill
Reconfiguration Project and partially mitigate for the Tajiguas Landfill Expansion Project. Baron
Ranch is an agriculturally zoned property, approximately 1,083 acres, of which approximately 50
acres are being restored.
Wildscape conducted monthly monitoring assessing the health of the site with a focus on the
native vegetation and surveyed for any non-native invasive plant species. Wildscape performed
annual surveys in 2020 and 2021 to assess the health of the site and gather data along transect
lines. The data and site conditions were compiled into an annual report each year.
Wildscape also provided non-native invasive species treatment and removal. Treatment methods
included chemical, mechanical, and hand removal to various non-native plant species. Wildscape
kept trails and roads clear of vegetations for hiker use, maintenance access, and County access.
Wildscape installed one -gallon native plant species along the public trail to encourage hikers to
stay on the trail and out of the creek because the creek is California red -legged frog habitat.

SCOPE OF WORK
Arundo Removal from the Santa Clara River
The City seeks to hire a highly qualified team to abate invasive plants in the City of Santa Clarita
owned areas of the Santa Clara River. The City owns 297 acres between South Fork and San
Francisquito Creek. Starting in 2005, the City made a multiple year effort to abate invasive
plants from the site. The majority of invasive plants noted on the site include arundo, tamarisk,
castor bean, and tree tobacco. The City is looking for removal in the approximate Santa Clara
River area shown in Attachment A; however, removal locations are subject to change. A tour of
the site with City staff is scheduled for Friday, November S at 10 a.m. Tour attendance is not
mandatory and will not be a considering factor for contract award.
I. Objective(s)IWork Products:
The objective is removal of arundo and tamarisk in the site specific implementation area
(Attachment A) while avoiding mitigation plants. Selected firm will provide acquisition of all
required permits and permissions, any required biological or other monitoring, complete required
follow up reporting, on -site project management, disposal or reuse of removed biomass, and
follow up foliar spray using a Ventura County Resource Conservation District regional permit.
H. Work Statement:
The selected firm will need to utilize required permits and permissions from Army Corps of
Engineers, US Fish and Wildlife Service, California Department Fish and Wildlife (formerly
Fish and Game), Regional Board, Los Angeles County Flood Control District and other relevant
agencies. These permits and permissions may utilize the SCARP permitting acquired in 2005-
2007. They are currently held by the Ventura County Resource Conservation District
(https:Hvercd.org/permits/). The City has a permit but Biological surveys appropriate to comply
with the permits are also required.
Within the Project Area two types of restoration efforts will be employed to ensure the effective
eradication of the invasive species. The first effort will include the initial treatment of the
arundo, which includes non-native biomass removal and herbicide (glysophate) application.
Arundo may be removed by manual means employing tools such as chainsaws and brush cutters.
After removal of the targeted vegetation, glysophate, an appropriate aquatically approved
herbicide, will be applied unless applying the herbicide seems unnecessary because the above
ground biomass is drought stressed and dead. In previously cut areas, arundo will be allowed to
re -sprout to a height of 2 feet, and herbicide will be applied via foliar spray with dye. In areas
where manual removal is to occur, herbicide will be applied immediately to the cut stumps via
daubing or painting unless applying the herbicide seems unnecessary because the above ground
biomass is drought stressed and dead.
Foliar application of herbicide may also occur on non-native stands of vegetation where
appropriate. In addition to arundo, other invasive plants. —such as tamarisk, tree tobacco or castor
bean —may be removed, if applicable. As the area is home to several endangered species, the
manual means will likely be the prevailing method. Removal methods for tamarisk are the same
as stated above for arundo; however, methods to remove tamarisk biomass from the work site
must include options to minimize potential seed drop. Chipped or dried tamarisk biomass may be

contaminated with seed or salinity within the foliage and is not suitable for mulch. Chipped or
dried biomass of tamarisk may be disposed of off -site in a landfill or green waste facility for
permanent disposal. As arundo and tamarisk contain significant energy resources in their root
structure, it is difficult to eradicate them in a single treatment phase. Therefore, after the initial
treatment, a diligent monitoring and maintenance program will be implemented to facilitate
re -treatments and avoid re -infestation of the site. During this time, retreatments of herbicide will
be applied regularly to exhaust the belowground resources of the plants and lead to their
elimination from the current and previous years' treatment areas.
The locked gates along the bike trail on either side of the Santa Clara River are mostly LA
County Flood Control District facilities. You can access them but must obtain access permits
from LA County Flood Control District. City staff has keys to provide access. This is City owned
property. The contractors can select appropriate locations for staging within the confines of the
permits and with City approval. However, there should be no storing equipment or establishing
staging areas under power lines.
The selected firm will be required to keep informed of and take all measures necessary to ensure
compliance with applicable California Labor Code requirements, labor compliance programs
(California Labor Code Section 1771.5) and payment of prevailing wages for work done and
funded pursuant to these Guidelines, including any payments to the Department of Industrial
Relations under Labor Code Section 1771.3.
III. Required Qualifications:
Firms should have experience with successful invasive plant removal in the Santa Clara River
Watershed, and be licensed and permitted by all required authorities to perform the work
outlined in this RFP. This includes, but is not limited to, licensed chemical applicators and
trainers through Los Angeles County, contractors' licenses from the State of California, and
other certification and licenses necessary to complete the work that is proposed. An LA County
certified pesticide applicator staff member on this project is required.

IV. Time Schedule:
The arundo removal work should be completed by February 2022 to avoid bird nesting season.
Spraying of resprouting arundo will occur as soon as possible after plants begin resprouting and
reach a height of no more than 6 inches. The last treatment should occur before June 30, 2022.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, City of Santa Clarita (we, us or Company) may be required by law to provide
to you certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically through the DocuSign system.
Please read the information below carefully and thoroughly, and if you can access this
information electronically to your satisfaction and agree to this Electronic Record and Signature
Disclosure (ERSD), please confirm your agreement by selecting the check -box next to `I agree to
use electronic records and signatures' before clicking `CONTINUE' within the DocuSign
system.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available
electronically to you by us. You will have the ability to download and print documents we send
to you through the DocuSign system during and immediately after the signing session and, if you
elect to create a DocuSign account, you may access the documents for a limited period of time
(usually 30 days) after such documents are first sent to you. After such time, if you wish for us to
send you paper copies of any such documents from our office to you, you will be charged a
$0.00 per -page fee. You may request delivery of such paper copies from us by following the
procedure described below.
Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time
change your mind and tell us that thereafter you want to receive required notices and disclosures
only in paper format. How you must inform us of your decision to receive future notices and
disclosure in paper format and withdraw your consent to receive notices and disclosures
electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the
speed at which we can complete certain steps in transactions with you and delivering services to
you because we will need first to send the required notices or disclosures to you in paper format,
and then wait until we receive back from you your acknowledgment of your receipt of such
paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to
receive required notices and consents electronically from us or to sign electronically documents
from us.
All notices and disclosures will be sent to you electronically
Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through the DocuSign system all required notices, disclosures,
authorizations, acknowledgements, and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as
described below. Please also see the paragraph immediately above that describes the
consequences of your electing not to receive delivery of the notices and disclosures
electronically from us.
How to contact City of Santa Clarita:
You may contact us to let us know of your changes as to how we may contact you electronically,
to request paper copies of certain information from us, and to withdraw your prior consent to
receive notices and disclosures electronically as follows:

To advise City of Santa Clarita of your new email address
To let us know of a change in your email address where we should send notices and disclosures
electronically to you, you must send an email message to us at kspeers@santa-clarita.com and in
the body of such request you must state: your previous email address, your new email
address. We do not require any other information from you to change your email address.
If you created a DocuSign account, you may update it with your new email address through your
account preferences.
To request paper copies from City of Santa Clarita
To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must send us an email to kspeers@santa-clarita.com and in the
body of such request you must state your email address, full name, mailing address, and
telephone number. We will bill you for any fees at that time, if any.
To withdraw your consent with City of Santa Clarita
To inform us that you no longer wish to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your signing session, and on the subsequent page,
select the check -box indicating you wish to withdraw your consent, or you may;
ii. send us an email to kspeers@santa-clarita.com and in the body of such request you must state
your email, full name, mailing address, and telephone number. We do not need any other
information from you to withdraw consent.. The consequences of your withdrawing consent for
online documents will be that transactions may take a longer time to process..
Required hardware and software
The minimum system requirements for using the DocuSign system may change over time. The
current system requirements are found here: hitps://support.docusign.com/guides/signer-guide-
signi^ n�-System-requirements.
Acknowledging your access and consent to receive and sign documents electronically
To confirm to us that you can access this information electronically, which will be similar to
other electronic notices and disclosures that we will provide to you, please confirm that you have
read this ERSD, and (i) that you are able to print on paper or electronically save this ERSD for
your future reference and access; or (ii) that you are able to email this ERSD to an email address
where you will be able to print on paper or save it for your future reference and access. Further,
if you consent to receiving notices and disclosures exclusively in electronic format as described
herein, then select the check -box next to `I agree to use electronic records and signatures' before
clicking `CONTINUE' within the DocuSign system.
By selecting the check -box next to `I agree to use electronic records and signatures', you confirm
that:
You can access and read this Electronic Record and Signature Disclosure; and
You can print on paper this Electronic Record and Signature Disclosure, or save or send
this Electronic Record and Disclosure to a location where you can print it, for future
reference and access; and
Until or unless you notify City of Santa Clarita as described above, you consent to
receive exclusively through electronic means all notices, disclosures, authorizations,
acknowledgements, and other documents that are required to be provided or made
available to you by City of Santa Clarita during the course of your relationship with City
of Santa Clarita.
