Nisicl�.� CONSENT CALENDAR l DATE: September 27, 1994 SUBJECT: PEDESTRIAN OVERCROSSING AGREEMENTS - MAGIC MOUNTAIN PARKWAY Resolution No. 94-112 DEPARTMENT: Community Development BACKGROUND There are several pedestrian overcrossings/underpasses which connect the Valencia paseo system. The system provides pedestrian access through the Valencia open space areas, an alternative to vehicular travel, a safer environment for street crossings and improves the quality of life in the area. The pedestrian overcrossing of Magic Mountain Parkway (State Route 126) is a requirement of the Valencia Town Center project to add another link in the paseo system. The cost of constructing the overcrossing will be borne by Newhall Land and Farming Company (NL&F). The overcrossing is not only a requirement of the Mall project, but it also provides pedestrian access to the Mall from and to the north. It is also on the route of the American Heart Walk that is sponsored by the American Heart Association. Since the American Heart Walk is scheduled for October23, 1994, it is important for the pedestrian bridge to be erected as soon as possible. In order for NL&F to construct the overcrossing over a State highway, the State requires that the overcrossing be accepted by a public agency, and the agency must agree to provide for the long-term maintenance of the overcrossing. A grant deed of the physical overcrossing and the easements for the abutments is submitted to accomplish the City's ownership and ability to maintain it. The cooperative agreement between the City and the State is attached, which will complete the requirements. Once the agreement is executed, NL&F will receive an encroachment permit to erect the pedestrian overcrossing, begin construction on October 8, 1994 and complete the pedestrian bridge for the American Heart Walk. Adopted: 9_ Agenda {tem: RESOLUTION NO. 94-112 September 27, 1994 - Page 2 The City, NL&F and Los Angeles County have been negotiating the terms to accomplish the long-term maintenance, replacement and liability coverage for all of the 19 overcrossing/undercrossings of the paseo system, including the proposed Magic Mountain Parkway Overcrossing. The Council previously agreed to fund 15 percent of the long-term maintenance and liability coverage (see attached agenda item dated November 23, 1993). The attached pedestrian bridge agreement between the City and NL&F accomplishes the acceptance of the overcrossing once it's completed. City staff continues to work on an agreement that will provide for the acceptance of the remaining overcrossing/underpasses and the long-term maintenance replacement reserves and liability coverage. The Federal Emergency Management Agency (FEMA), NL&F and the County Landscape and Lighting Maintenance District (LLMD) Areawide 1 are all contributing funds for the restoration. This will reduce future maintenance costs and set the stage for acceptance of the remaining overpasses/undercrossings by the City and the funding of maintenance costs by the LLMD Areawide 1, In the interim, NL&F will contribute to the City (85%) of ongoing costs for maintenance and liability coverage. The execution by the Mayor of the Cooperative Agreement and the Pedestrian Bridge Agreement and acceptance of the overcrossing, when completed, and the easements will permit the construction and maintenance of the pedestrian overcrossing over Magic Mountain Parkway. RECOMMENDATION Adopt Resolution No. 94-112, and authorize the Mayor to execute the Cooperative Agreement with the State of California and the Pedestrian Bridge Agreement with Newhall Land & Farming Company. Now, therefore, the City Council of the City of Santa Clarita does resolve as follows; SECTION 1: The City Council approves the cooperative agreement for the pedestrian overcrossing on Magic Mountain, Parkway and east of McBean Parkway, also known as District Agreement No. 4095. MOUNTAIN PARKWAY PEDESTRIAN BRIDGE AGREEMENT WHEREAS, the City of Santa Clarita, A general law City (hereinafter referred to as the "City"), hereby consents to the construction by The Newhall Land and Farming -Company, a California Limited Partnership (hereinafter referred to as "NLF"), of a pedestrian bridge over Magic Mountain Parkway (State Route No. 126) approximately feet easterly of Me Bean Parkway, located in the City of Santa Clarita, shown in Exhibit "A" attached hereto and by this reference made a part hereof. The purpose of this Agreement is for the City to provide to the State of California (Caltrans) the appropriate agreement indicating that the City approves the construction of the pedestrian bridge and will ultimately accept the ownership and responsibility for any maintenance and/or repair of the pedestrian bridge after construction has been completed to the City's satisfaction. The Caltrans Agreement will allow NLF to construct the pedestrian bridge for ultimate acceptance by the City. This Agreement shall also serve as an Offer of Dedication of the pedestrian bridge structures and abutments by NLF to the City for the use and benefit of the public. The City Council has approved the execution of this Agreement by Resolution No. adopted on 1994. NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree as follows: 1. City agrees that NLF may deliver a copy of this Agreement to the State of California (Caltrans) so that NLF can obtain the necessary permits to construct the pedestrian bridge over Magic Mountain Parkway (Sate Route No. 126) in accordance with NLF's agreement with Caltrans. 2. NLF agrees to construct and obtain appropriate agency inspections for the pedestrian bridge per the plans and specifications approved by Caltrans and the City. 3. NLF agrees to be responsible for any pedestrian bridge maintenance and/or repair until final acceptance of the pedestrian bridge, which shall include acceptance of responsibility by the City for said maintenance and/or repair. City agrees not to unreasonably withhold, delay, or condition its acceptance NLF's Offer of Dedication of the pedestrian bridge (including its responsibility for maintenance and repair) following Newhall's completion of construction pursuant to the plans and specifications that have been approved by Caltrans and the City and upon approval by the City and Caltrans inspectors. 4.. City agrees to contribute fifteen percent (15%) of the on -going Costs for long term maintenance and liability coverage after acceptance of bridge structures and abutments. 5. NLF further agrees that the City will not be responsible for any maintenance costs above the fifteen percent (15%) indicated in Section 4 above. 6. Notwithstanding anything to the contrary contained herein, in no event shall any partner, officer, director, employee, unitholder or agent of NLF or any general partner of NLF be personally liable for any breach of this Agreement by NLF. The City agrees that its recourse for any breach by NLF shall be limited to the assets of NLF. 7. The parties agree to cooperate with each other and execute such additional documents as may be necessary to facilitate the purposes contemplated by this Agreement, including any necessary casements or bills of sale for dedication of the pedestrian bridge and abutments. 2 AGENDA REPORT City Manager Approval Item to be presented by: Ken Pulskamp NEW BUSINESS DATE: November 23, 1993 SUBJECT: PASEO BRIDGES/UNDERPASSES - PROVISION OF LONG-TERM MAINTENANCE, REPLACEMENT AND LIABILITY INSURANCE DEPARTMENT: Community Development BACKGROUND The paseo system in Valencia is currently maintained through the County Landscape and Lighting Maintenance District, Areawide 1. Long-term maintenance, the cost of replacement and liability insurance coverage for the paseo bridges and underpasses are not currently included as part of Areawide 1 services. The lack of long-term funding for these services has contributed to the delay in installing the bridges around the Valencia Town Center. In an effort to resolve this issue, City staff attended two meetings with representatives of each of the Valencia Homeowners' Associations (HOA), Newhall Land and Farming, and the County of Los Angeles to discuss options for the provision of long-term structural maintenance and liability coverage for the paseo bridges and underpasses. The cost of these services, prior to any cost sharing agreements, has been estimated to be between $7 and $10 per household per year. Many options for paying for the necessary maintenance, replacement and liability Insurance were discussed. Options ranged from 100% City funding to full funding by the HOA's and Newhall Land and Farming. The group reached consensus on the following cost -sharing options: 1. The HOA's and the City would split the ongoing costs for long-term maintenance and liability coverage for the paseo bridges/underpasses. The HOA's would pay 85% of the total cost, and the City would pay 15%. 2. Newhall Land and Farming (NLF) agreed to provide $30,000 of "seed money" up front. The money would be paid in two $15,000 payments. 3. The implementation of the long-term maintenance and liability coverage would be added to Los Angeles County's Areawide Assessment District 1. This cost sharing scenario would reduce the annual homeowner assessment to between $5.10 and $8.50. The City's share would be approximately $15,000 per year. NLF has previously informed staff that the mall bridges would go up when this Issue was satisfactorily resolved. From the.City's perspective, there Is nothing standing In the way of NLF Installing the new bridge over Valencia Boulevard immediately. RECOMMENDATION Direct staff to work with Los Angeles County and Newhall Land and Farming to accomplish the provision of long-term maintenance replacement and liability coverage for the paseo bridges and underpasses. A P P 0 E 0 /A District Agreement No. 4095 07-LA 126 PM 7.4 PEDESTRIAN OVERCROSSING ON MAGIC MOUNTAIN PARKWAY AND EAST OF NEWHALL AVENUE 07-345 - 118581 District Agreement No. 4095 COOPERATIVE AGREEMENT This Agreement entered into on , 1994 is between the STATE OF CALIFORNIA , acting by and through its Department of Transportation, referred to herein as STATE, and CITY OF SANTA CLARITA A body politic and a municipal corporation of the State of California, referred to herein as CITY. District Agreement No. 4095 RECITALS 1. STATE and CITY, pursuant to Streets and Highway Code Section 130, are authorized to enter into a Cooperative Agreement for the maintenance of ._. improvements on State highways within CITY. 2. CITY desires to assume ownership and maintenance of improvements on the State Highway consisting of a pedestrian overcrossing over Magic Mountain Parkway Route 126, referred to herein as STRUCTURE. 3. The parties hereto desire to define herein the terms and conditions under which said STRUCTURE will be owned and maintained. 2 SECTION I CITY AGREES: District Agreement No. 4095 Upon satisfactory completion of construction of STRUCTURE, CITY shall maintain the entire STRUCTURE, both inside and outside STATE's right of way, in perpetuity, at CITY expense. 2. CITY shall maintain STRUCTURE to the standards of "Maintenance" as defined in Section 27 of the Streets and Highways Code. If CITY fails to do so, STATE will perform necessary maintenance and will bill CITY for all actual expenses incurred, CITY agrees to pay said expenses within thirty (30) days or STATE, acting through the State Controller, may withhold an equal amount form future apportionments due CITY from the Highway User Tax Fund. SECTION II STATE AGREES: 1. To issue, at no cost to CITY and CITY's contractor, upon proper application by CITY and by CITY's contractor, the necessary encroachment permits for required maintenance work within the State highway right of way. SECTION III IT IS MUTUALLY AGREED: 1. The degree or extent of maintenance work to be performed and the standards therefor shall be in accordance with the provisions of Section 27 of the Streets and Highways Code, as set forth in the current edition of the State Maintenance Manual, or as may be prescribed from time to time by the District Director. "District Director," as used K District Agreement No. 4095 herein, means the District Director of the Department of Transportation assigned to the territory in which CITY is located. 2. STATE reserves the option to inspect all parts of the STRUCTURE and --- appurtenances maintained by the CITY to assure conformance to maintenance levels. 3. An encroachment permit shall be required for third parties if CITY delegates maintenance work. Any delegated work shall be performed to the same levels of service as spelled out herein and will be subject to the same inspections by STATE as provided for work performed directly by CITY. 4. CITY shall assure that delegation of maintenance responsibilities will be only with the approval of the STATE. 5. STATE shall have perpetual access rights on and to the STRUCTURE and aerial easement to protect public convenience, and public safety. 6. CITY shall assure that any new or modified appurtenance, such as informational signs or other physical features, to be installed shall be subject to -prior approval by STATE. 7. Neither STATE nor any officer or employee thereof is responsible for any damage or liability occurring by reasons of anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction assumed by CITY under this Agreement. It is understood and agree that, pursuant to Government Code Section 895.4, CITY shall fully defend, indemnify and save harmless the State of California, all officers and employees from all claims, suits or actions of every name, kind and description brought for or on account of injury (as defined in Government Code Section 810.8) occurring by reason of anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction assumed by CITY under this Agreement. 8. Upon completion of construction of STRUCTURE, ownership and title to materials, equipment and appurtenances which are installed within STATE's right of way will be vested in CITY, unless otherwise agreed between CITY and Valencia Company, 10 District Agreement No. 4095 appurtenances which are installed will be owned by CITY. 9. No alteration or variation of the terms of this Agreement shall be valid unless made in writing and signed by the parties hereto and no oral understanding or agreement not incorporated herein shall be binding on any of the parties hereto. 10.
