Extend the current design contract and authorize an increased expenditure authority for design services with MNS Engineers, Inc., in the amount of $1,668,812 and authorize a contingency in the amount of $166,881, for a revised total contract amount not to exceed $4,882,236. 2. Extend the current design services agreement and authorize an increased expenditure authority for design services with Southern California Regional Rail Authority, in the amount of $301,400 and authorize a contingency in the amount of $30,140, for a revised total contract amount not to exceed $572,935. 3. Appropriate one-time funds in the amount of $2,100,000 from the Via Princessa Bridge and Thoroughfare Fund (Fund 453) to expenditure account S3023453-516101, Dockweiler Drive Extension. 4. Authorize the City Manager or designee to execute all contracts and associated documents, subject to City Attorney approval. BACKGROUND Originally constructed in the early 1990s, Dockweiler Drive currently connects east to Sierra Highway and terminates 500 feet west to Valle del Oro. The extension of Dockweiler Drive, as shown on the attached location map, is a critical east -west link that would provide a through connection from Sierra Highway to Railroad Avenue, as indicated in the City of Santa Clarita's (City) General Plan. This project supports the Building and Creating Community theme of the Page 1 Packet Pg. 90 O City's five-year strategic plan, Santa Clarita 2025. On April 10, 2018, the City Council certified the California Environmental Quality Act (CEQA), Environmental Impact Report (EIR) and approved the alignment of Dockweiler Drive to connect to Railroad Avenue at 13th Street. This alignment would require improvements to both Arch Street and 13th Street along with a fully upgraded railroad crossing at 13th Street and Railroad Avenue. The proposed roadway improvements would consist of a striped two-lane roadway with a 12-foot raised landscaped median, a 13-foot-wide sidewalk/parkway, and a 5-foot-wide bike lane on each side. The typical right-of-way width is 92 feet. Additionally, staff was authorized to submit an application to the California Public Utilities Commission (CPUC), which was approved, for the required improvements at the 13th Street at -grade rail crossing. On July 9, 2019, the City Council awarded a design contract to MNS Engineers, Inc. to design the roadway, drainage, and grading from the current terminus of Dockweiler Drive to connect with Railroad Avenue at 13th Street. On August 22, 2023, the City Council approved the development of Shadowbox Studios and its proposed railroad crossing and road configuration on 13th Street, Arch Street, and Placerita Canyon Road. The road configuration included a wider railroad crossing; a bike path crossing the railroad; a signalized intersection at Dockweiler Drive and 12th Street; a revised intersection at Dockweiler Drive and Placerita Canyon Road; and realignment of storm drain improvements. Due to the Shadowbox Studios entitlement, Southern California Regional Rail Authority (SCRRA) is requiring the City to update the Dockweiler Drive Extension project plans to accommodate the potential use of the lot; even if there is no indication that Shadowbox Studios will be constructed. The westerly section of the roadway extension must be completely re- designed, including modifications to several intersections and the railroad crossing. MNS Engineers, Inc., Design Contract Extension On July 9, 2019, the City Council awarded a design contract for civil engineering services for a total amount not to exceed $3,046,543 to MNS Engineers, Inc. MNS Engineers, Inc., was selected through a Request for Proposal process and is the Engineer of Record for the Dockweiler Drive Extension project. In order to accommodate the revised design, it is recommended that the existing design contract with MNS Engineers, Inc., be increased by a total of $1,835,693, including contingency. This increase would allow MNS Engineers, Inc., to design and permit all required plans for the approved road configuration. The proposal is available in the City Clerk's Reading File. SCRRA Design Contract Extension On July 9, 2019, the City Council authorized the execution of a design services agreement for a total amount not to exceed $241,395 with SCRRA. The City was required to contract with SCRRA because the project is located within the Los Angeles County Metropolitan Transportation Authority's (Metro) right-of-way and will modify SCRRA's facilities. Page 2 Packet Pg. 91 O In order to accommodate the revised design, it is recommended that the existing design contract with SCRRA be increased by a total of $331,540, including contingency. This increase would allow SCRRA to provide design services, including the design of the Positive Train Control system, train signals, communication lines, and the required training and flagging for design operations such as utility investigation, geotechnical investigation, and survey work as the project is designed. The proposal is available in the City Clerk's Reading File. The requested contingencies will cover design modifications requested by the City, SCRRA, Metro, CPUC, and other permitting agencies during the design of the project, as well as the cost of additional as -needed services as the project continues. The requested budget appropriation, along with existing project budget, will provide for contract extensions that allow the City to update the construction plans and specifications to accommodate the newly approved roadway configuration. ALTERNATIVE ACTION Other action as determined by the City Council. FISCAL IMPACT Upon approval of the recommended actions, project budget will be increased in expenditure account S3023453-516101 (Via Princessa B&T Fund) by $2,100,000 to support the recommended contracts and associated project costs. The improvement changes consist of the following: • Wider 13th Street / Railroad Avenue intersection to accommodate a WB-67 vehicle and a separate bike path at grade railroad crossing • Wider 13th Street for three (3) westbound lanes and five (5) eastbound lanes • Interim curve/future four -legged signalized 13th Street/Dockweiler Drive intersection • Dockweiler Drive with six (6) lanes between 13th Street and 12th Street • Signalized intersection at Dockweiler Drive/12th Street • Dockweiler Drive/Placerita Canyon Road intersection with revised water quality basin locations • Dockweiler Drive transition south of Placerita Canyon Road • Dockweiler Drive Storm Drain realignment and modifications with new street alignment • Infiltration basin north of the wider 13th Street • 2400 linear feet open concrete channel for existing pass-thru stormwater flows from 13th Street to the Railroad Avenue bridge over Little Placerita Creek These proposed improvements will be reviewed by the City at the 30%, 60%, 90%, 100% and Final phases. The project will need to obtain new Railroad permits and approvals from CPUC and SCRRA for the 13th Street at Grade Railroad Crossing. Environmental permitting will be required for open channel outlet to Little Placerita Creek. 100 E. This segment has minor adjustments and changes. MNS submitted the 100% PS&E package in June of 2021. Thereafter, the project was put on hold due to the impending Shadow Box and the Master's University developments. MNS will need to address the City's 100% comments, submit the final PS&E and address the City's final comments. Scope of Work Task 1— Project Management/Meetings MNS will perform project management for a 9-month time period. This task will include: 1.1 Project Management — MNS will allocate 8 hours per month to perform project management responsibilities including City coordination, project schedule preparation, review and update, monthly invoicing and project progress report. MNS Team member Railpros will manage the project and perform Client Coordination, Team coordination and project controls including managing cost, reviewing and submitting invoices, managing scope, developing and updating design and construction schedules, and managing the QA/QC process for approximately 8 months. Deliverables: • Project Schedule, Invoicing and Progress Reports 1.2 PDT Meetings — MNS will continue to conduct monthly PDT meeting. We will prepare a meeting agenda and send out meeting minutes for each meeting. (Total of 9 meetings). Railpros will attend up to five (5) PDT Meetings. Deliverables: • Meeting Agenda and Minutes 1.3 Project Meetings — MNS will meet with City Staff, utility agencies, adjacent developers and stakeholders during the prosecution of the project. Task 2 — Preliminary Engineering 2.1 Utility Coordination/Potholing — MNS will perform utility coordination and potholing for the Shadow Box improvements and continue utility coordination for the original improvements south of Placerita Canyon Road to Upper Dockweiler Drive. A. Utility Research and Coordination — MNS will coordinate with City staff and utility agencies during the prosecution of the project. We will contact and coordinate with utility companies and update utility mapping if needed. We will map the utilities for the proposed Shadow Box improvements. We will update and provide the existing utility matrix to the City when requested. We will prepare final utility letters to notify the utility companies to relocate and/or adjust facilities and utility letters of no conflict. B. Utility Potholing - MNS Team Member C Below, Inc. (C Below) will perform five (5) utility potholing for the proposed signal pole foundations at 12th Street to confirm no conflicts. The potholes are assumed to be 0 to 5' deep. A standard pothole is 12 in x 12 in, performed to the top of pipe or encasement with slurry backfill and a hot surface patch. Service includes DigAlert coordination & delineation, no cost encroachment permit coordination and preparation, vacuum excavation to top of utility, encasement or stop depth, standard traffic control and engineered traffic control plans, removal of debris and pothole report. MNS will coordinate the utility potholing, meet the C Below in the field to mark out the proposed pothole locations. Deliverables: • Utility Letters and Correspondences • Utility Matrix • Utility Potholing Report 2.2 Geotechnical Services — MNS team member — RT Frankian, Inc. (RT Frankian) will perform geotechnical investigation in support the approximate 2,350 feet of open concrete channel on Shadow Box Property. 100 E. Geotechnical Review — RT Frankian will review the LGC Valley, Inc. Geotechnical Report that was prepared in support of EIR for the Shadow Box Studio project. Report Preparation — RT Frankian will update the Geotechnical Report to provide recommendations for trenching, backfilling and compacting material for the concrete channel. Plan Approval — RT Frankian will review and approve the revised Grading and Retaining Wall Plans on 13th Street from Railroad Avenue to Dockweiler Drive and Dockweiler Drive from 13th Street to the Weste Property. Deliverables: • Updated Geotechnical Report • Grading Plan Approval 2.3 30% Design (Preliminary Plans) — MNS and team member Pacific Coast Land Design (PCLD) will prepare 30% preliminary plans. The following plan sheets in 1" = 40' scale are anticipated: • Geometric Approval Drawing (GAD) including typical sections, roadway improvements, centerline, road profile, and right-of-way alignment and connection/tie-in (2 Sheets) • Preliminary Rough Grading Plan (2 Sheets) • Preliminary Drainage Plan (4 Sheets) • Landscaping Plan (2 Sheets) • Oak Tree Protection Plan (1 Sheet) PCLD will update the Oak Tree Protection Plans and report based on the Shadow Box Improvements. We will prepare a 30% construction cost estimate for the proposed Shadow Box improvements. We will update the Technical Design Memorandum to discuss design parameters and design elements. Railpros will coordinate with SCRRA for dry utilities crossing the railroad and check for impact to project. Railpros will revise the track alignment design plan and profile for the grade crossing using new survey data (including demolition, removal and disposal) including 2 Plan and Profile sheets including tabular presentation of curve data, 1 Track Geometry Table Sheet, 3 Typical Section Sheets with station limits Roadway Modeler and grading tie-ins, and earthwork cross sections. We will prepare specific design standards, specifications, quantity take off and cost estimate. We will update the Track Chart. Railpros will revise Traffic Signal Modification Plans for 13th Street at Railroad Avenue including calculations. We will prepare specific design standards, specifications, quantity take -off and cost estimate, update 13th Street Grade Crossing Preemption Calculations and Measurement Exhibit and update the Signing and Striping Plans. Signing and Striping Plans will be for 13th Street from Railroad Ave up to BCR of Arch Street and Railroad Avenue from 1000 feet to the north and 400 feet to the south on Railroad Avenue from the 13th St intersection. Railpros will provide submittal compilation and comment resolution. We will attend and respond to 3 CRM meetings per submittal. Submittal stages include 60%, 90% and 100% Design. RailPros will provide responses to comments from SCRRA, City and Stakeholders. Railpros will attend intra disciplinary review meetings. RailPros will gather the final approved plans from SCRRA, LA Metro and other stakeholders and prepare any technical exhibits. Merge and Revise Improvement Plans from south of Placerita Canyon Road to Upper Dockweiler Drive - MNS Team will update the improvement plans per City Comments, Property Owner Coordination and latest Master University Improvement and Grading Plans (approximately 67 Sheets). We will merge these plan sheets with the revised improvement plans from Railroad Avenue to Placerita Canyon Road. Final Plans - Based on the City's 100% Comments, MNS Team will revise and prepare the Final Plans. 100 E. Update Hydrology and Hydraulic Report — MNS will update the Hydrology and Hydraulic Report for the Shadow Box improvements. The report will be submitted to the City and LACDPW for review. Update SWPPP and Temporary Water Pollution Control (TWPC) Plan — Based on the latest NPDES Permit, MNS will update the SWPPP and TWPC Plan for the Shadow Box improvements. The report will be submitted to the City for review. We will update the SWPPP based on the City's comments. We anticipate three (3) iterations for approval. Deliverables: • SWPPP including TWPC Plans F. Update SUSMP — MNS will update the SUSMP for the Shadow Box improvements. The report will be submitted to the City for review. Assumption: • New title reports will not be required. Deliverables: • Legal & Exhibits 3.3 Plan Approvals and Permits A. Railroad (CPUC, SCRRA, Metro & UPRR) Coordination, Agreement & Permits — Railpros will coordinate with stakeholders and include up to 20 virtual meetings with the City of Santa Clarita, Metro, UPRR, SCRRA, FRA, CPUC, third party utilities and other private businesses. Coordination will include submitting SCRRA Request for Special Design considerations, working with SCRRA on the Construction and Maintenance (C&M) agreement, coordination and meetings between CPUC, SCRRA and the City, addressing public crossing review questions, coordination with and review of the 100% SCRRA Signal Design. Railpros Assumptions and Exclusions: • 8 Client Coordination meetings and 8 monthly coordination meetings. • 8 technical and design meetings including a kickoff meeting. Railpros project manager will prepare and complete Agendas and minutes for technical and Design meetings only. • Up to 20 combined Virtual meetings between the City of Santa Clarita, LA Metro, UPRR, SCRRA, FRA, CPUC, Third -party utilities and other private businesses. • Up to 1 SCRRA RFSDCs at 1 iteration each. • 1 new CPUC Field Diagnostic meeting will be required for the crossing. • RailPros will only review the 100% Signal design related with 13th Street crossing. SCRRA to perform design. • Plan checking and permit fees will be paid by the City. B. LACDPW Permit - MNS will submit via EPIC -LA the Hydrology, Hydraulics and Storm Drain Plans which will include the Shadow Box storm drain system to obtain approval from LACDPW (MTD). We will coordinate and meet with LACDW staff and revise the 100 E. (Rincon) will prepare the reports and obtain the required environmental permits. To date, Rincon has prepared the following technical reports to support the permitting effort for the project: • Jurisdictional Delineation Report (July 2021) • Coastal California Gnatcatcher Report (July 2021) • Rare Plant Survey and Report (July 2021) • Biological Resources Assessment (December 2021) Due to several regulatory changes and the Project redesign, the Jurisdictional Delineation Report will need to be updated. To accurately reflect the re -design and meet the anticipated needs of the regulatory agencies, the text and figures outlining the project description, project footprint, and impacts to jurisdictional waters will be updated. Additionally, the results of the Jurisdictional Delineation Report, Coastal California Gnatcatcher Survey Report, and Rare Plant Survey Report will be summarized in the Biological Resources Assessment. Project impacts to jurisdictional waters are anticipated during the construction of the 13th Street improvements and the pedestrian bridge over Newhall Creek. Rincon will provide regular communication to MNS and City staff as needed, throughout the course of the permitting process regarding project needs, changes, schedule, budget, and deliverables. This task includes miscellaneous activities required to manage the various tasks above such as regular e- mail and telephone communications and other tasks associated with contract administration and client coordination. 4.2 Technical Reports A. Jurisdictional Delineation Report Update - Rincon will conduct a jurisdictional delineation survey of the Project area and 100-foot buffer to verify the extent/condition of aquatic resources delineated in 2021. Rincon will prepare an updated Jurisdictional Delineation Report that will reflect the survey findings and regulatory changes that have occurred since 2021, including text and figures. In addition, the previous vegetation community and land cover mapping will be verified. Assumptions: • A Rincon Senior Biologist and Associate Biologist will conduct the jurisdictional delineation field survey on one calendar day. • Rincon will address one round of comments from MNS and City staff (one round total) on the report. • The report will be included in the permit application packages. • • If the 2023 jurisdictional delineation data from Shadowbox Studios becomes available for use on this Project, a jurisdictional delineation field survey would not be required upon direction of the City. The Jurisdictional Delineation Report would then be updated utilizing the 2023 delineation data from Shadowbox Studios for the drainage at 13th Street, the 2021 delineation data from Rincon at Newhall Creek, and the text and figures would be updated to address the recent regulatory changes. B. Protocol Coastal California Gnatcatcher Surveys and Report Update - Rincon will conduct protocol surveys for Coastal California Gnatcatcher (CAGN) and prepare an updated report. Per U.S. Fish and Wildlife (USFWS) CAGN survey protocol (USFWS 100 E. If conducted between July 1 and March 14, a minimum of nine (9) surveys are required, to be conducted at least two weeks apart. The surveyor must hold a Recovery Permit issued by USFWS under Section 10(a)(1)(A) of the Endangered Species Act authorizing CAGN survey efforts. After conducting the required focused surveys, Rincon will prepare a survey report for submittal to MNS and City staff for review, prior to submittal to USFWS. The survey area will include the Project disturbance area and a 100-foot buffer. Assumptions • Rincon will conduct nine field surveys with one biologist in areas of suitable habitat. Each survey will be conducted by a local and permitted biologist within a 4-hour timeframe, including travel. Our estimated cost would decrease if surveys were to be conducted during the breeding season (only six surveys required). • We assume that survey results will be negative based on the 2021 negative survey results. This task does not include preparation of a Biological Assessment (BA) or other documentation addressing the presence of listed species. • Rincon will address one round of comments from MNS and City Staff and one round from USFWS staff (two rounds total) on the report. • The report will be included in the permit application packages. C. Protocol Rare Plant Survey and Report Update - Rincon will conduct a protocol rare plant survey and prepare an updated report. Prior to conducting the protocol rare plant field survey, Rincon will conduct a desktop review of the CDFW California Natural Diversity Database (CNDDB); USFWS Critical Habitat Portal; CDFW Special Vascular Plants, Bryophytes, and Lichens List; the CDFW State and Federally Listed Endangered, Threatened, and Rare Plants of California; and the California Native Plant Society (CNPS) online Inventory of Rare and Endangered Vascular Plants of California to determine if any additional special status plants were recorded on -site or in the Project vicinity. A Rincon Senior Botanist and Associate Biologist will conduct one protocol rare plant field survey of the Project area and a 100-foot buffer, conducted in the appropriate season when detection of potentially occurring rare plants would be present and 100 E. Biological Resources Assessment Update - In order to accurately reflect the Project redesign and meet the anticipated needs of the regulatory agencies, the existing Biological Resources Assessment will be updated so that the text and figures outlining the project description, footprint, and impacts to jurisdictional waters will reflect the redesign. Additionally, the report will be updated with the survey results and regulatory and jurisdictional updates from the Jurisdictional Delineation Report. The report will be updated with the results of the protocol surveys for Coastal California Gnatcatcher and Rare Plants. Lastly, an updated literature review will be conducted to identify and analyze the potential impacts for any newly identified sensitive species to occur on -site, and the report will be updated to provide additional or revised avoidance and minimization measures. Notably, since the preparation of the Biological Resources Assessment in 2021, the Crotch's bumble bee (Bombus crotchii) has become a candidate species under the California Endangered Species Act and will be addressed in the updated report. Assumptions: • The Biological Resources Assessment will be updated to reflect a single project design (redesign). • Any additional changes to the project design are outside of this scope of work. • No fieldwork will be necessary for this task as the fieldwork needed to inform the BRA is included in Tasks 2.1, 2.2, 2.3, and 3.2. 100 E. At this time, Rincon does not suggest conducting a protocol -level survey for the species as it is already known to occur in the project vicinity as documented in CDFW's CNDDB and is likely present within the Project area; impacts to underground nests can likely be avoided with sufficient avoidance and minimization measures that will be discussed in the Biological Resources Assessment, including but not limited to pre -construction surveys and avoidance of active nests if found. Assumptions: • Includes 4 hours of fieldwork for two Rincon Biologists combined conducted on the same day of the jurisdictional delineation survey or rare plant survey, plus 4 hours of office -based support and analysis. 4.4 Regulatory Permitting - As described above, Rincon understands that impacts to jurisdictional waters will occur as a result of construction of the 13th Street improvements, specifically an ephemeral unnamed drainage that is located in the Shadowbox property. In addition, impacts to jurisdictional waters will occur as a result of construction of the proposed pedestrian bridge over Newhall Creek. Due to the design of the bridge, no direct impacts will occur within jurisdictional waters. i.e., the channel bed, banks, and riparian; however, shading impacts to a sensitive natural community are anticipated. Rincon will prepare a California Department of Fish and Wildlife (CDFW) Lake or Streambed Alteration (LSA) Notification and a Los Angeles Regional Water Quality Control Board (RWQCB) Waste Discharge Requirement (WDR) application for the Project. A Clean Water Act Section 404 permit is not required and will not be prepared for the USACE, as waters of the U.S. are not present at the 13th Street improvements, and the waters of the U.S. in Newhall Creek will be avoided and not impacted by the construction of the pedestrian bridge. A. CDFW Streambed Alteration Agreement - Project impacts to the CDFW- jurisdictional streambed (bed, banks, and riparian vegetation) within the ephemeral drainage near 13th Street due to the proposed construction of the stormwater conveyance system and within Newhall Creek due to the proposed shading associated 100 E. Assumptions: • The SAA Notification will reflect a single project design (redesign). Any additional changes to the project design are outside of this scope of work. • One senior regulatory specialist (or Project Manager) will attend one pre -application meeting onsite with CDFW staff (not to exceed 6 hours total on -site, plus travel). • Existing documentation and survey reports completed previously and as part of this scope of work will be adequate, and no additional biological surveys or reports will be needed other than what is stated herein. • Rincon will incorporate one round of comments on the SAA Notification package from MNS and City staff (one round total). • Rincon will incorporate one round of comments on the SAA notification package from CDFW (not to exceed 8 hours). • The City will provide payment for application fees to CDFW directly. Rincon will calculate the final fee based on the cost of the work in the CDFW-jurisdictional streambed, which is assumed to be provided by MNS. • The City will provide a copy of the completed CEQA document, proof of payment of CEQA filing fees, and a copy of the Notice of Determination to include in the notification. RWQCB Water Discharge Requirement - Impacts to waters of the State within the ephemeral drainage near 13th Street due to the proposed construction of the stormwater conveyance system will require a WDR pursuant to the Porter -Cologne Water Quality Control Act. The Los Angeles RWQCB requires notification through submittal of a WDR application package. Mileage will be charged at the current federal mileage reimbursement rate. PREVAILING WAGE RATES Rates shown with Prevailing Wage "(PW)" annotation are used for field work on projects subject to federal or state prevailing wage law and are subject to increases per DIR. ANNUAL ESCALATION Standard fee rates provided for each classification are subject to 5%annual escalation or the most recent US Bureau of Labor Statistics Consumer Price Index, whichever is higher. OVERTIME Overtime for non-exempt employees will be charged at 1.5 x hourly rate; overtime for exempt employees and other classifications will be charged at 1 x hourly rate. Rev. 1 /21 /2025 AMENDMENT NO. 1 DESIGN SERVICES AGREEMENT BETWEEN SOUTHERN CALIFORNIA REGIONAL RAIL AUTHORITY (SCRRA) AND THE CITY OF SANTA CLARITA FOR 13TH STREET WIDENING PROJECT AT SCRRA MP 30.39 - VALLEY SUBDIVISION DOT NO.: 746016J CPUC NO.: 101 VY-30.39 IN SANTA CLARITA LOS ANGELES COUNTY, CALIFORNIA 13t1i Street Widening Design Services Agreement SCRRA Project No: 860990 Valley Subdivision MP 30.39 This "Amendment No. 1" to the August 19, 2019 Design Services Agreement (herein referred to as the "AGREEMENT") for the 131h Street Widening Project (herein referred to as the "PROJECT") is made and entered into as of the day of , 2025, by and between the SOUTHERN CALIFORNIA REGIONAL RAIL AUTHORITY, a joint powers authority existing under the laws of the State of California (hereinafter referred to as "SCRRA"), to be addressed at 900 Wilshire Blvd., Suite 1500, Los Angeles, CA 90017 and the CITY OF SANTA CLARITA, a general law city and municipal corporation organized and existing under the laws of the State of California, (hereinafter referred to as "CITY"), to be addressed at City of Santa Clarita, 23920 Valencia Boulevard, Suite 300, Santa Clarita, CA 91355. CITY and SCRRA may be referred to singly as "PARTY" and collectively as "PARTIES." RECITALS: CITY and SCRRA executed the AGREEMENT on August 19, 2019, which established roles, responsibilities, funding and processes for engineering and construction reviews, comments, and approvals of final engineering Plans, Specifications and Estimates (PS&E) for the 131h Street Widening PROJECT located on the Valley Subdivision at Milepost 30.39 and identified as DOT No. 746016J/CPUC No. 101 VY-30.39 in the City of Santa Clarita. Through further site investigations and project development, the cost for completion of the original scope is now estimated to have increased. CITY and SCRRA desire to amend the AGREEMENT to increase the funding for DESIGN SERVICES work to be performed by SCRRA and to update the estimated cost for said services. Section I, Paragraph 4 is hereby amended to read as follows: 4. The performance of any additional services beyond the DESIGN SERVICES defined in Section 1. 1. and outlined in EXHIBIT "A" (REVISION 1), shall require an amendment to this AGREEMENT signed by both Parties. 2. Section II, Paragraph 2 is hereby amended to read as follows: 2. CITY shall fund and bear the cost of one hundred percent (100%) of all DESIGN SERVICES as defined in Section I and outlined in EXHIBIT "A" (REVISION 1) of this AGREEMENT. The costs associated with DESIGN SEVICES are only estimates and may vary, for which the CITY shall be responsible for reimbursement of one hundred percent (100%) of all costs incurred by SCRRA. 3. Section 11, Paragraph 3 is hereby amended to read as follows: 3. The total cost of the RAILROAD DESIGN SERVICES provided by this AGREEMENT shall not exceed the sum of $520,850. The CITY has previously provided funding to SCRRA in the amount of $219,450 for the PROJECT. Within thirty (30) days of execution of this AGREEMENT, the CITY agrees to deposit the amount of $301,400 which shall bring the total deposit to one hundred percent (100%) of the estimated cost of DESIGN SERVICES to be provided by SCRRA under EXHIBIT "A" (REVISION 1) of this AGREEMENT. SCRRA will be reimbursed on the basis of actual cost up to the "not -to - exceed" total amount.
