Authorize the City Manager or designee to execute all contracts and associated documents, subject to City Attorney approval. BACKGROUND Santa Clarita Transit is preparing to place seven new Hydrogen Fuel Cell transit buses into service. As part of standard fleet deployment, each vehicle must be equipped with several onboard technology systems which allow the bus to operate as part of an active transit fleet. These hardware systems are collectively referred to as the Intelligent Transportation System (ITS). The ITS hardware consists of the onboard computers, communications equipment, and supporting components that enable essential transit functions. These systems support features such as automated stop announcements, onboard audio and multimedia displays, vehicle location and communications, and the exchange of data between the bus and Santa Clarita Transit's existing operating systems. The ITS hardware also allows the vehicle to interface with other onboard equipment, including head signs, fare collection systems, passenger counters, and vehicle diagnostics. Page 1 Packet Pg. 44 O This work ensures that the new vehicles are fully integrated with Santa Clarita Transit's existing technology and are operationally consistent with the active fleet prior to entering revenue service. Connexionz Limited is the developer and system integrator of the transit technology environment currently used by Santa Clarita Transit and, as such, is the only firm able to install, configure, and commission new vehicles within that system. As a result, and in accordance with the City's Purchasing Policy, a sole source procurement has been approved for the vendor. Therefore, staff recommends awarding a contract to Connexionz Limited in an amount not to exceed $74,067. ALTERNATIVE ACTION Other action as determined by the City Council. FISCAL IMPACT The resources required to implement the recommended action are contained within the City of Santa Clarita's adopted FY 2025-26 budget, in expenditure account 7003702-520103 (Transit Capital — Automotive Equipment). Completion of this work ensures new vehicles are fully integrated with Santa Clarita Transit's existing technology and are operationally consistent with the active fleet prior to entering revenue service. DESCRIPTION OF WORK Connexionz Ltd. will supply the labor, tools, parts, mounting brackets, and all equipment needed to install the ITS hardware identified in Exhibit B, Connexionz Ltd. Quote and Proposal, and complete the following work on seven City -owned 2026 New Flyer Hydrogen Fuel Cell transit buses. • Install, test, and commission on vehicle Automatic Vehicle Location hardware. • Install, test, and commission audio and visual stop announcement hardware, including two monitors per vehicle. • Test and commission on vehicle Automatic Passenger Counter hardware. • Install, test, and commission farebox interface. • Install, test, and commission headsign interface. • Install, test, and commission vehicle health monitoring hardware. • Install and test Wireless Local Area Network depot download and network connectivity. All work must be completed within five calendar days of each vehicle's arrival to the Transit Maintenance Facility. City staff will notify the Connexionz Ltd. Customer Service Manager of their arrival date. In the event the work is not completed within five calendar days of the vehicle arrival date, the City may assess damages of $250 per calendar day for each unfinished vehicle until the work is completed in its entirety. Please allow up to 12 weeks lead time Assumptions: Hardware & Installation 1. CNX ITS hardware is provided only for the 7x NFI vehicles listed in this quote. 2. Onsite installation will take place at the Santa Clarita location during standard business hours unless otherwise agreed 3. Vehicle availability and access for installation will be provided by the customer. 4. It is assumed that NFI/MCI will provide the necessary inputs, outputs, and wiring harnesses to the ITS cabinet, so that CNX will only need to connect to the wiring from the ITS cabinet. 5. All hardware installed will include a one (1) year warranty from the date of installation. Configuration & Licensing 6. Configuration, commissioning, and licensing are limited to the features and hardware described in this quote, with licensing purchased through the agreed SMA contract. 7. One (1) year of Pepwave PrimeCare is included under this quote. Following this period, it will be the responsibility of Santa Clarita Transit to purchase and maintain any additional PrimeCare licenses if desired. 8. SIM cards required for system operation will be provided by Santa Clarita Transit. Vehicle Scope & Fees 9. It is assumed that the 7 vehicles identified in this quote are replacements of existing vehicles. In the event that these vehicles are additions to the fleet rather than replacements, an additional fee per vehicle will be applied to maintain coverage through the end of the SMA period. Taxes 10. Sales tax for hardware has been included in quote. Estimated Arrival of Hardware 11. Hardware is estimated to be delivered within 5 days of receipt of PO from The City of Santa Clarita Transit.
