Award a three-year contract to Mellady Direct Marketing for the printing and mailing of the City of Santa Clarita State of the City newsletter, in an amount not to exceed $103,159. 2. Authorize the City Manager or designee to execute up to two additional one-year renewal options beginning in year four, not to exceed the annual contract amount, plus an adjustment consistent with the appropriate Consumer Price Index and contingent upon the appropriation of funds by the City Council in the annual budget for such fiscal year. 3. Authorize the City Manager or designee to execute all contracts and associated documents, subject to City Attorney approval. BACKGROUND For more than two decades, every spring and fall the City of Santa Clarita (City) prints and mails the State of the City newsletter to its residents to inform them about the latest City news. The State of the City newsletter (Newsletter) features messages from the City Manager, Sheriff's Captain, and Assistant Fire Chief, and provides updates on Capital Improvement Projects, Library programs, public safety campaigns, and other noteworthy projects and programs taking place in the City. The Newsletter provides vital information to keep the community informed and engaged with what is happening in Santa Clarita. It is mailed to every residential address in the City, which is approximately 78,000. Page 1 Packet Pg. 22 O The City conducted a Request for Proposal (RFP) to solicit proposals from qualified consulting firms for the printing and mailing of the Newsletter. The RFP was published and circulated via the City's e-procurement system, BidNet, on October 24, 2025. The City transmitted the solicitation to 1,366 vendors on BidNet, of which 59 vendors downloaded the RFP. Four companies provided proposals for consideration. These proposals were reviewed and evaluated based on each company's ability to meet the specific needs of the City. An evaluation panel, comprised of staff from multiple City departments, scored the responses using the following categories of weighted criteria: • Qualifications and Experience (25 points) • Ability to Provide the Services: Specific information on the company's ability to deliver the required services; background on the company, including the number of years in business and the completion of similar projects of equal complexity (including sample work submitted) (35 points) • References (10 points) • Cost of materials and services provided, as well as discounts offered (40 points) The evaluation team scored the responses based on a 110-point system, with the results outlined below: Rank Company 1 Mellady Direct Marketing 2 The Dot Corporation 3 Metro Mailing Service 4 Advantage Mailing LLC Location Cost Score Santa Clarita, CA $103,159 101 Irvine, CA $150,236 89 Sacramento, CA $120,165 84 Anaheim, CA $109,250 77 In reviewing proposals, the evaluation team awarded the highest score to Mellady Direct Marketing (Mellady). The evaluation team determined that Mellady's proposal offered the best overall value to meet the qualifications in printing and mailing, high -quality service, cost, and adherence to the contract. Staff has completed a due -diligence review of Mellady's professional references and determined its work history meets the City's standards and performance expectations. Based on the above, staff recommends awarding the contract to Mellady. ALTERNATIVE ACTION Other actions as identified by the City Council. FISCAL IMPACT The resources required to implement the recommended action are contained within the City of Santa Clarita's adopted Fiscal Year 2025-26 budget, expenditure account 1001500-510104 Page 2 Packet Pg. 23 O (Communications/Printing). Funding for future fiscal years is contingent upon the appropriations of funds by the City Council in the annual budget for such fiscal year. DBA Mellady Direct Marketing will confirm the mail date for each newsletter in advance. For each issue, our standard schedule is: 45-30 days before mail date: Brief planning/check-in with City staff to confirm mail date, quantities, and any changes to format or content. 21 days before mail date (within three weeks): City provides final artwork and geography data to the Mellady, in accordance with the RFP requirement that art be provided within three weeks of the mail date. PLEASE NOTE: The current provided city boundary list you provide is for geography only. The data is used to map city boundaries to acquire the postal carrier routes and map the boundaries of the city which are not full carrier routes in some cases. Please note, the list you provide is only a guideline not a postal mailing list. 19-14 days before mail date: Supplier prepares and delivers a digital proof draft for City review. 14-10 days before mail date: City reviews and returns approved proof; any minor revisions are incorporated and re - proofed as needed. 9-3 days before mail date: Supplier prints, finishes, and performs quality checks. 2-0 days before mail date: Supplier addresses, presorts, and enters the newsletters into the mail stream to meet the agreed mail date. These are the Indemnity and Insurance Requirements for Contractors providing services or supplies to City of Santa Clarita (City). By agreeing to perform the work or submitting a proposal, you verify that you comply with and agree to be bound by these requirements. City reserves the right to require full -certified copies of all Insurance coverage and endorsements. 3. INDEMNIFICATION a. To the fullest extent permitted by law, CONSULTANT shall defend (with legal counsel reasonably acceptable to CITY), indemnify and hold harmless CITY and its officers, agents, departments, officials, representatives and employees (collectively "Indemnitees") from and against any and all claims, loss, cost, damage, injury (including, without limitation, economic harm, injury to or death of an employee of CONSULTANT or its subconsultants), expense and liability of every kind, nature and description that arise from or relate to (including, without limitation, incidental and consequential damages, court costs, attorneys' fees, litigation expenses and fees of expert consultants or expert witnesses incurred in connection therewith and costs of investigation) that arise from or relate to, directly or indirectly, in whole or in part, from: (1) CONSULTANT's performance of Services under this Agreement, or any part thereof; (2) any negligent act or omission of CONSULTANT, any subconsultant, anyone directly or indirectly employed by them, or anyone that they control; (3) any actual or alleged infringement of the patent rights, copyright, trade secret, trade name, trademark, service mark or any other intellectual or proprietary right of any person or persons in consequence of the use by CITY, or any other Indemnitee, of articles or Services to be supplied in the performance of this Agreement; or (4) any breach of this Agreement (collectively "Liabilities"). Such obligations to defend, hold harmless and indemnify any Indemnitee shall not apply to the extent such Liabilities are caused by the sole negligence or willful misconduct of such Indemnitee, but shall apply to all other Liabilities. The foregoing shall be subject to the limitations of California Civil Code section 2782.8 as to any design professional services performed by CONSULTANT and in particular the limitation on CONSULTANT's duty to defend whereby such duty only arises for claims relating to the negligence, recklessness or willful misconduct of CONSULTANT as well as the limitation on the cost to defend whereby CONSULTANT will only bear such cost in proportion to CONSULTANT's proportionate percentage of fault (except as otherwise provided in section 2782.8). b. CONSULTANT shall place in its subconsulting agreements and cause its subconsultants to agree to indemnities and insurance obligations in favor of CITY and other Indemnitees in the exact form and substance of those contained in this Agreement. 4. INSURANCE a. Such endorsement must be reflected on ISO Form No. CG 20 10 1185 or 88, or equivalent. Such insurance will be on an "occurrence," not a "claims made," basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to CITY. c. Professional liability coverage will be on an "occurrence basis" if such coverage is available, or on a "claims made" basis if not available. When coverage is provided on a "claims made basis," CONSULTANT will continue to renew the insurance for a period of at least three (3) years after this Agreement expires or is terminated. Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect. d. CONSULTANT will furnish to CITY duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement, including endorsements, and such other evidence of insurance or copies of policies as may be reasonably required by CITY from time to time. Insurance must be placed with California -admitted insurers with (other than workers compensation) a current A.M. Best Company Rating of at least "A:VII." e. Waiver of Subrogation: The insurer(s) agree to waive all rights of subrogation against CITY, its elected or appointed officers, officials, agents, volunteers and employees for losses paid under the terms of the workers compensation policy which arise from work performed by CONSULTANT for CITY. f. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, CITY may obtain such coverage at CONSULTANT's expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate pursuant to TERMINATION section. In the alternative, should CONSULTANT fail to meet any of the insurance requirements under this Agreement, City may terminate this Agreement immediately with no penalty. g. Should CONSULTANT'S insurance required by this Agreement be cancelled at any point prior to expiration of the policy, CONSULTANT must notify City within 24 hours of receipt of notice of cancellation. Furthermore, CONSULTANT must obtain replacement coverage that meets all contractual requirements within 10 days of the prior insurer's issuance of notice of cancellation. BACKGROUND 1.1. The City of Santa Clarita creates two State of the City Newsletters annually. The first edition is released during the Spring and the second edition during the Fall. Proposals are being solicited for the printing and mailing of these newsletters. 2. OBJECTIVES 2.1. The purpose of the State of the City Newsletter is to keep residents within City -limits informed on projects, updates and happenings in the City. 3. SUPPLIER RESPONSIBILITIES 3.1. Artwork as well as art, print, paper and bleed specifications shall be provided to the supplier by the City's graphic designer. 3.2. Supplier shall provide a draft proof copy for review and approval to the City's graphic designer. 3.3. Once the supplier has received the final approved draft proof, supplier shall print the required number of newsletters for delivery to the postmaster and City Hall. 3.4. Prior to the supplier receiving artwork, the City's graphic designer shall obtain a quote from the supplier that indicates estimated cost for the newsletter print. In addition to the print quote, the supplier shall also provide the estimate for the postage that the supplier shall obtain from the Postmaster. The postage cost, due payable directly to the postmaster, will be provided to the Postmaster by the City prior to the mailing date. Postage is estimated at: $17,188.
