Award a design -build contract to Spectra Company to design and build the phased rehabilitation, reinstallation, and repair of the Pioneer Oil Refinery buildings and structures, in the amount of $1,285,159, and authorize a contingency in the amount of $192,774, for a total contract amount not to exceed $1,477,933. 2. Appropriate one-time funds in the amount of $1,340,000 from the Developer Fee Fund (Fund 306) and $234,000 from the Facilities Fund (Fund 723) to the Pioneer Oil Refinery expenditure accounts P2018306-516101 and P2018723-516101, respectively, for a total appropriation of $1,574,000 for the restoration of the Pioneer Oil Refinery site. 3. Authorize the City Manager or designee to execute all contracts and associated documents, subject to City Attorney review. BACKGROUND The Pioneer Oil Refinery (Site) is a historic, inactive oil refinery located on the corner of Needham Ranch Parkway and Pioneer Way in the City of Santa Clarita (City). Built in 1876 by California Star Oil Works, a predecessor of Standard Oil Company and later Chevron, the refinery operated until 1888. The Site has received several significant historic designations. In 1935, it was designated a California State Historical Landmark as the first commercial oil refinery in California. In 1975, the American Society of Mechanical Engineers recognized the Site as the first successful oil refinery in California. In December 2020, the Pioneer Oil Refinery Page 1 Packet Pg. 119 was officially listed on the National Register of Historic Places. Chevron donated the property to the City in 1997, and the Pioneer Oil Refinery Master Plan was approved in 2013. The Master Plan was developed to transform the Site into an educational public park where visitors of all ages can learn about the oil refining process of the late 1800s. The plan includes trails, open space, interpretive features, and other park amenities. The Site contains several historic structures, including two buildings (the Pump House and Shed); seven metal tanks (Acid Tank, Wash Tank, two Rundown Tanks, Residuum Tank, Water Tank, and Oil Tank); and a set of stills consisting of two brick and metal stills, two chimneys, and a network of metal condenser pipes. As part of Phase 1, the Master Plan was updated, and the park was constructed and opened to the public in 2025. In March 2026, a Request for Qualifications (RFQual) was published via the City's e- procurement system, BidNet, inviting interested firms to submit their qualifications for Phase 2 of the project. Phase 2 includes the design and construction of the rehabilitation, reinstallation, and repair of the historic structures and equipment on the Site. The RFQual was distributed to 4,748 vendors, of which 63 downloaded the materials. The City received one submission and determined that the design -build firm, Spectra Company (Spectra), was qualified to undertake this project. After finalizing the scope of work, the City issued a Request for Proposal (RFP) inviting the pre - qualified firm to submit their proposal for the project. The City received Spectra's proposal, which was evaluated by a panel of City staff to ensure that the firm has a strong project management approach, qualified staff, and relevant experience on similar projects. The following criteria were used to evaluate the proposal: • Project Management and Schedule of Work • Staff Composition • Experience on similar projects and experience working with the Secretary of the Interior's Standards and other public agencies • Cost Proposal Following the evaluation process, Spectra received the score as outlined below. COMPANY I LOCATION JSCOPE Spectra Company I Pomona, CA 194.3 Spectra demonstrated an in-depth understanding of the project needs and provided a detailed scope of work and a comprehensive project management approach. Their team brings diverse backgrounds and decades of experience working on restoring historic structures and sites. Staff recommends awarding the design -build contract to Spectra Company for a total contract amount of $1,285,159. A 15 percent contingency is being requested to cover additional design and/or build needs for the historic structures, additional amenities identified for the park site, and any necessary modifications required during the project. Upon approval of the recommended actions, the City Council will appropriate $1,574,000 for Page 2 Packet Pg. 120 this project. The project budget will support $1,477,933 for design and construction, including contingency, and $96,067 for historic consultant services, a park monument sign, an electric vehicle charging station, and project administrative costs, including inspections, permits, and fees, and labor compliance monitoring. ALTERNATIVE ACTION Other action as determined by the City Council. FISCAL IMPACT The requested appropriations of $1,340,000 in Developer Fee Fund (Fund 306) and $234,000 in Facilities Fund (Fund 723) will create a total project budget of $1,574,000 in Pioneer Oil Refinery Expenditure Accounts P2018306-516101 and P2018723-516101, collectively. This amount will adequately provide $1,477,933 for award of the design -build contract, including contingency and $96,067 for historic consultant services, a monument sign, an electric vehicle charging station, and additional administrative costs. It was added as a California Historic Landmark in 1935 and on the National Register of Historic Places in 2020. We understand the Refinery consists of two buildings (Pump House and Shed), seven metal tanks (Acid Tank, Wash Tank, two Rundown Tanks, Residuum Tank, Water Tank, and Oil Tank), and a set of Stills that consists of two brick and metal stills, two chimneys, and a set of metal condenser pipes. The Pump House and other previously salvaged tanks will be reinstalled at the new proposed locations while the Stills, Shed and Water and Oil Tank will be rehabilitated in place. The Design Build team includes an architect (Spectra Company), structural engineer (sub - consultant TYLin), general contractor (Spectra Company) and concrete subcontractor (El Camino Construction) experienced in the rehabilitation of historic structures, materials conservation and the Secretary of the Interior's Standard for the Treatment of Historic Properties. It is our understanding that a landscape architect is excluded from this proposal and will only be added later if necessary. TASK 2: PROTECT MANAGEMENT Ongoing communication and coordination with the City and City's consultant from project kick-off through construction. All agendas, meeting minutes, task lists, and exhibits are to be included. Project management will be led by architect, Dick Gee, AIA, during the Design Phase and the construction project manager, Rafael Barrios, during the Build, or construction, phase. Subtask 2.1: Monthly Meetings • Monthly meetings to review project schedules, plans, and specifications. Assemble the agenda prior to each meeting, and provide and distribute meeting minutes afterwards. Meetings will be held in -person and some may be held virtually. Output: Agendas and Meeting Minutes. Subtask 2.2: Monthly Progress Reports • Prepare monthly progress reports and progress schedule updates. The progress report shall include accomplished tasks for the month, anticipated progress for the next month (4 week look ahead), pending issues, and schedule completion target dates. Output: Monthly Progress Reports. Subtask 2.3: Schedule • Within two weeks of the Notice to Proceed (NTP), a detailed project baseline schedule will be submitted indicating milestones, major activities, and deliverables to the City for review and comment. The schedule will be updated as needed. Output: Project Schedule. Subtask 2.4: Quality Control • A quality control plan will be submitted. Output: Quality Control Plan. TASK 3: CONSTRUCTION DOCUMENTS Subtask 3.1: Construction Documents (Plans, Specifications, and Estimates) • Prepare Construction Documents to include Architectural and Structural plans. (Landscape, mechanical, electrical, plumbing drawings and interpretive display drawings are not required and excluded). • Output: Construction Documents will be submitted at 60% (DD Set shall constitute the 60% submittal), 90%, and 100% (Plan Check Submittal), and final approved plans. County Fire, or as needed for construction permits. • Output: An updated complete set of approved plans, specifications, and estimate will be submitted. TASK 4: CONSTRUCTION SUBTASK 4.1 Phase 1 • Pump House- A new footing will be designed and installed. The Pump House will be reconstructed using salvaged materials. In kind materials will be used if the existing is missing or deteriorated beyond reuse. It is anticipated a significant amount of framing and wood that was previously in contact with the ground would need to be replaced. Salvaged equipment will be reinstalled. • Acid Tank- A new footing and support framing will be designed and installed. The Acid Tank will be relocated and rehabilitated. In kind materials will be used if the existing is missing or deteriorated beyond reuse. It is anticipated a significant amount of the wood support frame would need to be replaced due to deterioration. • Wash Tank- A new footing and support framing will be designed and installed. The Wash Tank will be relocated and rehabilitated. In kind materials will be used if the existing is missing or deteriorated beyond reuse. It is anticipated a significant amount of the wood support frame would need to be replaced due to deterioration. • Rundown Tanks (Two Tanks)- - New footings will be designed and installed. The Rundown Tanks will be relocated and rehabilitated. • Residuum Tank- A new footing and support framing will be designed and installed. The Residuum Tank will be relocated and rehabilitated. In kind materials will be used if the existing is missing or deteriorated beyond reuse. It is anticipated a significant amount of the wood would need to be replaced due to deterioration. • Stills- The stills will be cleaned and a graffiti protective coating will be applied. The chimneys will be reconstructed to match the original in size and appearance. However, brick veneer over a support frame will be used to mitigate the challenges of a tall, heavy chimney. Some visible structural support may be visible, but will be mitigated and only as necessary for structural stability. SUBTASK 4.2 Phase 2 (Phase 2 to be completed concurrently with Phase 1) • Shed- The Shed will be rehabilitated, but a new footing was not requested. TASK 5: MAINTENANCE AND REPAIR GUIDELINES The Design Build team will coordinate with the City and the City's Facilities Division, Graffiti Removal Team, and Consultant to develop guidelines for future work related to the Pioneer Oil Refinery. The guidelines will outline recommended treatments and methods for carrying out ongoing maintenance, as -needed repair, and graffiti removal for each building or structure, in a manner that will not cause damage to the historic fabric. Fern Dell Nature Trail Bridge Repair I Los Angeles, CA The pedestrian bridge at Fern Dell underwent a significant restoration led by Friends of Griffith Park (FoGP). Mel assessed the bridge's condition, and a ground -penetrating radar revealed that the original 1920s foundations were still structurally sound. Collaborating with preservation architect Michelle McDonough, the team developed restoration plans that rein- stated the bridge's original arched design and distinctive railings and added modern safety enhancements. The project received approval from the City's Office of Historic Preservation, and construction commenced in 2019. The bridge reopened to the public in December 2019. Churchill State Park, NV Restoration efforts at Fort Churchill have focused on stabilizing the historic adobe structures using like materials to preserve the original fort layout. INDEMNIFICATION: City and its respective elected and appointed boards, officials, officers, agents, employees, and volunteers (individually and collectively, "Indemnitees") shall have no liability to DB ENTITY or any other person for, and DB ENTITY shall indemnify, defend, protect, and hold harmless Indemnitees from and against, any and all liabilities, claims, actions, causes of action, proceedings, suits, damages, judgments, liens, levies, costs, and expenses of whatever nature, including reasonable attorney's fees and disbursements (collectively, "Claims"), which Indemnitees may suffer or incur or to which Indemnitees may become subject by reason of or arising out of any injury to or death of any person(s), damage to property, loss of use of property, economic loss, or otherwise occurring as a result of or allegedly caused by the DB ENTITY'S performance of or failure to perform any services under this Agreement, or by the negligent or willful acts or omissions of DB ENTITY, its agents, officers, directors, or employees, committed in performing any of the services under this Agreement. If any action or proceeding is brought against Indemnitees by reason of any of the matters against which DB ENTITY has agreed to indemnify Indemnitees as provided above, DB ENTITY, upon notice from City, shall defend Indemnitees at its expense by counsel acceptable to City, such acceptance not to be unreasonably withheld. Indemnitees need not have first paid for any of the matters to which Indemnitees are entitled to indemnification in order to be so indemnified. The limits of the insurance required to be maintained by DB ENTITY in this Agreement shall not limit the liability of DB ENTITY hereunder. The provisions of this section shall survive the expiration or earlier termination of this agreement. The provisions of this section do not apply to Claims occurring as a result of the City's active negligence or acts of omission. II. INSURANCE DB ENTITY shall maintain and submit certificates of all applicable insurance including, but not limited to, the following and as otherwise required by law. The terms of the insurance policy or policies issued to provide the above insurance coverage shall provide that said insurance may not be amended or canceled by the carrier, for non-payment of premiums or otherwise, without thirty (30) days prior written notice of amendment or cancellation to the CITY. In the event the said insurance is canceled, the DB ENTITY shall, prior to the cancellation date, submit to the City Clerk new evidence of insurance in the amounts established. Liabilitv Insurance During the entire term of this Agreement, the DB ENTITY agrees to procure and maintain General Liability insurance at its sole expense to protect against loss from liability imposed by law for damages on account of bodily injury, including death therefrom, suffered or alleged to be suffered by any person or persons whomsoever, resulting directly or indirectly from any act or activities, errors or omissions, of the CITY, or DB ENTITY or any person acting for the CITY, or under its control or direction, and also to protect against loss from liability imposed by law for damages to any property of any person caused directly or indirectly by or from acts or activities of the CITY, or DB ENTITY or any person acting for the CITY, or under its control or direction. Such public liability and property damage insurance shall also provide for and protect the CITY against incurring any legal cost in defending claims for alleged loss. Such General, Public and Professional liability and property damage insurance shall be maintained in full force and effect throughout the term of the Agreement and any extension thereof in the amount indicated above or the following minimum limits: Commercial General Liability Insurance, including coverage for Premises and Operations, Contractual Liability, Personal Injury Liability, Products/Completed Operations Liability, and Independent Contractors' Liability (if applicable), in an amount of not less than two million dollars ($2,000,000.00) per occurrence, four million dollars ($4,000,000.00) annual aggregate, written on an occurrence form. Products/Completed Operations coverage shall extend a minimum of three (3) years after project completion. Coverage shall be included on behalf of the DB ENTITY for covered claims arising out of the actions of independent contractors. If the DB ENTITY is using subcontractors, the policy must include work performed "by on or behalf" of the DB ENTITY. Policy shall contain no language that would invalidate or remove the DB ENTITY's duty to defend or indemnify for claims or suits expressly excluded from coverage. Policy shall specifically provide for a duty to defend on the part of the DB ENTITY. Worker's Compensation Insurance The DB ENTITY shall procure and maintain, at its sole expense, Worker's Compensation Insurance in the amount of $1,000,000 per occurrence or in such amount as will fully comply with the laws of the State of California and which shall indemnify, insure and provide legal defense for both the DB ENTITY and the CITY against any loss, claim or damage arising from any injuries or occupational diseases happening to any worker employed by the DB ENTITY in the course of carrying out the work within the Agreement. Such insurance shall also contain a waiver of subrogation naming the City of Santa Clarita. Automotive Insurance The DB ENTITY shall procure and maintain, at its sole expense, throughout the term of this Agreement, and any extension thereof, public liability and property damage insurance coverage for automotive equipment with coverage limits of not less than $1,000,000 combined single limit for each accident. All such insurance shall be primary insurance and shall name the City of Santa Clarita as an additional insured. DB ENTITY hereby waives its own right of recovery against the CITY, and shall require similar written express waivers and insurance clauses from each of its subconsultants. Ser)aration of Insureds A severability of interests provision must apply for all additional insureds ensuring that DB ENTITY's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the insurer's limits of liability. The policy(ies) shall not contain any cross -liability exclusions. Pass Through Clause DB ENTITY agrees to ensure that its subconsultants, subcontractors, and any other party involved with the project who is brought onto or involved in the project by DB ENTITY, provide the same minimum insurance coverage and endorsements required of DB ENTITY. DB ENTITY agrees to monitor and review all such coverage and assumes all responsibility for ensuring that such coverage is provided in conformity with the requirements of this section. DB ENTITY agrees that upon request, all Agreements with consultants, subcontractors, and others engaged in the project will be submitted to the CITY for review. Self -Insured Retentions Any self -insured retentions must be declared to and approved by the CITY. The CITY reserves the right to require that self -insured retentions be eliminated, lowered, or replaced by a deductible. Self-insurance will not be considered to comply with these specifications unless approved by the CITY. Primary and Additional Insured All of such insurance shall be primary and shall name the City of Santa Clarita as additional insured. Requirements Should DB ENTITY, for any reason, fail to obtain and maintain the insurance required by this Agreement, CITY may obtain coverage at DB ENTITY'S expense and deduct the cost of such insurance from payments due to DB ENTITY under this Agreement or terminate. In the alternative, should DB ENTITY fail to meet any of the insurance requirements under this Agreement, CITY may cancel the Agreement immediately with no penalty. Should DB ENTITY's insurance required by this Agreement be canceled at any point prior to expiration of the policy, DB ENTITY must notify CITY within 24 hours of receipt of notice of cancelation. Furthermore, DB ENTITY must obtain replacement coverage that meets all contractual requirements within 10 days of the prior insurer's issuance of notice of cancelation. Construction began on the 250,000-acre estate in 1919 and the mansion became famous for hosting the Hollywood and political elite of the day. After Hearst left due to his ailing heath, the mansion was donated and is currently operated by the California Department of Parks and Recreation which offers daily tours of the estate. Spectra worked on the castle to complete stone restoration at the window sills and door thresholds, stained glass restoration, preservation consulting, preconstruction documentation, and construction monitoring. It was the first theater in Los Angeles to be wired for talking pictures, as well as the first to have air conditioning. After the theater's closure in 1988, it sat abandoned for nearly 30 years. Today, after a 3-year renovation, it serves as the flagship Apple store for Los Angeles. Spectra catalogued, removed and reinstalled the historic plaster ceilings, railings and decorative elements in over 1,200 separate pieces. Spectra also surveyed and rehabilitated the terra-cotta exterior facade, including the previously removed clock tower. A series of four missions have been built on the site. Santa Barbara Mission is the only mission to remain under the leadership of the Franciscan Friars since its founding. Today, the mission is a parish church of the Archdiocese of Los Angeles. The church underwent restoration and Spectra joined the design team to complete the rehabilitation. It may be the official summer home to the Los Angeles Philharmonic, but it is famously known for hosting famous musicians, dancers, and entertainers throughout the year. The original Hollywood Bowl, which opened on July 11 in 1922, was a wooden platform with a canvas top, surrounded by moveable benches for the audience. In 2004, after continued degradation of the shell's acoustics, the architectural firm of Hodgetts and Fung designed a replacement shell incorporating the prominent front arch of the 1926 design, the wide layout of the 1928 shell, and the white finish of the 1929 design. Ince in 1918. The first structure to go up on the lot was `The Man- sion', which is a colonial style building that was modeled after George Washing- ton's home at Mount Vernon. Over the years, a theater, multiple bungalows and a blacklot for outdoor sets were added to the property. The lot went through a redevelopment and Culver Studios is now home to Amazon's Los Angeles area operations. Spectra Company rehabilitated the main mansion, including a major structural retrofit that was carefully concealed. In addition, four of the historic bungalows were relocated and rehabilitated along with several more historic buildings. Frank Lloyd Wright's Ennis House Frank Lloyd Wright's Ennis House is one of four `textile block' homes in Los Angeles, constructed with patterned concrete blocks that give a unique texture to the exterior facade. The house consists of an estimated 27,000 to 40,000 of these concrete blocks. After the condition of the house deteriorated from earthquake and rain damage, it was listed on the National Trust for Historic Preservation's most endangered places. Spectra Company contributed to the restoration, which included structural upgrades, materials restoration and new roofing, conservation of the textile blocks, window and door restoration, exterior cleaning, and hardware restoration. Brand Library At the base of the Verdugo Mountains lays a 5,000 square foot mansion built by Leslie Coombs Brand in 1904. Otherwise known as El Miradero, which means "vantage point", the mansion represents the unique Indo-Saracenic architectural style influenced by Islamic and Indian design, including repeated scalloped arches. When Brand passed away in 1925, he donated the house and its surrounding 488 acres to the City of Glendale to be used as a public library and public park. By 1956, the house was converted into the library that still stands today. Spectra proudly completed restoration work of its historic features during the project including exterior ornamental plaster and re-creation of the historic ceiling murals found throughout the library. The murals were rediscovered upon removal of suspended ceilings that kept them hidden for decades. The detail of the interior is exquisite, with hand painted frescos, murals, carved marble fountains, lead crystal chandeliers, and caste bronze stairwells. Completed in 1924, the building served as the headquar- ters of the Owl Drug Co., and housed the publishing company of "Tarzan" author Edgar Rice Burroughs. It was the tallest building in its area at the time and also boasted three high-speed elevators, offices with abundant light, elegant mahogany trim and millwork, and coveted two-hour street parking. Vacant since the mid-1980s, the building has now been converted by NY -based hotel developer Sydell Group into their new trendy hostels concept called "Free- hand." The iconic Commercial Exchange neon sign, one of the tallest in LA, was also restored as part of the project. Acclaimed architec- ture firm Morgan, Walls & Clements was commissioned to design the new bank. Designed in the neoclassical style, the 12-story building features Doric columns, marble floors and an ornate golden -coffered ceiling in the main lobby. In 2015, the New York -based development firm Sydell Group purchased the abandoned office building. They launched an extensive project to adaptively re- habilitate the building into the chic NoMad Hotel. The space accommodates 250 guest rooms, a rooftop pool, an event deck, and street level restaurant and retail space. Spectra collaborated with Sydell Group, RD Olson, and KFA to restore the 1920's-era structure.
