SERVICES' AGREEMENT (CTS)
The City Council in its meeting of August 14 of 1990 accepted the Commuter
Transportation Services' Commute Management Program Proposal- and provided the
funding for the program. After the June 12th meeting, staff first sought
private funding from the City's business community for this program before
expending City funds.
The CTS' program objective is to reduce the number of vehicles commuting on the
Antelope Valley Freeway and Interstate 5 (between Kern County line and the I-5
and 14 Junction.) CTS is to implement a marketing program dedicated to
promoting car and van pooling and related commuter services. A CTS Account
Executive has already been employeed to assist residents, businesses, developers
and realtors, and the Chambers of Commerce in the creation of transportation
managementassociationsand assist in providing ride -matching -services.
Attached for Council consideration is the Agreement between the City of Santa
Clarita and CTS for funding $15,600 of the program as identified in the Council
report of August 14, 1990.
RECOMMENDATION
Sign the attached Agreement and direct staff to implement the CTS Commute
Management Program.

AGREEMENT
This agreement is made and entered into this day of
1990, by and between Commuter Transportation
Servi—ices, Inc. ("CTS") and the City of Santa Clarita (the
"City").
Whereas, CTS is a California non-profit corporation organized and
operated for the purpose of promoting ridesharing and vanpooling,
increasing use of transit and increasing participation in
variable work hour programs, telecommuting and other trip
reduction programs; and
Whereas, the City is.taking actions to reduce traffic congestion
and air pollution in the community;
Now therefore, in consideration of the mutual covenants of the
parties herein contained, it is agreed as follows:
. 1. TERM OF AGREEMENT
a. This agreement shall be effective when executed, and
shall terminate on December 31, 1991, unless terminated
earlier by thirty (30) days written notice by either
party. Upon early termination, CTS shall be entitled
to compensation for all authorized unreimbursed
expenditures incurred prior to termination.
b. The City may elect to extend the term of this Agreement
for up to an additional 12 months by giving CTS sixty
days written notice, and thereupon request CTS to
continue providing services specified in Exhibit A at
the cost specified by CTS -for the -'extended period.
2. CTS' SERVICES
CTS agrees to provide to the City the services described. in
Exhibit A attached hereto and incorporated herein by this
reference.
3. PAYMENT FOR SERVICES
a. The City agrees to pay CTS not more than $15,650.00 for
performance of the services described in Exhibit A.

4. METHOD OF PAYMENT

CTS shall submit monthly invoices for services performed
pursuant to this Agreement. Upon receipt of a monthly
invoice and upon acceptance of services by the City, the
City will make payment to CTS within thirty (30) business
days.
S. DEFAULT
The failure of a party to fully keep and perform each of its
obligations hereunder, which failure is not remedied within
thirty (30) days following notice thereof, shall constitute
a default. Upon the occurrence of an event of default, the
non -defaulting party shall have the right,.without limiting
any other remedies provided by law or in equity, to
terminate this Agreement at any time thereafter, effective
immediately, during.the continuance of such default by
giving written notice of termination to the defaulting
party.
6. HOLD HARMLESS
. a. The City shall indemnify and hold CTS harmless from and
against any and all claims arising from any breach or
default in the performance of any obligation on the
City's part to be performed under this Agreement, or
arising from any.negligence of the City or of any of
the City's employees, agents or contractors, and from
all costs, attorney fees, expenses and liabilities
incurred in the defense of any such.claim or any action
or proceeding brought thereon.
b. CTS shall indemnify and hold the City harmless from and
against any and all claims arising from any breach or
default in the performance of any obligation on CTS'
part to be performed under. this Agreement, or arising
from any negligence of CTS or of any of CTS' employees,
agents or contractors, and from all costs, attorney
fees, expenses and liabilities incurred in the defense
of any such claim or any action or proceeding brought.

7. EVIDENCE OF ADEQUATE INSURANCE
CTS must maintain comprehensive general liability and
property damage insurance covering all operations of CTs,
its agents and employees, including but not limited to
premises and automobile, with minimum coverage of $1,0001000
combined single limit. Evidence of .such coverage, in the
form of a certificate of insurance and policy endorsements
which name the City, its officers, employees and agents as
additional insureds shall be submitted to the City prior to
the effective date of this Agreement. said policy or
policies shall provide for 30 days' written notice to the
City of cancellation or material change. CTS shall carry.
workers' compensation insurance in the statutory amount and
employers' liability coverage. Evidence of such insurance
is to be furnished to the City prior to the effective date
of this Agreement.
S. DATA AND INFORMATION - CONFIDENTIALITY
All financial, statistical, personal, technical or other
data and information relating to CTS' operations, which are
designated confidential by CTS and made available for
. inspection by the City in order to carry out this Agreement,
will be protected by the City from unauthorized use and
disclosure through the observance of any lawful procedure.
If CTS submits any document to the City which CTS deems,
confidential but which is not exempt from the Public Records
Act, the City shall return such document to CTS.
9. AMENDMENTS
No alteration or variation of the terms of this Agreement
shall be valid unless made in writing and signed by the
parties hereto, and no oral understanding or agreement not
incorporated herein shall be binding on any of the parties.
This agreement shall be executed by duly authorized officers
of the parties named herein. Work shall commence no later
than 60 days after notification by the City to CTS that
funding is secured.

Description of CTS services
1. Establish a local 805 area code phone number to provide and
publicize rideshare information. Callers will be serviced
by CTS' Teleservicing staff who will provide matching, and
carpool, vanpool and transit assistance. CTS will work with
Caltrans to install signs along the 5 and 14 Freeways in the
Antelope Valley and Santa Clarita Valley with the local 805
area code number for carpool and vanpool information. The
freeway signs will increase awareness.and give the commuter
a source for ridesharing information. Completed June, 1990
2. Place a full-time CTs staff person on-site to service the
area. The Account Executive will work with cities,
businesses, developers, rea.ltors, and chambers of commerce
to provide service to the area..
The following are typical services provided by the Account
Executive:
o Provide commute management services to employers within
a geographical territory. Service is based on client
needs, and can include CTS -provided services as well as
referrals to other service providers, ie. consultants.
o Act as CTS point of contact for employers within the
specified territory. Coordinate and promote
ridesharing efforts between Palmdale; Lancaster,•and
Santa Clarita with cities and employers.
o Provide ridematching, average vehicle ridership (AVR),
and needs assessment survey services. ..
o Conduct Ridesharing Implementation System (RIS)
briefings, and other group forums for.clients. RIS
briefings are group meetings in which employers receive
information on ridesharing, obtain their employee
surveys, and are advised on how to administer their
surveys to gain successful results. Through the RIS
briefing employers receive CTS' ridematching service
including employee matchlists, density maps, master
lists, and statistics to assist the Employee
Transportation Coordinator (ETC) in matching and

placing employees in carpools, vanpools and transit.
The coordinator also receives AVR statistics and zip
code reports necessary for filing their AQMD Regulation
XV plans.
o
Work with Regional Manager in scheduling tailored
briefings and meetings for regional accounts, such as
TMAs, corridor projects, and multi -site employers.
o
Manage and conduct meetings with ETC networks.
o
Provide collaterals and "how-to" information, manuals,
videos, etc. to employer clients.
o
Assist employers in the formation of vanpools and
buspools by providing density maps, how-to manuals, and
referrals to vehicle vendors. Work with CTS' Vanpool
Specialists to arrange for presentations to groups.
o
Promote CTS' workshops and training sessions providing
clients with specific implementation assistance.
Assistance.in
Specialized Home -End Projects may include:
o
Assistance in the development of Park n Ride
facilities.
o
Relocation services to incoming businesses (assistance
in the development of carpools, vanpools, buspools, for
employees of companies moving into the area).'
o
Assistance to developers and realtors in marketing of
commute options.to residents as a part of the services
they offer.
o
Assistance in the development of a satellite work
center to provide office facilities from which area
employees may telecommute.
o
Assistance in the development of employer based, or
residentially based Transportation Management
Associations (IMAs).
o
Assistance in marketing the Caltrans Vanpool Discount
Program.

• 3. Include information about Antelope valley Bus Line's "The
Express" bus service to Los Angeles and the San Fernando
Valley on CTS' matchlists, and in the Teleservicing
information given to callers from the Antelope and Santa
Clarita Valleys. Completed February, 1990.

4. Arrange and conduct a promotion along the 14 Freeway
corridor. The purpose of the promotion is to target and
call to action the commuting population that resides in the
Antelope and Santa Clarita Valleys and commutes daily on the
14 Freeway to work locations in the San Fernando Valley .and
Downtown Los Angeles areas. The communications will consist
of an integrated plan using direct mail, billboards, print
advertising,, and radio advertising, all following the same
theme and design. Commuters will be reached at the home -
end, and during the commute to work.
The communication vehicles are as follows:
o Direct mail brochure to 25,000 residents.
o Telemarketing - follow up call to 11,200 recipients of
the brochure.
o Print advertisements
Valley newspaper.
o Radio advertisements

o Ten billboards placed

5. Develop Transportation Programs and Marketing projects
specifically tailored to the needs of North Los Angeles
County. These programs may include:
o Development of a 5/14 Freeway Corridor Vanpool Discount
Program with Caltrans. The Vanpool Discount Program
offers a new vanpool rider a four month discount to
encourage vanpool development and placement. A 50%
discount the first month, 40% the second, 30% the
third, and 15% the fourth month motivates commuters to
try vanpooling. In order to qualify, the vanpool must
use the 5 or 14 Freeways from the Kern county line
south to the junction of the 5'and 14 Freeways for at
least a portion of the commute, and the vanpool
passenger must be new to vanpooling or not have
participated as a member of a vanpool during the six
months prior to making application for the discount
fare program. This activity is contingent upon
availability of discount funding from Caltrans.

• o Marketing the Express Bus Service Program from the
Antelope and Santa Clarita Valleys to the San Fernando
Valley and Downtown Los Angeles through efforts which
would target both the home -end commuter and the work -
end employer.
o Establishment'of additional incentive projects to be
developed jointly by the three cities, the County of
Los Angeles and CTS to meet the needs of long distance
commuters along the 5/14 Corridor, as well as the needs
of shorter distance commuters who travel within and
between the Antelope and Santa Clarita Valleys. This
could include the marketing of carpool, vanpool, and
intercity transit programs, the marketing of a
satellite work center, the marketing of a commuter
store, and the development of employer and public
transportation forums.
o Development of home -end marketing materials to be used
by developers, realtors, chambers of commerce, and the
cities to promote the benefits of ridesharing and
specific commute programs. These materials will be
developed jointly by the three cities, the County of
Los Angeles and CTS to meet the needs of the residents
in the communities -served.. The materials could include
an informational brochure, CTS Commuter Survey forms
• designed for the home -end market (rideshare
registration), a North L.A. County .Access Guide with
information on all area transportation modes and
programs available to the commuter.
o The development and production of marketing materials
appropriate to the.above proposed project is included
in this contract.
6. Monitor and evaluate the program by tracking the number of
calls, and number of placements. Generate reports and make
enhancements and adjustments as needed to ensure the success
of the program.
