SUBJECT: PROPOSED ELSMERE CANYON LANDFILL - HYDROGEOLOGIC SERVICES
DEPARTMENT: Public Works
BACKGROUND
The City Council, in its meeting of June 12, 1990, authorized participation with
the Castaic Lake Water Agency and the water purveyors in the retention of Mr.
Richard Slade, professional registered hydrogeologist, to identify areas that
should be addressed relative to water quality in the proposed Elsmere Canyon
Landfill EIR. The areas of concern have been transmitted to the Forest Service
for.their consideration.
The Elsmere Corporation has offered access to our consultant to the proposed
solid waste landfill site to. observe all drilling, surface mapping, water
quality sampling and trenching activities that will be conducted by the Elsmere
Corporation 's consultants.
The terms of agreement state that Mr. Slade will not disclose to any person or
entity his opinions, conclusions or observations concerning the suitability of
the Elsmere Canyon area for the construction of a proposed class III landfill,
or the completeness or quality of the geotechnical investigation prior to the
issuance of the draft EIR/EIS documents. However, Mr. Slade may choose to make
comments on any portion of the geotechnical investigation to Elsmere
representatives at any time. Thesecomments shall in no way be construed to be
obligatory or resulting in any kind of liability for Mr. Slade.
Although it would be very desirable to have Mr. Slade comment shortly after the
testing on the adequacy of the testing and his observation on the suitability of
the site for a landfill, the condition for nondisclosure until completion of the
Draft EIR/EIS is proper. It is felt that his, presence at the site during
testing is of great value, permitting a fuller understanding and more thorough
evaluation of the Draft EIR/EIS.
The cost to the City for Mr. Slade's review will be one-third of the estimated
$25,000 with the Castaic Lake Water Agency and the Upper Santa Clara Water
Committee sharing in the cost. Boring testing has commenced, and Mr. Slade has
been given interim authorization to proceed to observe all testing performed.
The services provided in the proposal will cover a period of 6-9 months. Upon
completion of this phase of work, specific additional review and reports will be
quantified by the Castaic Lake Water Agency, the Water Committee and the City of
Santa Clarita.

Accept and approve Mr. Slade's scope of work and his total cost estimate of
$25,000, of which the City's one-third share is $8,330 (account number
01-6000-230). Direct the City Manager to execute the contract with Castaic Lake
Water Agency and the water purveyors on behalf of the City.

I am pleased to present this proposal for providing
hydrogeologic services in regard to the observation and re-
view of work to be conducted by Moore & Taber at the Elsmere
Canyon Landfill site in the Santa Clarita area of Los. Angeles
County, California. Moore & Taber is a group of consulting
engineers and geologists that has been retained by BKK Corpo-
ration to identify the geology and hydrogeology at the pro-
posed landfill site.
The proposed scope of work is based on my discussions
with Messrs. Mark Bryant and Mark Vincent of Moore & Taber
and. Ms. Valerie Marshall of BKK Corporation, and on my review
of their general scope of work for their drilling contractor.
These discussions were held at a meeting conducted on July
18, 1990 at Moore & Taber's office.
BACKGROUND
It is 'my understanding that drilling exploration work
at the Elsmere Canyon Landfill site will be conducted by
Moore & Taber and completed in two phases. The first phase
of work will consist of drilling and logging 16 borings, two
of which will be converted to 2 -inch diameter polyvinyl chlo-
ride (PVC) piezometers. In addition, it is also understood
that trenching operations may be conducted along with geo-
logic mapping and geophysical surveying to better define geo-
logic structure at the site concomitant with Phase I drilling
activities.

I have separated our proposed hydrogeologic work into
the following six tasks:
Task 1 will consist of observing the drilling and
logging operations during Phase 1 work.
Task 2 will consist of observing and reviewing the
trenching and geophysical survey work.
Task 3 will consist of observing and reviewing the
drilling, well construction, and well development
operations during Phase II work.
Task 4 will consist of observing and reviewing water
level monitoring and water quality sampling opera-
tions (including QA/QC procedures) performed by Moore
& Taber.
Task 5 will consist of reviewing and evaluating
groundwater quality and water level data obtained by
Moore & Taber and by their contract water laboratory.
Task 6 will provide for meetings and correspondence be-
tween any applicable agencies, Moore & Taber and us, and
will be conducted throughout site operations.
I estimate that the cost for the above outlined work
for the balance of 1990 to be in the range of $22,000 to
25,000. As you are aware, much of their work. is highly de-
pendent on third party work by the drilling contractor;
hence, it is very difficult to provide an accurate estimate
of costs. Our services accrue on a time and expense basis in
accordance with the attached Schedule of Charges. Based on
my current workload, I estimate that I can initiate my work
to coincide with the beginning of -the field work by Moore &
Taber.

CONDITIONS
Findings, conclusions, and recommendations will be prepared, within the
limits prepared by the client, in accordance with generally accepted professional
hydrogeologic and engineering geologic practice. No other warranty, either ex-
pressed or implied, is made by any verbal or written reports or services fur-
nished -for this project.
Invoices will be issued, at my option, ona monthly basis or when the
work is completed. A service charge of 1-1/2% per month will be payable on any
amount not paid within 30 days. Any attorney fees or other costs incurred in
collecting delinquent charges shall be paid by the client.
Court testimony and depositions as an expert will be charged at the
rate of $1500.00 per day, plus expenses. The full day rate will be charged for
any portion of a day. Preparation for a court case will *be charged at regular
hourly rates. Travel time will be charged at regular hourly rates, portal-to-
portal.
Client will furnish rights-of-way to land proposed for field
operations.. Reasonable precautions will be taken to minimize damage to land or
underground facilities (such as pipelines), but the proposed fees do not include
Costs for restoration of any damage resulting from field activities.

Dear Mr. Slade:
RE: ELSMERE CANYON PROJECT
Thank you for your July 23, 1990 affirmative response to Question Number One in
my letter of June 7, 1990 to Mr. James E. Jinks (copy enclosed).
Following our telephone conversation of August 7, 1990, I am submitting the
following additional agreement for your consideration:
It is agreed by Richard C. Slade, an independent Consulting
Geologist, and Elsmere Corporation that Elsmere Corporation shall
provide Richard D. Slade with access to Elsmere's proposed solid
waste landfill site to observe all drilling, surface mapping, water
quality sampling, and trenching activities to be conducted by
Elsmere's Consultant, Moore & Tabor, or any, other consultant
retained by Elsmere or on behalf of Elsmere for those purposes.
This agreement shall not be subject to cancellation by either party
prior to the issuance for public comment of a draft EIR/EIS on the
project, and shall be subject to the following conditions:
1. Richard C. Slade agrees for himself and the members of
his firm not to discuss or disclose to any person or
entity, except as provided in Paragraph 2 below, his
opinions, conclusions or observations concerning the
suitability of the Elsmere Canyon area for the
construction and operation of a Class III solid waste
landfill, or the completeness or quality of the
geotechnical investigation of the site and surrounding
areas, prior to the issuance for public comment of the
project's draft EIR/EIS.

2. Elsmere agrees that Richard C. Slade may comment on any
