Medina IDE AGREEMENT - LOS ANGELES FY 90-91 Under the current City/County agreement, the County administers, monitors and applies for Los Angeles County Transportation District (LACTC) discretionary "bonus" funds for the -City's paratransit services. Paratransit services provide transportation for elderly and handicapped residents. The County subsequently bills the City on a "per hour" basis for administrative service. The cost for this County service in the current year will be under ten percent of the total operating cost, approximately $190,000. The County's jurisdictional share of the operational costs amounts to approximately ten percent of the total, or $19,000 for FY 89-90. This cost is based on the number of County to City residents who use the service. Table 1 provides the estimated jurisdictional shared costs for FY 90-91. The proposed City/County agreement for fiscal year 1990-91 essentially reverses the current transit relationship between the City and the County, whereby the City will now be the lead agency for paratransit. The City on behalf of the County will administer, monitor and apply for LACTC discretionary "bonus" funds. New to this agreement is a general public dial -a -ride service. This new service will operate much like paratransit, whereby the City will contract with a private or private non-profitorganization to provide for its operation. The operator for the service will continue to be the Committee on the Aging. Under this agreement the County will pass through to the City its jurisdictional share of operational costs. This cost is based on ridership and is estimated to be 10 percent. The County will also pay an administrative fee to the City which has been estimated to be 15% of operational costs. Table One attached, shows this in more detail. This agreement is the first step toward the City assuming full responsibility of all transit administration and monitoring from the Los Angeles County Department of Public Works. The total cost to the City will be funded from the proposed Proposition A funds administered by the LACTC and has been included in the City's proposed 1990-91 budget. ATTACHMENT Table 1 Agreement with the County • A G R E E M E N T PARATRANSIT SERVICES This Agreement is made and entered into this day of , 1990, by and between the County of Los Angeles, hereinafter referred to as "COUNTY", and the City of Santa Clarita, hereinafter referred to as "CITY": W I T N E S S E T H WHEREAS, COUNTY and CITY agree that it is in the public interest to continue existing paratransit service for the elderly 0 and handicapped residents of the unincorporated COUNTY area 0 within the Santa Clarita Valley as defined in Appendix A, hereinafter referred to as "E&H SERVICE"; and WHEREAS, COUNTY and CITY agree that it is in the public interest to provide General Public paratransit service for the residents of the unincorporated COUNTY area within the Santa Clarita Valley as defined in Appendix A, hereinafter referred to as "GP SERVICE"' and - 1 - TBM/WP/AGR92242 • WHEREAS, COUNTY is willing to fund the public cost of E E&H SERVICE and GP SERVICE to residents of this unincorporated COUNTY area from July 1, 1990 through June 30, 1991, using COUNTY'S Proposition A local return funds; and WHEREAS, because of COUNTY/CITY joint program set forth herein, CITY may apply for and the Los Angeles County Transportation Commission (LACTC) may grant a Proposition A Discretionary Fund bonus through its Subregional Paratransit Grant program, hereinafter referred to as "BONUS", not to exceed 25 percent of CITY'S total cost of operating said joint E&H SERVICE and GP SERVICE. NOW, THEREFORE, COUNTY and CITY agree as follows: 1. SCOPE OF SERVICE. CITY shall furnish E&H SERVICE to elderly (60 years and older) and eligible handicapped persons and their escorts residing in the unincorporated COUNTY areas of the Santa Clarita Valley identified as service area in Appendix B, at such times and places as may be requested and according to E&H SERVICE requirements defined in Appendix A. CITY shall furnish GP SERVICE for the general public of the unincorporated COUNTY areas of the Santa Clarita Valley identified as service area in Appendix B, at such times and places as may be requested 2 - TBM/WP/AGR92242 and according to GP SERVICE requirements defined in Appendix A. Such E&H SERVICE and GP SERVICE shall be provided to any destination within -the established service area on any operating day or days during the term of E&H SERVICE and GP SERVICE. 2. TERM OF SERVICE. The term of E&H SERVICE and GP SERVICE under this Agreement shall be.from July 1, 1990 through June 30, 1991. 3. ROUTING AND SCHEDULING. COUNTY and CITY have cooperatively established service area and requirements within CITY available transportation capacity -as described in Appendix • A. If it is determined that E&H.SERVICE and/or GP SERVICE may be improved by revisions to scheduling, vehicle assignment or area served, the Los Angeles County Director of Public Works or his designee, hereinafter referred to as "DIRECTOR", and CITY shall plan and institute such changes jointly upon mutual consent within the terms of this Agreement. 0 4. FARES. CITY'S Operator shall collect a donation of fifty cents ($0.50) per one-way ride for E&H SERVICE from each elderly and eligible handicapped rider. Escorts of handicapped residents shall not be charged. CITY'S Operator shall collect a 3 - TBM/WP/AGR92242 0 donation of one dollar ($1.00) per one-way ride for GP SERVICE from each rider. The donations shall be retained by the Operator to partially fund its operations costs and such revenues shall reduce the jurisdictional costs of CITY and COUNTY for the E&H SERVICE and GP SERVICE. CITY'S Operator shall, upon request of CITY or COUNTY, accept passes or vouchers issued by CITY or COUNTY in lieu of the cash donations specified herein. 5. PAYMENT FOR SERVICE. COUNTY and CITY agree to finance their jurisdictional share of the public agency cost of • E&H SERVICE and GP SERVICE less the donation revenues. COUNTY agrees to pay, upon receipt of claim by CITY and documentation thereof, COUNTY'S share of the total actual cost of E&H SERVICE and GP SERVICE shall be based on the proportion of COUNTY riders to total riders of COUNTY/CITY joint program. Total actual cost of E&H SERVICE and GP SERVICE shall consist of CITY'S subcontractor(s) charges plus reasonable CITY administrative charges less fares or donations collected less BONUS received. The anticipated cost to COUNTY of E&H SERVICE from July 1, 1990 through June 30, 1991 is $22,000. Total actual cost of GP SERVICE shall consist of CITY'S subcontractor(s) charges plus reasonable CITY administrative charges less fares collected and less BONUS received. The anticipated cost to COUNTY of GP - 4 - TBM/WP/AGR92242 • SERVICE from July 1, 1990 through June 30, 1991 is $7,000. COUNTY'S total anticipated cost under this Agreement is $29,000. Administration charges to COUNTY shall not exceed $4,350. 6. CLAIM FOR SERVICE. CITY submit claims for payment along with Monthly Service Report and documentation of claim in the form and number as agreed by both COUNTY and CITY, within 15 days of the end of each month. Subject to acceptance and approval by COUNTY, payment will be made within 30 days of approval. • 7. PERMITS AND LICENSES. CITY and its subcontractor(s) shall secure and maintain all permits and licenses required by law for the execution of E&H SERVICE and GP SERVICE under this Agreement. 8. MARKETING. CITY shall promote E&H SERVICE and GP SERVICE to eligible riders. Marketing may consist of flyers distributed to potential patrons at shopping areas and meeting places or mailed to residences, local newspaper advertisements, verbal presentations, posters in and/or on the vehicles or other means, all of which is subject to review by COUNTY. Marketing costs shall be included in the -costs billed to COUNTY. All 5 - TBM/WP/AGR92242 promotional material specifically disseminated to unincorporated area residents shall include the following: "This service is financed through funds provided by the County of Los Angeles." 9. SAFETY PROGRAM. CITY shall require that regular and continuous formal safety instruction for all operating personnel assigned to perform any activities under this Agreement is provided and shall require attendance at regularly scheduled safety meetings at least four times per year. 10. INDEPENDENT CONTRACTOR STATUS. This Agreement is by and between COUNTY and CITY and is not intended, and shall not 0 be construed, to create the relationship of agent, servant, 0 employee, partnership, joint venture, or association, as between COUNTY and CITY. CITY understands and.agrees that all persons furnishing SERVICES to COUNTY pursuant to this Agreement are, for purposes of workers' compensation benefits to any person for injuries arising from or connected with E&H SERVICE and GP SERVICE performed on behalf of CITY pursuant to this Agreement. 6 - TBM/WP/AGR92242 0 0 9 11. TERMINATION OF AGREEMENT. This Agreement may be terminated at any time during its term, upon 30 days prior written notice by either party, without further liability of any sort. 12. UNFORESEEN CONDITIONS. CITY or subcontractor(s) for E&H SERVICE and/or GP SERVICE shall not be charged, nor shall DIRECTOR demand from them damages because of failure in providing the E&H SERVICE or GP SERVICE indicated in the Agreement due to unforeseeable causes beyond the control and without the fault or negligence of CITY or its subcontractor. Such causes of excus- able delay may include acts of Federal and/or State governments, acts of COUNTY; or anyone employed by it, act of public enemy, fires, force of nature, los of transportation facilities, loss of funding, epidemic, quarantine, restrictions, lock out, strikes, freight embargoes, and public road closures, when satisfactory evidence thereof is presented to DIRECTOR but in every case the delay is excusable only for so long.as, and to the extent, that the excusable delay continues. 13. PERSONNEL AND OPERATIONS. All personnel assigned to perform SERVICES under this Agreement shall be subject to the continuous approval of COUNTY and CITY. Employment and compensation of such personnel shall be in accordance with all applicable Federal, State and local ordinances and laws. Such personnel shall treat passengers in a courteous manner, be clean - 7 - TBM/WP/AGR92242 • 0 • and neatly dressed and be trained in the handling of elderly and • handicapped individuals. DIRECTOR shall have the right to have authorized COUNTY personnel board any E&H SERVICE or GP SERVICE vehicle for the purposes of monitoring E&H SERVICE, GP SERVICE or inspecting vehicle. CITY shall have the right to refuse any or all passengers if passenger activity will in any way impair the safe operation of any vehicle operating under E&H SERVICE or GP SERVICE. No person shall on the basis of ethnic group identification, religion, sex, or color be unlawfully subjected to discrimination under SERVICE. 14. RECORD KEEPING, REPORTING AND AUDITING. CITY shall require its contractor to provide access to daily ridership logs and other operational records for E&H SERVICE or GP SERVICE deemed necessary by COUNTY, and shall require its contractor to provide copies of same upon specific request by DIRECTOR. CITY shall require its contractor to report monthly the ridership for the unincorporated area as well as that for entire joint program. CITY shall keep records of all operating costs of E&H SERVICE and GP SERVICE in accordance with strict accounting procedures.All reportable (as defined by law) accidents involving E&H SERVICE or GP SERVICE equipment or personnel while operating with COUNTY passengers shall be immediately reported to COUNTY. CITY shall • - 8 - TBM/WP/AGR92242 • maintain such operating and fiscal records as necessary to comply with Los Angeles County Transportation Commission Proposition A requirements and procedures and shall maintain all records on file for a minimum of three years following the close of each fiscal year of E&H SERVICE and GP SERVICE. If, at any time during the term of this Agreement or at any time after the expiration or termination of this Agreement, authorized representatives of COUNTY conduct an audit of E&H SERVICE and/or GP SERVICE and if such audit finds that COUNTY'S dollar liability for such E&H SERVICE or GP SERVICE is less than against any future payments hereunder to CITY. If such audit finds that COUNTY'S dollar liability for E&H SERVICE or GP SERVICE is more than payments made by COUNTY to CITY, then the difference shall be paid to CITY by COUNTY by cash payment, provided that in no event shall COUNTY'S maximum obligation, as set forth in this Agreement, be exceeded. 15. EQUIPMENT REQUIREMENTS. CITY shall require its contractor to supply sufficient and adequate vehicles, all maintained in good and clean condition, including air- conditioned, wheelchair lift -equipped vehicles and spare vehicles - 9 - TBM/WP/AGR92242 payments made by COUNTY to CITY, then CITY agrees that the . difference shall be either: (1) repaid forthwith.by CITY to COUNTY by .cash payment, or (2) at DIRECTOR'S option, credited against any future payments hereunder to CITY. If such audit finds that COUNTY'S dollar liability for E&H SERVICE or GP SERVICE is more than payments made by COUNTY to CITY, then the difference shall be paid to CITY by COUNTY by cash payment, provided that in no event shall COUNTY'S maximum obligation, as set forth in this Agreement, be exceeded. 15. EQUIPMENT REQUIREMENTS. CITY shall require its contractor to supply sufficient and adequate vehicles, all maintained in good and clean condition, including air- conditioned, wheelchair lift -equipped vehicles and spare vehicles - 9 - TBM/WP/AGR92242 • 0 in the event of regularly assigned vehicle breakdown to ensure a consistent fulfillment with the terms of this Agreement. The cost of spare vehicles shall be included in the total actual cost for E&H SERVICE and GP SERVICE. CITY'S or its subcontractor(s) equipment and facilities shall meet all requirements of applicable Federal, Stateandlocal ordinances and laws. 16. ASSUMPTION OF LIABILITY. The Assumption of Liability Agreement executed by the parties to this Agreement, and approved by the Board of Supervisors and currently in effect, is hereby made apart of and incorporated into this Agreement as if set out in full herein unless said Assumption of Liability 17. EMPLOYMENT OF ALIENS. CITY warrants that it fully complies with all laws regarding employment of aliens and others, and that all its employees performing services hereunder meet the citizenship or alien status requirements contained in Federal and State statutes and regulations including, but not limited to, the Immigration Reform and Control Act of 1986 (P.L. 99-603). CITY shall obtain, from all covered employees performing services hereunder, all verification and other documentation of employment eligibility status required by Federal statutes and regulations as they currently exist and as they may be hereafter amended. - 10 - TBM/WP/AGR92242 Agreement is expressly superseded by.subsequent agreement hereafter entered into between the parties hereto. 17. EMPLOYMENT OF ALIENS. CITY warrants that it fully complies with all laws regarding employment of aliens and others, and that all its employees performing services hereunder meet the citizenship or alien status requirements contained in Federal and State statutes and regulations including, but not limited to, the Immigration Reform and Control Act of 1986 (P.L. 99-603). CITY shall indemnify, defend, and hold harmless, the COUNTY, its officers and employees from employer sanctions and any other liability which may be assessed against CITY or COUNTY or both in connection with any alleged violation of Federal or State statutes or regulations pertaining to the eligibility for employment of persons performing services under this Agreement. The Paratransit operating hours of SERVICE shall be from 6 a.m. to 6 p.m., Monday through Fridav; and from 9:00 a.m. to 5:00 p.m. on Saturday. Wheel- chair service is available by 24-hour advance • reservation only. SERVICE will not operate on the following six major Holidays: New Year's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day and Christmas Day. A minimum twenty -four-hour advance reservation shall normally be required to schedule rides; however, same-day SERVICE shall be provided subject to availability of capacity. Every effort shall be made to pick up patrons not earlier than 20 minutes before and not F- 1 LJ later than 20 minutes after the scheduled pickup time. CONTRACTOR will provide backup SERVICE to patrons in emergency situations when deemed necessary by CONTRACTOR to satisfy needs and avoid -1- • 0 TBM/WP/AGR11290* E disruption of normal SERVICE, at no additional cost to CITY. Group rides shall be emphasized and encouraged. SERVICE shall be restricted to elderly (60 years and older) and eligible handicapped persons and their escorts. Eligible handicapped persons are persons who by reason of physical or mental disabilities cannot reasonably use conventional transportation. CONTRACTOR and CITY shall determine eligibility of patrons and CONTRACTOR shall maintain appropriate records (including Applications for Eligibility, Roster of Eligible Riders, etc.) and take any actions necessary to ensure that only eligible patrons use SERVICE (2) General Public SERVICE. The Dial -a -Ride operating hours for the general public shall be from 6 p.m. to 9 p.m., Monday through Friday. SERVICE will not operate on.the six major holidays described in subsection (a) of this Exhibit B. Reservations, pick-ups, group rides shall be handled as provided in subsection (a) of this Exhibit B. -2- • THM/WP/AGR11290 • SERVICE Area SERVICE shall be provided in the Santa Clarita Valley within the SERVICE areas identified on the attached map (Appendix C). Service to Olive View Medical Center: Routing: The line shall operate from the Senior Center to the Olive View Medical Center, then to Newhall Avenue, San Fernando . Road, Antelope Valley Freeway, Golden State Freeway, 0 Foothill Freeway, Roxford Street, and Olive View Drive to the Medical Center. Stops shall be made only at the Senior. Center and the Medical Center Frequency and Span: This is a once a week schedule to run three times per day. The estimated running time is one hour. The round trip distance of the line is approximately 24.0 miles. -3- THM/WP/AGR1120 • • The schedule shall include departures from the terminal at 9:00 AM, 11:00 AM and 3:00 PM with corresponding departures from the Olive View Medical Center 30 minutes later. • 0 SERVICE Performance Standards CONTRACTOR shall conduct all SERVICE as to comply with the following standards: (a) Offer with a pick-up to delivery time of 60 minutes or less for at least 75% of eligible users. (b) Experience no more than 10 accidents per 100,000 total miles operated. (c) Operated at least 95% of trips on-time (20 minutes early to 20 minutes late). (d) Generate at least 3.0 boarding passenger per vehicle service hour for the general public service. m' • • TBM/WP/AGR11290 (e) Generate at least 2.5 boarding passenger per vehicle service hour for the elderly and handicapped.
