HomeMy WebLinkAbout1990-03-27 - AGENDA REPORTS - PEDIATRIC SERVICES AGMT (2)CONSENT CALENDAR DATE: March 27, 1990 0 AGENDA REPORT City Manager Approval Item to be presented y Raquel Garcia SUBJECT: NATIONAL PEDIATRIC SUPPORT SERVICES AGREEMENT DEPARTMENT: City Manager BACKGROUND: On August 22, 1989, the City of Santa Clarita was awarded the Child Care Local Coordination Grant of $25,000 by the California State Department of Education. After a thorough recruitment and interview process, the City appointed National Pediatric Support Services (N.P.S.S.) as the City's Child Care Coordinator to execute the grant. The City has negotiated a professional services agreement with N.P.P.S. as the City's Child Care Coordinator. Attached is the agreement for $25,000 between the City of Santa Clarita and National Pediatric Support Services. Of this amount, the City will pay $18,000 for consulting services for six months and an additional $7,000 will be paid to the consultant for the design, assistance with the distribution and analysis of the results of a random survey to be mailed to 5,000 Santa Clarita.Valley residents. RECOMMENDATION: Approve the .agreement and direct City staff to execute agreement for $25,000 with National Pediatric Support Services. ATTACHMENT: Professional Services Agreement pPP'OWED Agntla Item: AGREEMENT THIS AGREEMENT, dated this 14th day of March, 1990, is made and entered into by and between the CITY OF SANTA CLARITA, hereinafter referred to as "SANTA CLARITA", and NATIONAL PEDIATRIC SUPPORT SERVICE, INC., hereinafter referred to as "CONTRACTOR". SANTA CLARITA desires to obtain technical assistance in coordination of child care services within SANTA CLARITA; and CONTRACTOR desires to provide such services for a set price. NOW, THEREFORE, for and in consideration of the promises, covenants and conditions herein contained, it is agreed by and between the parties hereto as follows: I SERVICES TO BE RENDERED BY CONTRACTOR A. Scope 0 CONTRACTOR shall perform all services listed below. as the Santa Clarita Child Care Coordinator. B., Description As the Child Care Coordinator, the CONTRACTOR shall perform all services described to successfully accomplish the following tasks: 1. Status Report on Existing Conditions in Child Care in Santa Clarita Valley. For this preliminary report, CONTRACTOR will inventory existing child care resources through information compiled through meetings with Santa Clarita Task Force, Child Care Resource Center, and the first focus group meeting of major Santa Clarita employers. 2. Random Survey Assessment Report. As the Santa Clarita Child Care Coordinator, CONTRACTOR will analyze unmet child care needs. Focus groups, open forum meetings and a random. sampling of residents will be facilitated by CONTRACTOR to assess community child care needs and existing services. Focus groups will be comprised of representatives from all segments of the community, including residents, employers and child care professionals and open forums will be open to all residents. As part of conducting an assessment of child care needs for the Santa Clarita Valley, CONTRACTOR will develop and assist with distribution of an approved random survey to 5,000 Santa Clarita residents. CONTRACTOR will assist with set-up of computer data entry program, provide instruction, analyze survey data, prepare summary report on findings and recommendations. 3. Report on Formation and Development and Recommendations for Consortium Model. To develop private -public partnerships for development and funding of child care programs and facilities, CONTRACTOR will research, develop, form and provide recommendations for a consortium model. 4. Development of Transition Plan. CONTRACTOR will develop a transition plan which will incorporate recommended alternatives for implementation by City, Resource and Referral Center, Santa Clarita Valley Task Force, Technical Committee and Consortium for the continuation of long-range planning efforts for the development of quality, affordable broad-based range of child care options for the Santa Clarita Valley. 5. Report on Technical Committee Assessment of Problem Areas and Plan of Action. CONTRACTOR will establish and direct the work of the Technical Committee which will assess problem areas which result from, but are not limited to, the examination of zoning, permit and licensing procedures and will develop the Committee's plan of action to facilitate the establishment of child care programs in the community. The focus of this Committee will be placed on streamlining the permit and review process for child care facilities. A "one-stop processing" method and developer incentives will be explored and recommendations provided by CONTRACTOR. The Committee's suggested composition will include: County Department of Social Services, Santa Clarita Child Care Task Force, Department of Social Services Community Care Licensing Division, City Planning staff and Building and Engineering, County Fire Department, Family Day Care Provider, and City Parks and Recreation Department and City Child Care Coordinator. 6. Master Plan/Long-Range Plan on Child Care Report. As the final report, the CONTRACTOR will provide the City with a printed, comprehensive report outlining a master plan/long-range plan for child care in Santa Clarita. The report will also include the compilation of all information and findings obtained from all other completed milestones. C. Assignment CONTRACTOR shall provide consultants and specialists necessary for the completion of the work to be performed. Assistance from the Child Care Task Force, the Director of Parks and Recreation and the Child Care Resource Center of the San Fernando Valley will help complete the desired tasks. In addition, the CONTRACTOR will have access to office space, telephone and office supplies. The following personnel will be assigned to this project: Sheri A. Senter, Project Manager Judy Borenzweig, Project Assistant CONTRACTOR will utilize the services of other corporate staff as needed. II TIME OF PERFORMANCE A. Term CONTRACTOR shall. provide and complete all required services within six months of the effective date of this Agreement. B. Commencement CONTRACTOR shall commence work immediately from the date of execution of the Agreement by SANTA CLARITA. C. Time of Essence • Time is of the essence in the completion of this project. CONTRACTOR agrees to complete project in an expeditious manner. III COMPENSATION A. Total Sum SANTA CLARITA agrees to pay and CONTRACTOR agrees to accept for successful completion of all work relating to specified tasks and set forth and described in this Agreement and in attached milestones timelinean amount equal to Three Thousand, Six Hundred Dollars ($3,600) for specific tasks acceptable to the City, and an amount equal to Seven Thousand Dollars ($7,000) for completion, distribution and analyzation of findings of approved random sampling survey performed by the Project Manager and Project Assistant and other CONTRACTOR personnel with maximum compensation payable not to exceed Twenty Five Thousand Dollars ($25,000). This sum includes payment. for all professional and technical costs. Payment does not include pre -approved expenses for printing, advertising, long distance telephone calls and postage. 0 B. Schedule of Payments Said sum shall be payable for the successful completion of all work relating to each task.. Payments will be made to CONTRACTOR for completed tasks acceptable to the City and .can be made prior to specified dates for completed work. Payment schedule is as follows: 1. Payment of Three Thousand Six Hundred Dollars ($3,600) upon execution of Agreement and payable during the week of March 12, 1990. 2. Payment of Three Thousand Six Hundred Dollars ($3,600) for Status Report on Existing Conditions in Child Care in Santa Clarita Valley payable during the week of March 19, 1990. 3. Payment of Three Thousand Dollars ($3,000) for completed and approved random sampling survey design for 5,000 residents, set up of computer data entry program at City, instruction of data entry and distribution of survey of 5,000 residents payable during the week of May 14, 1990. 4. Payment of Three Thousand Six Hundred Dollars ($3,600) for report on formation, development and recommendations for consortium model and transition plan payable during the week of May 14, 1990. 5. Payment of Four Thousand Dollars ($4,000) for survey findings and recommendations report and payment of Three Thousand Six Hundred Dollars ($3,600) for report of Technical Committee assessment of problem areas and plan of action payable during the week of June 18, 1990. 6. Final payment of Three Thousand Six Hundred Dollars ($3,600) for printed Comprehensive Long -Range Plan on Child Care Report (final report) payable no later than the week of July 30, 1990. IV DOCUMENTS All reports, and all copies thereof, including the master reproducible copy, and all other documents, studies or other physical materials or copies thereof as finally rendered, prepared by CONTRACTOR pursuant to the provisions of this Agreement shall, upon preparation, become the property of SANTA CLARITA. ►iI CONTRACTOR'S STATUS CONTRACTOR is acting as an independent contractor and not as an employee, agent, or other representative of SANTA CLARITA. The services to be rendered pursuant to this Agreement by CONTRACTOR are considered to be unique personal services, and CONTRACTOR shall not assign, sublet, transfer, or otherwise substitute its interest in this Agreement or its obligations hereunder without the prior written consent of SANTA CLARITA. v 0 Vi NOTICES Notices or other communications which may be required or provided hereunder shall be given in the case of CONTRACTOR to: National Pediatric Support Services, Inc. 18226 McDurmott West, Suite H Irvine, CA 92714 Attention: Dr. Sheri A. Senter and in the case of SANTA CLARITA to: City of Santa Clarita 23920 Valencia Blvd., Suite 300 Santa Clarita, CA 91355 Attention: Raquel Garcia VII INDEMNIFICATION, HOLD HARMLESS AND INSURANCE A. CONTRACTOR agrees to indemnify and hold harmless SANTA CLARITA, its agents, employees, and officers against any and all damages, claims, liabilities, costs, suits or expenses, arising out of any act or omission of CONTRACTOR, or any agent or employee of CONTRACTOR or resulting from the condition of any property ovned.or controlled by CONTRACTOR. B. CONTRACTOR agrees to carry adequate Workers' Compensation insurance as required by California statutes; and C. CONTRACTOR agrees to carry Comprehensive General Liability insurance, including any contractual liability coverage, in an amount of not less than One Million Dollars ($1,000,000) per occurrence, combined single limit. 0 VIII 0 EFFECTIVE DATE The effective date of this Agreement shall be the date of execution set forth opposite the authorized signature on behalf of SANTA CLARITA. IX TERMINATION Notwithstanding any other provision set forth herein, SANTA CLARITA may terminate this Agreement upon thirty (30) days written notice to the CONTRACTOR. Following such early termination, SANTA CLARITA shall pay CONTRACTOR the pro rata contract value of services performed up to termination.
