SUBJECT: Authorization for City to Enter Into a Professional Services
Agreement for the Preparation of an Environmental. Impact --Report
for the Civic Center Project.

BACKGROUND:
The City of Santa Clarita has initiated the process that will result in the
construction of a new civic center on a portion of the City -owned property
located southeast of the intersection of Soledad Canyon Road and Bouquet Canyon
Road. Community Development staff has determined, through the Initial Study
dated July 6, 1990, that an Environmental Impact Report (EIR) is required for
the analysis of this project. Pursuant to Section B(B) of the Santa Clarita
CEQA Resolution, City Council Resolution No. 91-50, the Department of Community
Development solicited proposals from eight environmental planning consultants
for preparation of the EIR on July 12, 1990.
Requests for proposals were sent to eight environmental consulting firms, and
four responses were received. Based upon staff .review of all proposals, and
background checks .of the three leading consultants, the firm of Robert Bein,
William Frost and Associates (RBF) was selected. The not -to -exceed cost for
preparing .the EIR is $64,900. In comparison, the cost proposals submitted by
the other two consultants were $74,297 and $115,900. The proposed schedule
anticipates the circulation of the Draft EIR in January, 1492.
City Council approval is needed for the City to enter into a contract with a
consulting firm for an amount greater than $20,000. The contract agreement
contains provisions and explanation of the scope of work to be performed, amount
and manner of compensation, schedule and time for performance, conflict of
interest, indemnity and insurance, a liquidated damages clause,. and has been
approved to form by the City Attorney. RBF will also file a Certificate of
Insurance with the City Clerk's office as required by the Agreement. A complete
copy of the Agreement and Exhibits is available for review in the City Clerk's
Office.
RECOMMENDATION:
Staff recommends that the City Council adopt Resolution No. 91-142, authorizing
and approving the attached professional services agreement between the City and
RBF.

A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF SANTA CLARITA, CALIFORNIA,
ETHORIZING THE CITY TO ENTER INTO A CONTRACT.AGREEMENT
FOR THE PREPARATION OF AN ENVIRONMENTAL IMPACT REPORT
FOR THE CIVIC CENTER PROJECT
WHEREAS, -the City of Santa Clarita purchased an approximately 238
acre site near Bouquet Junction for the purpose of constructing a new civic
center complex; and
WHEREAS, the City of Santa Clarita has conducted a competition to
select architectural and engineering firms to design the new civic center
complex; and
WHEREAS, the Department of Community Development prepared an Initial
Study of the proposed Civic Center Project pursuant to the provisions of
Section 15063 of the.State CEQA Guidelines; and
WHEREAS, determination was made by the City's Environmental Officer
that the proposed project could have a significant effect on the environment
and that an Environmental Impact Report (EIR) was necessary to provide an
analysis of potential project impacts; and
WHEREAS, Section 8(B) of Santa Clarita CEQA Resolution, City Council
Resolution No. 91-50, and Section 15084(a) of the State CEQA Guidelines
require the EIR to be prepared under contract to the Lead Agency; and
WHEREAS, a Request for Proposal was sent to eight qualified
environmental planning. consultants, four proposals were received and reviewed
by City staff, and a consultant was thereafter selected; and
WHEREAS, the firm of Robert Bein, William Frost and Associates (RBF)
and the Department of Community Development have agreed to a not-to=exceed
cost of $64,900 (Sixty-four Thousand Nine Hundred Dollars) for the
environmental services required by the City.
NOV, THEREFORE, BE IT RESOLVED, that the City Council of the City of
Santa Clarita does hereby consent to enter into a contractual agreement with
Robert Bein, William Frost and Associates, for the preparation of an
Environmental Impact Report for the Civic Center Project.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT IS MADE BETWEEN THE CITY OF SANTA CLARITA, A MUNICIPAL
CORPORATION, (HEREAFTER THE "CITY") AND ROBERT REIN, WILLIAM FROST AND
ASSOCIATES, A CALIFORNIA CORPORATION (HEREAFTER THE "CONSULTANT"):
THE PARTIES HERETO AGREE AS FOLLOWS:
1. Recitals. This Agreement is based upon the following facts:
(a) City desires,professional assistance in preparation of an
Environmental Impact Report (the "Project") moreparticularlydescribed in
Exhibit A, attached and incorporated herein by reference;
(b) Consultant has been selected to perform the Project,.being fully
qualified and having agreed to do so subject to the terms and conditions of
this Agreement; and
(c) City's legislative body has determined that the public interest,
convenience and necessity.require the execution of this Agreement.
2. Services. Consultant.agrees to perform all services described in
Exhibit A, and as further clarified in Exhibits B and C.
Consultant shall meet and consult with representatives of City at all stages
during the conduct of the work requiredpursuant to this Agreement to assure
that the City's designated representative is fully and completely informed as
to the nature and extent of the work being performed by.Consultant and as to
the status and quality of such work.
3. Compensation. City shall compensate Consultant for its services based
upon the costs set forth in Exhibit A and incorporated here by reference. The
total cost of this contract.shall not exceed Sixty-four Thousand and Nine
Hundred dollars ($64,900.00), which represents the total compensation to be
paid to Consultant by City (the "Project Fee") for all work to be done by
Consultant pursuant hereto and includes all allowable costs. Such costs shall
be reimbursed only if approved by City as to nature, type and amount. The
Project Fee shall include the costs of duplication for all reports and
documents described in Exhibit A.
Upon authorization to proceed with this project, the City shall make an
initial payment of fifteen percent (15Z) of the Project Fee ($9,735.00) to the
Consultant. Upon receipt of Consultant invoices submitted as work progresses,
the City shall make payments based on percentage of work complete, as mutually
agreed upon by the City and the Consultant, and in accordance with the work
phases identified in Exhibit A. The project phase invoices shall include a
breakdown of phase and tasks being billed for, and shall identify work
performed by authorized project staff. The City shall withhold Ten Percent
(10Z) of each progress payment, including the initial payment. The City shall
pay the Consultant the 1OZ withheld on certification of the Final EIR, or
within thirty (30) days of the Consultant's completion of the Final EIR,
whichever is earlier.

Within fifteen (15) days after receipt of a project phase invoice, City shall
either approve such invoice or return it to the Consultant specifying any
objections. Invoices shall be paid within sixty (60) 'days after approval, as
set forth in the attached Demand Warrant Register Schedule (Attachment A).
Upon submission of Consultant's final work products under this.agreement, in a
scope, nature, and form satisfactory to the City, all final monies shall be
paid to the Consultant.
4. Time for Performance. Consultant shall in good faith utilize its best
efforts to perform all of the work required under this Agreement in accordance
with the Time Schedule Summary attached as Exhibit B and incorporated herein
by reference. During the preparation of the draft(s) of the EIR, the
consultant shall,provide a complete response to all staff -comments, concerns,
and corrections within fifteen (15) working days of all comments being
received.
5. Consultant Staff. The Consultant Project Staff identified in Exhibit C
shall be responsible for completing the activities identified in Exhibit A.
Changes of Consultant Project Staff members or other modifications to
Consultant's staffing, including subconsultants for this project, shall be
made only with the prior written approval of the City.
6. Status of Consultant. Consultant shall be deemed for all purposes to be
an independent contractor in the performance of work pursuant to this
Agreement. This Agreement shall not be deemed, for any purpose, to have
created between the parties hereto a partnership, joint venture or other
relationship other than that of independent contractor insofar as Consultant
is concerned. Consultant shall be responsible for obtaining the services of
all persons required to perform the work required by this Agreement,
including, but not limited to, such subcontractors as Consultant desires to
employ as such. Consultant shall advise all such subcontractors that the City
bears no obligation for the payment of fees for their services or costs
incurred and that such are the exclusive obligation of Consultant.
7. Changes. The City and Consultant may make changes in the work only if
mutually agreed upon. If such changes cause an increase or decrease in the
Consultant's cost of, or time required for, performance of any services under
this agreement, whether or not changed by an order, an equitable adjustment in
compensation to Consultant shall be made and this agreement shall be
accordingly modified in writing. No such change shall be effectuated except
in writing, executed by each party hereto, expressing such changes and
reducing or increasing Consultant's compensation based upon such change or
changes.
8. Litigation. If City becomes involved in litigation regarding the Project
and desires Consultant's assistance or testimony, City shall compensate
Consultant for its services according to the normal hourly rates.
9. Ovnership of Documents. All documents, studies, surveys, drawings, maps,
models, photographs and reports as prepared by Consultant, or any of its
subcontractors, pursuant to this Agreement, shall be deemed for all purposes
to be the property of the City. All such materials, including originals,
shall be transmitted to the City upon completion of the work by Consultant
hereunder, or upon sooner termination of this

Agreement. No person,.including Consultant, shall be permitted to utilize any
of the material referred to in this paragraph without City's prior written
consent.
10. Indemnity. Consultant does hereby agree to defend, indemnify, and hold
harmless the -City of Santa Clarita and the respective appointed and elected
officers, boards and commissions, agents and employees ("Indemnified Parties")
from and against any and all claims and losses, costs or expenses -for any
damage due to death or injury to a person and injury to any property
proximately resulting from any willful misconduct or negligent act or omission
of Consultant or any of its officers, employees, servants, agents, or
subcontractors in the performance of work pursuant to this Agreement.
Liability shall be limited to the amount paid under this contract. Such costs
and expenses shall include, but not be limited to, reasonable attorney fees.
Consultant does hereby agree to defend, indemnify and hold harmless
Indemnified Parties from and against any damages, liability; loss, costs or
expenses which arise out of Consultant's negligent performance of the.work
under this Agreement provided that such liability, loss, cost or expense is
caused by the act or omission of Consultant, or any of its officers,
employees, servants, agents, or subcontractors in performance of this
Agreement. Consultant's obligation to the Indemnified Parties shall include
reasonable attorney fees, costs -and expenses incurred by the Indemnified
Parties in such defense, if Consultant is found to have been negligent in
performance of work under this Agreement.
The provision of liability insurance coverage as required by Paragraph 11 of
this Agreement shall not affect Consultant's obligations under the indemnity
provisions of this Paragraph 10.
11. Insurance. Consultant shall take out and provide, contemporaneously with
the commencement of work pursuant to this Agreement, liability insurance
coverage in an amount not less than $500,000.00. Such coverage shall be
maintained in full force and effect at all times during the term of this
Agreement. Consultant shall take out and maintain in full force and effect
during the term of this Agreement all other insurance coverage required by
law, including, but not limited to, workers' compensation coverage. All such
insurance shall expressly name the City and its agents, officers, and
employees as additional insureds.
Consultant shall supply to City upon execution of this Agreement, a valid
certificate of insurance evidencing the existence of all required insurance
coverages. Additional or replacement
certificates shall be filed with City evidencing the.existence of such
coverage at all times during the term of this Agreement. The certificates of
insurance shall contain a provision to the effect that the coverage cannot be
cancelled or substantially altered or reduced except upon at least thirty (30)
days prior written notice to City. '
12. Termination. This Agreement may be terminated at any time prior to the
completion of the Project, and without cause, in accordance with the
following:
a. By City upon fifteen (15) working days written notice, mailed

first class, postage prepaid, or by personal service to Consultant;
and
b. By Consultant upon fifteen (15) working days written notice, mailed
first class, postage prepaid, or by personal service to City.
Notices given pursuant to this paragraph shall be deemed to be effective on
the tenth (10th) day following the giving of notice of such termination
whether mailed or delivered. In the event of termination pursuant to this
paragraph, Consultant shall be compensated by City pro rata for work performed
as of the day of giving of such notice.
13. Notices. Notices to be given pursuant to this Agreement shall be in
writing and shall be personally served upon the party to be notified or shall
be deposited in the United States Postal Service, postage pre -paid, certified
and registered, and addressed to the parties as follows:

Except as otherwise provided in Section 12 above, notices given pursuant to
this Agreement shall be deemed given on the date of personal service or the
fifth (5th).consecutive calendar day following the deposit of the same in the
United States Postal Service, or its successor.
The individuals named in this paragraph shall be deemed, for all
purposes, to be the representatives of the parties to this Agreement and
empowered to act, pursuant to the terms of this Agreement, for and on behalf
of that party. Either party hereto may, in writing, change the designation of
the responsible representative for that party.
14. Conflict of Interest. Consultant covenants that neither the Consultant,
nor any officer thereof, has any interest, nor shall acquire any interest,
directly or indirectly, which will conflict in any manner with the performance
of the Consultant services under this Agreement. Consultant further covenants
that in the performance of this Agreement, no person having such interest
shall be employed by Consultant. Consultant further covenants that Consultant
has not contracted with nor is the Consultant performing any services directly
or.indirectly, with any.developer and/or property owners and/or firms, and/or
partnerships owning property in the City; and further covenants and agrees
that consultant and/or its subcontractors shall provide no service or enter
into any contract with any developer and/or property owner and/or firms,

and/or partnerships owning property in the City prior to the completion of
this Agreement.
15. Construction. This Agreement shall be construed under the laws of
he State of California and shall not be construed against, or in favor of,
either party by reason of the fact that it was prepared.by one party or the
other.
16. Entire Agreement. This Agreement, with attachment(s) and exhibits,
constitutes the entire agreement between the parties and each party
acknowledges that it is not relying on any prior, or contemporaneous, other
agreements or representations, oral or written, in entering into this
Agreement.
17. Captions. Numerals. and Headings. Gender and Number. The captions,
numerals and headings used herein are for the purpose of identification and
location of the terms and for ease of reading and shall not be used to alter,
amend or otherwise change the plain meaning of the language in the text or the
intention of the parties. Wherever gender or number is used, it shall include
that gender or number which is appropriate to the context of the language
wherein such gender or number is used.
18. Attorneys Fees. Should any party hereto reasonably retain counsel for the
purpose of enforcing or preventing the breach of any.provision hereof,
including but not limited to the institution of any action or proceeding to
enforce any provision hereof, for damages by reason of any alleged breach of
any provision hereof, for a declaration of such party's rights or obligations
hereunder or for any other remedy, then if said matter is adjudicated (which
term includes arbitration) the prevailing party shall be entitled, in addition
to such other relief as may be granted, to be reimbursed by the losing party
for all costs and expenses incurred thereby, including but not limited to
reasonable attorney's fees and costs for the services rendered to such
prevailing party.
19. Amendment. This Agreement may be amended only by a.writing executed by
all of the parties.
20. Counterparts. This Agreement has been executed in two counterparts either
of which may -be used as an original. One such counterpart shall -be delivered
to the Obligee when fully executed and the other to the Obligor when fully
executed.
21. Waivers. A waiver of any default of an obligation required by this
Agreement shall not constitute a waiver of any subsequent default of same, or
any other obligation under this Agreement.
22. Time of the Essence. Time is of the essence to this Agreement.
23. Effective Date. The effective date of this Agreement shall be
September. _, 1991.
24. Severability. If any portionofthis agreement is deemed to be void or is
held to be invalid, other sections, or portions thereof, of this Agreement
shall remain valid and in force, and shall be interpreted as though the void
or invalid portion(s) had not been incorporated herein.

25. Liquidated Damages. Should the Consultant fail to complete the work due
solely to the Contractor's performance within ten (10) days of the time
provided for in Exhibit B or within an extended period of time authorized in
writing.by the City, or as may be allowed due to delays or for additional
scope of work as authorized, the City will deduct and retain, out of amounts
due and owing and any withheld monies which may be due, as,liquidated damages,
but not as penalty, the sum of One Hundred Dollars ($100.00) per day for each
and every day that the work period exceeds the total working days allotted
following the period agreed upon the completion of the Project or as extended
by the City.
Should the Consultant complete the work more than ten (10) days earlier than
the time provided in Exhibit B, or more than ten (10) days earlier than an
extended period of time authorized in writing by the City as may be allowed
for additional Scope of work authorized, the City will pay, as part of the
final invoice, the sum of One Hundred Dollars ($100.00) per day for each and
every day that the work is completed prior to the days allotted as stated in
Exhibit B or as extended by the City. In no event shall the liquidated
damages or incentive exceed Five Thousand Dollars ($5000.00).
26. Execution of Agreement. This Agreement must be first executed by the
Consultant, or its representative, and approved to form by the City Attorney
before it may be executed on behalf of the City of Santa Clarita. This
Agreement, consisting of seven (7) pages, one (1) attachment, and three (3)
exhibits attached hereto, has been executed as of the _ day of September,
1991.

SCOPE OF WORK
The following is a description of the Specific Work Tasks and an explanation of their scope
and content: This proposal encompasses RBF's work program for a full -scope EIR on the
Civic Center Project.
Task I: PROJECT MANAGEMENT AND MEETING ATTENDANCE
Subtask 1: RBF Will Provide Meeting Attendance and Management for the Civic Center
Project EIR
Preparation of the EIR will be under the management and daily supervision of Ms. Rica
Weber who will serve as Project Manager. The EIR will be overseen and reviewed for
CEQA compliance by Mr. Kevin Thomas, Director of Environmental Services. Mr. Thomas
and/or Ms. Weber shall meet with the City's Project Team for a maximum of up to four
meetings to discuss the status of the environmental document and technical reports. In
addition, members of the Project Team will attend a minimum of two public hearings. A
total of 35 hours of meeting time has been allocated under this Scope of Work as well as
40 hours. of project management time. This management time will allow RBF to work
closely with City staff throughout the course of document preparation. Should the City
request additional meeting or management time, this will be provided under a separate
Scope of Work.

Output: Schedule adherence, project organization and meeting representation.
Task II: RESEARCH AND ANALYSIS
Subtask 1: RBF Will Provide Research and Environmental Analysis for the Civic Center
Project EIR
RBF will evaluate the necessary information with respect to the Existing Conditions,
Impacts, Mitigation Measures, Cumulative Impacts, and Unavoidable Adverse Impacts
associated with areas identified by the City of Santa Clarita, the Initial Study, NOP
Responses, and any other relevant and valid information sources. These analyses will be
performed by qualified Environmental Analysts, Civil Engineers, Transportation Engineers,
and Planners. RBF will prepare all research pursuant to CEQA, and as instructed by the
City of Santa Clarita.
The Project research will include coordination with the City of Santa Clarita in acquiring
the necessary relevant Environment Impact Reports in the area, the previous EIR conducted
on the project site and other appropriate reference documents. In addition, RBF will
acquire specific references for the Project from the following sources, as available:

This information will become a part of the foundation of the EIR and will be analyzed
carefully to determine the environmental impacts involved with the implementation of the
proposed Project. This technical data will then be summarized and presented in the EIR.

Task III: ENVIRONMENTAL ANALYSIS/SCREENCHEE EIR PREPARATION
RBF will create a clear and concise environmental document pursuant to CEQA, which will
include summary tables and exhibits where beneficial, with the intent on focusing each
discussion on relevant issues.
Subtask 1: Executive Summary
The Executive Summary of the EIR will contain a Project Description and Setting Summary,
Environmental Summary, and Summary of Project Alternatives. Additionally, in compliance
with CEQA, RBF will identify Areas of Controversy and Issues to be Resolved. The
Environmental Summary, which will be prepared for the Draft EIR, will include
Unavoidable Adverse Impacts, Impacts Subject to Mitigation, and Mitigation Measures in

columnar format. This section of the Executive Summary will be published on colored text
for ease in locating the summary section.

Subtask 2: Introduction and Purpose
The Introduction and Purpose section of the EIR will contain information relating to the
Project's CEQA compliance, documenting sections of the California Environmental Quality
Act which apply to the Project, as proposed. In addition, the Introduction and Purpose will
outline the sections to be discussed in the EIR. The section will provide a discussion of
requirements for a Program EIR as is stated under Section 15168 of the CEQA Guidelines.

Subtask 3: Project Description
The Project Description will be based on available Project information, to be provided by
the City. Topics in this. section will include Project Location, Background and History,
Project Characteristics; Project Objectives, Project Phasing and Agreements, Permits and
Approvals Required. RBF will provide a Regional Location exhibit, Site Vicinity exhibit
and a Land Use Plan exhibit (based upon land use plan information provided by the City.

Subtask 4: Description of Existing Conditions, Project Impacts, Mitigation Measures, and
Levels of Significance After Mitigation
A. Geology, Soils and Hydrology
RBF will address existing conditions, analyze potential impacts and identity
mitigation measures based on existing available Geotechnical Analyses and additional
study proposed by the City. This section will examine existing soil types, physical
characteristics, and landform conditions of the Project site. The EIR will evaluate
the proposed grading concepts and standards, potential cut and fill requirements of
the grading and cumulative landform alterations. In addition, the EIR will determine
the level and significance of the impacts resulting from modification of the ridgelines
onsite. The discussion will also focus on Project impacts associated with long-term
wind and water erosion on graded slope faces. Seismic issues associated with the San
Gabriel Fault, which traverses the site, will be evaluated and mitigation measures will
be recommended based on additional geologic testing.
It is assumed that additional geologic testing will be performed and a final report will
be complete by time of the publication of the Preliminary EIR. This Proposal
includes environmental analysis of previously prepared geotechnical studies and
planned geotechnical studies, but does not include additional studies by an
independent source.
The Hydrology portion of this section will be based on a Study prepared by RBF
Hydrology and Drainage Engineers. The study will provide an analysis of the
drainage and flooding condition at the project site to be used in the Environmental
Impact Report (EIR) preparation. The analysis will be completed in compliance
with the California Environmental Quality Act (CEQA) of 1970, as amended, and
all the City of Santa Clarita environmental guidelines. The hydrologic assessments
would be analyzed in accordance with the Los Angeles County Department of Public
Works Hydrology Manual guidelines. The following tasks would be examined:
1. Existing Conditions
A preliminary investigation will be conducted to document existing
literature and available drainage studies at the project site and its near
vicinity. This will include contact with responsible agencies and review
of existing guidelines and constraints. Biogenics will be contacted to
ascertain if any information on hydrological data is available.
The existing hydrology conditions at both the project site and tributary
areas will be examined. This would include a general examination of
the topographic features, drainage patterns, land uses, geology and
soils conditions of the area. This investigation will be used to perform
hydrologic analysis to determine L.A. County's 10 -year and 50 -year
design (Capital Storm) runoff.
Existing drainage facilities within the project site and immediately
downstream of it will be located, and their capacities will be assessed.
The Federal Emergency Management Agency's (FEMA) Federal
Insurance Rate Maps (FIRM) will be used to show the zones of
flooding at the project site and its near vicinity.
A hydrologic exhibit summarizing the results will be prepared.
2. Project Impacts
Hydrologic impacts from possible alteration of the drainage pattern
associated with the project would be examined, and 10 -year and 50 -
year design (Capital Storm) flowrates would be determined based
upon the proposed development site plan provided by City.
Any alteration to the tributary basins (if any) would be documented,
and altered (if any) offsite runoff would be quantified.

A hydrologic exhibit summarizing the results will be prepared.
This task excludes quantitative hydraulic investigation of downstream
impacts.
3. Mitigation Measures
The drainage improvements and other measures necessary to mitigate
for the possible increased runoff rates will be assessed. Alternative
drainage improvement systems will be discussed and a preliminary
recommended drainage system master plan will be provided.
A preliminary master plan exhibit will show the recommended system.
4. Report Preparation
A report summarizing the findings of Task 1 through 3 will be
prepared. The technical support data will be attached to this report
as a Technical Appendix. The format of the report will be suitable for
use in the EIR.

B. Air Quality
RBF will prepare this section in conformance with the South Coast Air Quality
Management District (SCAQMD) Air Quality Handbook for preparing EIRs (April,
1987). The Existing Conditions discussion will be based on monitored Air Quality
Data form the nearest SCAQMD monitoring station (1987-1990). Existing air quality
will be summarized in a table, clearly indicating days exceeding State and Federal
Standards for all monitored pollutants.
Short-term air quality impacts will be discussed, focusing on dust generation,
construction vehicle emissions and possible odors. If sufficient construction details
are available from the City, RBF will estimate tons per day of dust generated and
daily construction vehicle emissions.
Using our inhouse computer modelling capabilities and extensive experience in air
quality analysis, Project daily emissions will be clearly indicated in table form for
vehicle emissions, (mobile sources) and natural gas and power plant emissions
(stationary sources). Project total emissions will be compared to South Coast Air
Basin (SOCAB) emissions and Project impacts will be discussed. In addition, Project
consistency with the Final 1988 Air Quality Management Plan will be evaluated

based on the City General Plan and SCAG forecasts. A worst-case analysis will be
assumed using 1992 emission factors (higher due to projected improvements in
vehicle exhaust emission controls).
RBF engineers familiar with Sewer Treatment and Technology will be utilized to
ascertain the composition and danger of fumes associated with Sewer Treatment. In
addition, RBF will interview employees of the treatment facility to determine the
frequency and duration of noxious episodes. RBF will consider mitigation such as
closed ventilation for the impact.

Potential biological impacts resulting from the proposed Project will be analyzed
based on the biological study prepared by Pacific Southwest Biological Services under
the direction of R. Mitchell Beauchamp. Mr. Beauchamp has completed preliminary
work on the Route 126 realignment in the area in anticipation of a bond issue
funding the road, and therefore is familiar with the area.
Potential impacts to be analyzed include the impact on rare and endangered plant
and animal species, if any, and the loss of vegetation and habitat. Mitigation
measures addressing these impacts shall be discussed along with the effectiveness of
the measures. This Scope of Work includes a biological survey and report.

1. - Initial Meeting
The RBF Traffic Division will initiate a working meeting with the RBF
Project Manager and City of Santa Clarita staff within five days after receipt
of a signed copy of the contract and notice to proceed with the Project. The
meeting will define available data, discuss details of the traffic studies, and
determine preliminary data needs.
Other working meetings will be held with the City of Santa Clarita staff
(traffic engineering and planning), if required (not to exceed a total of two),
to discuss the City's traffic study requirements and . obtain information
concerning the City's existing and proposed transportation system in the Study
Area. Such elements as the City's Comprehensive Land Use and
Transportation Plans would be discussed and information obtained concerning
the traffic growth rate and other approved zoning and/or proposed projects
in the Study Area. The Study Area for the traffic study is defined as the area
bounded by the individual site plan for the Civic Center Project and the
approved and/or pending projects within an approximate one mile radius of
the Project Site.
2. Data Collection and Verification
RBF traffic engineers will collect from the City of Santa Clarita and the
County of Los Angeles (as appropriate and necessary) available plans of
current and proposed improvements, land use maps, existing aerial photos of
the site, past traffic studies, existing hourly and daily traffic volumes for the
impacted intersections, roads and expressways, and approved and/or pending
projects within the Project Study Area. We will also make a field review of
the Project site to verify the existing field conditions.
Based on a review of the Request for Proposal (RFP), we understand. that
new traffic count data is required for the Study Area. Therefore, for purposes
of this Proposal, RBF will use a subconsultant to collect peak hour turning
movement counts at the nine assumed intersections which are in close
proximity to the Project site and 24-hour total volume counts on the adjacent
roadways. The traffic counts will measure the existing traffic volumes
generated by the existing land uses in the Study Area during the peak hours
of operation. In the event that additional counts are required by the City of
Santa Clarita they would be considered as extra work and billed at cost plus
fifteen (15) percent.
The following traffic volume counts have been assumed for the nine assumed
intersections and adjacent roadways:

3. Evaluation of Existing. Conditions Trip Generation for Study Area
Under this task, RBF traffic engineers will utilize the information collected
above to evaluate the vehicular trip generation volumes for the various land
uses and approved zoning that. are located within the Study Area. These
estimated offsite generated traffic volumes will be based on previous studies
for the area (if available). The results will be quantified and incorporated
into the final report.
4. Traffic Distribution and Assignment
The offsite generated vehicular trips will be distributed and assigned to the
adjacent roadway network using the minimum path technique. The specific
distribution percentages will be based on the new manual turning movement
counts and discussions with City staff.

5. Circulation
To determine how well the existing circulation system operates within the
Study Area without the Project, intersection capacity analyses (Using the
Intersection Capacity Utilization Method) will be performed for the
intersections where manual counts were taken and the Level of Service (LOS)
calculated. The results will be analyzed and compared to any planned
improvements for the public streets and intersections within the Study Area.
The LOS for the impacted street segments will also be calculated (as
appropriate).
6. Evaluation of Future Conditions Trip Generation for Project Site + Approved
Projects
RBF traffic engineers will obtain from the City of Santa Clarita available
future planned and approved development projects not yet generating traffic
in the Study Area only. This information, along with the appropriate trip
generation rates will be used to evaluate future traffic conditions for the Study_
Area including the Project site. The ultimate buildout conditions within the
Study Area will be identified based upon available City of Santa Clarita data.
It is assumed that the ultimate development plans for any proposed projects
in the Study Area will be available from the City of Santa Clarita.
Further, it is assumed that the proposed Project will be built and fully
occupied within a four year period (1995). Therefore, in order to account for
normal growth, a growth factor of an appropriate percentage will be applied
to the four year period to establish the background traffic. This four year
period growth factor will be obtained from the City of Santa Clarita traffic
engineering staff.
7. Traffic Distribution and Assignment
Traffic generated by the Project site and surrounding project trips (as
appropriate) will be distributed and assigned to the existing roadway network.
Population distribution forecasts for the City of Santa Clarita as well as the
new manual turning movement counts will be reviewed and used to determine
reasonable employee and resident origins and hence, appropriate assignment
percentages for the roadway network. Also, previous traffic studies for the
Study Area will be reviewed. For estimation purposes of this proposal, it is
assumed that there will be no more than one forecast circulation scenario for
the EIR traffic study analyses. Any additional scenarios would be on a time
and. material basis.
8. Circulation
For the forecast scenario, RBF traffic engineers will determine how well the
circulation system within the Study Area will operate with the addition of site
generated traffic, normal growth traffic, plus approved projects to existing

traffic. This will be accomplished by calculating the. appropriate Level of
Service for the identified intersections and the impacted roadway segments
within the Study Area (as appropriate).
9. Site Plan Analysis - Mitigation Measures
The forecast circulation scenario established for the Project site will be
analyzed for its ability to serve the anticipated traffic demands. The analysis
will identity any adverse impacts . and address street functions, access
opportunities provided/lost with the scenario, increased travel time for the
scenario, emergency access provisions, need for traffic signals, as well as
circulation.
After the adverse impacts have been identified, a number of alternative
mitigation measures will be developed as appropriate. The mitigation
measures will be related to the identified problem and/or issue, degree of
mitigation, and generalized cost (where applicable).
10. Consultation with Client and Other Responsible Agencies
RBF traffic engineers will provide ongoing consultation with the Project
Manager and the City of Santa Clarita staff (if necessary) relative to the
progress of the traffic studies. Telephone and written correspondence will be
initiated as needed.
11. Prepare Final Report
RBF traffic engineers will prepare a bound report for the EIR that documents
the study effort and includes schematic drawings as appropriate and discussion
of the following: study methodology used, supporting analysis data, access to
the site, internal circulation, and mitigation measures. The report will also
include the results of one set of review comments from the City of Santa
Clarita. The RBF traffic division will submit the first copies to the Project
Manager for use in the EIR Appendix.

E. Noise
RBF will evaluate potential noise impacts of the Saugus Speedway and the Southern
Pacific Railroad on the proposed Project. The existing conditions discussion will be
based on the City of Santa Clarita General Plan Noise Elements and 1991 traffic
volumes. In addition, day and night ambient noise levels will be measured at the
project site using a hand-held noise meter, including peak sound level readings.

Project noise impacts will be assessed based on the frequency and duration of noise
episodes. This task will be accomplished by RBF Environmental Analysts contacting
the Saugus Speedway and Southern Pacific Railway. The significance of these
impacts will be assessed based on the potential exceedances of City noise standards.
RBF will provide tables and/or exhibits to identify, potential Project Noise Impacts.
RBF will identify mitigation measures necessary to achieve City Noise Standards.

RBF will analyze the potential safety hazards onsite, including: seismic activity,
limited onsite access, fire danger, potential soils and ground water contamination,

Southern Pacific Railroad, Keysor-Century Plant, Thatcher Glass Plant, Saugus
Speedway, the Bermite property and the Sewage Treatment Plant): The basis of this
section is anticipated to be provided by additional study to be completed by Applied
Biogenics.

H. Public Services and Utilities
After consulting with City staff, RBF will contact potentially affected agencies to
identify relevant Existing Conditions, Project Impacts and recommended mitigation
measures. The discussion will focus on the potential alteration of existing facilities,
extension or expansion of new facilities and the increased demand on utilities and
services based on the proposed land uses. RBF will evaluate the ability of the
Project to receive adequate service based on City standards and measures. Issues
expected to be discussed will include fire, police, electricity, natural gas, schools,
communication systems, water, sewer, storm water drainage and solid waste service.
RBF will devote special attention to the following potentially significant Project
impacts: fire hazards including response time and water pressure; response time for
police; availability of electricity, gas, communications and solid waste service. RBF
will estimate the potential demand for energy resources by both the anticipated

development and, if possible, quantity the amount of energy which can be saved
through the use of appropriate energy saving devices and programs. Based on agency
responses and RBF's extensive experience with similar projects, RBF will recommend
mitigation measures to substantially reduce or avoid potential impacts, including
water and energy conservation measures.

I. Aesthetics
RBF will address potential aesthetic impacts and identify mitigation measures to the
Project, with respect -to transforming the existing undeveloped ridgelines in
association with the development of the proposed Civic Center Project. RBF will
characterize the existing aesthetic environment and visual resources, including a
discussion of views within the site and views from offsite vantage points. A color
exhibit with photographs from the adjacent view corridors will be included in this
discussion. The aesthetic section will also identity the potential aesthetic impacts
which could result from hillside grading of the project site. Project impacts will be
addressed based on changing onsite aesthetics. RBF will recommend mitigation
measures to reduce potential aesthetic impacts to acceptable levels, where possible.

a brief background description and project role for each of the key professionals involved
in the Santa Clarita Civic Center Project.
Ms. Barbara Eljenholm
Vice President, Environmental Services
Ms. Eljenholm has been actively involved in the coordination, preparation and processing
of environmental documents at RBF since 1980. As Vice President of the Environmental
Services Department, she is responsible for the completion of all environmental documents
and CEQA compliance for RBF. During Ms. Eljenholm's 12 years at RBF, she has
provided management, technical review and detailed analysis, research, writing, and the
editing of Environmental Impact Reports, as well as Negative Declarations, Initial Studies
and other various planning studies. Ms. Eljenholm's role in this Project will be to provide
quality review for the EIR work effort.
Mr. Kevin Thomas
Director, Environmental Services
Mr. Thomas received his B.A. Degree in Environmental Engineering from the University
of California, Los Angeles. At RBF, Mr. Thomas is the Director of the Environmental
Services Department and oversees the preparation of Environmental Impact Reports and
other environmental documents for public and private sector clients. Recent project
experience includes serving as the Project Manager for the 2,500 -acre Irvine Business
Complex Rezoning Project Program EIR for the City of Irvine, the 10,625 -acre Ritter Ranch
Specific Plan EIR for the City of Palmdale, and the Amargosa Creek Improvement Project
for the City of Palmdale. Mr. Thomas's role in this Project will be. to provide CEQA
compliance review.

Project Manager
Ms. Weber graduated from California Polytechnic State University in San Luis Obispo with
a degree in Natural Resources Management with a concentration in Environmental Services.
Ms. Weber, who will serve as Project Manager, has provided project management and/or
technical analysis for several environmental projects in California including the 10,625 -acre
Ritter Ranch Specific Plan EIR for the City of Palmdale which involved hillside residential
development, the Whiteface Specific Plan EIR for the City of Simi Valley which involved
development of a 2,686 -acre master planned community, and the Riverglen Specific Plan
EIR for the City of Perris which involved 333 acres of a master planned community. Ms.
Weber assisted in the preparation of the Center for the Performing and Fine Arts and
Justice Center of North San Diego County EIR:for the City of Escondido. As Project
Manager, Ms. Weber will be responsible for the daily management and supervision of the
Project Team and coordination with City staff in the preparation of the Santa Clarita Civic

Mr. William Ryan
Em4ronmental Analyst
Mr. Ryan graduated from the University of California, Los Angeles, with a degree in
Geography, and is currently pursuing a Master's Degree in Biology - Wetland Restoration
from the California State University, Fullerton. Mr. Ryan is responsible for the preparation
of Environmental Impact Reports, with emphasis on the research and analysis of biological
resources. Mr. Ryan's experience includes environmental analysis for the Chapman Heights
Planned Development for the City of Yucaipa/County of San Bernardino, the Planning Area
23 EIR for the City of Irvine, and the Palmdale Trade and Commerce Center EIR for the
City of Palmdale. Mr. Ryan's role in this Project will be to research, analyze and write
portions of the Environmental Impact Report.
Ms. Melanie Smith
Environmental Analyst
Ms. Smith graduated from California State University, Long Beach, with a degree in
Political Science with concentrations in Public Policy and Administration and Environmental
Law. Her duties include research and reporting on recent CEQA Legislation and case law.
Her experience includes environmental analysis of the Vincent Hills Specific Plan EIR for
the City of Palmdale involving critical hydrological and biological constraints, and the Police
Headquarters and Fire Administration Facility EIR within the City of Clovis involving

Ms. Trina Rice
Environmental Analyst
Ms. Rice graduated from the University of California, Irvine, with a B.A. Degree in Social
Ecology. Ms. Rice is responsible for the preparation of Environmental Impact Reports and
related environmental documents. Her work experience includes the Irvine Business
Complex Rezoning Project Program EIR for the City of Irvine and the Ritter Ranch Specific
Plan EIR for the City of Palmdale. Ms. Rice's role in this Project will be to research,
analyze and write portions of the Environmental Impact Report.
Ms. Alison Green
Environmental Analyst
Ms. Alison Green graduated from California State University, Chico, with a degree in
Microbiology. Her duties include research and preparation of Environmental Impact
Reports with emphasis on traffic and circulation issues and related noise impacts resulting
from surrounding land uses. Ms Green's experience includes environmental analysis for the
City of Davis Transportation and Circulation Element, as well as the preparation of a Year

2010 Noise Contour Map, City of Vista Transportation Element and several County of
Orange residential developments. Ms. Green's role in this Project will be to research,
analyze and write portions of the Environmental Impact Report.,
Ms. Holly Weatherby
Environmental Analyst
At RBF Ms. Weatherby is responsible for research, environmental analysis, planning review
and conducting feasibility studies for project administered out of the Temecula Office. Ms.
Weatherby is currently involved in the EIR for the proposed Riverglen Spec Plan, a 333 -
acre specific plan located in the City of Perris. Ms. Weatherby is also actively involved in
the production of the EIR for the Wastewater Treatment Facility expansion for the Cambria
Community Services District (CCSD). This EIR involves coordination of the CCSD as well
as the State Water Quality Control Board, the Department of Fish and Game and the
consideration of an existing NPDES permit. Ms. Weatherby graduated from California
Polytechnic State University, San Luis Obispo with a B.S. degree in City and Regional
Planning. Ms. Weatherby's role in this Project will be analysis, writing and the production
of the Environmental Impact Report.
Trevor Smith
Environmental Analyst
As an Environmental Analyst at RBF, Mr. Smith's duties include research, analysis, and
writing of Environmental Impact Reports and related documents including Initial Studies
for a wide range of projects. Mr. Smith's project experience includes research and analysis
for the Escondido Performing and Fine Arts Center and Justice Center EIR for the City of
Escondido, the Rancho Palos Verdes Subregion 7 & 8 EIR for the City of Rancho Palos
Verdes and the Wastewater Treatment Facility Expansion EIR for Cambria Community
Services District. Mr. Smith's responsibilities for this project include research, technical
analysis and preparation of the Environmental Impact Report.
