The Los Angeles County Transportation Commission, in an effort to guarantee their desired October
1992 start up schedule, have instituted a program by which they will administer the construction of the
Commuter Rail Station platforms for those cities which desire such service. The LACTC has
forwarded to staff a Memorandum of: Understanding to perform this work. (See Attachment).
At the Santa Clarita station site, the LACTC will be administering the gradingand construction of the
Southern Pacific Rail Road track alignment, required to create level, tangent track for passenger
platform use. The LACTC has indicated to staff that expense in time and cost would be saved by
including our platform grading and construction in their realignment project.
Staff has been provided with the LACTC standard platform design. After entering into this agreement,
the City has the option of using their design_ or we can provide our own design for which they will
construct. Because of the proximity of the station to the future City Center, it may be desirable for the
City to have a station which fits into the City Center Design Theme. Staff. has prepared some platform
construction concepts as possible alternatives to the LACTC standard design. (See Attachments).
o Staff recommends to Council to direct the City Manager to sign upon approval by the City
Attorney, the Memorandum of Understanding with the LACTC for grading and construction of
the station platform.
o Staff also requests that the Council provide direction to staff regarding the design of the station
platform and platform structures.

MEMORANDUM OF UNDERSTANDING
• BETWEEN
CITY OF SANTA CLARITA AND
LOS ANGELES COUNTY TRANSPORTATION COMMISSION
FOR THE DESIGN AND CONSTRUCTION OF
COMMUTER RAIL PLATFORMS
This Memorandum of Understanding ("Agreement") is made
this day of , 1991.and entered into by and
between the Los Angeles County Transportation Commission
("Commission") and the City of Santa Clarita ("City"), all said
agencies referred to collectively and herein as "Parties".
WHEREAS, the Los Angeles County Transportation Commission
and the City of Santa Clarita agree to provide for a multi -modal
regional transportation center enhancing mobility in the Santa
0 Clarita area;
WHEREAS, both Parties have received approval from their
respective boards to participate in the project;
WHEREAS, by utilizing the Commission's contractor to
design and construct the City's commuter, rail platform including
the straightening of the tracks at the platform, the Commission and
the City will benefit from cost, liability and schedule savings;
WHEREAS, the City has agreed to the cost estimate
(attachment A) and repayment plan contained herein; and

.NOW THEREFORE, the City and Commission agree to the
following terms and procedures for designing and constructing the
rail platform and tangent tracks for the Cityl.s- commuter rail
station.
This Agreement shall be effective.upon execution by the
Parties.
ARTICLE 1.0 - DESIGN PROCEDURE
• Platform design will incorporate all requirements
mandated by state, federal and local governments.
Design will be completed by DeLeuw Cather & Co..
currently under contract with the Commission.
Track and grading will be designed by STV which is
also under contract with the Commission.
• City will be provided with all designs for review
prior to beginning construction.
• City will have option to use Commission standards
of design specifications for preferred lighting,
shelters, minimum platform width and benches, if
City elects to use its own standards of design it ..
shall provide same to the Commission for approval.

ARTICLE 2.0 - PLATFORM CONSTRUCTION
• All grading and both track and platform
construction will be completed by a contractor
competitively selected by the Commission.
• Contractor is responsible for obtaining .all
appropriate permits from the city and City will
provide these permits at no cost.
ARTICLE 3.0 - REPAYMENT OF COSTS
Commission will pay for the. cost of the design of
the track straightening project.
• City agrees to reimburse the Commission for design
and construction of the platform and for
construction of the track improvements including
grading costs.according to the following payment
plan:
l0% of estimate on completion of survey and design
40% at start of construction
0
0
40% at completion of construction
10% balance upon approval by City.
ARTICLE 4.0 - AMENDMENTS
This Agreement may only be amended by mutual written
consent of the Commission and City.
ARTICLE 5.0 - DISPUTES
Any disputes concerning a question of fact arising under
this agreement which is not settled mutually, shall be submitted to
the Commission and the City. If no decision can be reached, an
independent arbitrator will be appointed to resolve any outstanding
issues. This arbitrator's decision shall be binding on all
Parties.
