On June 25, 1991, the City Council selected ATE/Ryder as the entity charged with
providing paratransit service for the community. The City sponsored Dial -A -Ride
represents service expansion to include a General Public Dial -A -Ride program and
Elderly and Handicapped service enhancement to those individuals not utilizing
the Santa Clarita Valley Committee on Aging's (SCVCOA) Senior Center.
SCVCOA had previously been the local Dial -A -Ride provider. The City Council,
recognizing the loss of revenue to be sustained by SCVCOA through termination of
its Dial -A -Ride program, agreed to work with SCVCOA for provision of mutually
beneficial transit coordination activities.
The City Council authorized payment for services of $35,000 for fiscal year
1991/92. The Council further noted its intent to provide $50,000 annually in
future years to SCVCOA as part of the City's budget process for additional
transit related services provided by SCVCOA to -the City. Payment by the City to
SCVCOA is predicated on the execution of an appropriate Memorandum of
Understanding between the entities.
A draft Memorandum of Understanding is presented for the City Council's
approval. SCVCOA has fulfilled the requirements necessary to process the fiscal
year 1991/92 $35,000 commitment for payment. These funds are to be paid on a
one time only basis through the Contingency Account which currently contains a
balance of $263,000.
Due to the protracted time frame for bringing this agreement. to fruition coupled
with a financial need by SCVCOA, the City Manager authorized and caused to be
delivered a "good faith" payment of $10,000 against the original $35,000
commitment. This leaves a remaining balance of.$25,000.
SCVCOA and the City's Department of Public Works are presently• meeting to
address the $50,000 commitment of intent. These funds shall be processed as
part of future year City budget processes.
RECOMMENDATIONS
1. Approve the Memorandum of Understanding and direct the City Manager to
execute the document in conjunction with the Santa Clarita Valley Committee
on Aging.
2. Authorize the transfer of $25,000 from Contingency Account 01-4101-290 to
Public Works Professional Services Account 01-6000-230 for payment of
transit coordination activities rendered to the City by SCVCOA.

Draft Memorandum of Understan Uding
OF
This is a Memorandum of Understanding (MOU) between the Santa
Clarita Valley Committee on Aging (SCVCOA) and the City of
Santa Clarita (City).
On June 25, 1991, the City Council awarded a contract to a
transit operator to provide Citywide Dial -A -Ride services to
the general public and the elderly and handicapped citizens.
As a result, there is a loss of transit related administration
revenue (Proposition A Funds) to SCVCOA. The City Council
recognized the resultant fiscal impact to SCVCOA and approved
the following funding to SCVCOA to provide appropriate transit
coordination activities with the City and its Dial -A -Ride
operator.

The Santa Clarita Valley Committee on Aging is a non-profit,
non-partisan, public benefit organization that promotes
independence, dignity, purpose and endeavors to enhance the
quality of life for the elderly citizens of the City of Santa
Clarita.
The following responsibilities have been identified and.are to
be agreed by each party.
1.. A Board of Service Quality will be established. The
members will consist of representatives from the City
(1), the transit operator (1) and SCVCOA (3). This
Board shall remain in operation until December 31,
1992.
2. City will seek incentive funds for providing excursion
trips. The number of trips per year and distance
travelled to be mutually agreed to and approved by the
City and SCVCOA.
3. Annually, Santa Clarita Valley Committee on Aging
shall:
Not later than March 1, of.each year request, in
writing, the City Council to earmark $50,000 for
SCVCOA to provide certain transit related services
jointly agreed to by SCVCOA and The City under
separate agreement. This annual request.shall be
processed through the City's annual budget process.
Not later than December 31, submit an annual
report that contains in detail the specific
utilization of the funding, community services
offered by SCVCOA to City residents for.the
previous fiscal year.
4. To avoid duplication of transit related services.
provided by:the City, SCVCOA shall not provide those
certain transit related services that are eligible.for
Proposition A funding. The City and SCVCOA shall
annually review transit.related services to ensure
that senior citizen transit needs are being met.
5. SCVCOA agrees to indemnify, defend (at City's option),
and hold harmless City its officers, agents,
employees, representatives, and volunteers from and
against any and all claims, demands, defense costs,
actions, liability, or consequential damages of any
kind or naturearisingout of or in connection with
SCVCOA (or SCVCOA subcontractors, if any).performance
or failure to perform, under the terms of this MOU.
*SCVCOA agrees that the City may, at any time,
audit any and all of SCVCOA's books, documents or
records relating to this Memorandum of
Understanding.
Without limiting City's right to indemnification, it
is -agreed that SCVCOA shall secure, and maintain
during the term of this MOU, insurance coverage
consistent with standards in such agencies as follows:
a) Workers' Compensation Insurance as required by
California statues;
b) Comprehensive General Liability Insurance, or
Commercial General Liability Insurance, including
coverage for Premises and Operations, Contractual
Liability, Personal Injury Liability,
Products/Completed Operations Liability,
Broad -Form Property Damage (if applicable) and
Independent Contractors' Liability (if
applicable), in an amount of not less than one
million dollars ($1,000,000.00) per occurrence,
combined single limit, written on an occurrence
form.
c) Comprehensive Automobile Liability coverage, if
applicable, including owned, non -owned and hired
autos, in an amount of not less than one million
dollars ($1,000,000.00) per occurrence, combined
single limit, written on an occurrence form.
Each insurance policy required by this MOU,
excepting policies for workers' compensation,
shall contain the following clause:
"The City of Santa Clarita, its officers, agents,
employees, representatives and volunteers are
added as additional insureds as respects
operations and activities of, or on behalf of the
names insured, performed under contract with the
City of Santa Clarita."
6. SCVCOA agrees to indemnify and hold City, its
officers, agents and employees harmless from any and
all claims.of the United States of America for
reimbursement of funds or any portion thereof due to
the improper use of funds.
7. Term: The term of this agreement shall be one year
from March 24, 1992. Upon expiration of the
initial term, this agreement shall
automatically renew•on the same terms and
conditions for successive periods of one (1)
year, unless written notice of termination is
provided by one party or the other at least
sixty (60) days prior to the termination date.
8. Notices and communication concerning this MOU shall be
