HomeMy WebLinkAbout1992-03-10 - AGENDA REPORTS - SC VALLEY CENTER (2)AGENDA REPOR' CONSENT CALENDAR DATE: MARCH 10, 1992 SUBJECT: SANTA CLARITA VALLEY SERVICE CENTER DEPARTMENT: PARKS AND RECREATION BACKGROUND On May 28, 1991, City Council approved the submission of the City's final statement and proposed use of funds for the Community Development Block Grant (CDBG) for fiscal year 1991-92 with the.U.S. Department of Housing and Urban Development. The Santa Clarita Valley Service Center was one of the.Council approved projects recommended for funding in the amount of $45,000. Because.the recommended funding level exceeded the 152 cap for public service activities, Council directed staff to request a waiver to exceed the 15Z cap which was subsequently denied by HUD. On October 22, 1991, Council directed staff to prepare an agreement for $31,009 for personnel costs associated with public service activities provided by the SCV Service Center ending June 30, 1992 at the funding level pursuant to HUD's ruling. The agreement was prepared by staff and approved by the County of Los Angeles Board of Supervisors on January 28, 1992. The Santa Clarita Valley Service Center programs predominantly benefit low and moderate income persons and is aimed at addressing a variety of social needs and removing racial tensions in the community through various activities such as counseling, translation and forms processing. RECOMMENDATION It is recommended that the City Council authorize staff to execute agreement for $31,009 between the City of Santa Clarita and the Los Angeles, Department of Community.and Senior Services for services ending June 30, 1992. ATTACHMENT County.of Los Angeles Department of Community and Senior Citizen Services Santa Clarita Valley Service Center Agreement SCL:slc PRCOUNC.97 APPROVED Ag-Mida Item: -af 0 AGREEMENT BETWEEN THE CITY OF SANTA CLARITA AND THE COUNTY OF LOS ANGELES DEPARTMENT OF COMMUNITY AND SENIOR CITIZEN SERVICES THIS AGREEMENT is made and entered into the 28thday of January , 1991, by and between the CITY OF SANTA-CLARITA, hereinafter referred to as "City", and the County of Los Angeles including its Department of Community and Senior Citizens Services, hereinafter referred to as "Contractor". RECITALS A. WHEREAS, The City of Santa Clarita has entered into a Contract with the United States of America through its Department of Housing and Urban Development (HUD) to execute the County's Community Development Block Grant (CDGB) Program under the Housing and Community Development Act of 1974, as amended, hereinafter called the "Act", and B. WHEREAS, Contractor desires to participate in said program and is qualified by reason of experience, preparation, organization, staffing and facilities to provide services. NOW, THEREFORE, the parties hereto agree as follows: Page - 1 - 0 1. AGREEMENT. This agreement consists of this document and attachments: Exhibit A, Project Description and Budget; Exhibit B, project progress report; and Exhibit C, insurance requirements, a copy of which is attached hereto and incorporated herein by this reference. 2. SCOPE OF SERVICES. Contractor is to perform all the .services set forth in Exhibit A, -to this contract. 3. TIME OF PERFORMANCE. Said services of. -Contractor are to commence upon approval and execution of this contract by the City of Santa Clarita and the County of Los Angeles through the Department of Community and Senior Citizens Services, and shall be completed no later than June 30, 199... 4. AGREEMENT ADMINISTRATION. The Contractor Administrator, or his or her designee, hereinafter called "City Project Coordinator," shall have authority to act for City in the administration of this Agreement consistent with the provisions contained herein. 5. COMPENSATION AND METHOD OF PAYMENT. Upon approval and execution of this agreement, the City shall pay Contractor an amount not to exceed the sum of thirty one thousand and nine dollars ($31,009), which shall constitute full and complete compensation hereunder provided for personnel costs associated with services described in Exhibit A to this agreement. The parties understand and agree that said compensation will be paid by • the city from Community Development Block Grant (CDBG) funds for the fiscal year 1991-92 for allowable costs and shall not be a charge on any other funds of the City. Page - 2 - 9 RECORDS AND REPORTING. (a) Accounting. Contractor must establish and maintain on a current basis an adequate accounting system in accordance with generally accepted accounting principles and standards. (b) Reports and Audits. Contractor shall submit to the City a detailed monthly progress report as set forth in Exhibit B. Contractor shall retain and the City shall have access to any books, documents, papers and records of the Contractor for audit or examination to City representatives, upon request, at any time during the duration of this agreement and during a period of three (3) yearsafterfinal payments are issued and all other pending matters are closed as in accordance with 24 CFR 85.42 (b). 7. INDEPENDENT CONTRACTOR. Contractor will- be acting in an independent capacity and not as an agent, employee, partner, joint venturer, or associate of the City. The employees or agents of Contractor shall not be deemed or construed to be the agent or employees of the City for any purpose whatsoever. 8. NON -ASSIGNABILITY. The services to be rendered to the public pursuant to this Agreement by the Contractor are considered to be unique, personal services, and Contractor shall not assign, delegate, subcontract, transfer or otherwise substitute its interest or obligations in this . Agreement without the prior written consent of City. Any attempt by II, Contractor to assign any performance of the terms of this agreement shall be null and void.and shall constitute a material breach of this agreement. Page - 3 - • 9. JOINT FUNDING. For programs in which there are sources of funds in addition to those identified in Exhibit B, Contractor shall provide proof of such funding. The City shall not pay for any services provided by Contractor which are funded by other sources. All restrictions and/or, requirements provided in this Agreement relative to accounting, budgeting, and reporting apply to the total program regardless of funding sources. 10 INDEMNIFICATION AND HOLD HARMLESS. Contractor, agrees to indemnify, defend, and hold harmless City, its agents, elected and appointed officers, and employees from and against any and all liability. expense, including defense costs and legal fees, and claims for damage of any nature whatsoever, including but not limited to, bodily injury, death, personal injury, or. property damage arising from or connected with Contractor's operations on its services hereunder. Without limiting Contractor's indemnification of City, Contractor shall provide and maintain at its own expense during the term of this Agreement a program of insurance satisfactory to City's Risk Manager covering its operations hereunder as specifically defined in Exhibit C to this Agreement. The Contractor shall provide the City with proof of self insurance to comply with specified insurance requirements. 11. FAILURE TO PROCURE INSURANCE. Failure on the part of Contractor to procure or maintain required insurance shall constitute a material breach of Agreement under which City may immediately terminate this Agreement or, at its discretion, procure or renew such insurance and pay . any and all premiums in connection therewith, and all monies so paid by City shall be repaid by Contractor to City upon demand or City may offset the cost of the premiums against any monies due to Contractor from City. Page - 4 - 0 12. COMPLIANCE WITH LAWS. All parties agree to be bound by applicable Federal, State. and local laws, ordinances, regulations, and directives as they pertain to the performance of this Agreement. This Agreement is subject to and incorporates the terms of the Act; 24 Code of Federal Regulations, Part 570, including but not limited to uniform administrative requirements described in 24 CFR Section 570.502, and program income requirements set forth in Section 570.504 (c), Chapter V; U.S. OMB Circular A-87; A-122; and A-128, as applicable, as they relate to the acceptance and use of Federal funds under this part and Auditor -Controller Contract Accounting and.Administration Handbook. 13. ASSURANCES. Contractor hereby assures and certifies that it has complied with the Act, applicable regulations, policies, guidelines and Isrequirements, and that it will comply with all applicable Federal, State and City laws and regulations as they relate to acceptance and use of Federal funds for this Federally assisted programs. 14. EXPENDITURES. Expenditures made by Contractor in the operation of this Agreement shall be in strict compliance with provisions of this Agreement. Separate financial and program records shall be kept for each funding source. 15. AFFIRMATIVE ACTION. The Contractor shall make every effort to ensure that all projects funded wholly or in part by CDBG funds shall provide equal employment and career advancement opportunities for . minorities and women. To the greatest extent feasible, the Contractor shall make every effort to employ and provide opportunities for training Page - 5 - 16. DISCRIMINATION. No person shall, on the grounds of age, race, sex, creed, color, religion, national origin, or handicapped status be excluded from participating in, or be refused the benefits of, or otherwise be subjected to discrimination in any activities, programs, or employment supported by this agreement. 17. PROGRAM EVALUATION AND REVIEW. The Contractor shall make • available for inspection its performance, financial .and all other records pertaining to performance of this Agreement to authorized U.S. Department of Housing and Urban Development personnel, and allow the City to inspect, evaluate and monitor its facilities and have access to program operation and activities including the interview of Contractor and program participants as required by the City. Facilities include all files, records, and other documents related to the performance of this Agreement. Activities include attendance at staff, board of directors, advisory committee, and advisory board meetings, and observation of on-going program functions. Contractor will ensure the cooperation of its staff and board membersin such efforts. City Project Coordinator of his designee will conduct periodic program progress review. These reviews will focus on the extent to which the planned program has been implemented Page - 6 - low and moderate income persons residing within the community where the project is located as well as award contracts to local businesses in the community and utilize small minority and women's firms. Contractor shall keep a record of the opportunities that have been created directly as a result of this program. 16. DISCRIMINATION. No person shall, on the grounds of age, race, sex, creed, color, religion, national origin, or handicapped status be excluded from participating in, or be refused the benefits of, or otherwise be subjected to discrimination in any activities, programs, or employment supported by this agreement. 17. Contractor agrees to submit all data that are necessary to complete the Annual Grantee Performance Report and monitor program accountability and progress in accordance with applicable Housing Urban Development HUD requirements. 16. AUDIT EXCEPTIONS BY STATE AND FEDERAL AGENCIES. Contractor agrees that in the event the program established hereunder is subject to audit exceptions by appropriate State and Federal audit agencies, it shall be responsible for complying with such exceptions and paying the U.S. Department of Housing and Urban Development the full amount of City's liability to the funding agency resulting from such audit exceptions. 19. CONFLICT OF INTEREST. Contractor, its agents and employees shall comply with all applicable federal provisions and state laws prohibiting conflict of interest activities in accordance with 24 CFR 85.36(b)(2) of Community Development Block Grant regulations. Contractor shall make available to its agents and employees copies of these laws governing conflict of interest. 20. REVISION OF ASSETS. Upon expiration of this agreement, contractor shall transfer to the City any CDBG funds on hand at the time of expiration and any accounts receivable attributable to the use of CDBG funds. 21. PERSONNEL POLICIES. City may review Contractor's personnel policies and may make available to Contractor personnel policies developed by City. City personnel policies are optional with Contractor, unless Page - 7 - City verifies personnel management problems during the Agreement period, in which instance City's Project Coordinator may require use of City developed personnel practices,. including use of City Personnel Policies, as condition of continued funding of future Agreement awards. Personnel policies include, but are not limited to, staff size and levels, salaries, supervisory -subordinate ratios, consultant fees, fringe benefits and other related matters. 22. FINANCIAL PHASE OUT PERIOD. Contractor agrees to complete all necessary financial phase out procedures required by the City Project Coordinator, or designee, within period of not more than -forty-five (45) calendar days from the expiration date of this Agreement. This time' period will be referred to as the financial phase out period. The City is not liable to provide reimbursement for any expenses or costs associated with this Agreement .after the expiration of the financial phase out period, those funds not paid to Contractor under this Agreement, if any, may be immediately reprogrammed by City into other eligible activities in the City. The City Project Coordinator, or designee, shall request a final financial audit for activities performed under this Agreement at the expiration of the final phase out period. 23. NEPOTISM. Contractor shall not hire nor permit the hiring of any person to fill a position funded through this Agreement if a member of that person's immediate family is employed in an administrative capacity by Contractor. For the purposes of this .section, the term "immediate family" means spouse, child, mother, father, brother, sister, brother -in • law, sister-in-law, father-in-law, mother-in-law, son-in-law, daughter-in-law, aunt, uncle, niece, nephew, step-parent, and step -child. Page - 8 - The term "administrative capacity" means having selection, hiring, • supervisory or. management responsibilities, including servicing on the governing body of Contractor. 24. RELIGIOUS AND POLITICAL ACTIVITIES. Contractor agrees that funds under this Agreement, will be used exclusivelyfor performance of the work required under this Agreement, and that no funds made available under this Agreement shall be used to promote religious or political activities in connection with the performance of this Agreement. 25. FISCAL LIMITATION. The United States of America through HUD may in the future place programmatic fiscal limitation(s) on CDSG funds not- presently ot presently anticipated. Accordingly, the City reserves the right to revise budget of this Agreement as a whole or as a cost category, may limit the rate of Contractor's authority to commit and spend funds, or may restrict Contractor's use of both its uncommitted and its unspent funds. Vhere the U.S. Department of Housing and Urban Development has directed or requested the City to implement a reduction in funding, in whole or as to cost category, with respect to funding for this Agreement, City Project Coordinator ;may act for the City in implementing and effecting such a reduction and in revising the Agreement for such purpose. Vhere City Project Coordinator has reasonable grounds to question the fiscal accountability, financial soundness, or Contractor's compliance with this Agreement, City Project Coordinator may act for the City in suspending the . operation of this Agreement or up to Thirty (30) days upon three (3) days written notice to Contractor of his or her intention to so act, pending an Page-9- this Agreement in order to take into account actions affecting HUD program . funding. In the event of funding reduction, the City may reduce the budget of this Agreement as a whole or as a cost category, may limit the rate of Contractor's authority to commit and spend funds, or may restrict Contractor's use of both its uncommitted and its unspent funds. Vhere the U.S. Department of Housing and Urban Development has directed or requested the City to implement a reduction in funding, in whole or as to cost category, with respect to funding for this Agreement, City Project Coordinator ;may act for the City in implementing and effecting such a reduction and in revising the Agreement for such purpose. Contractor shall not incur any expenditures for travel outside of Los Angeles County, without prior written approval of . City. LJ 28. NOTICES. In no event, however, shall any revision made by the City affect and legally binding expenditures commitments made by Contractor before it received notice of such revision, provided that such amounts have been committed in good faith and are otherwise allowable and that such commitments are consistent with HUD cash withdrawal guidelines. 26. USE OF FUNDS FOR ENTERTAINMENT. MEAL OR GIFTS. Contractor certifies and agrees that it will not use funds provided through this Agreement to pay for entertainment, meals or gifts. 27. STAFF TRAVEL. TERMINATION AND TERMINATION COSTS. This Agreement may be terminated at any time by either party upon giving thirty (30) days written notice. City may immediately terminate this Agreement by written notice upon the termination, suspension, discontinuation or substantial - reduction in CDBG funding for the Agreement activity, if for any reason contractor materially fails to comply with any term of this agreement, or the timely completion of this work under this Agreement is rendered improbable, infeasible or impossible. In such event, Contractor shall be compensated for all services rendered and all necessarily incurred costs performed in good faith in accordance with the terms of this Agreement that have not been previously reimbursed, to the date.of said termination to the extent CDBG funds are available. 30. ENTIRE AGREEMENT. This. writing with attachments, constitutes the entire agreement between City and Contractor. There are no oral agreements or amendments between parties. This Agreement shall not be amended, except in writing, executed by both parties to this Agreement. Page - 11 - 0 COUNTY OF LOS ANGELES DEPARTMENT OF COMMUNITY AND SENIOR CITIZENS SERVICES SANTA CLARITA SERVICE CENTER PROJECT DESCRIPTION AND BUDGET EXHIBIT A Purpose and Beneficiaries Under the administration of the Los Angeles County Department of Community and Senior Citizens Services, the Santa Clarita Valley Service Center will provide a variety of public social services to the City of Santa Clarita, as well as the Castaic/Val Verde areas of the Santa Clarita Valley for low and moderate income residents. The Community Development Block Grant will be used to pay for personnel and operational costs to implement the services provided by the Human Relations program. Program Budget The annual personnel budget for the Santa Clarita Valley Service Center staff is approximately $300,000 paid from County of Los Angeles Community and Senior Citizens Services. The City of Santa Clarita CDBG grant provides 10Z of the center's personnel budget. Proiect Scope The Human Relations program predominantly benefits low and moderate income persons. It is a program aimed at, addressing social needs and removing racial tensions in the community through various activities. These activities take many forms. Examples include: providing intermediaries for police/resident relations; providing support for and facilitating the City's neighborhood improvement programs and efforts.in the East Newhall area. The City of Santa Clarita Community Development Block Grant program funds will be used to maintain the current public social service level of the Human Relations program as well as other services currently provided. These services include the following: a) Counseling on neighborhood improvement programs such as: home rehabilitation and home improvements; social security, paralegal and immigration problems; food, clothing and homeless shelter services. The Santa Clarita Valley Service Center proposes to serve a minimum of client volume of 5,000 service units. These figures are based on current staffing levels and number. of tenant agencies operating at the Center. An eligible applicant is defined as a household consisting of one or more persons who occupy a single family detached house, where the household income does not exceed the low and moderate income limits, established by the United States Department of Housing and Urban Development Section 8 income criteria. Documentation and Reports The Santa Clarita Valley Service Center is to provide a copy of .the monthly program progress report of which a copy will be forwarded to the City by Los Angeles County Department of Community and Senior Citizens Services by the 15th of each month. This report will.indicate program performance activities for each prior month. Reports will include monthly progress on program performance goals regarding: 1. Client volume of service units. 2. Statistics indicating that at least 512 of program participants are low and moderate income persons based on HUD Section 8 income criteria. Client income documentation will be on file. 3. Number of tenants groups and agencies operating out of service center. CLASSIFICATION STANDARDS: Positions allocable to this class are found in the Department of Community and Senior Citizens Department and receive administrative and technical direction from a Chief Community Services Analyst. These positions have responsibility for the operation and programs of a community or senior citizen's center, which provides a linkage between the community and County government. These positions are responsible for .supervising subordinates who .provide direct and outreach human services such as youth, employment, senior citizen and refugee services to a large client population such as one serving over.100,000 persons in a specific geographic area. In addition, they are responsible for coordinating these activities with the human services programs provided by County departments and other public and private organizations at the center. Incumbents must exercise a knowledge of the principles of supervision, and a comprehensive knowledge of community needs, resources and programs, and of the organizations and activitiesof public, private and community agencies interested in specialized activities and in solving community problems. Incumbents must also have the ability to speak. effectively before community groups and deal effectively with persons from various socio- economic levels and representatives of governmental or community organizations. EXAMPLES OF DUTIES: Directs center activities, including specialized human services programs, information and referral services and crisis intervention and emergency services. Develops and implements center objectives,policies and procedures within the framework of center program objectives and the needs of the individual communities served by the center. Plans, organizes, assigns, directs, and evaluates, the work of center personnel. These positions serve as lead staff at community or senior citizen's centers which prcvide a linkage between the community and county government. These positions are responsible for coordinating the work of Community Center staff and auxiliary staff (i.e. SPW's, volunteers, etc.) who provide direct and outreach human services to a large client population_ in a specific geographic area. In addition, they assist in coordinating these, activities with the human service programs provided by other County departments and other public and private tenant organizations at the Center. Some positions allocable to this class may be assigned to special projects that impact on multiple community and senior citizen centers. These positions may report to the section heads responsible for multiple centers. General and Automobile Liability General liability and automobile liability policies shall be endorsed, to contain the following provisions: A. The City of Santa Clarita and their officials, employees, and volunteers are to be covered as insureds with respect to liability arising out.of activities performed by or on behalf of the Contractor including products and completed.operations, premises owned, leased, or used, and automobiles owned, leased, hired, or borrowed. B. The insurance coverage shall be primary insurance with respect to the City. Any insurance or self-insurance maintained by the City, its officials, employees, or volunteers shall be excess.of the insurance and shall not contribute with it. C. Self Insurance Where a Contractor is totally self insured for any of the coverages required, or where deductible or self insured retentions exceed the limits of coverage required, evidence of a formal funded program of self insurance will.be accepted in lieu of commercial insurance. The Contractor shall fully protect the City in the same manner as their interest would have been protected had commercial insurance been in effect. Acceptable Insurance Carriers Acceptable insurance coverage shall be placed with carriers admitted to write insurance in California, or carriers with a rating of or equivalent to A:VIII by A.M. Best & Company. Any deviation from this rule shall require specific approval in writing from the City Risk Manager. Indemnification Each Contractor shall indemnify and hold harmless the City of Santa Clarita and their officials, employees, and volunteers against any claims for injury,. damage, loss, cost, or expense resulting from their actions. No funds will be advanced, reimbursed or dispersed until all insurance requirements have been met and evidence of said insurance consisting of Certificate of Insurance and original endorsements as required have been reviewed and approved as being sufficient by the City Risk Manager.
