DISTRICT NO. 92-4

BACKGROUND
As part of the conditions of approval, for various new developments in the area of Soledad Canyon
Road and Sand Canyon Road, a funding mechanism is required so that each of the developers.
would share in the cost of widening Soledad Canyon Road from Sand Canyon Road to the eastern
City boundary in the vicinity of Shadow Pines Boulevard. Since none of the developers has decided
to establish the funding mechanism to construct the Improvements at this time, the City decided
to move ahead with the project. The City is funding and constructing the street improvement and
will be reimbursed as each development proceeds through the establishment of an integrated
financing district.
The proposed reimbursement district, using the Integrated Financing Act and the Municipal
Improvement Act of 1913 will be formed to place these construction costs on the undeveloped
properties mentioned above and any others which as they develop would be conditioned to install
the improvements.. These properties are specifically indicated on "Sheet 1 of 6 sheets" entitled,
"Diagram Integrated Financing Assessment District No. 92.4" in the attached Engineer's Report.
The contract for these improvements was awarded February 25, 1992. The initial phase of the
district began by adopting a resolution which authorizes the work to proceed and directing the
assessment engineer and legal counsel to prepare the necessary documents. The cost for
establishment of the district has been included in the budget for the project and will be reimbursed
to the City as development proceeds.
This public hearing is being held to hear the first reading of the ordinance determining to proceed
and ordering formation of Assessment District No. 92-4. This ordinance will also approve the final
engineer's report and present the results of the initial study pertaining to CEOA requirements.
Further steps include a second reading and approval of the ordinance creating the district, and
placing the assessments of the individual properties. The costs placed on the individual properties
will be reimbursed to the City through the building permit process and are not due and payable until
development occurs.

We wish to.inform the City of the following items of
concern/disagreement with the proposed Resolutions and
Engineer Report:
1. We request that certain phrase "Final Subdivision Map"
being located in par. 1, page 2 of Res. 92-143 be
revised as follows;
"Final Subdivision Map.as a whole or prorated on
the basis of Unit (phased) recordation," -
2. Same paragraph as identified above (1).
The statement "Contingent upon the development of the
land." is of utmost importance.and necessitates
further discussion.
a. To require payment at the time of a Tentative or
Vesting Tentative approval and zone change,
contradicts the "development,contingency"
identified in the prior statement. The approval
of a Tentative (or vesting) map or zone change"
does not insure its development and should
therefore not be.required to be paid until the
development is at least insured via a final map
(or unit final map). For example - what would -
happen to a land owner who paid these costs at
Tentative approval and was consequently faced
with a no growth ordinance?
b. The presumption exists within these documents
that all properties will develop and contribute.
Presuming the worst case scenario (ie.) all
projects except ours; default on their
development agreements and/or loose their
entitlement. Are we then to assume 100% liability
for Zone A improvements?

The "benefit" receivedwould obviously fall far
short of the cost incurred..We therefore request
the inclusion of some formula or wording to
identify an upper limit cost (excluding carrying
costs) which may be expected—It must also be
made clear that
1. The total numbers.of dwelling units as.
identified,are.subject to extensive
fluctuation-and_consequently so too is
the prorata fee.
2. These resolutions are not intended to
insure the right to develop the
identified number of dwelling units.
3. It must be noted that, in the event any land owner
should loose their property entitlements, that
property shall not be subject to this ordinance until
such time as the property may re -entitled.
This issue is of specific concern as it relates to
page 2 of the Engineering Report, item 6,.regarding
an annual assessment. Some protection must be given
to the small unentitled land owner to insure that
they do not receive a yearly "payment due" note from
the City.
4. The fees incurred must be identified as being "in
lieu of Bridge and Thoroughfare fees" up to the
amount of said B&T fees as established.
5. Tract 47324,has-only 70Awelling units not 72 as
shown. (2 lots are park lots not contributing to
increased roadway usage).
6. We also note that this District will satisfy our
Conditions of Approval #77, 78 and 80.

As the current Title Holder to the above parcels,
being located fully within approved Tentative Tract 47324
(Hunters Green), I am deeply concerned that the City will
be adding an annual Assessment and payment due to my
property until the time at which the map may record. As a
small property owner I am unable to meet any additional
yearly obligations.
I also note that in the event that the entitlements to
Map 47324 should terminate for any reason, my property
should not be subject to this Assessment District. My
property would revert back to it's originally entitled
three lots, as established per parcel map 10561 (rec.
4/4/79). As such, the City would have no legal authority
to levy additional encumbrances upon these three legally
created, entitled lots.
These documents require further clarification and
revision to be considered acceptable.

We, V. Stephen and Cathy Kraegery are writing to protest the
above assessment of the property of Mrs" Edith Palmer. Mrs"
Palmer passed away last March and left her property to her
grandaughter, Cathy Kraegerr, in a trust. This assessment
district seems extremely unfair. First, everyone in the district
is not being assessed, which isselective. Only a few of us east
of Sand Canyon Road are being assessed, while those west of Sand
Canyon Road, who use Soledad Canyon as muchas those east of the
road; are not assessed" The district also assumes that if you
have a lot of property, you are able to pay the.assessment fee"
This is not the case" The assessment of Mrs. Palmer's property
is $46°909°00, which is more than I (Cathy Kraeger) make in an
entire year as a school teacher" Finally, this assessment is
based on acreage, but most of Mrs" Palmer's property is hills,
and cannot be developed because of other city ordinances

concerning ridgelines. This assessmentdistrict is blatantly
nnfairy as it assesses only a minute percentage of the area that
`
benefits from the widening of Soledad Canyon Road, and does not
make exceptions for land that cannot be developed.
We strongly urge you to reconsider this unfair resolution

The current economic status of our country may not allow.this
development to take place" We have an Option agreement with Sand
Canyon Estates (Stan Fargeon) to develop this property. He can
hack out at any time.
We do not want a lieu put on our property" When a developer
buys it, he can receive the bill" I (Mr" Cox) have lived on this
property for 68 years and we have worked very hard to get it free
of any encumbrances. Consequently, we do not want a lien put on
our property until it is sold"
We strongly protest'the proposed Improvement assessment of
our property and urge you to reconsider it.

Dear Mayor Majic,
As the developer of Tract No. 34466, we received written notification of the Public
Hearing concerning the creation of the Soledad Canyon Integrated Financing Assessment
District No. 92-4. I have had the opportunity to review the Engineer Report that details
the project scope, construction estimate, the properties to be assessed and the individual
assessments.
What concerns me is that certain parcels of land in the unincorporated County territory
that are currently in the entitlement process which will derive a significant benefit by this
project are not being assessed. I understand the difficulty of the City assessing property in
the unincorporated area. However, I believe one way of addressing this inequity is
through the Bridge and Major Thoroughfare Fee District (B&T). As you know, the
improvement of Soledad Canyon Road is included for financing by the Route 126 B&T
District, and participants in the Assessment District can receive credit from the B&T
District. As these unincorporated parcels develop and contribute to the B&T district,
there contributions will reimburse those that have participated in the Assessment District.

This method of reimbursement has been discussed from the
beginning with City staff and we were assured that B&T
District credits would be applied. I would like
confirmation that B&T Credits will be available for the
total amount of the assessment.

I.
WHEREAS, on the 14 day of July, 1992, the City Council of the. City of Santa.Clarita (the "City") did,
pursuant to the provisions of the Integrated Financing District Act which is chapter 1.5 of the Government
Code of the State of California and the Municipal Improvement Act of 1913 , which is Division 12 of the
Streets and Highways Code of the State of California (collectively as the "Acts"), as amended, adopt its
Resolution of Intention No. 92-143, for the financing and construction of certain public improvements,
together with appurtenances and appurtenant work in connection therewith, in a special assessment district
known and designated as
SOLEDAD CANYON
INTEGRATED FINANCING
ASSESSMENT DISTRICT NO. 92-4
(hereinafter referred to as the "Integrated Financing District" or "District"); and,
WHEREAS, the Resolution of Intention, as required by law, did direct the appointed Engineer of Work to
make and file a Report, consisting of the following:
o Plans and specifications;
o General description of boundaries of work, appliances, rights-of-way, and other property
interests, if any, to be acquired;
o Cost Estimate,
o Assessment Diagram (the "Diagram") showing the District and the subdivisions of land contained
therein; and
o A proposed assessment of the costs and expenses of the improvements (hereinafter referred to as
"Works of Improvement") levied upon the parcels and lots of land within the boundaries of the
District
For particulars, reference is made to the Resolution of Intention as previously adopted.
NOW, THEREFORE, I, Richard Kopecky, authorized representative of WilIdan Associates, pursuant to
the provisions of the Act, do herein submit the following:

II. DESCRIPTION OF IMPROVEMENTS
o Improvements to be provided within the District are generally described as follows:
o Road improvements and all improvements to support the road, along Soledad Canyon Road
from Sand Canyon Road east to Shadow Pines Boulevard..
o I have assessed the costs and expenses of the works of improvement as constructed in place in the
District upon the parcels of land in the District benefited thereby in direct proportion and relation to
the estimated benefits to be received by each of said parcels. For particulars of identification of the
parcels, reference is made to the Diagram.
o A Diagram, attached as Exhibit "A", showing.the District, as well as the lines and dimensions of
each parcel of land within the District as they existed at the time of the passage of the Resolution of
Intention. Each parcel of land has been given a separate number on the Diagram and in the
Assessment Roll.
o The subdivisions and parcels of land and their numbers shown on the Diagram correspond with the
numbers appearing on the Assessment Roll, attached as Exhibit "C.
o The parcels and assessments included herein do not include any prior unpaid special assessments.
o The current total true value of land and improvements on the parcels Iisted in Exhibit "C" based on
1992 assessor information is $14,500,000.
o In addition to or as a part of the assessment lien levied against each parcel of land within the
District, each parcel of land shall also be subject to a one time assessment to pay costs incurred by
the City and.not otherwise reimbursed which result from the administration and collection of
assessments.
o By virtue of authority contained in the Act, and by further direction and order of the City Council, I
hereby make the following assessment to cover the costs and expense of the Works of
Improvement for the District based on the costs and expenses as set forth below:

IV. DESCRIPTION OF BOUNDARIES OF INTEGRATED FINANCING DISTRICT
The general description of the boundaries of the Integrated Financing District are as follows: All parcels of
land within Tract No's. 47803,34466,47324, 45148, 45113, 32519, 46005, 49426 and P.P. 89-122.
The general description of work consists of the construction of storm drains, street lights, traffic signals,
median landscaping, certain grading, clearing and grubbing, asphalt concrete paving, including acquisition
of necessary rights-of-way together with appurtenances and appurtenant work necessary to accomplish the
above improvements to the specified widths and dimensions and all said work and acquisition is located in
all or a portion of the following listed street or easements and as shown on the Diagram (reduced) included
herein as Exhibit "A":

METHOD OF ASSESSMENT
Soledad Canyon Road is a required condition placed on nine developers, which will extend from Sand
Canyon Road east to Shadow Pines Boulevard. The costs and incidental expenses to improve Soledad
Canyon Road will be spread throughout the developments according to their benefit received.
The total costs of construction for Soledad Canyon Road will be separated into two zones for
reimbursement purposes: Zone A, the portion of construction from Sand Canyon Road to Oak Springs
Canyon Road and Zone B, the portion from Oak Springs Canyon Road to Shadow Pines Boulevard.
These costs will be placed under the Integrated Financing District to be paid through a reimbursement
process as the conditioned tracts develop.
The Municipal Improvement Act of 1913 provides that the costs and incidental expenses of a project be
assessed in proportion to the estimated "benefit" received by each of the lots or parcels of land within the
assessment district. The Act, however, does not provide a specific benefit formula, hence that
determination is made by the Assessment Engineer for consideration by the legislative body. The formula
used should be one that reflects benefit received by each parcel and results in the most equitable proration
of the costs to each of the lots or:parcels within the assessment district.

To facilitate future assessment apportionments, each developer is assigned an assessment number in
groups. For example, when Tract 47324 develops, their revised number sequence will be 800 to 872.
In making the analysis, it was necessary to identify the benefits that the public improvements rendered to
the properties within the boundaries of the Assessment District and to determine that the properties
received a direct and special benefit distinguished from that of the general public. It was determined that
the improvements are necessary and required for the development of the properties within the Assessment
District. The properties within the District have been conditioned as a result of the development process to
establish a reimbursement mechanism to widen Soledad Canyon Road. For residential property, the
benefit to each property as a result of the widening of Soledad Canyon Road is the right for each property
owner to construct a specific number of dwelling units. The benefit to a property with twice as many units
would be to benefit twice as many future owners who would use Soledad Canyon Road. Therefore,
benefit is based on the number of units each developer is allowed to construct. For commercial property
the benefit to each property would be based on the.number of vehicle trips generated by the development,
or the equivalent of 100 residential units per acre.
Zones
Since some properties were conditioned for the portion of Soledad Canyon Road from Sand Canyon Road
to Oak Springs Canyon Road, they will be in Zone A. Zone B, which will be from Oak Springs Canyon
to Shadow Pines Boulevard will only involve one development.

Those developers within Zone A which is largely undeveloped will be assessed on a per unit basis while
the single tract in Zone B will be assessed their portion of traffic volume of the developed area bounded by
Shadow Pines Boulevard, the Antelope Valley Freeway, Oak Springs Canyon Road and Sierra Highway.
Figures used to determine the costs of improvements were obtained from the engineer of work and reflect
costs at the time of the award of bid. The assessment engineer then reviewed the costs for completeness
and eligibility under the 1913 Act proceedings.
The assessments as placed on the parcels of land within this report will be subject to a 5% annual interest
rate. The cumulative interest rate adjustment shall not exceed 100 percent. These assessments will be
contingent upon the development of the land and will be made due and payable at the time of approval of a
final subdivision map as a whole or pro -rated on a basis of units (phased) recordation.
Example: If a tract records phase one at 50%, then 50% of the assessment plus
interest at the time of recordation is due and payable.
Should any development fail to record their subdivision map, the subsequent assessment will remain with
the applicable parcel(s) until such time as a map does record. Any assessments not collected will not be
placed on the remaining parcels.
At the time when assessments become due and payable, it will be determined if there will be credit to the
developers bridge and thoroughfare fees. If it is determined that Soledad Canyon Road is no longer
covered under the B&T District, then there will be no credit. If Soledad Canyon Road is still covered with
B&T fees, a credit will be given to the development in the amount of the B&T fees which apply to Soledad
Canyon Road.
Zone A
All residential development will be assessed based on their equivalent number of buildable units. All
commercial development will be assessed based on their equivalent traffic counts.
Residential equivalent units - 1 unit = 1 Unit 996 Units = 996 units
Commercial equivalent units -1 acre =100 SFD units* 10 acres = 1.000 units
Total Zone A 1,996 units
* One acre of commercial property generates an amount of vehicle trips per day equivalent to what
100 S.F.D. units generate per day.
Zone B
The development in Zone B will be assessed 816 of 24,000 traffic units or an equivalent of 3.441% of the
improvement costs for Zone B.
The remainder of the improvement costs for Zone B will be covered by the City.

TO ORDER CREATION OF ITS SOLEDAD CANYON INTEGRATED
FINANCING ).SSESSMENT DISTRICT NO. 92-4 AND
APPROVING AN AGREEMENT BY AND AMONG PROPERTY OWNERS
AND THE CITY OF SANTA CLARITA
WHEREAS, the City Council ("City Council") of the City of Santa
Clarita, California ("City") has requested the institution of proceedings for
the construction of certain improvements and payment of incidental expenses by
creation of its Soledad Canyon Integrated Financing Assessment District
No. 92-4 ("District"), as shown on that certain map designated "Proposed
Boundaries of Soledad Canyon Integrated Financing Assessment District
No. 92-4", attached hereto and incorporated herein as Exhibit "A:" and
WHEREAS, the City Council of the City has considered all .matters
relating to the proposed financing and construction of certain public
improvements in the vicinity of Soledad Canyon Road pursuant -to the Integrated
Financing District Act ("Financing ;'District Act") and the Municipal
Improvement Act of 1913 ("Improvement Act"), and specifically for the levy of
contingent assessments ("Assessments") againstproperties within the District,
a description of the rate and method of apportionment for such Assessments
being attached hereto and incorporated herein as Inhibit "E:" and
WHEREAS, the City previously provided funds to finance said
improvements by the execution and delivery of "Certificates of Participation
(Capital Improvement Projects) Evidencing A Proportionate Interest Of The
Owners Thereof In Lease Payments To Be Made By the City of Santa Clarita
(Los Angeles County, California) to the Redevelopment Agency of the City of
Santa Clarita" (Certificates") dated October 1, 1991, in the original
principal amount of $22,940,000; and
WfiEP.EAS, the•City has determined that the public interest and
convenience require construction of certain improvements described in
Exhibit "C" attached 'hereto and incorporated herein at an estimated cost of
y , and proposes to proceed with construction of said improvements with
a portion of the proceeds of the Certificates; and
NHEREAS;.the City finds that it is in the best interest of the City,
is in the public interest and is for the public benefit that the City seek
full or partial payment or reimbursement of certain lease payments related to
the Certificates from the proceeds of the Assessments; and
WHEREAS, the Financing District Act provides an alternative method of
financing ' the improvements, by authorizing the Assessments which are
contingent upon the development of land and .which may be made payable at the
time of approval of a tentative subdivision map, vesting tentative subdivision
map, final subdivision map, zoning change, or upon receipt of a building
permit for any parcels which have already received all other. required
approvals.for development; and

WHEREAS, the Financing District Act authorizes proceedings to create
an integrated financing district to be combined with formation. proceedings
under the Improvement Act; and
WHEREAS, the City Council intends that a public hearing on the
formation of the District under the Financing District Act will be combined
with the public hearing required pursuant to the Improvement Act, with notice
of the hearing to be made in the manner required by the Improvement Act; and
WHEREAS, certain property owners are prepared to develop their
parcels prior to completion of formation proceedings for the District, which
necessitates execution of an "Agreement By and Among Property Owners and the
City of Santa Clarita Regarding Proposed Integrated Financing Assessment
District" ("Agreement").
NOW, THEREFORE; IT IS' HEREBY RESOLVED, DETERMINED AND DECLARED by the
City Council of the City of Santa Clarita, California as follows:
SECTION 1. The above recitals are all true and correct.
SECTION 2. The public interest, convenience and necessity require,
and it is the intention of the City Council pursuant to the provisions of the
Financing District Act and the Improvement Act, to order the construction of
improvements within the District boundaries shown in Exhibit "A."
SECTION 3. The City Council has determined to proceed in forming an
integrated financing district pursuant to the Financing District Act and the
Improvement Act.
SECTION 4. The area to be benefitted by said improvements and to be
assessed •to pay the costs and expenses thereof and to be known as Soledad
Canyon ;ntegrated Financing Assessment District No. 92-4 shall be that part of
the District having exterior boundaries as shown on Exhibit "A," which map is
on file in .the office of the City Clerk. Reference hereby is made to that map
and exhibit of a full and complete description of the proposed assessment
district, and "Exhibit A" shall govern all details as to the extent of the
boundaries of the proposed District.
SECTION 5. The Engineer of Work shall furnish to the City Council a
report in writing pursuant to Section 10204 of the Improvement Act, presenting
the following:
1. Plans and specifications of the proposed project; and
2. An estimate of the costs of the proposed project, including
incidental costs and expenses in connection therewith; and

3. A diagram showing the proposed assessment district, which
diagram also shall show the boundaries and. dimensions of the
subdivision of land within the District, each of which
subdivision shall be given a separate number upon said diagram;
and
4. A proposed assessment of the total amount of the cost and
expenses of the proposed improvement upon the subdivisions of
land within the proposed assessment district- in proportion to
the estimated benefits to be received by such subdivisions,
respectively, from said improvements. The assessment shall
refer to such subdivisions upon the diagram by the respective
numbers thereof.
5. The total amount, as near as may be determined, of the total
principal sum of all unpaid special assessments and special
assessments required or proposed to be levied under any
completed or pending assessment proceedings, other than that
contemplated in the instant proceedings, which would require an
investigation and report against the total area .proposed to be
assessed.
6. The total true value, as near as may be determined, of the
parcels of 'land and improvements which are proposed to be
assessed. Total true value may be estimated as the full cash
value of the parcels as shown upon the last equalized
assessment roll of Los Angeles County. Alternatively, total
true value may be determined by other reasonable means,
including, but not limited to, by adjusting the value shown on
the last equalized. assessment roll to correct for deviations
from market value due to Article Ys II A of the California
Constitution.
SECTION 6. Each contract shall be let to the lowest responsible
bidder. The City Clerk shall publish notice inviting sealed proposals for
each contract pursuant to Government Code Section 6066, or by such posting as
the City• may. provide. The time fixed for the opening of bids shall not be
less than -fourteen (14)' days after the first publication or posting of the
notice.
SECTION 7. The public interest, convenience and necessity require
that certain land, rights-of-way, easements and improvements be obtained in
order to fulfill the purposes proposed for the assessment district. For a
general description of the location and extent of the easements or lands
necessary to be acquired, reference is made to Exhibit "A" on file with the
City Clerk.

SECTION S. If any excess shall be realized from the assessment, it
shall be sued, in such amounts as the City Council may determined, in
accordance with the provisions of law, for one or more of the following
purposes:
A. Transfer to the general fund of the City; provide that the
amount of any such transfer shall not exceed the lesser of One Thousand
Dollars (51,000.00) or five percent (5i) of the total from the Improvement
Fund (as defined herein);
B. As a credit upon the assessment and any supplemental
assessment; or
C. For the maintenance of the improvement.
SECTION 9. A special improvement fund identified and designated by
the name of Soledad Canyon Integrated Financing Assessment District No. 92=4
Improvement Fund hereby is established (the "Improvement Fund"), and into said
fund monies may be transferred at any time to expedite the making of the
improvements herein authorized, and any such advance of funds is a loan and
shall be repaid out of the Assessments as authorized by law.
.SECTION 10. The I whose telephone number is

inquiries regarding the hearing procedures for the Resolution of Intention and
to answer inquiries relative to any hearing or proceedings concerning this
project where it is require by statue that such agency and telephone number be
so designated and provided.
SECTION 11. All public agency property in the use and performance of
a•public function shall be omitted from assessment in these proceedings unless
expressly provided and listed here.
SECTION 12. The Agreement is hereby approved and the Mayor and City
Clerk are hereby authorized and directed to execute, attest and seal the same
on behalf of the City, in substantially the form now before this City Council,
but with such changes, modifications, additions or deletions -therein as shall
to. them seem necessary, desirable or appropriate, their execution thereof to
constitute conclusive evidence of their approval of any and all changes,
modifications, additions or deletions therein from the form and content of the
Agreement now before this City Council, and that, from and after the
execution, attestation, sealing and delivery of the same, the Mayor and City
Clerk are hereby. authorized, empowered and directed to do all such acts and
things and to execute all such documents as may be necessary to carry out and
comply with the provisions of the Agreement as executed.

SECTION 13. As authorized by the Financing District Act, after
formation of the District the City intends to execute a Reimbursement
Agreement ("Reimbursement Agreement") to repay funds taken from the proceeds
of .the Certificates to fund the improvements. The Reimbursement Agreement
will be executed pursuant to the terms of Section 53190.5 of the Financing
District Act.
SECTION 14. The public hearing required by Section 53183 of the
Financing District Act shall be combined with the public hearing required by
the Improvement Act. At the time and place to be designated for the public
hearing, any owner of property liable to be assessed pursuant to this
Resolution -of Intention may make a written protest, which shall be heard and
passed upon by the City Council. Reference is made to Section 53183 of the
Financing District Act for further particulars, the terms of which are
incorporated herein by reference.
SECTION 15. The City Clerk shall certify, the adoption of this
Resolution.
