SUBJECT: MAINTENANCE AGREEMENT FOR THE MODIFIED BRIDGE
RAILINGS ON SOUTH FORK SANTA CLARA RIVER BRIDGE,
PLACERITA CREEK BRIDGE AND NEWHALL CREEK BRIDGE
DEPARTMENT: Building and Engineering Services
BACKGROUND
The Route 126 Road Widening project, extending from Lyons Avenue on San Fernando Road to
Valencia Boulevard on Magic Mountain Parkway, includes three bridges. The City is installing
decorative tile on these bridges to improve the aesthetics of the City.
Because the decorative tile is a modification from Caltrans' standard bridge barrier rail detail,
the State is requiring the City maintain these bridge railings as outlined in the attached
Maintenance Agreement.
The bridges will need to be re -tiled every 10 to 15 years at an average cost of $15,000 for each
bridge. Additional maintenance costs may be involved in the event of someone hitting the
bridge railings in an auto accident, but it is expected that these costs would be recoverable from
their insurance company.
RECOMMENDATION
Approve the attached "Agreement for Maintenance of State Highways in the City of Santa
Clarita" subject to the approval by the City Attorney, and authorize execution of the agreement
by the Mayor.

AGREEMENT
FOR
MAINTENANCE OF STATE HIGHWAYS
IN THE
CITY OF SANTA CLARITA
This AGREEMENT, made and executed in duplicate this
day of , 1995, by and between the State of
California, acting by and through the Department of
Transportation, hereinafter referred to as the "STATE" and the
City of Banta Clarita hereinafter referred to as "CITY".
WITNESSETH:
A. RECITALS
The Parties desire to provide for the CITY to perform
particular maintenance functions on State Route 126 within
the CITY as provided in Section 130 of the Streets and
Highways Code.
B. AGREEMENT
This AGREEMENT shall supplement any previous Agreement for
Maintenance of State Highways in the City of Santa Clarita
and/or Amendments thereto with the CITY.
In consideration of the mutual covenants and promises herein
contained, it is agreed:
The CITY will perform such maintenance work as is
specifically delegated to it, on State Route 126,
or portions thereof, all as hereinafter described
under Section H.hereof or as said Section may be
subsequently modified with the consent of the
Parties hereto acting by and through their
authorized representatives.
C. MAINTENANCE DEFINED
Maintenance is defined in Section 27 of the Streets and
Highways Code, as follows:
Section 27. (a) "The preservation and keeping of rights
of way, and each type ofroadway,
structure, safety convenience or device,
planting, illumination equipment or
other facility, in the safe and usable
condition to which it has been improved
or constructed, but does not include
reconstruction, or other improvement."
(b) "Operation of special safety
conveniences and devices, and
illuminating equipment."
(c) "The special or emergency maintenance or
repair necessitated by accidents or by
storms or other weather conditions,
slides, settlements or other unusual or
unexpected damage to a roadway,
structure or facility."
D. DEGREE OF MAINTENANCE
The degree or extent of maintenance work to be
performed and the standards therefor shall be in
accordance with the provisions of Section 27 of the
Streets and Highways Code, as set forth in the current
edition of the STATE's Maintenance Manual (a copy of
which has been provided to CITY), or as may be
prescribed .from time to time by the STATE District
Director. District Director, as used herein, means the
District Director of the Department of Transportation
assigned to the territory in which CITY is located, or
the authorized representative.
2. STATE reserves the option to check, at random, all
areas of STATE Highways maintained by CITY to assure
conformance to STATE maintenance levels. Failure of
CITY to comply with these maintenance levels would be
reason to terminate this AGREEMENT as specified under
Section I, Term of Agreement. However, this random
check does not preempt CITY's maintenance
responsibilities as spelled, out in this AGREEMENT.
3. An encroachmentpermit will be required for third
parties when maintenance work is redelegated by CITY.
Such redelegated work shall be performed at the same
levels of service as spelled out herein and will be
subject to the same random checks as provided for work
performed directly by CITY forces.

E. LEGAL RELATIONS AND RESPONSIBILITIES
1. Nothing in the provisions of this AGREEMENT is intended
to create duties or obligations to or rights in third
parties not parties to this contract or affect the
legal liability of either party to the contract by
imposing any standard of care respecting the
maintenance of STATE Highways different from the
standard of care imposed by law.
It is understood and agreed that neither STATE nor any
officer or employee thereof is responsible for any
damage or liability occurring by reason of anything
done or omitted to be done by CITY under or in
connection with any work, authority or jurisdiction
delegated to CITY under this AGREEMENT. It is
understood and agreed that, pursuant to Government
Code, Section 895.4, CITY shall defend, indemnify and
save harmless the STATE and its officers and employees
from all claims, suits or actions of every name, kind
and description brought for or on account of injuries
to or death of any person or damage to property
resulting from anything done or omitted to be done by
CITY under or in connection with any work, authority or
jurisdiction delegated to CITY under this AGREEMENT.
3. CITY waives any and all rights to any type of express,
- implied and comparative indemnity against STATE, its
officers and employees arising from any work, authority
or jurisdiction delegated to CITY under this AGREEMENT.
F. MAINTENANCE FUNCTIONS
CITY shall perform only those maintenance functions
delegated as identified in Section H - Delegation of
Maintenance of this AGREEMENT.
G. EXPENDITURE AUTHORIZATION
CITY shall perform all maintenance functions delegated to
CITY in Section H - Delegation of Maintenance at CITY
expense.
H. DELEGATION OF
The specific maintenance function delegated to CITY are the
bridge railings, including, but not limited to, the
decorative tile and concrete work, as shown, on Exhibit A,
on the following structures:

TERM OF AGREEMENT
1. This AGREEMENT shall, become effective upon completion
of construction and acceptance by STATE of each
individual bridge and shall remain in full force and
effect until amended or terminated.
2. This AGREEMENT may be amended or terminated at any time
upon mutual consent of the parties thereto. This
AGREEMENT also may be terminated by STATE upon thirty
(30) days notice to CITY.
IN WITNESS WHEREOF, the parties hereto have set their hands
and seals the day and year first above written.
