SUBJECT: LOS ANGELES COUNTY FLOOD CONTROL DISTRICT AGREEMENT
DEPARTMENT: Parks, Recreation, and Community Services
The Santa Clara River Trail Phase II project is under construction. This project is located on
the north side of the Santa Clara River between Sierra Highway eastward to Lost Canyon Road.
The project is currently scheduled to be completed in February of 1996, with exception of a 300
foot section of levee improvement which was to be constructed by Los Angeles County Flood
Control District (LACFCD). Due to the threat of winter rains, LACFCD has requested that the
City incorporate the levee improvement into the current Santa Clara River Trail Phase II
construction. Construction of the levee as part of the trail project will assist in completing the
trail, eliminate future trail closure when the levee is built at a later date, and provide
permanent flood protection.
The County of Los Angeles has drafted an agreement to be entered into with the City of Santa
Clarita, whereby, the County will pay for the construction costs of the permanent levee. The
cost of the permanent levee improvement will not exceed $310,000.
Due to the unforseen timing of this issue and the City Manager's approval (see attached memo),
staff has directed the contractor performing the river trail work to proceed with the permanent
levee construction. The City Council approved an increase in revenue and budget for the levee
improvement during the midyear budget process. The City Attorney has reviewed and approved
the agreement.
1. Approve entering into an agreement with Los Angeles County Flood Control District for
the construction of the permanent levee as part of the Santa Clara River Trail Phase II
project.
2. Authorize staff to increase the contract amount for Stevens Construction, Inc. by $255,000
to include the construction cost for the levee.
Increase the purchase order to David Evans and Associates by $35,000, and Willdan and
Associates by $20,000 to support levee design and inspection services.

THIS AGREEMENT by and between the COUNTY OF LOS ANGELES, a
Political subdivision of the State of California, hereinafter
referred to as "COUNTY," acting on behalf of the Los Angeles
County Flood Control District, a body corporate and politic; and
the CITY OF SANTA CLARITA, a political subdivision in the County
of Los Angeles, hereinafter referred to as ^CITY."
WHEREAS, COUNTY is administering all matters for the
Los Angeles County'Flood Control District pursuant to
Section 56-3/4 of the COUNTY'S Charter and in accordance with
an Agreement approved on December 26, 1984, between the COUNTY
and the Los Angeles County Flood Control District; and
WHEREAS, CITY is constructing a bike trail along the north
bank of the Santa Clara River in the Sand Canyon area, herein-
after referred to as "TRAIL"; and
WHEREAS, COUNTY has an interest in constructing a levee
hereinafter referred to as "LEVEE IMPROVEMENTS," to provide
protection to the mobile home park located at 18204 Soledad
Canyon Road in the City of Santa Clarita; and
WHEREAS, CITY has determined that it will be necessary to
modify LEVEE IMPROVEMENTS adjacent to TRAIL; and

WHEREAS, CITY is willing to administer a contract for the
construction of TRAIL and LEVEE IMPROVEMENTS, hereinafter
collectively referred to as *PROJECT"; and
WHEREAS, LEVEE IMPROVEMENTS shall consist of an armored
earthen berm, riprap and an access road; and
WHEREAS, PROJECT is within the jurisdictional limits of
CITY; and
WHEREAS, PROJECT is in the mutual interest of CITY and
COUNTY; and
WHEREAS, COUNTY is willing to pay CITY for construction of
LEVEE IMPROVEMENTS.
NOW, THEREFORE, in consideration of the mutual benefits to
he derived by both CITY and COUNTY and of the promises herein
contained, it is hereby agreed as follows:
(1) CITY AGREES:
a. To instruct the TRAIL contractor to implement change
orders to construct LEVEE IMPROVEMENTS as shown on plans
marked "Exhibit A" attached, and hereby made a part of
this Agreement.

b. To pay $So,00o of, the construction cost for LEVEE
IMPROVEMENTS.
c. To furnish an accounting of funds upon acceptance of
construction of PROJECT.
d. That upon completion of construction of the PROJECT,
CITY shall assume the responsibility for the operation
and maintenance of the PROJECT.
e. To provide COUNTY with was constructed^ duplicate
drawings for PROJECT.
(2) COUNTY AGREES:
a. To pay CITY upon execution of this Agreement and within
ten (10) days of receipt of the invoice therefor, but
not more than thirty (30) days after 'PROJECT completion,
for the construction cost of LEVEE IMPROVEMENTS in
accordance with the payment schedule, shown in
"Exhibit s," not to exceed two hundred seventy-six
thousand five dollars ($276,005).
(3) IT IS MUTUALLY UNDERSTOOD AND AGREED:
a. That CITY and COUNTY shall have no financial obligation
to each other under this Agreement, except as herein
expressly provided.

b. CITY agrees to provide contract administration for
construction contract. It is mutually understood and
agreed that during construction of PROJECT,. CITY shall
furnish an inspector or other representative to perform
the usual functions of an inspector, and COUNTY may also
furnish an inspector at no cost to CITY. Said two
inspectors shall cooperate and consult with each other.
C. -That this Agreement can be amended or terminated by
mutual written consent of both CITY and COUNTY.
d. That in contemplation of the provisions of Section 895.2
of the Government Code of the State of California
imposing certain tort liability jointly upon public
entities solely by reason of such entities being parties
of an Agreement, as defined in Section 895 of said Code,
the parties hereto, as between themselves, pursuant to
the authorization contained in Section 895.4 and 895.6
of said Code, will assume the full liability imposed
upon it or any of its officers, agents, or employees by
law for injury caused by any negligent or wrongful act
or omission occurring in the performance of this
Agreement to the same extent that such liability would
be imposed in the absence of Section 895.2 of said Code.

To achieve the above -stated purpose, each party
indemnifies and holds harmless the other party for any
cost or expense that may be imposed upon such other
party solely by virtue of said Section 895.2. The
provisions of Section 2778 of the California Civil Code
are, made part hereof as if incorporated herein.
e. The term or phrase "contract administration," as used or
implied in this Agreement, shall include inspection,
estimating, project coordination, liaison, construction
surveys, materials inspection and testing, and general
quality control.
f. That the provisions of any previous assumption of
Liability Agreement heretofore entered into between the
parties hereto are inapplicable to this Agreement.
. IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be executed by their respective officers, duly
authorized, by the CITY OF SANTA CLARITA on
1995 and by the COUNTY OF LOS ANGELES on

SUBJECT: Santa Clara River Trail Phase II Levee Improvements
As you are aware, the Santa Clara River Trail Phase H project is currently under construction.
This project is located on the north side of the Santa Clara River between Sierra Highway
eastward to Lost Canyon Road. The project is currently scheduled to be completed in February
1996.
A 300 -foot section of the -trail was to be constructed by Los Angeles County Flood Control
District (LACFCD) during the spring of 1995. This project was not constructed and LACFCD
has requested that the City incorporate this improvement into the current Santa Clarita Riyer
Trail Phase H trail construction. The County of Los Angeles has drafted an agreement to be
entered into with the City of Santa Clarita, whereby, the County will pay for the construction
costs of the permanent levee. The City Attorney has reviewed and approved the draft
agreement which would be presented to Council for approval at their January meeting.
The cost of this portion of the project is estimated at $226,000 and will be reimbursed by
LACFCD. (Attached is a letter from the Los Angeles County Flood Control District stating their
willingness and commitment to fund the construction of this project)
Based on our recent conversation and the attached written commitment by LACFCD to pay for
constructing the levee, staff has directed the contractor to proceed immediately with the project.
Waiting until January and formal approval of the agreement to start construction of the levee
would jeopardize the City's ability to construct this part of the trail until after the rainy season
which would add substantial cost to the project and result in a delay in completing the trail
system.
