SUBJECT: RAILROAD AVENUE RECONSTRUCTION - PROJECT NO. 52015

On June 11, 1996, the City Council approved in concept the Newhall Downtown Revitalization
Plan. On July 8, 1997, the City Council awarded the construction contract for Railroad Avenue
reconstruction to Gueno Development Company, Inc.
At the July 8, 1997 City Council meeting, Council requested that something other than the
standard concrete street light poles be installed as part of this project. Council directed staff
to return with alternative poles that would be more compatible with the approved architectural
design standards listed within the Newhall Downtown Revitalization Plan (Victorian, Western,
Spanish).
Staff has identified a possible additional funding source to finance the street light upgrades and
installation. Street Light Maintenance District No. 1867 has funds available for street light
maintenance/upgrade projects. Los Angeles County requires that a Resolution of Obsolescence
be adopted by the City of Santa Clarita, which finds that the existing street lighting system on
Railroad Avenue is obsolete.. Additionally, the County requires that they be indemnified from
any claim, demand, or judgment that arises concerning the design, placement, or intensity of
the lighting fixtures in and along Railroad Avenue, as contemplated by this Agreement. The
indemnity shall not apply to any claim, demand, or judgment which is based upon the
maintenance of the new lighting fixtures.
This item involves approval of an indemnification agreement between the City and the County
of Los Angeles regarding the installation of "Nostalgic" style street lights on the reconstruction
project of Railroad Avenue through the County Lighting Maintenance District No. 1867.

City Council approve the indemnification agreemen&ith the County of Los regarding
the installation of "Nostalgic style street lights on the Railroad Avenue Reconstruction,
Project No. 52015 through County Lighting Maintenance District No. 1867, and authorize the
City Manager or his designee to approve all documents relating to this agreement.

AGREENJ-ENI.
This Agreement made and entered into by and between the County of Los Angeles, a
charter county ('County") and the City of Santa Clarita, a general law city ("City")
WITNESSETH•
The parties hereto do agree as follows:
Section 1. Recitals. This Agreement is made and entered into with respect to the
following facts:
(a) That County is the agency responsible for the operation of County Lighting
Maintenance District No. 1867 ("District'); and
(b) That portions of the property to which the District relates are located within
the boundaries of the City; and
(c) That in particular that portion of Railroad Avenue between its intersections
with San Fernando Road, ("Railroad Avenue") is included within the District
and is within the boundaries of the City; and

(d) That the City has heretofore determined thar the lighting fixtures located in and
along Railroad Avenue are obsolete and are inadequate to provide an adequate
level of lighting in and along Railroad Avenue; and
(e) That the parties desire by this Agreement to provide for the replacement of the
lighting fixtures currently in existence in and along Railroad Avenue; and
(f) That the legislative bodies of each of the entities hereto have determined that
the public interest, convenience and necessity require the execution and
implementation of this Agreement.
Section 2. Obsolete Lighting Fixtures. The City has heretofore determined that
the existing lighting fixtures in and along Railroad Avenue are obsolete and inadequate and
do not provide an appropriate and proper level of lighting in and along said Railroad
Avenue. That City has requested, based upon its findings of obsolescence pursuant to
Section 5835.3 of the Streets and Highways Code, that the County as the administrating body
for the District cause the said fixtures to be replaced with those certain lighting fixtures
which are described on Exhibit A, attached hereto and incorporated herein by this reference.
That d -,e replacement of the lighting fixtures in and along Railroad Avenge is a proper
charge upon the District.

- Section 3. Indemnity. That County has agreed to the placement of the lighting
fixtures as described on Exhibit A, in and along Railroad Avenue, upon condition that City
fully indemnifies County from any claim, demand or judgment which arises concerning the
design and placement and intensity of the lighting fixtures in and along Railroad Avenue as
contemplated by this Agreement. The City does hereby indemnify the -County and its elected
and appointed officers, agents and employees from and against any claim, demand or
judgment which arises out of the design, placement and intensity of the lighting fixtures as
contemplated by this Agreement. The indemnity set forth hereui shall not apply to any
claizt, demand or judgment which is based upon the maintenance of the said lighting fixtures.
Section 4. Effective Date. The Effective Date of this Agreement shall be
1997.
