SUBJECT: PAMPLICO PARK - PROJECT NO. P4003 — AUTHORIZATION TO
AWARD CONSTRUCTION CONTRACT
DEPARTMENT: Parks, Recreation, and Community Services
RECOMMENDED ACTION
1. City Council award a contract for construction of Pamplico Park — Project Number P4003,
per plans and specifications provided by RJM Design Group, Inc., to Terra -Cal Construction,
Inc., in the amount of $1,047,011.45, which includes a 10% contingency for change orders.
2. City Council authorize increasing the existing budget by $67,602.70 in account number
P4003001-8001, which includes a 10% contingency for any change orders, for the portion
of work to be reimbursed by the Saugus Union School District, and increase estimated
revenues in account number 001-6714 by the same amount.
3. City Council authorize entering into a Joint Use Agreement with Saugus Union School
District, subject to City Attorney's approval.
4. City Council authorize entering into a contract with Design Management Review Team for
construction inspection services in an amount not to exceed $60,000.00.
5. City Council authorize a payment to Castaic Lake Water Agency in an amount not to exceed
$150,000.00 for water connection fees.
BACKGROUND
In the Fiscal Year 2000/2001 Budget, City Council approved the design and construction of
Pamplico Park. Staff has completed the design phase, and at the February 13, 2001, City
Council meeting, Council authorized staff to advertise a notice inviting bids for the construction
of Pamplico Park.
On March 27, 2001, the City Clerk publicly opened eight bids for the Pamplico Park Project —
Project Number P4003. After staff review of the bids, Terra -Cal Construction, Inc., was
determined to be the lowest responsible bidder. MJS Construction, Inc. and Bowe Contractors,
Inc. bid proposals were found to be missing unit prices for numerous bid items, and therefore,
staff is recommending that they be disqualified.

Traffic and School/City Cooperation
The Pamplico Park site is located adjacent to the James Foster Elementary School in the
Saugus neighborhood of Santa Clarita. During the public participation process, traffic
congestion was the highest concern of the local neighborhood residents. The design of the park
will provide for eight parking stalls and a student drop-off area for use by parents during school
hours.
The Saugus Union School District Board of Directors approved funding for the design and
construction of a drop-off zone to mitigate current traffic congestion. The drop-off area is
designed along the park's frontage, within the slope area. A draft of the Joint Use Agreement
between the City of Santa Clarita and the Saugus Union School District for use of the student
drop-off area is attached for your review. The School District and the City's Attorney are
currently finalizing the agreement. The estimated cost of the drop-off area requested by the
School District is $67,602.70. Staff is requesting that the project budget be increased by
$67,602.70, which includes an additional 10% for any change orders that may occur. This
budget increase will be fully reimbursed by the Saugus Union School District, per the attached
agreement.
Construction Inspection
Park's staff has interviewed several consultant firms that provide construction inspection
services. Based on the knowledge and experience of the Design Management Review Team
(DMR), staff is recommending the DMR Team provide construction inspection for Pamplico
Park. DMR Team inspectors will provide daily construction inspection and quality control
during the construction and maintenance period.

FISCAL IMPACT:
Funding is budgeted and available in the Fiscal Year 2000/2001 Budget in Account Numbers
P4003001 and 7350-8110, totaling $1,288,589.34. An additional $67,602.70 is being reimbursed
by the Saugus Union School District for the drop-off area.

JOINT USE AGREEMENT
BETWEEN THE CITY OF SANTA CLARITA AND
THE SAUGUS UNION SCHOOL DISTRICT FOR
JOINT USES OF SCHOOL AND PARK PROPERTY
This Joint Use Agreement ("JUA") is made and entered into this day of
20_, by and between the CITY OF SANTA CLARITA ("City,,) and the
SAUGUS UNION SCHOOL DISTRICT ("School District").
RECITALS
A. Section 10900 et seq. of the Education Code of the State of California
authorizes and empowers cities and school districts to cooperate with each other in
organizing, promoting and conducting joint recreational and educational programs
pursuant to a JUA.
B. School District requested that the City design and construct a student drop-
off zone on City Park property. The cost of the design and construction of the drop-off zone
will be the responsibility of the School District.
C. School District and City desire to enter into this JUA for the construction and
use of the student drop-off zone located within Pamplico Park adjacent to James Foster
Elementary School ("James Foster"). The park site and school site construction area is
depicted on Exhibit "A" hereto. School District and City intend that this JUA shall provide
for the parties' respective rights, powers and obligations regarding the improvement, use,
maintenance, and repair of the School Site and the Park Site (collectively, "Joint Use Site").
D. School District and City have agreed upon the design of the student drop-off
zone, upon which the City will construct. City has agreed upon the completion of the
student drop-off zone, its availability for use by School District concurrent with the
completion of construction of Pamplico Park (collectively, "Joint Use Project").
E. City and School District desire to operate and maintain the Joint Use Site
and to provide school drop-off at the Joint Use Site.
F. City and School District agree that it is in the public interest, economically
and practically, to cooperate with each other, and therefore desire to enter into this JUA
pursuant to the provisions of said Section 10900 et seq. of the Education Code.
NOW, THEREFORE, in consideration of the mutual covenants and conditions
contained herein, City and School District agree as follows:
1. Incorporation of Recitals and Exhibits. The above recitals and all exhibits
referenced herein are incorporated into and are an effective part of this JUA.

2. Term. This JUA shall be in effect for so long as the School Site is used for
educational purposes or for thirty (30) years from the date first entered above, whichever is
sooner. The terms may be extended by written mutual agreement of the parties.
3. Improvements to the Joint Use Site. School District, concurrent with
construction of the Pamplico Park, in accordance with the plans, specifications, and
contract documents therefor, which are on file at the City Hall and incorporated herein by
this reference ("Pamplico Park Plans"), shall reimburse the City for the improvements that
are specified in Exhibit `B" hereto. City, concurrent with construction in Exhibit "B" shall
construct, at its expense and in accordance with its normal procedures and legal
requirements, the Park Site improvements that are specified in Pamplico Park Plans
attached hereto.
4. Completion of Joint Use Site Improvements School District shall fund
completely the improvement drop-off zone per plans and specification.
5. Improvements that are specified in Exhibit B City shall complete the
portion of the Park Site improvements that are specified in Exhibit "C" concurrent with
improvement drop-off zone portion of the Park Site improvements that are specified in
Exhibit B. City and School District shall each reasonably cooperate with the other to
ensure the timely completion by the other of the improvements to the Joint Use Site for
which the other is responsible.
6. Operation of the Joint Use Site. Upon completion of the Joint Use Project,
the Joint Use Site shall be operated jointly by the City and School District as a public
access to the Park Site and School Site open to the students of the School District and
residents of the City. It is agreed that no preference, gratuity, charge or fee will be imposed
for the use of the Joint Use Site not equally accorded to residents of the City.
(a) School District hereby agrees to permit the City to utilize the School
Site thereon for public access to the park site. Such use shall be during park hours
in accordance with the City adopted Park Rules and Regulation.
(b) School District shall make the School Site available to the City at no
charge; however.
(c) City shall provide staff at its sole expense, during such periods as it is
authorized to use the School Site.
(d) City shall provide, at no expense to the School District, the student
drop-off zone for the purpose of student access to the school site.
(e) City agrees to permit the School District to utilize the student drop-off
zone. This agreement is restricted to that area between the hours of 7:00 a.m. to
3:30 p.m. when school is in session. The following is not included in this permit: the
parking lot, children's play area, restrooms and other passive areas. Use of the Joint
Use Site at times other than those stated here must be requested by the School
District five (5) days in advance of such use.

7. Maintenance of School Site by City. When using the School Site, City shall
operate the School Site in keeping with the best -accepted practices to assure proper
standards of conduct and safety. The City shall maintain all School Site facilities in a clean
and sanitary condition while City has use and control of such facilities. City agrees to
remove any debris generated by its activities and shall leave the School Site in a state of
cleanliness comparable to that existing immediately prior to the conduct of its activities.
City shall repair, cause to be repaired, or reimburse the School District for the cost of
repairing, any damage that may occur to the School Site or facilities of any type thereon
during periods of use by the City, except where such damage may be attributed to ordinary
or reasonable use of the premises.
8. City shall convey to School District a non-exclusive easement for access to the
student drop off zone, for the student drop off zone and for egress from the student drop off
zone.
9. School District shall convey to City a non-exclusive easement for access to the
Park site.
10. Maintenance of Park Site by School District. When using the Park Site,
School District shall operate the Park Site in keeping with the best accepted practices to
assure proper standards of conduct and safety. The School District shall maintain all Park
Site facilities in a clean and sanitary condition while the School District has use and control
of such facilities. The School District agrees to remove any debris generated by its
activities and shall leave the Park Site in a state of cleanliness comparable to that existing
immediately prior to the conduct of its activities. School District shall repair, cause to be
repaired, or reimburse the City for the cost of repairing, any damage that may occur to the
Park Site during periods of use by the School District, except where such damage may be
attributed to ordinary or reasonable use of the premises. Commencing with fiscal year
2001-2002, School District shall pay City during the month of September of each fiscal year
during the term of this JUA the sum of $3,000.00, which the City shall use for maintenance
and improvement of the student drop-off zone ("Maintenance Fee"). Commencing with
fiscal year 2002-2003, the Maintenance Fee payable to City shall be increased or decreased
in accordance with the change in the Consumer Price Index for the Los Angeles -Anaheim -
Riverside Area as published by the Department of Labor.
11. Indemnification of City by School District. School District agrees to defend,
indemnify and save harmless the City, its agents, officers, and employees from and against
any and all liability, expense (including defense costs and legal fees), and claims for
damages of any nature whatsoever, including, but not limited to bodily injury, personal
injury, death or property damage, arising from or connected with School District's
operations or services pursuant to this JUA, including any Worker's Compensation suits,
liability, or expense, arising from or connected with services performed on behalf of School
District by any person pursuant to this JUA. School District's duty to indemnify City shall
survive the expiration or other termination of this JUA.
12. Indemnification of School District by City. City agrees to defend, indemnify,
and save harmless the School District, its agents, officers, and employees from and against
any and all liability, expense (including defense costs and legal fees), and claims for

damages for any nature whatsoever, including, but not limited to, bodily injury, personal
injury, death or property damage arising from or connected with City's operations or
services pursuant to this JUA, including any Worker's Compensation suits, liability, or
expense, arising from or connected with services performed on behalf of City by any person
pursuant to this JUA. City's duty to indemnify School District shall survive the expiration
or other termination of this JUA.
13. Insurance. The parties hereto shall provide insurance coverage in the
amounts and in accordance with the terms specified in this Section. If either party desires,
at its own expense, to provide for increased insurance coverage and/or an increase in the
limits of coverage, such increase may be provided with a written confirmation of same to
the other party within 30 days.
(a) School District shall provide insurance coverage for comprehensive
general liability for a combined single limit of minimum of Ten Million Dollars
($10,000,000) per occurrence. School District shall supply City with a certificate of
self-insurance to meet the aforementioned insurance requirements; and
(b) City shall provide insurance coverage for comprehensive general
liability for a combined single limit of a minimum of Ten Million Dollars
($10,000,000) per occurrence. City shall supply School District with a certificate of
self-insurance to meet the aforementioned insurance requirements.
14. Attorneys' Fees and Costs. If legal action is brought by either party to this
JUA that alleges breach of this JUA or to enforce a provision of this JUA, the prevailing
party shall be entitled to its reasonable attorneys' fees, costs, and expenses.
15. Successors. This JUA shall be binding upon and inure to the benefit of the
heirs, successors, and assigns of the parties hereto.
16. Rules of Construction. This JUA shall be construed in accordance with the
following unless otherwise apparent from the context in which they are used:
(a) The singular shall include the plural; the masculine gender shall
include the feminine; "shall" is mandatory, and "may" is permissive;
(b) If any part of this JUA is held by a court of competent jurisdiction to
be invalid, the remainder of the JUA shall not be affected thereby;
(c) If more than one person signs on behalf of a party to this JUA, their
obligations are joint and several; and
(d) Any time limits set forth in this JUA may be extended by mutual
consent of the parties in accordance with the procedures of adoption of an
agreement.
17. Notices. All notices, approvals, or other correspondence sent or required to be
sent pursuant to this JUA shall be in writing and shall be delivered in person, by facsimile

transmission, or by certified United States mail, postage prepaid, and addressed to the
party or parties as indicated in this section. Any such notice, approval, or other
correspondence is effective only upon receipt. Any party indicated in this section may
change its address, the person to whom attention shall be directed, or its facsimile number
by giving notice to the other parties as provided above. In the event any party utilizes
signed documents transmitted by facsimile, the receiving party may rely upon such
documents as if they bore original signatures.
The party transmitting any document(s) by facsimile shall provide the receiving
party with the document(s) bearing the original signature(s) within 72 hours of
transmission by facsimile. Any document that shall or will be recorded, however, must bear
original signature(s) because the County Recorder will not accept for recording any
documents bearing non -original (facsimile) signatures. Notices, approvals, or
correspondence related to this JUA shall be addressed as follows:

18. Force Majeure. Non-performance by any party shall be excused when it is
reasonably prevented or delayed by reason of any act, event, or condition reasonably beyond
the control of that party for any of the following reasons:
(a) War, insurrection, civil commotion, riot, flood, severe weather,
earthquake, fire, casualty, acts of public enemy, acts of God, governmental
restriction, litigation (including, without limitation, litigation contesting the validity
of, or seeking the enforcement or clarification of, this JUA whether instigated by the

School District, the City, or any other person or entity), acts or failures to act of any
governmental agency or entity;
(b) Inability to secure necessary labor, materials or tools, strikes,
lockouts, other labor disputes, or delays of any contractor, subcontractor or supplier;
or
(c) Inability to obtain and consummate necessary financing, or delays
caused by any lender or third party relating thereto, provided, however, that any
delay based upon this clause shall not be excused beyond one year.
19. Cooperation of the Parties. Each party shall execute and deliver to the other
all such other further instruments and documents as may be reasonably necessary to carry
out this JUA in order to provide and secure to the other party the full and complete
enjoyment of its rights and privileges hereunder.
20. Entire Agreement. This JUA contains the entire agreement between the
parties with respect to the subject matter of this JUA. Any prior agreement, promise,
negotiation, or representation not expressly set forth in this JUA are of no force or effect.

by and through its pursuant to Resolution No.
