SUBJECT: CITY OF SANTA CLARITA AND CASTAIC LAKE WATER
AGENCY MOU FOR GROUNDWATER PRODUCTION
RESTORATION AND TRANSMISSION MAINS PROJECT
DEPARTMENT: Parks, Recreation, and Community Services
RECOMMENDED ACTION
1. City Council approve the Memorandum of Understanding (MOU), and authorize the City
Manager, or his designee, to sign the MOU.
2. Approve the easements for the Castaic Lake Water Agency (CLWA) "Ground Water
Production Restoration and Transmission Mains Project," and authorize the City Manager, or
his designee, to sign all required documents needed to provide easements on City lands,
subject to City Attorney approval.
BACKGROUND
The Castaic Lake Water Agency (CLWA) proposes to install underground pipelines under the
South Fork Trail from McBean Parkway east to Valencia Boulevard, and from Magic Mountain
Parkway south for approximately one mile; and under roadways at Valencia Boulevard between
Magic Mountain Parkway and Bouquet Canyon Road. CLWA is requesting permanent
easements ranging from 16' to 20' across City property to accommodate the project. The City
will grant easements for portions of the South Fork Trail to be dedicated to the City by Newhall
Land to complete the pipeline project.
City Staff has met with CLWA representatives and has developed a Memorandum of
Understanding (MOU), which describes the obligations of both parties. The MOU provides for
and resolves issues and concerns raised by City staff in exchange for the easements requested by
CLWA. The City will receive new trail paving, striping, and fencing as required for portions of
the South Fork Trail.

AND THE CASTAIC LAKE WATER AGENCY
RELATIVE TO ISSUING ENCROACHMENT PERMITS AND GRANTING EASMENTS FOR
CONSTRUCTION OF GROUND WATER PRODUCTION
RESTORATION & TRANSMISSION MAINS PROJECT

This Memorandum of Understanding (MOU) is made by and between the City of Santa Clarita ("CITY")
and Castaic Lake Water Agency ("CLWA") with respect to CLWA's pipeline construction (Project)
under the Santa Clara Multi -use trails (trail) or roads in the City of Santa Clarita. The CITY will grant
Encroachment Permits and Easements to CLWA for CLWA's pipeline within CITY -owned easements or
on real property owned by others or the CITY.
This MOU is made pursuant to facts and understandings of the CITY and CLWA as follows:
A. CLWA has a need to modify its pipelines in its `Ground Water Production Restoration &
Transmission Mains Project' (Project), to improve water service to its customers.
B. CITY desires to maintain and improve its trail system for use by the public within the Project
boundaries.
C. CLWA's pipeline construction will temporarily impact trail system use. During construction, trail
portions will periodically not be available for public use.
D. CITY and CLWA desire to minimize impact to trail and public street users and will cooperate in
providing alternate routes or detours.
E. CLWA pledges to reconstruct existing improvements impacted by construction following all
professional and workmanlike standards.
F. CITY and CLWA both desire to effectively utilize public funds.
G. CITY and CLWA jointly pledge to work cooperatively to mitigate impacts to public trail use and
provide information to the public about the pipeline construction and its impacts.
Now therefore it is agreed by CITY and CLWA as follows:
1. CLWA will modify its pipelines referred to as Line "A", "B", "C", "D", "E" and "F" in its
"Groundwater Production Restoration & Transmission Mains Project", Exhibit A.
2. CLWA will construct to CITY Standards anew temporary trail section for public use during the
Project's construction between the South Fork Trail Head at Magic Mountain and approximately
5600 feet south to the Project limits, see Exhibit A.
3. CLWA will submit temporary trail realignment plans to the CITY for approval prior to work, see
Exhibit A.
4. CLWA will provide detour information for the bike trail between McBean Pkwy & Valencia
Boulevard during Line "A" construction. Detour signage will be posted at the McBean &
Valencia bike trail entrances indicating website address for further information.
5. CLWA, through its staff and consultants, will coordinate and communicate with CITY and the
public prior to construction, informing the public of any trail and street or lane closures through
the Project's construction duration.
6. CLWA will provide a construction Website showing current construction activities, closures,
detours, and any other construction -related activities affecting bike trails or public streets.
7. CLWA will restore any CITY -owned property or improvements such as paving, lodgepole or
chainlink fencing, landscaping, irrigation or any other CITY -owned property or improvement
damaged by construction to CITY bike standards and the satisfaction of the CITY'S designated
representative, Exhibit B.
8. CLWA will remove and replace entire width of trail paving disturbed during construction
conforming to CITY bike standards and the satisfaction of the CITY'S designated representative.
9. CLWA will provide written documentation indicating it has acquired all necessary easements to
access property owned by others for its construction work.
10. CLWA will design and construct pipeline to not allow flushing -type equipment to flow over
paving, and any manhole or valve covers shall be level with biketrail surface, and no equipment
shall be installed within trail safety zone.
11. CLWA agrees to indemnify, defend, and hold harmless CITY and all of its officers and agents
from any claims, demands, or causes of action, including related expenses, attorney's fees, and
costs, based on, arising out of, or in any way related to the work undertaken by any Contractor of
CLWA or CLWA hereunder.
12. CLWA will name the CITY as an additional insured on the CLWA Liability Insurance Policy and
the insurance must be primary to any other coverage available to the City. Proof of Insurance in
the form of certificates and endorsements must be provided to the City.
13. CLWA will design and install, to the extent feasible, all equipment including all valves, manhole
covers and other pipeline improvements outside trail limits and safety zones. Such improvements
will be installed to the satisfaction of the CITY's designated representative.
14. CLWA will design and install pipeline under bridges so future bridge widening projects will not
require pipeline relocation. Should future bridge or trail plans necessitate the relocation of the
pipeline, CLWA agrees to relocate the pipeline at CLWA's expense.
15. CLWA pipe mounted under Bouquet Canyon Bridge shall be installed to maintain no less than a
10 -foot separation and unobstructed clearance between trail surface and pipe underside.
16. CLWA will not design or install additional improvements without prior approval from the CITY.
17. CLWA will maintain all equipment within CITY -owned easements or property to CITY bike trail
standards and to the satisfaction of the CITY's designated representative.
18. CLWA will conduct its `potholing' operations, where feasible, at night to avoid impacting public
use. Potholes will be covered and compacted daily to the satisfaction of the CITY's designated
representative.
19. CLWA will obtain and conform to requirements of Encroachment Permits for all work within the
public right-of-way. All work and activity within the right-of-way will be subject to the
provisions of the Encroachment Permit.
20. CLWA will obtain and pay for, or arrange for their contractor to obtain and pay for, permits and
inspection fees.
21. CLWA will provide written documentation to the City it has advised businesses adjacent to the
project, in person and in writing of project work and schedule prior to commencing work.
CLWA will communicate to adjacent businesses any activity which may affect access into their
places of business.
22. CLWA's work within the City's road right of way will be scheduled in accordance with the City's
lane closure guidelines and at the City Traffic Engineer's discretion.
23. CLWA and CITY acknowledge during pipeline construction, trail portions will be periodically
and temporarily unavailable for public use. During the CITY's annual Marathon, CLWA agrees
to temporarily restore trail portions during pipeline construction to facilitate the CITY in
conducting its annual marathon, typically held the first weekend in November.
24. CITY will issue utility Easements and Encroachment Permits for CLWA's construction work
under CITY -owned property or easements.
25. CITY will issue Encroachment Permits or grant Easements to CLWA in exchange for work
performed by CLWA on trails as described herein.
26. CITY will attempt, where feasible, to reroute portions of the Marathon course away from
construction areas. For those portions of the course which cannot be rerouted, CLWA, to the best
of its abilities, will restore the path to a safe and suitable condition to facilitate the CITY's
Marathon trail use.
