Redevelopment Agency approve an Exclusive Right to Negotiation Agreement with AF Main Street, LLC. 2. Authorize the Redevelopment Agency Executive Director to execute all documents, subject to City Attorney approval. BACKGROUND An Exclusive Negotiation Agreement (ENA) is being sought to redevelop a full block in Old Town Newhall for a potential mixed use retail/residential project. An ENA allows the Redevelopment Agency to negotiate exclusively with a developer for a specific period of time to develop a binding development agreement. The ENA provides the developer an assurance that it can expend the money necessary to determine the project's feasibility without fear of the project being awarded to a competitor. The project would be located in Old Town Newhall on the block bounded by Lyons Avenue, 9th Street, Railroad Avenue, and Main Street. The project would entail nine (9) parcels totaling 1.7 acres, owned or controlled by the owner. A property legal description is provided as Attachment A. The project is envisioned as a landmark development to draw people from the area and would include an active retail/restaurant component, strong linkages to the Metrolink station, and QPpR0oNlEM subterranean parking to benefit the neighboring library project. The ENA is an agreement between the Redevelopment Agency and AF Main Street, LLC (property owner). The parties would exclusively negotiate terms and conditions for developing a project. The agreement will include a 6 month initial negotiation period and the option for an additional 6 month extension. Following these negotiations a formal development agreement will be developed between the Agency and the property owner. Details on square footage, height, building and unit mix will be determined during the ENA negotiations and through project development. During this period, street improvements, infrastructure and related issues will also be addressed. A schedule of performance will also be developed to identify milestone dates related to processing land use entitlements, demolition of existing structures, and construction of the project with specified deadlines. This ENA agreement is only to enter exclusive negotiations. The agreement does not commit the Agency to enter into a formal Owner Participation Agreement or to take other actions related to the conceptual project. ALTERNATIVE ACTIONS Other action as determined by the Redevelopment Agency.
