CONSENT CALENDAR DATE: SUBJECT: DEPARTMENT Agenda Item: CITY OF SANTA CLARITA AGENDA REPORT City Manager Approval Item to be presented by: January 26, 2010 Rick Gould CITY OF SANTA CLARITA AND CASTAIC LAKE WATER AGENCY - PARK SITE DRAINAGE EASEMENT - RIVER VILLAGE DEVELOPMENT Parks, Recreation, and Community Services RECOMMENDED ACTION 1. City Council approve the drainage easement through the River Village public park site. 2. Authorize City Manager, or designee, to sign easement agreement, subject to City Attorney approval. BACKGROUND The Castaic Lake Water Agency (CLWA) requested permanent easement rights for the water course it has historically used to discharge water from its Rio Vista Treatment Plant into the Santa Clara River. The water course runs through the proposed River Village Park site. The easement will allow CLWA to discharge water and require CLWA staff to monitor discharges through the park to provide safety to patrons and prevent damage to park facilities. City staff has met with CLWA management and developed an Easement Regarding Drainage Agreement that describes the obligations of both parties. The agreement has been approved by CLWA's Board of Directors and addresses issues and concerns raised by City staff in exchange for easements requested by CLWA. CLWA is required to maintain the upper one fourth of the channel at all times and the remainder of the channel before, during, and after any discharge of water through the future park property. The City will maintain the lower three fourths of the channel at times that are outside of CLWA discharge events. City of Santa Clarita, California, a municipal corporation ("City"), and Castaic Lake Water Agency, a body corporate.and politic ("CLWA"), upon the following terms and conditions. RF.f TTA1.0 A. CLWA is the owner of certain real property located in the City of Santa Clarita, State of California, which is more particularly described on Exhibit "A" to this Easement (the "CLWA Property CLWA operates a water treatment facility (the "Facility") on the CLWA Property. B. The CLWA property has a "natural watercourse," which runs in a direction to and across the downstream property owned by Newhall Land and Farming Company ("Newhall") as more particularly described on Exhibit "B" to this .Easement ("Newhall Property"). CLWA and its predecessors -in -interest have been using this natural watercourse to discharge water from the CLWA Property, including the Rio Vista Water Treatment Plant and other sources on the CLWA Property, to and across the Newhall Property since prior to 1900. C. Newhall, has dedicated or will dedicate to the City as a public park part of the Newhall Property, including the natural watercourse as more. particularly described on Exhibit "B" to this Easement (the "Park Property"). Once such dedication is accepted by the City (the date of such acceptance being herein referred to as the "Acceptance Date"), the Park Property will be used as a public park. 3 D. The natural watercourse crosses the Park Property as an open drainage channel (the "Channel") in the approximate area depicted on Exhibit "C" to this Easement. The Channel ultimately drains into the Santa Clara River. E. CLWA has the right, pursuant to law and applicable governmental permits, to discharge water from the Facility into the natural watercourse and then into the Santa Clara River. Such discharges travel through the Channel on route to the Santa Clara River, Neither Newhall nor the City have previously granted easements or entered into agreements with CLWA concerning the manner of discharge of water through the Channel. EASEMENT TERMS NOW, THEREFORE,'This Easement is granted, subject to the following: 1) Effectiveness. This Easement shall become effective on the Acceptance Date, 2) Discharges. A discharge of water means a flow of water that is other than the normal run-off from the CLWA Property from rainfall and landscape irrigation and over which CLWA has control. CLWA's use of the watercourse and Channel for discharges of water from the CLWA Property are acceptable to the City on the following terms and conditions: a) All such discharges shall be made in accordance with applicable laws, ordinances and regulations and all required governmental permits and approvals relating to such discharges, including, but not limited to, those set forth in CLWA's NPDES permit governing such discharges. b) CLWA shall obtain and maintain, at its cost, all governmental permits and approvals necessary in connection with such discharges. c) CLWA shall provide the City a minimum of 24 hours' prior notice of the scheduled discharge of any water through the Channel. CLWA agrees to provide personnel during discharges to monitor for safety and reduce the risk of damage from such discharges. In no event shall any such discharges exceed 25 cubic feet.per second. d) Channel Maintenance. At all times for the period of this Easement, CLWA shall, at its sole cost and expense, keep and maintain those upstream portions of the Channel as identified on Exhibit "C" and all parts thereof, including, without limitation, the following: aboveground and underground pipes and appurtenances associated with the Channel, in good condition and repair (including the making of necessary replacements), all as shall be reasonably required by the City. CLWA understands and agrees that its maintenance and repair responsibilities include maintenance and repair of the upstream portion of the channel from both discharges and storm events. CLWA shall inspect the entire drainage Channel (both CLWA's upstream portion and the City's downstream portion) prior to, and following, any scheduled discharge to ensure it is free of materials that may cause damage to park improvements. CLWA will perform maintenance as necessary to the entire channel as a result of the pre and post discharge inspections. Typical maintenance activities are anticipated to include, but not be limited to, clearing of excessive vegetation, removal of trash and debris, silt removal, and minor grading as needed to maintain a channel that is free flowing. If CLWA fails to commence the performance of any necessary or required -2- q maintenance, repair or replacement within 10 days following the giving of written notice by the City (or immediately in the case of an emergency threatening the safety of persons or property), or when once commenced, if CLWA does not thereafter complete any necessary maintenance, repair or replacement within a reasonable time, then, in addition to any other rights and remedies available to it, the City may perform such maintenance, repair or replacement and CLWA shall reimburse the City for its costs incurred in connection therewith within 10 days following written demand. 3) Injury or Damage from Discharges. Nothing in this Easement or the rights of CLWA to discharge water through the Channel shall relieve CLWA of any liability arising from or related to damage or injury to any person or property as a result of CLWA's use of the Channel or any discharges of water through the Channel. CLWA will indemnify, protect, defend and hold the City and its officials, officers, agents and employees harmless from and against any and all claims, losses, liabilities, damages, actions, causes of action, judgments, fines, penalties, costs and expenses (including but not limited to reasonable attorneys' fees and costs) of every kind or character arising from, caused by or related to (a) the negligence, acts or omissions of CLWA or its agents, employees and contractors in or about the Park Property, (b) the activities of CLWA, its agents, employees and contractors in performing maintenance, repairs and replacements to the Channel, (c) the exercise by CLWA of its rights under this Easement, (d) the failure of CLWA to perform its covenants under this Easement or the discharge of water through the Channel in excess of the limits set forth herein, including without limitation any damage or injury to the Park Property and/or any of the improvements located thereon outside the boundaries of the natural watercourse. The terms of this paragraph shall survive the expiration or termination of this Easement. 4) General Provisions. a) Governing Law. This Easement shall be construed in accordance with and governed by the laws of the State of California. b) Invalidity. If any provision of this Easement is held invalid or unenforceable by any court of final jurisdiction, it is the intent of the parties that all other provisions of this Easement be construed to remain fully valid, enforceable and binding on the parties. c) Entire Easement; Modification; Construction. This Easement completely contains all of the covenants between the parties with respect to the manner of exercise of CLWA's rights to use the natural watercourse and the Channel and to discharge water through the Channel and with respect to the other matters set forth herein, and this Easement supersedes and replaces all prior or contemporaneous covenants, agreements and understandings of the parties with respect thereto and any and all rights, whether expressed, or implied. No supplement, modification, or amendment of this Easement shall be binding unless executed in writing by both parties. This Easement has been prepared by all parties and no portion hereof shall be construed against any party. d) Attorneys' Fees. If any party to this Easement is required to commence an action or proceeding to enforce or interpret the provisions hereof, or as a result of any breach or default, the prevailing party in such action or proceeding shall be entitled to recover reasonable attorneys' fees and all other costs incurred from the non -prevailing party. -3- 5 e) Non -Waiver. The failure to enforce any provision of this Easement at any time by any party shall not constitute a waiver of the right thereafter to enforce any such provision or provisions hereof. f) Further Assurances. Each party hereby agrees to execute all such further instruments and documents and to take such further actions as may be reasonably necessary in order to effectuate the terms and conditions contained herein. g) Captions. All captions or titles used herein are intended solely for convenience or reference and shall not affect that which is set forth in any of the terms or provisions hereof. h) Runs With the Land; Successors and Assigns. The provisions of this Easement shall be deemed covenants running with the land pursuant to California Civil Code Section 1468 and shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, successors and assigns. i) Exhibits.
